Rajiv Gandhi International Airport Airline Partnership Programme October, 2011

Airline Partnership Programme GMR Hyderabad International Airport, Airline Partnership Programme, is aimed at enhancing Rajiv Gandhi International Airport (RGIA) passenger traffic by encouraging airlines to operate new domestic and international routes and add frequencies to existing routes through an effective incentive programme. To achieve this objective, GHIAL has developed the below partnership programmes: 1) Partner+ Programme: Programme for Indian carriers operating out of RGIA (proposal date expired)* 2) International Route Programme: Programme for international operations for new routes and additional frequencies. 3) European Route Program : Programme for currently operating and new carriers from India and Europe to strengthen the Route ex Hyderabad 4) Regional Connectivity Programme: Programme for regional connectivity (revised) Note: 1) The eligible airlines can participate only in any one of the above programmes. The above programmes are not clubbed or combined with any other incentive/discounts which may be on offer. 2) GHIAL reserves the right to withdraw the incentive offer without any notice. *The next RFP window for Partner+ Programme will come up again on 1 st March, 2012.

2. International Route Programme The International Route Programme intends to provide support to the airlines for new routes & increased frequencies on international destinations to/from RGIA. Regions Support by GHIAL New Routes (non-stop operations only), effective 1 st April, 2010 South East Asia Middle East China & Japan Australia Europe Africa North America Waiver of 3 months Landing & Parking Increase in frequency, effective 1 st April, 2010* South East Asia Europe *To consider the current frequency, the base frequency will be based on the highest weekly frequency along with the equipment operated in last 12 months, previous to 1 st March 2010. Interested airlines can submit their request, including the business plan, by e-mail to raveen.pinto@gmrgroup.in. GHIAL shall, subject to the satisfaction of the conditions stipulated below, will sign an agreement with the eligible airline. GHIAL will issue a credit note to the airline on expiry of the respective time period and this Credit note will be adjusted by the Airline from the payments to be made against the invoices raised by GHIAL for the Airport charges after the expiry of the above mentioned respective time period.

Terms & Conditions The partner airline during subsistence of this incentive offer: shall not default on the payment of Airport Charges or such other charges as may be payable under the Airport Charges Agreement, in case of any default in payment of airport charges, the incentive offer will be considered null and void. shall not decrease the existing frequency of operations with the existing aircraft type till the end of offer period (for increase in frequencies), or shall operate on the said route for a minimum period of 12 months (for new route operations). GHIAL holds the right to withdraw the incentive offer at any time without any notice and without assigning any reason whatsoever. any and all disputes arising out of or in connection with this incentive offer shall be strictly to the exclusive jurisdiction of courts in Hyderabad only.

3. European Route Program Existing European Non Stop Carrier o Existing Frequencies: Marketing fund offer of INR 5 Million which will be provided to the carrier at the beginning of winter schedule to strengthen the route (One time offer valid only during Winter 2011-12 schedule) o Frequency increase: Waiver of landing charges for a period of one year for increased frequency. New European Non Stop Carriers o Proposing a marketing fund offer of INR 10 Million which will be provided to the carrier at the beginning of services. o Waiver of landing charges for a period of one year Terms & Conditions The partner airline during subsistence of this incentive offer: shall not default on the payment of Airport Charges or such other charges as may be payable under the Airport Charges Agreement, in case of any default in payment of airport charges, the incentive offer will be considered null and void. GHIAL holds the right to withdraw the incentive offer at any time without any notice and without assigning any reason whatsoever. Any and all disputes arising out of or in connection with this incentive offer shall be strictly to the exclusive jurisdiction of courts in Hyderabad only. This offer cannot be combined with any other offers. A contract will be signed For existing carriers The Airline shall not decrease the existing frequencies and will operate B777/B767 type of aircraft for a continuous period of one year from the start of Winter 2011-12 schedule. The marketing fund will be paid out before the launch of the marketing activities. For new carriers The Airline shall operate at least 3 frequencies/week and will operate B777/B767 type of aircraft for a continuous period of one year The marketing fund will be paid out before the launch of the marketing activities. 4. Regional Connectivity Programme This programme is planned for the carriers to strengthen regional connectivity out of Hyderabad. Incentive Period The request for proposal has been reopened on RGIA website on 12 th April 2010, closing date for submitting the proposal, with business plan, will be 21 st April 2010. Airlines, who meet the prequalification criteria, should submit their RFP by 21 st April, 2010. Pre-Qualifying Criteria The airline should base exclusively at RGIA, a minimum of three turboprop type aircraft to start with and should expand to at least six aircraft by the end of two years. GHIAL reserves the right to decide on 80% of the route network to be operated using these aircraft. On meeting the pre-qualifying criteria, the airline shall submit a detailed business plan to generate the below parameters: Performance conditions to be met for a 2 year period from FY 2011-12 up to 2012-13 Criteria Operational Routes Yearly Growth Rate Regional routes Additional frequencies Night Parking Airport Payments Agreement Minimum Guarantee Of the routes served, 80% will be decided by GHIAL 15% in FY 2011-12, over and above FY 2010-11 10% in FY 2012-13, over and above FY 2011-12 5 regional routes/year (total 10 routes over a two year period) 10 new frequencies/year (total 20 additional frequencies over a two year period) 3 aircraft in the first year, totaling to 6 aircraft in the two year period All RGIA dues to be settled within the credit period, without exception An agreement will be signed between RGIA & the eligible carrier Eligible airlines can submit their business plan, including the qualifying criteria, by e-mail to raveen.pinto@gmrgroup.in. GHIAL will review the above mentioned parameters and revert with the incentive offer to the concerned carrier by 25 th April 2010.
