AGREEMENT Between The organisation XXXX, partner in the CIP-IEE Project ERASME Energy Audits in SMEs, located in xxx (address), tel and e-mail, VAT n. xxx, represented by xxxxx in his function of xxx, hereinafter identified as the Partner And The Energy Auditor xxx xxx, born in xxx, the xxth of xxx xxxx, resident in xxx, (address), mob. Phone xxx, e- mail xxxx, VAT n. xxxx, identified hereinafter as the Auditor, Concerning: Considering that: The implementation of Energy Audits in SMEs, in the region xxxxxxxx, (country) The Partner has signed a contract with EACi, European Agency for Competitiveness and Innovation, concerning the ERASME project; As part of the ERASME project the Partner has develoedp a training module of 20 hours to train Energy Auditors for implementing Energy Audits in SMEs; The Partner has developed a Check List, an Energy Audit model report, a Handbook for performning Energy Audits in SMEs and Guidelines for financing energy investments in SMEs. The Auditor accepts to: Participate in the ERASME training module, including the 20 hours of lectures and the following project work consisting in a pilot Energy Audit in a SME, assisted by the trainers; having overcome the training course final test, the Auditor enters in the list of the authorised Energy auditors of the ERASME project; Implement surveys in SMEs according to the ERASME methodology, consisting in an interview with the person in charge for energy, a walk-though in the factory and the production of a First Phase Eneergy Audit Report as described in the ERASME procedures (called hereinafter first phase report ); Produce the First Phase Report free of charge for the client, and without any financial support from the Partner, as a promotional activity; Propose to the client, following the delivery of the First Phase Report, the performance of a detailed Energy Audit (second phase Energy Audit), including a Feasibility Study (according to the 1

ERASME model) on one or more of the most appealing measures proposed in the First Phase Report; Produce the detailed Energy Audit and annexes according to the tariff scheme proposed by ERASME, benefiting of a financial contribution from the Partner, which will reduce the cost for the client. The Auditor is free to propose to the client other services, like the preparation of an application for loans, grants or any other incentive, the deailed design for the measures, the selection of suppliers and the supervision of works, according to the agreements privately signed by him with the client himself. Keeping confidential all information received regarding the SME premises energy performance and any consulting provided to it; The Partner engages in: Assigning to the Auditor a certain number of SMEs interested in the Energy Audit; Providing technical support through his internal personnel or external consultants; Keeping confidential all information received regarding the SME premises energy performance; Providing information on grants and low-interest loans to be proposed to the client; Making available a contribution for the supply of the Second Phase Report. The partner has the right to receive copy of the First Phase Report, the Second Phase Report, and of the design documents supplied to the client, to verify them and in case of need ask clarifications and agrre modifications with the Auditor. In case of repeated refusal to implement the requested modifications, or in case of repeated unsatisfaction of clients, the Partner has the right to remove the Auditor from the list of authorised Auditors within the ERASME project. xxxxxxx, 10 novembre 2012 The Auditor The Partner 2

Phone xxx, e-mail xxxx,, identified hereinafter as the SME, Concerning: Considering that: The implementation of Energy Audits in SMEs, in the region xxxxxxxx, (country) The Partner has signed a contract with EACi, European Agency for Competitiveness and Innovation, concerning the ERASME project; The Partner has signed an Agreement with the Association of SMEs xxxxx, for the Region xxxx, in order to select at least 50 SMEs participating in the ERASME initiative; As part of the ERASME initiative the Partner has trained and accredited Energy Auditors, in order to appoint an Energy Auditor, for implementing an Energy Audit, for each SME participating in the ERASME initiative (hereinafter indicated as The Auditor ; The Partner has developed a Check List, an Energy Audit model report, a Handbook for performning Energy Audits in SME and Guidelines for financing energy investments in SMEs; The SME declares its interest in: Receiving an Energy Audit in the frame of the ERASME project; Implementing an energy Action Plan including cost effective measures for reducing energy consumption and costs, which may be composed of a better energy management, and/or zero- or low-cost measures and/or some capital investment, providing a return on investment in less than 3 or 4 years, and eligible for the access to financial incentives helping the cash flow. The SME accepts to: Give access to the Auditor in its premises and provide him all the information related to energy consumption and energy expenditure, quality and quantity of the energy consuming devices and 3

components, time schedules and modes of operation of the facility, and any other information for evaluating the present energy performance and the possible mesures to be inserted in a multiannual company s Action Plan for energy; Accept the ERASME methodology, consisting in an interview of the Auditor with the person in charge for energy, for collecting the information, then a walk-though in the factory, and the production of a First Phase Eneergy Audit Report as described in the ERASME procedures (called hereinafter first phase report ); Receive the First Phase Report free of charge from the assigned Auditor, subject to the condition to consider carefully the measures herein presented, as part of multi-annual energy Action Plan, particularly the ones having a payback shorter than 3/4 years; Receive a proposal of a detailed Energy Audit (second phase Energy Audit) from the Auditor, following the delivery of the First Phase Report, including a Feasibility Study (according to the ERASME model) on one or more of the most appealing measures proposed in the First Phase Report, at a fixed price of xxxx, which will be discounted by xxx, as the Partner will offer a contribution of this amount directly to the Auditor; Evaluate the proposal of other services by the Auditor, like: the preparation of an application for loans, grants or any other incentive, the deailed design for the measures, the assistance for selection of suppliers and the supervision of works, signing an additional agreement with the Auditor himself. The Partner engages in: Assigning a qualified Auditor to the SME, who engages in signing a Confidentiality Agreement with the SME; Providing him an additional technical support, whenever necessary, through his internal personnel or external consultants; Providing information on grants and low-interest loans to be proposed to the client; Keeping confidential all information received regarding the SME premises energy performance; Making available a contribution for the supply of the Second Phase Report. Phone xxx, e-mail xxxx,, identified hereinafter as the SME, Concerning: Considering that: The implementation of Energy Audits in SMEs, in the region xxxxxxxx, (country) The Auditor has signed a contract with the organisation XXXX, partner in the CIP-IEE Project ERASME Energy Audits in SMEs ; The Company xxx xxx has signed also an Agreement with organisation XXXX, partner in the CIP-IEE Project ERASME Energy Audits in SMEs ; As part of the ERASME initiative the organization xxx xxx has trained and accredited Energy Auditors, in order to appoint an Energy Auditor, for implementing an Energy Audit, for each SME participating in the ERASME initiative; The Auditor has to use materials and the model deloped by the ERASME Project during the implementation of the Energy Audit in the SME; The SME declares its interest in: Receiving an Energy Audit in the frame of the ERASME project; Implementing an energy Action Plan including cost effective measures for reducing energy consumption and costs, which may be composed of a better energy management, and/or zero- or low-cost measures and/or some capital investment, providing a return on investment in less than 3 or 4 years, and eligible for the access to financial incentives helping the cash flow.
