INDIVIDUAL MEMBERSHIP BENEFITS Use of both the East and West Courses, the 3 hole Academy Course and the extensive practice facilities 7 days a week. The Management reserve the right to specify the courses to be played. A comprehensive calendar of Members competitions. As an equal status Club, Lady Members enjoy the same privileges as Gentlemen with no restrictions on start times. Members may bring guests in accordance with the Club Rules and may introduce up to three guests to play golf at the current Member guest green fee at any one time. The introducing Member must play with his/her guests and remain with them whilst on Club premises. CONDITIONS Membership year commences on 1st April. Any applicable Entrance Fee must be paid in full at the time joining. Once the application is accepted, the entrance fee is nonrefundable. Subscriptions are payable pro-rata on acceptance. The Management reserve the right to waive the entrance fee from time to time. Overseas Membership is available for non-residents of the UK at 50% of the normal applicable entrance fee. If the Overseas Member wishes at a later date to become a Full Member, he/she will be required to pay 50% of any applicable full entrance fee. Annual subscriptions are 50% of the current full rate. Overseas Members are entitled to play 25 times each year. INTERMEDIATE MEMBERSHIP This category of membership is available to those aged between 20 and 29. The payment of an Intermediate Entrance Fee is required. Intermediate Members will be automatically eligible to become Full Members on reaching the age of 30 without having to pay any additional Entrance Fee. JUNIOR MEMBERSHIP This category of membership is available to children aged 8-17 if their parents are Members and 12-17 if their parents are not Members. Junior Members will be automatically eligible to become Intermediate Members on reaching the age of 18 without having to pay any additional Entrance Fee. TERM OF MEMBERSHIPS Subject to the conditions of the Declaration of Membership and the Rules and Regulations incorporating Bylaws, the memberships described entitle the Member, upon payment of any applicable entrance fee, and an annual subscription fee, to use the Facilities included in the category of membership, during a 12 month period, commencing on 1st April and ending on 31st March of each year. Memberships are not transferable. SOCIAL MEMBERSHIP (no longer available after 1 st April) Social Membership is available for existing Members of East Sussex National who wish to suspend their Membership and who wish to maintain contact with the Club and its Members. Transfer into Social Membership may only take place at annual renewal (1st April). Members may only transfer into the social category once during their membership. Benefits - Continuity of Membership - Access to Member areas in Clubhouse - 4 rounds of golf at the Member Guest rate - Access to the practice facilities and 3 hole Academy Course - Club newsletter and social events Restrictions - Participation in Member Events - Individual Locker For Social Members wishing to transfer back into full Membership of the Club during the subscription year, this can be arranged through the Management. 4

Guest Privileges MEMBERSHIP PRIVILEGES AND OBLIGATIONS Guest privileges are extended to all Members in accordance with the specific guest play conditions of their membership category. Members are required to properly register their guest(s) and pay any guest fees (if applicable) at the time of registration. No person may play as a guest more than six times a year. All charges that may be incurred by the guest shall be the responsibility of the Member. From time to time, certain restrictions may be placed upon the days and hours guests may use the Facilities. Members shall advise their guests of all applicable rules and regulations as they pertain to deportment and dress. Guests found not to be in compliance may be asked to leave the Facilities. Club Rules & Regulations (Incorporating By-laws) It is the intent of the Management to limit these rules and regulations incorporating by-laws to the minimum that are required to ensure the enjoyment of the facilities by the Members and their guests. DEFINITIONS Management - means the owner of the East Sussex National Golf Club, (East Sussex National Limited), its officers and staff appointed and hired to manage and operate all the facilities of the Club. The affairs of the facilities are administered by Management and other employees of Management. Management has full and complete authority over the facilities at all times. Fees and Charges - all entrance fees, annual subscription fees and other miscellaneous charges are determined solely by Management. Management reserves the right to modify, change and add to these fees and charges at its sole discretion. Membership - Management shall decide the number of Members of each category and have the power to select and admit new Members as well as to expel Members or refuse to renew membership to existing Members. 1 Behaviour GENERAL RULES AND REGULATIONS INCORPORATING BY-LAWS OF EAST SUSSEX NATIONAL GOLF CLUB The Members of the Club shall be persons of good moral, ethical and financial character and shall at all times comply with the highest standard of conduct. No Member or guest of a Member shall conduct themselves in such a way as to offend or embarrass a fellow Member, guest or employee of the Club. No Member or guest or honorary member shall be permitted to enter the Course or Clubhouse who is, in the sole opinion of the Management, in a state of inebriation. 2 Conduct Any Member whose conduct or the conduct of his/her family or guests shall be deemed to be improper or likely to endanger the welfare, safety, harmony or good reputation of the Club may be reprimanded, suspended or expelled from the Club. 5

3 Tipping Members are asked not to tip at the Club. In lieu of such gratuities, Members are invited to contribute to the staff Christmas fund with their November account. The Christmas fund will be distributed for the benefit & use of all staff. 4 Comments Any comments or suggestions for improvement of the Club s services should be made in writing to the Management. Any complaints relating to the Club s facilities, service or staff must be made in writing to the Management within twenty-four hours of the occurrence. No Member shall reprimand or discipline any employee or agent of the Management. 5 Fellow Member Complaints Any complaints against fellow Members must be made in writing to the Management. 6 Etiquette/Pace of Play/Safety All Members and guests are required to adhere to the Club etiquette rules, pace of play rules, and rules of safety on the golf course, as posted in the Locker Rooms from time to time. Members are advised to consider their own personal insurance plans. 7 Change of Address Each Member shall be responsible for registering with the Membership Office in writing his/her mailing address, and any changes thereto, to which the Member wishes all notices and invoices to be sent. A Member shall be deemed to have received mailings from the Club ten days after they have been mailed to the address on file with the Membership Office. No Member may request or have access to the Club Membership List. 8 Subscriptions The Annual Subscription, plus any applicable taxes, shall be payable upon receipt of statement and in advance of the commencement of the new season. (1 st April). 9 Accounts A Member Account is granted conditional that the Member enters into a Direct Debit arrangement as a method of payment of the said account. If the account of any Member is in default for a period of at least one month, Management may, at its option, take whatever action it deems necessary to effect collection. The Member shall indemnify the Management against all costs and expenses (including legal costs) incurred by the Management in relation to taking any action or issuing any proceeding to recover amounts owed by the Member. 10 Monthly Statements Members monthly statements of account are payable by direct debit on the 15 th of the month (or the next working day if the 15 th falls on a weekend). Should payment not be received, the name of the Member, together with the amount due shall be posted on the Club bulletin boards and the delinquent Member s credit automatically suspended. 6

If all amounts due from the Member have still not been received after a further period of fifteen days, the delinquent Member shall be suspended from membership and the amount outstanding shall attract a 1.5% service charge per month from the date of the statement until it is paid in full. 11 Appeal At any time within thirty days after the suspension or expulsion of a Member, that Member may, by written notice, request an appeal and shall be afforded an opportunity to be heard. 12 Repeated Delinquency Any Member who shall have been suspended for non-payment of his account with the Club shall, upon the second such suspension, be liable to immediate expulsion. 13 Resignation Members intending to resign from the Club must make their intentions known in writing to the Management. Resignations are to be received no less than 60 days prior to the due date (1 st April) for Annual Renewal. 14 Dinner Reservations Clubhouse and Hotel 14.1 Dinner reservations may be required, as determined from time to time, by Management. 14.2 Management reserves the right to change or modify the hours of operation of the dining facilities as well as other services provided at the Clubhouse as may be determined from time to time. 14.3 Cancellation of reservations after any published deadline for cancellation or failure to cancel reservations may result in the Member being charged a cancellation fee, as determined by Management from time to time. 14.4 Reservations will be held for only fifteen minutes after the reserved time. 15 Special Occasions On any special occasion, including by way of example dances or other entertainment, the Management reserves the right to make a charge to Members and guests and honorary members of any admission fee for any reserved enclosure or for dances or entertainment. 16 Liquor and Opening Hours Clubhouse Bars The bar opening hours are, 11.00am to 1 hour after dusk (all week). The Club s staff have been instructed to enforce this regulation and others involving the consumption of intoxicants. The hours of operation for the Clubhouse bars and restaurant will vary with the seasons. Members and/or guests and/or honorary members shall clear, together with all their belongings, the Course and Clubhouse facilities not more than 30 minutes after the bars shall close. 7

17 Smoking In accordance with current legislation smoking is not permitted anywhere within the area of the Clubhouse or Hotel. 18 Children 18.1 Children under the age of 11 must be accompanied by a parent or guardian at all times and are only permitted in the Clubhouse between the hours of 7.30am and 6.00 pm. The parent or guardian shall be responsible for the child s behaviour and conduct. No child under the age of 5 shall be permitted on the Course. Any child whose behaviour or conduct is not deemed to be acceptable by the Management shall be asked to leave along with the accompanying adult. 18.2 Any Member seeking a variation of this regulation shall make representation to the Management whose decision shall be final and binding. 19 Property Any Member or their guest shall immediately report breakages or any other failure of any equipment. Members should report any accidental damage they may have caused to the building. The cost of replacing any property of the Club broken or damaged by a Member, a guest of a member or any member of a Member s family shall be charged to the Member concerned. 20 Parking Golf members are requested to use the members car park at all times. The parking areas are marked in a manner which permits maximum use with minimum inconvenience. Members who park improperly will be warned and repeated offences will result in the removal of the offending car. 21 Concessions No entertainment, music, food or beverage shall be brought onto the Club s property without the express approval of the Management. 22 Notices No subscription, notice or petition whether concerning or not concerning Club affairs shall be distributed or posted in the Clubhouse or on the Club premises without written approval of the Management. Official club notices shall not be removed without the authority of the Management or disfigured in any way. 23 Payments to Members No Members shall, except for professional and other services rendered at the request of the Management, in any way whatsoever receive any profits, salary or emoluments from the funds or transactions of the Club or use of its facilities. 8

24 Trolleys/Power Carts 25 Pets Trolleys and power carts may only be used subject to ground conditions as determined by the Golf Course Manager. No buggy or ride-on power cart belonging to an individual is allowed on the courses. No pets (including dogs) are permitted on the golf course or Club premises. 26 Merchandise Sales The Golf Shop has the sole rights to sell sports equipment and clothing on the Club premises. 27 Practice Practice must be confined to the designated areas which are the practice fairways, practice putting greens and the Golf Academy practice course. 28 Club Practice Balls Any Member found to be utilising the Club practice balls on the golf course will be immediately suspended. 29 Visiting Professionals Visiting professionals must be registered in the professionals file at Players Reception in the golf shop upon arrival. 30 Honorary Temporary Membership The Management will grant honorary temporary membership of the Course for a period not exceeding 24 hours to the members of any recognised team visiting East Sussex National Golf Club for the purpose of playing in any pre-arranged fixture or the attendance of that team at any pre-arranged function or to an individual who is seeking use of the Course on payment of a guest fee in such sum as shall be published from time to time. 31 Club Competitions The responsibility for the arrangements of Club competitions, events and matches lies solely with the Management. 32 Handicaps The Management has the authority to review and set all handicaps prior to tournaments in conjunction with the Handicap Administrator and at least two others selected by him. 33 No Committees/Captains Members will not be proposed or nominated to serve on any formal committee of the Club. The Management are responsible for ensuring that the best interests and requirements of the Membership as a whole, are maintained. The Management may from time to time appoint a Captain, and a Vice Captain of a competition or day. Members are not obligated to accept such posts. 9

34 Dress Code All Members and visitors must adhere to the Club s dress code. All Members and visitors must adhere to the Club s dress code. ( See Page 14 ) The staff have been asked to ensure this dress code is strictly observed and are authorised to refuse entry to the facilities. 35 Club Property No person shall remove from the room in which it is placed, or from the premises, any property or furniture belonging to the Club without proper authorisation. 36 Liability The Club can accept no responsibility or liability: 36.1 In respect of loss or damage to golf equipment or other personal belongings. Members or other persons wishing to leave such belongings on the premises do so entirely at their own risk. 36.2 For damage or injury to Members or their property save where such loss, damage or injury occurs through the negligence of the management. Save as aforesaid Members and/or guests are responsible for any damage or injury done to or by rented golf carts or other equipment. 36.3 Cover for public liability, property damage and loss while on the Club s property or premises is the responsibility of Members or visitors. Members are advised that their personal insurance policies should cover these risks. 37 Mobile Telephones Please note that mobile telephones may not be used for either out-going or incoming calls in the following areas: Hunnington s Restaurant, the Members Bar, the Ryder Bar, the Terrace, the Founders Room, the Committee Room, the Ballroom. Mobile telephones should not be used on the golf courses or practice areas other than in a medical emergency. 38 Use of the Club Until an application for membership has been finally acted upon, the applicant shall not be entitled to any of the privileges of the Club. No Member shall give the Club s address as his address in any advertisement in the public press, neither shall he or she give the address or use the Course or the Clubhouse for business purposes unless previously agreed by the Management. 39 Members Guests Members are entitled to accompany up to three (3) guests upon payment of the accompanied guest fee. A Member wishing to introduce and accompany more than the allowed number of three (3) may do so only upon authorisation from the General Manager. Alternatively Members wishing to accompany guests for the purpose of 10

corporate entertaining may do so by contacting the Club House Duty Manager. A Member may not introduce unaccompanied guests. Members will not be permitted to invite, as a guest, any former Member who has been suspended or expelled from membership at East Sussex National. Any Member found to be in violation of this rule will be subject to possible suspension of privileges for a period of time as determined by the Management. 40 Rules of Golf The Royal and Ancient Rules of Golf shall govern all play. The Club is an affiliate of the English Golf Union, the Sussex County Golf Union, the English Ladies Golf Association and the Ladies Golf Union and all rules appertaining to these bodies shall be observed by all Members. 41 Enforcement Any dispute or difference which may arise with regard to the interpretation of these by-laws and conditions shall be determined by the Management whose decision shall be final and binding. The personnel of East Sussex National have the authority to enforce all Rules and Bylaws and any breaches will be reported to the management. The Rules and Regulations incorporating By-laws may be altered, amended or redrawn from time to time when necessary by the Management and the Membership will be notified of any such change(s). Death of a Member Upon the death of a Member, such membership will automatically terminate and such membership shall not be transferable to any other person. Policy on Leave of Absence Members may make application for a 'Leave of Absence' for reasons of long-term illness. Applications must be made in writing to the Management stating the specific dates, minimum period 3 months, and circumstances. Those petitioning for reasons of ill health must provide a signed statement from a recognised medical authority. Granting a Leave of Absence is contingent upon the payment of the current leave of absence fee and the approval of Management. A Leave of Absence will not be granted retrospectively. Members on Leave of Absence will receive a credit towards the next year's subscription fees, equal to the pro-rata subscription fee applicable to such Leave of Absence. The current Leave of Absence fee on medical grounds of 50 + vat will be levied. Leave of absence will be reviewed annually and will require a medical certificate for continuation. All Member privileges will be withdrawn. For Members who require contact with the Club and the Membership, Social Membership will be offered. Property Damage or Personal Injury Should an accident or injury occur to a Member or Member's guest, the Member is required to immediately file a written accident or injury report with Management. Acknowledgement of Membership Rights A membership of the Facilities is not an investment in, nor does it provide an equity or ownership interest in East Sussex National, the Facilities, or any of the other facilities at the 11

East Sussex National Golf Club. The Facilities are operated and managed solely by Management and Members shall have no right to participate in such management. Membership in the facilities does not confer upon any Member a vested right or easement to use such facilities. Members do not have an interest in the income of the facilities. Management reserves the right from time to time, at its discretion, (i) to modify, terminate or revoke or cease offering, any and all of the memberships described in this Declaration of Membership; (ii) to discontinue operation of any or all of the Facilities; (iii) to modify this Declaration of Membership and the Rules and Regulations; (iv) to sell or otherwise dispose of the Facilities in any manner whatsoever and to any person whomsoever and (v) to make any other changes in the terms and conditions of membership or to the Facilities available for use by Members. The holder of any membership described in this Declaration of Membership acquires only a revocable licence to use the Facilities during the term of his/her membership. Eligibility for Membership MEMBERSHIP ELIGIBILITY AND APPLICATION The number of memberships at East Sussex National is limited and eligibility for membership is subject to the availability of the desired category of membership. All membership applicants must be approved by Management. Membership Application All applicants must complete and execute a Membership Application and deliver it to Management, along with payment of the required membership entrance fee, annual subscription fees and any other information or payments requested from time to time by Management. If the applicant is accepted by Management, the applicant will be so notified. Thereafter Management will provide a membership card for the applicant. The applicant will not be entitled to use the Facilities as a Member or enjoy any of the privileges of membership until notification of acceptance from Management and payment of all applicable annual subscription fees and entrance fees. An applicant who is not accepted will have any prepayment returned without interest thereon. Entrance Fees CHARGES All membership categories require the payment of an entrance fee. Applicants shall pay the applicable entrance fee in the amount and manner determined from time to time by Management at its sole and absolute discretion. Once the applicant has been accepted the entrance fee is not refundable. Annual Subscription Fees Each year Management will determine the amount of annual subscription fees payable by Members. Subscription fees are due on or before 1st April of each Membership year. The Membership year shall begin on 1st April and end on 31st March. Management has the right to terminate and cancel the membership of any Member who has not paid his/her annual subscription fee by 15th April. Those who are accepted for membership during the course of a membership year will only be required to pay, upon acceptance, pro-rata dues based on the number of months left in the membership year, including the month of acceptance. No Member will have the right to use Facilities until all applicable subscription fees have been paid. The annual subscription fees for use of the Facilities shall be set forth on the Request for 12

Payment distributed by Management to each Member/Company prior to the commencement of each membership year. Unless a Member is granted an official Leave of Absence, the payment of fees will not be abated for any reason, including without limitation, extended absences of temporary disability. Upon termination of a membership there shall be no subscription fee refund. MEMBERS ACCOUNTS RULES AND REGULATIONS FOR MEMBERS Members who wish to purchase goods and services on account must observe the basic rules and procedures listed below:- 1. When a purchase on account is made, the Member must ensure that he/she signs the transaction document (i.e. chit) and retains the top copy for their records. It should be noted that the chit is a VAT invoice and will hereafter be referred to as such. 2. A till transaction on account may only be made on production of the Membership card. If the card is not produced the purchase may not be charged to the Members' account and payment will have to be made by alternative means (viz credit card, cheque or cash). The Club's staff may request a Member to state his/her name as validation. This is intended as a further security in the event of lost cards, etc. 3. Prior to signing, the Member should check the details recorded on the invoice, i.e. name, account number, details of purchase and amount. 4. A monthly statement will be sent to all Members. The statement provides a summary of the amounts charged during the month just ended and the figure shown against the Total Balance due must be settled within 15 days in accordance with the Club Rules and Regulations. Further reminders are not issued. 5. Members can readily verify their statements by checking the items recorded on the statement with the invoice which they have retained. 6. Any queries arising must be addressed to the accounts department for resolution. Queries must be raised within 7 days of receiving a statement. 7. It is not the Club's policy to provide copies of chits for entries on Member's statements. 13

Dress Code & Etiquette Golf Course and Practice Areas. Our club rules and etiquette ensure consistency of standards for all members, guests and visitors to East Sussex National Golf Club. Smart, clean attire is to be worn at all times, staff are empowered to enforce these rules. Acceptable All clothing must be recognised golfing attire; shirts must have sleeves, collars or turtle necks, they must be tucked in at all times, unless by design. (i.e ladies wear). Tailored shorts are acceptable and socks must be worn at all times. Golf shoes must be worn on the course. If caps are worn, the peak must face the front. Not Acceptable denim jeans or beach type/camouflaged cargo type or ¾ length short. trainers, t-shirts, hats or flip flops Football/rugby type shirts; tops with hoods are not permissible. The management team has discretion within these rules where a visitor is dropping someone off at the clubhouse. Mobile Phones To protect the peace and tranquillity of the courses, mobile phones should only be used in an emergency and always set to operate on silent mode. Club House Our club rules and etiquette ensure consistency of standards for all members, guests and visitors to East Sussex National Golf Club. Smart, clean attire is to be worn at all times, staff are empowered to enforce these rules. Smart Casual attire may be worn at all times and in all areas of the Club House including :- Golf Shop Hunington s Restaurant Member s Bar Patio Terrace Ryder Bar. Please note:- Denim is not acceptable in the Members Bar unless a function dictates otherwise. Mobile phones, message devices and laptops All devices must be on silent in all areas at all times and operated without nuisance or inconvenience to others. Etiquette Offensive language, poor or threatening behaviour is unacceptable and will not be tolerated. Please be aware that the Club House is frequently used by Children. Staff are empowered to enforce these rules have the right to ask anyone to leave for breaching any of the above. 14
