3 History and perspectives The company SpA was founded in 1999 by the will of Mr. Sambuchi lvano and Mr. Vannoni Mauro, current President and CEO, respectively, with the prerogative to develop a company specialized in the construction of railway vehicles for infrastructure. Since the beginning SpA has introduced to the market as a company extremely dynamic, proactive and innovative in terms of products with an excellent quality-price ratio, factors that have proved decisive to success in the domestic market for what concern railway vehicles suitable for construction & maintenance of overhead electrical line (catenary). Over the years the SpA activities have always been increasing and have required the acquisition of an external production site, equipped for the main production processes of SpA products, creating the MTI Srl characterized by the same SpA corporate structure. With this acquisition SpA grew in terms of flexibility and responsiveness for the execution of dedicated parts of the project, putting the company itself in a position to look ahead with the awareness to be able to manage, with their own resources, the high volume of work that the market has offered in the following years. In the early years SpA has developed its business mainly on the local Italian business because at that time has taken advantage of positive factor linked with government funding for European high speed railway lines; in such a situation the rail lines activities were assigned to private companies, immobilized" due to a previous stagnant period caused by lack of investment which had produced an obsolete fleet, deficient in terms of normative and in terms of operational functionality. The youthful characteristic of the company, together with dynamic and proactive attitude, allowed at SpA to take advantage of this period contingent, offering highly innovative and with high-performance products to the market with extremely competitive prices.

4 History and perspectives Starting from 2006, thanks to Italian Customers linked with world-class companies, that were buying SpA vehicles for Italian projects, subsequently transported to several sites located around the world, the "target" market of SpA is inevitably raised helping to make known the quality of its products to different companies operating in several worldwide countries. Hence the acquisition of new Customers located around the Mediterranean Area, Eastern Europe, Latin America, Maghreb Area that allows SpA to be present today in many countries around the world. With the experience reached directly on the "field", seen the excellent feedback that SpA is receiving from their machines operating in the most extreme conditions and especially with the trust that the several markets are returning to society, SpA is a candidate to be a reference point increasingly marked for what concern the whole segment linked to the vehicles for infrastructure railway, which should go inevitably through new and heavy investments by governments of various worldwide countries, to meet the demand for an "interconnected world achievable only through the adoption of an efficient transportation systems, such as railway transportation, able to satisfy the expectations of the younger worldwide generation by making them partners of the well know "global world". Today SpA is an industrial company, with around 70 employees (increasing on next years..) and capable of producing railway vehicles useful for railway infrastructure with special attitude on catenary, using all the production process phases, starting from the commercial offer up to after-sales service, passing through the engineering-design, purchasing, production, assembly and testing intermediate phases.

7 Locations Currently S.p.A. operates in two separate sites that insist on a total area of 13,000m2 of which 4,200 m2 are covered. The Company has all the equipment needed to produce internally its products, outsourcing only part of the work in order to balance of workload and, in case, cost effectiveness. S.p.A. today should improve is the production capability, in order to increase production of vehicles and also the type of machines linked with the market demands and developing of the maintenance of trains. Aware of this situation S.p.A. has acquired, in the year 2010, a building area of 182.000 m2 in order to start the construction of a new facility that will be completely dedicated for the construction & maintenance of railway rolling stock. This area is located in a strategic position in terms of logistics, bordering with the A1 highway and with a regional railway that is linked together with national railway. For the segment in which we normally are working, a key element, in addition to the large available area, will be undoubtedly the possibility to create an internal rail-circle that would be joined with the external rail network using a few hundred meters of rail to connect with the neighboring train station of Lucignano (AR). The first step will be to establish a structure-building of 16,000 m2 that will be equipped with all necessary equipment for construction, maintenance and renovation of railway vehicles. The second step will be to create a second structure-building of 8,000 m2 in total that will be characterized by a plant dedicated to the necessary research and development activities of new products and components with also the possibility to make the relevant Training for Customer-STAFF.

8 Future location With the completion of works for the new Lucignano location, the new plant will be the largest and complete production site suitable for railway vehicles construction and for the construction & maintenance of railway infrastructure. 8
