ELIGIBILITY: The Bojangles Southern 500 Full Throttle Sweepstakes (the Sweepstakes ) is open only to persons who as of the date of entry (and, if a winner, as of the date of prize fulfillment) are a legal resident of Alabama, Georgia, Kentucky, Maryland, North Carolina, Pennsylvania, South Carolina, Tennessee, Virginia, West Virginia or the District of Columbia and who are 18 years of age or older. Persons who as of the date of entry (and, if a winner, as of the date of prize fulfillment) are an employee of Bojangles Restaurants, Inc. ( Sponsor ), Darlington Raceway of South Carolina, LLC, Daytona International Speedway, LLC, Homestead-Miami Speedway, LLC, Talladega Superspeedway, LLC, any franchisee of Bojangles International, LLC or any of the parent companies, subsidiaries, affiliates or advertising or promotion agencies of any of the foregoing or any of the agents, successors or assigns of any of the foregoing, or a member of the immediate family or household of any such employee, are not eligible to enter or win. Eligibility determinations will be made by Sponsor in its discretion and will be final and binding. Void where prohibited by law. 2. HOW TO REGISTER AND ENTER: The entry period for the Sweepstakes begins at 12:01 a.m. Eastern Time (ET) on July 11, 2016 and ends at 11:59 p.m. ET on August 21, 2016 (the Entry Period ). To enter, during the Entry Period, entrants must first obtain a Bojangles promotional code ( Promo Code ) from a participating Bojangles restaurant. No purchase is necessary to obtain a Promo Code. Entrants may obtain a Promo Code by purchasing a 22-ounce beverage at a participating Bojangles restaurant or without purchase by requesting a Promo Code at a participating Bojangles restaurant. Once the entrant has a Promo Code, the entrant must visit WinWithBo.com (the Website ) during the Entry Period to enter the Sweepstakes. The first time the entrant visits the Website to enter, he or she will be brought to a registration page where the entrant will be prompted to enter his or her name, street address (including city and state), phone number, date of birth and email address, and to confirm that the entrant has read and agrees to these Official Rules and the Privacy Policy (as defined in Section 14 below). The entrant will not be permitted to enter the Sweepstakes until he or she has completed the registration process. Once the entrant has completed the registration process, the entrant may enter via the Website by submitting his or her Promo Code. Once an entrant has registered, on subsequent visits to the Website the entrant may enter by submitting his or her email address and a Promo Code. Eligible entrants (i.e., who meet the eligibility requirements set forth in Section 1 and have completed the

registration process), upon submission of a valid Promo Code, will receive one entry into the Sweepstakes. There is a limit of one entry per person and per email address per day. Each Promo Code can be entered only one time. All entry submissions must be received by Sponsor by 11:59 p.m. ET on August 21, 2016. Eligible entrants may also have the opportunity to receive free giveaway items selected by Sponsor and/or free giveaway items selected by Sponsor after an eligible entrant makes its initial valid Sweepstake entry and thereafter after accumulating three, six, nine and twelve valid Sweepstakes entries. Any free giveaway items will be while supplies last. Sponsor has the right, at any time, to stop providing the free giveaway items and/or to modify the terms relating to how free giveaway items will be awarded or distributed. Bonus Entries, as hereinafter defined, will not be considered in the accumulation of Sweepstakes entries for purposes of free giveaway items described above. These Official Rules will apply to free giveaway items described herein. See the Website for additional information. Normal time rates, if any, charged by the entrant s Internet service provider will apply. Bonus Entries: Entrants may obtain a maximum of 50 additional entries in the Sweepstakes ( Bonus Entries ) by taking the following steps. Bonus Entries by Bojangles E-Club Registration: Sponsor will award 25 Bonus Entries to each entrant who elects during the initial registration process to join the Bojangles E-Club. An e-mail address cannot be associated with more than one E-Club registration. Bonus Entries by Tweeting via Website or by Mail: Sponsor will award 25 Bonus Entries to each entrant who sends a Tweet via the Website or requests Bonus Entries by mail (as described below). Each entrant will not be permitted to receive more than a total of 25 Bonus Entries via these methods. If an entrant sends a Tweet via the Website and requests the Bonus Entries by mail, the entrant will only receive a total of 25 Bonus Entries. To receive the 25 Bonus Entries by sending a Tweet via the Website, entrants must use the mechanism provided on the Website after submission of an entry to send a Tweet that includes a message provided by Sponsor. Entrants will not receive any Bonus Entries in connection with any Tweets sent without using the mechanism provided on the Website. Each entrant will only be able to send a Tweet via the Website one time. Use of this method requires the entrant to have a Twitter account. To request Bonus Entries by mail, entrants must legibly print by hand the entrant s name, address, telephone number, e-mail address and date of birth and the word Tweet on a 3 x 5 card, place the card in an envelope with proper first-class postage affixed, and mail the envelope to Bojangles Southern 500 Full Throttle Sweepstakes c/o Erwin Penland, 125 E. Broad St., Greenville, SC 29601. Mailed entries must be postmarked by 11:59 p.m. ET on August 21, 2016 and received by Sponsor by 5:00 p.m. ET on August 23, 2016. There is a limit of one 3 x 5 card per mailing envelope. Entrants must first register for the Sweepstakes as provided above in order to obtain Bonus Entries by mail. Mailed requests for Bonus Entries from persons who have not registered for the Sweepstakes will not be honored. 3. WINNER SELECTION, NOTIFICATION AND VERIFICATION. Following the conclusion of the Entry Period, one potential Grand Prize winner, one potential First Prize winner and one potential Second Prize winner will be selected in a random drawing conducted by Sponsor or its agent from among all eligible entries received during the Entry Period (or, 2

in the case of mailed entries, postmarked during the Entry Period and received by Sponsor by 11:59 p.m. ET on August 23, 2016). The odds of winning will depend on the number of eligible entries received. Each potential winner will be notified by e-mail (sent to the e-mail address provided by the entrant when entering), or using other contact information provided by the potential winner, in Sponsor s discretion, and the potential winner must respond to Sponsor s initial notification attempt within 72 hours. Each potential winner is subject to verification of eligibility and may, in Sponsor s discretion, be required to complete, sign and return to Sponsor an Affidavit of Eligibility/Release of Liability and, if legally permissible, a Publicity Release, and any other documentation provided by Sponsor in connection with verification of the potential winner s eligibility and confirmation of the releases and grant of rights set forth in these Official Rules (as applicable, Winner Verification Documents ), within three days of attempted delivery of same. The potential winner may also in Sponsor s discretion be required to complete and return to Sponsor an IRS Form W-9 within three days of attempted delivery of same. With respect to the Grand Prize, the potential winner may also, in Sponsor s discretion, be required to have the guest who will accompany the potential winner on any trip that constitutes a component of the Grand Prize complete, sign and return to Sponsor a Release of Liability and, if legally permissible, a Publicity Release ( Guest Release ), within three days of attempted delivery of same. If a potential winner cannot be reached or does not respond within 72 hours of the initial notification attempt or fails to complete, sign, and return any required Winner Verification Documents or IRS Form W-9 within three days of attempted delivery of same (or with respect to the Grand Prize, fails to cause the guest who will accompany the potential winner on any trip that constitutes a component of the Grand Prize complete, sign and return to Sponsor any required Guest Release within three days of attempted delivery of same), or if the potential winner does not otherwise comply with these Official Rules and/or cannot accept the prize as awarded for any reason, then the potential winner may be disqualified and an alternate winner may, at Sponsor s discretion, be selected from among the remaining eligible entries as specified in these Official Rules (in which case the foregoing provisions will apply to such newlyselected entrant). Sponsor will have the right, in its discretion, to require the Grand Prize winner and/or the winner s guest to provide proof of identity and/or eligibility in a form acceptable to Sponsor (including, without limitation, government-issued photo identification). 4. GRAND PRIZE. One Grand Prize will be awarded. The Grand Prize consists of one of the two following prize package options selected by the Grand Prize winner: Grand Prize Option #1: Ultimate Race Experience prize package consisting of (i) a 4-day, 3-night trip for the winner and one guest to attend the Bojangles Southern 500 at Darlington Raceway in Darlington, South Carolina, currently scheduled to take place from September 3-4, 2016, (ii) a 4-day, 3-night trip for the winner and one guest to attend the Fred s 250 and Alabama 500 at Talladega Superspeedway in Lincoln, Alabama, currently scheduled to take place from October 22-23, 2016, (iii) a 4-day, 3-night trip for the winner and one guest to attend the Ford 300 and Ford 400 at Homestead-Miami 3

Speedway in Homestead, Florida, currently scheduled to take place from November 19-20, 2016, (iv) a 4-day, 3-night trip for the winner and one guest to attend the NextEra Energy Resources 250 and Daytona 500 at the Daytona International Speedway in Daytona Beach, Florida, currently scheduled to take place from February 25-26, 2017, and (v) an opportunity for the winner to participate for a chance to win the Bonus Prize described in Section 7. Grand Prize Option #2: a prize package consisting of (i) a 4-day, 3- night trip for the winner and one guest to attend the Bojangles Southern 500 at Darlington Raceway in Darlington, South Carolina, currently scheduled to take place on September 4, 2016, (ii) $35,000 awarded in the form of a check or another payment method determined by Sponsor, and (iii) an opportunity for the winner to participate for a chance to win the Bonus Prize described in Section 7. The approximate retail value ( ARV ) of each Grand Prize option is $35,000. The exact value of the Grand Prize will depend on where the winner resides and market conditions at the time of prize fulfillment. Additional details concerning each of the trips are set forth in Section 5 below. 5. GRAND PRIZE TRIP DESCRIPTIONS. Bojangles Southern 500 at Darlington Raceway. The trip to attend the Bojangles Southern 500 at Darlington Raceway consists of: (i) a three consecutive night stay for the winner and guest at a hotel selected by Sponsor (one double occupancy room will be provided for the winner and guest; room rate and taxes only; size and type of room determined by Sponsor), (ii) two premium tickets for the winner and guest to attend the Bojangles Southern 500, currently scheduled to take place from September 3-4, 2016 at Darlington Raceway in Darlington, South Carolina, (iii) pre-race garage and pit road access, (iv) pre-race pace car ride, (v) VIP viewing area for driver introductions and pre-race concert, (vi) Gatorade victory lane photo opportunity, (vii) reserved parking, (viii) Bojangles Legends Breakfast, (ix) guided garage tour, (x) red carpet viewing area for driver s meeting (xi) a Visa gift card with a face value of $1,000, (xii) a Visa gift card with a face value of $300, and (xiii) $2,500 awarded in the form of a check or another payment method determined by Sponsor. The trip to attend the Bojangles Southern 500 at Darlington Raceway does not include air or ground transportation. Fred s 250 and Alabama 500 at Talladega Superspeedway. If the Grand Prize winner selects the Ultimate Race Experience prize package, the Grand Prize will include a trip to attend the Fred s 250 and Alabama 500 at the Talladega Superspeedway consisting of: (i) round-trip coach class airfare for the winner and one guest between a major airport nearest to the winner s home and an airport near Lincoln, Alabama selected by Sponsor, (ii) a three consecutive night stay for the winner and guest at a hotel selected by Sponsor (one double occupancy room will be provided for the winner and guest; room rate and taxes only; size and type of room determined by Sponsor), (iii) two premium Fan Suite admissions for the winner and guest to attend the Fred s 250 and Alabama 500, currently scheduled to take place from October 22-23, 2016 at the Talladega Superspeedway in Lincoln, Alabama, (iv) two Unrestricted VIP Packages for the winner and guest, each consisting of: (A) NASCAR Sprint Cup and NASCAR Camping World Truck Series cold garage and pit access, (B) infield access (Big One on the Blvd) on Friday, October 21, 2016, (C) hot lap in grand marshal car on 4

morning of Saturday, October 22, 2016, (D) weekend parking passes, (E) Gatorade Victory Lane photo opportunity prior to each race, (F) garage tour on Saturday, October 22, 2016, (G) NASCAR Camping World Truck Series driver introductions on Saturday, October 22, 2016, (H) VIP Access to infield concert on night of Saturday, October 22, 2016, (I) reserved area at NASCAR Sprint Cup Series driver introductions on Sunday, October 23, 2016, and (J) reserved area at red carpet to drivers meeting on Sunday, October 23, 2016, (v) a Visa gift card with a face value of $1,000, and (vi) $2,500 awarded in the form of a check or another payment method determined by Sponsor. Ford 300 and Ford 400 at Homestead-Miami Speedway. If the Grand Prize winner selects the Ultimate Race Experience prize package, the Grand Prize will include a trip to attend the Ford 300 and Ford 400 at the Homestead-Miami Speedway consisting of: (i) round-trip coach class airfare for the winner and one guest between a major airport nearest to the winner s home and an airport near Homestead, Florida selected by Sponsor, (ii) a three consecutive night stay for the winner and guest at a hotel selected by Sponsor (one double occupancy room will be provided for the winner and guest; room rate and taxes only; size and type of room determined by Sponsor), (iii) two premium VIP packages for the winner and guest to attend the Ford 300 and Ford 400, currently scheduled to take place from November 19-20, 2016 at the Homestead-Miami Speedway in Homestead, Florida, each consisting of: (A) two tickets for the winner and guest in the Pit Road Cabana with food and drink, (B) garage tour with Glenn Jarrett, (C) pre-race pit pass, which will provide access to the pits and track on Saturday, November 19, 2016 and Sunday, November 20, 2016, and access to the driver meeting on Sunday, November 20, 2016, and (D) grandstand seats for Friday, November 18, 2016 and Saturday, November 19, 2016, (iv) a Visa gift card with a face value of $1,000, and (v) $2,500 awarded in the form of a check or another payment method determined by Sponsor. NextEra Energy Resources 250 and Daytona 500 at Daytona International Speedway. If the Grand Prize winner selects the Ultimate Race Experience prize package, the Grand Prize will include a trip to attend the NextEra Energy Resources 250 and Daytona 500 at the Daytona International Speedway consisting of: (i) round-trip coach class airfare for the winner and one guest between a major airport nearest to the winner s home and an airport near Daytona Beach, Florida selected by Sponsor, (ii) a three consecutive night stay for the winner and guest at a hotel selected by Sponsor (one double occupancy room will be provided for the winner and guest; room rate and taxes only; size and type of room determined by Sponsor), (iii) two 4-Day Infield DAYTONA 500 Club admissions packages for 2017 Speedweeks Events (including Can- Am Duel, NextEra Energy Resources 250, PowerShares QQQ 300 and DAYTONA 500) for the winner and guest to attend the Daytona 500, which is currently scheduled to take place from February 25-26, 2017 at the Daytona International Speedway in Daytona Beach, Florida, each consisting of: (A) access to the Infield DAYTONA 500 Club Banquet & Lounge levels, (B) world-class cuisine & open bar, (C) Sprint FANZONE & Pre-race access, including driver introductions, (D) access to Gatorade Victory Lane post race, (E) event souvenir gift (NSCS Event Day), (F) daily preferred infield parking pass, (G) NASCAR Sprint Cup Series cold garage & pit access, and (H) hot laps on the High Banks on the morning of NextEra Energy Resources 250, (iv) a Visa gift card with a face value of 5

$1,000, and (v) $2,500 awarded in the form of a check or another payment method determined by Sponsor. Travel-Related Terms and Conditions. The following terms and conditions apply to the trip to attend the Fred s 250 and Alabama 500 at Talladega Superspeedway, the trip to attend the Ford 300 and Ford 400 at Homestead-Miami Speedway, and the trip to attend the NextEra Energy Resources 250 and Daytona 500 at the Daytona International Speedway. Travel and accommodation restrictions (including blackout dates) and other additional restrictions may apply. If the winner is not available for the trip on the dates specified by Sponsor, Sponsor will have the right to disqualify the winner and select an alternate winner regardless of when winner notifies Sponsor of their inability to attend the race or races. If the winner resides 200 or fewer miles from the trip destination, as determined by Sponsor, Sponsor may in its discretion substitute a Visa gift card with a face value of $300 for the air transportation component of the prize, in which case the winner will be solely responsible for all rental car and/or other necessary ground transportation arrangements. Travel arrangements must be made through Sponsor s agent and on an airline carrier of Sponsor s choice. The winner and guest must travel together on same itinerary and are responsible for obtaining all required travel documents and travel insurance (and all other forms of insurance) at their option. Sponsor has not and will not obtain or provide travel insurance or any other form of insurance for the winner or guest. No refund or compensation will be made in the event of the cancellation or delay of any flight except at the sole discretion of Sponsor. Travel is subject to the terms and conditions set forth in these Official Rules and those set forth by Sponsor s airline carrier of choice as detailed in the passenger ticket contract. Lost, stolen or damaged airline tickets will not be replaced or exchanged. Sponsor will not be responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by any air carrier(s) or other transportation companies or any other persons providing any of these services to passengers including any results thereof such as changes in services or accommodations necessitated by same. The passenger contracts in use by the airlines or other transportation companies will constitute the sole contracts with respect to the winner s and guest s transportation and such contracts shall be solely between the winner, the guest and such transportation companies. 6. GENERAL GRAND PRIZE TERMS AND CONDITIONS. The following terms and conditions apply to each of the trips described above. The winner s guest must be 18 years of age or older and of the legal age of majority in the jurisdiction in which the guest resides, unless the winner is the parent or legal guardian of the guest. NASCAR and/or venue rules and regulations may prohibit minors from entering certain areas of Darlington Raceway, Talladega Superspeedway, Homestead-Miami Speedway and/or Daytona International Speedway and/or may impose certain restrictions on entry to such areas by minors. If the winner s guest is a minor, the guest may not be permitted to participate in all of the prize-related activities. Tickets, passes, VIP packages and other documents granting admission awarded as part of the prize may not be resold, offered for resale refunded or exchanged for cash value or substitute tickets. The date, time and location of each prize-related activity are determined in the sole discretion of Sponsor 6

or the event organizer, commissioner, and/or governing league, as applicable, and may be subject to change. Sponsor is not responsible for any cancellation or postponement of any prize-related activity. In the event of cancellation or postponement of any prizerelated activity, Sponsor s only obligation will be to provide a substitute prize or prizes of equal or greater value selected by Sponsor in its discretion. The winner and guest will be bound by and must comply with all applicable regulations in connection with the winner and guest s participation in each prize-related activity. In the event the winner and/or guest engages in behavior during any prize-related activity (including without limitation travel) that, as determined by Sponsor in its sole discretion, is obnoxious, threatening, disruptive, illegal, or tortious, or that subjects the winner or guest to arrest or detention, or that is intended to or does threaten or harass any other person, or that violates any applicable rules and regulations, or that in any way disparages or adversely affects the reputation, image and/or customer goodwill of Sponsor, or that otherwise violates these Official Rules, Sponsor reserves the right to remove the winner and/or guest from the applicable prize-related activity, deny the winner and/or guest attendance to any other prize-related activities and/or disqualify the winner from the Sweepstakes and require the winner to forfeit any and/or all prize components, with no further obligation or compensation whatsoever to the winner and/or guest and no obligation to pay any damages, fees, fines, judgments or other costs or expenses of any kind whatsoever incurred by winner or guest as a result of such conduct. The execution of additional releases and/or waivers of liability may be required by the owner(s) and/or operator(s) of Darlington Raceway, Talladega Superspeedway, Homestead-Miami Speedway, and/or Daytona International Speedway, and/or any applicable sanctioning body. Each winner and guest must sign and return all such releases and/or waivers within the time period specified by such entities. The Grand Prize is subject to the terms and conditions of Section 9. 7. BONUS PRIZE OPPORTUNITY: The Grand Prize winner will have the opportunity to participate for a chance to win a Bonus Prize consisting of $500,000 PAID OUT IN A 40- YEAR ANNUITY IN EQUAL YEARLY INSTALLMENTS OF $12,500, WITHOUT INTEREST. To participate for a chance to win the Bonus Prize, the Grand Prize winner must, during the prize trip to Bojangles Southern 500 at Darlington Raceway at a time and in a location designated by Sponsor, select an envelope from among an assortment of forty (40) envelopes provided by Sponsor. The Grand Prize winner will be permitted to open only one envelope, unless an additional selection is permitted as described below. Each envelope will contain a number from the range 1-40. The number contained in the randomly selected envelope shall identify the National Association of Stock Car Auto Racing ( NASCAR ) starting position number (the Starting Number ) of a driver in the Bojangles Southern 500 Race on September 4, 2016 ( Race ). In the event that the Grand Prize winner s one selected envelope contains a number that does not correspond to a valid Starting Number for the Race (i.e., the number in the selected envelope is 39 when there are only 37 drivers competing in the Race), then the Grand Prize winner will be allowed to select additional envelopes only until the number contained in a selected envelope corresponds to a valid Starting Number for the Race. (a) the Grand Prize winner randomly selects one envelope containing a Starting Number for the Race, and if (b) the driver corresponding to that Starting Number is the official winner of the Race, according to official NASCAR results, and if (c) the contestant has complied fully with these Official Rules, then the Grand Prize winner will receive the Bonus Prize. There is no guarantee that the Bonus Prize will be awarded. IF THE DRIVER CORRESPONDING TO THE STARTING NUMBER CONTAINED IN THE GRAND PRIZE WINNER S SELECTED ENVELOPE DOES NOT WIN, THE $500,000 ANNUITY WILL NOT BE AWARDED. The ARV of the Bonus Prize is $500,000. The annuity payments cannot be transferred or assigned. The Bonus Prize is subject to the terms and conditions of Section 9. 8. FIRST PRIZE AND SECOND PRIZE: The First Prize consists of $5,000 awarded in the form of a check or another payment method determined by Sponsor. The ARV of the First Prize is $5,000. The Second Prize consists of $2,500 awarded in the form of a check or another payment method determined by Sponsor. The ARV of the Second Prize is $2,500. The First Prize and Second Prize are each subject to the terms and conditions of Section 9. 9. GENERAL PRIZE TERMS AND CONDITIONS: Limit one prize per entrant. All prize details that are not expressly specified in these Official Rules (including, with respect to the Grand Prize, the specific trip dates and itinerary), will be determined by Sponsor in its discretion. The aggregate ARV of all prizes is $42,500 (increasing to $542,500 if there is a Bonus Prize winner). The exact value will depend on where the winner resides and market conditions at the time of prize fulfillment. Each prize will be awarded if properly claimed pursuant to these Official Rules. No substitution, cash redemption or transfer of the right to receive any prize or any prize component is permitted, except in the discretion of Sponsor, which has the right to substitute any prize or any prize component with a prize or prize component of equal or greater value selected by Sponsor in its discretion. Each prize consists only of the item(s) expressly specified in these Official Rules. All expenses or costs associated with the acceptance or use of any prize or any prize component (including, with respect to the trip component(s) of the Grand Prize, transportation, souvenirs, incidentals, food and beverages and gratuities) are the responsibility of the winner. Each prize is awarded as is and without any warranty, except as required by law. In no event will more than the number of prizes stated in these Official Rules be awarded. Use of gift cards is subject to issuer s terms and conditions. All federal, state and local taxes on the value of each prize are the responsibility of the winner. An IRS form 1099 will be issued if required by law. 10. GRANT OF RIGHTS: By entering the Sweepstakes, each entrant irrevocably grants to Sponsor and its parent companies, subsidiaries, affiliates and advertising and promotion agencies, and the successors and assigns, franchisees, and licensees of each of the foregoing (collectively, the Licensees ) the right to use the entrant s name, likeness, voice, biographical information and/or statements attributed to the entrant ( Personality Rights ), in perpetuity, throughout the world, in all media and formats 8

whether now or later known or developed, including without limitation via Sponsor s and third-party websites and social media and digital channels, for commercial purposes and any other purposes (including without limitation advertising and promotion), without further notice or compensation, unless prohibited by law. 11. RELEASE AND LIMITATION OF LIABILITY: By entering the Sweepstakes, to the fullest extent permitted by applicable law, each entrant releases and agrees to hold harmless each of the Licensees, Darlington Raceway of South Carolina, LLC, Daytona International Speedway, LLC, Homestead-Miami Speedway, LLC, Talladega Superspeedway, LLC, all franchisees of Bojangles International, LLC, all other companies involved in the development or operation of the Sweepstakes, all other companies involved in the provision of any prize or prize component, Twitter, and the directors, officers, employees and agents and contractors of each of the foregoing (collectively, the Released Parties ) from and against any and all claims and causes of action of any kind that the entrant ever had, now has or might in the future have arising out of or relating to the Sweepstakes, participation in the Sweepstakes, the use of the Website or Twitter, the provision, acceptance or use of any prize or any prize component or any use of the entrant s Personality Rights as permitted pursuant to these Official Rules, including without limitation any and all claims and causes of action: (a) relating to any personal injury, death or property damage or loss sustained by any entrant or any other person, (b) based upon any allegation of violation of the right of privacy or publicity, misappropriation, defamation, or violation of any other personal or proprietary right, (c) based upon any allegation of infringement of copyright, trademark, trade dress, patent, trade secrets, moral rights or any intellectual property right, or (d) or based upon any allegation of a violation of the laws, rules or regulations relating to personal information and data security. Each entrant agrees not to assert any such claim or cause of action against any of the Released Parties. Each entrant assumes the risk of, and all liability for, any injury, loss or damage caused, or claimed to be caused, by participation in this Sweepstakes, the use of the Website or Twitter, or the provision, acceptance or use of any prize or any prize component. The Released Parties are not responsible for, and will not have any liability in connection with, any typographical or other error in the printing of the offer, any Promo Code, the administration of the Sweepstakes, or in the announcement of any prize. The Released Parties are not responsible for, and will not have any liability in connection with, late, lost, delayed, illegible, damaged, corrupted or incomplete entries, incorrect or inaccurate capture of, damage to, or loss of entries or entry information, printing, production or fabrication errors with respect to any Promo Code or participating beverage container (including, without limitation, the dissemination of defective Promo Codes or beverage containers with misprints or other errors) or any other human, mechanical or technical error of any kind relating to the operation of the Website or Twitter, communications or attempted communications with any entrant, the submission, collection, storage and/or processing of entries or the administration of the Sweepstakes. 9

GENERAL RULES: Sponsor has the right, in its sole discretion, to modify these Official Rules (including without limitation by adjusting any of the dates and/or timeframes stipulated in these Official Rules) and to cancel, modify or suspend this Sweepstakes at any time in its discretion, including without limitation if a virus, bug, technical problem, entrant fraud or misconduct or other cause beyond the control of the Sponsor corrupts the administration, integrity, security or proper operation of the Sweepstakes or if for any other reason Sponsor is not able to conduct the Sweepstakes as planned (including without limitation in the event the Sweepstakes is interfered with by any fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or of public enemy, communications failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, federal, state or local law, order or regulation or court order) or in the event of any change to the terms governing the use of Twitter or the application or interpretation of such terms. In the event of termination of the Sweepstakes, a notice will be posted on the Website and a random drawing will be conducted to award each prize from among all eligible entries received prior to the time of termination. Sponsor has the right, in its sole discretion, to disqualify or prohibit from participating in the Sweepstakes any individual who, in Sponsor s discretion, Sponsor determines or believes (i) has tampered with the entry process or has undermined the legitimate operation of the Website, Twitter or the Sweepstakes by cheating, hacking, deception or other unfair practices, (ii) has engaged in conduct that annoys, abuses, threatens or harasses any other entrant or any representative of Sponsor or (iii) has attempted or intends to attempt any of the foregoing. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THIS SWEEPSTAKES OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAW. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR HAS THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS FEES) FROM ANY PERSON INVOLVED TO THE FULLEST EXTENT PERMITTED BY LAW. Promo Codes cannot be sold or traded. The use of agents or automated devices, programs or methods to submit entries is prohibited and Sponsor has the right, in its sole discretion, to disqualify any entry that it believes may have been submitted using such an agent or automated device, program or method. In the event of a dispute regarding who submitted an entry, the entry will be deemed to have been submitted by the authorized account holder of the email address submitted at the time of entry. Authorized account holder means the person who is assigned an email address by an internet provider, online service provider or other organization (e.g., business, educational institute, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. An entrant may be required to provide proof (in a form acceptable to Sponsor, including, without limitation, government-issued photo identification) that he or she is the authorized account holder of the email address associated with the entry in question. All federal, state and local laws and regulations apply. All entries become the property of Sponsor and will not be verified or returned. By participating in this Sweepstakes, each entrant agrees to be bound by these Official Rules and the decisions of Sponsor, which are final and binding in all respects. These Official Rules may not be reprinted or republished in any way without the prior written consent of Sponsor. 10

13. DISPUTES: By entering the Sweepstakes, each entrant agrees, to the maximum extent permitted by applicable law, that (a) any and all disputes, claims and causes of action arising out of or connected with the Sweepstakes or the provision, acceptance and/or use of any prize or prize component will be resolved individually, without resort to any form of class action; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorneys fees; and (c) under no circumstances will any entrant be permitted to obtain any award for, and each entrant hereby waives all rights to claim, punitive, special, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than for actual out-of-pocket expenses. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the respective rights and obligations of the entrants and Sponsor in connection with the Sweepstakes shall be governed by, and construed in accordance with, the laws of the State of North Carolina without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of the laws of any jurisdiction other than the State of North Carolina. Any legal proceedings arising out of this Sweepstakes or relating to these Official Rules shall be instituted solely and exclusively in the federal or state courts located in Mecklenberg County in the State of North Carolina, waiving any right to trial by jury, and each entrant consents to jurisdiction therein with respect to any legal proceedings or disputes of whatever nature arising under or relating any of the foregoing. In the event of any conflict between these Official Rules and any Sweepstakes information provided elsewhere (including but not limited in advertising or marketing materials), these Official Rules shall prevail. 14. By entering the Sweepstakes, each entrant agrees that information submitted in connection with the Sweepstakes may be used as permitted pursuant to the Privacy Policy, and otherwise in connection with the administration of the Sweepstakes. 15.
