1. Duties. The successful bidder agrees to perform services for the College on the terms and conditions set forth in this agreement as follows: A. Provide pest and rodent control for the College at the locations listed in section 7. B. Create an Integrated Pest Management (IPM) solution individually tailored to each College location. C. Provide routine inspections of College locations. I. Inspections shall be no less than monthly. II. Spray pesticides or provide alternative pest control as necessary during inspection. 2. Successful Bidder Responsibilities. The successful bidder agrees to the following responsibilities: A. Acquire and maintain all necessary licenses applicable to the duties to be performed. B. Provide all pesticides, traps, man hours, and all other necessary products to effectively fulfill the requirements of this agreement. C. Convey areas of concern to the College D. The successful bidder and any agent thereof, will comply and observe all applicable rules and regulations concerning conduct on the premises which are imposed by Federal, State, and Local Law as well as College Policy. E. The successful bidder and any agent thereof, will wear or otherwise maintain identification badges or cards as required by the College. 3. Three Rivers College Responsibilities The College agrees the following responsibilities: A. The College agrees to grant the successful bidder access to the campus during the College s regular operating hours and additional mutually agreed upon times for the purpose of providing IPM and all other necessary purposes for the provision thereof. B. The College agrees to address any areas of concern within a timely manner. 4. Pests and Rodents. The successful bidder will provide an IPM for the following pests and rodents: A. Ants B. Black Widow Spiders C. Box Elder Bugs D. Brown Recluse Spiders E. Centipedes F. Cockroaches G. Crickets H. Earwigs I. Elm Leaf Beetles J. Ground Beetles K. Lady Beetles L. Mice Page 1 of 6

M. Millipedes N. Pillbugs O. Rats P. Silverfish Q. Sowbugs R. Spiders S. All other pests or rodents identified as an issue. 5. Integrated Pest Management. The successful bidder shall ensure the best possible IPM that meets the following guidelines: A. All materials used in the IPM must comply with Federal, State, and Local Law. B. All materials must be approved by the College prior to use. C. The IPM must meet or exceed industry standards for safety, effectiveness, and minimal environmental impact. D. The IPM must use low or non-chemical methods to eliminate and prevent infestations. 6. Inspections. The successful bidder will inspect the College locations to the following standards: A. Examine buildings on at least a monthly basis. I. Check exterior surroundings for potential issues. II. Inspect building interiors. (1) Evaluate high risk areas. (a) Food preparation areas (b) Restrooms (c) Perimeter building walls (d) Eating areas (e) Water sources (f) Areas of previous pest activity (g) Other high risk areas (2) Log any pest sightings. (3) Monitor pest activity with monitoring traps in key areas. B. Provide corrective/preventative measures to areas of concern. I. Set traps for monitoring and containing pests. II. Spray pesticides if necessary. III. Suggest building improvements to reduce possibility of infestation. 7. Locations. The successful bidder agrees to service one or more of the following College locations: Page 2 of 6

A. Poplar Bluff Campus B. Rivers Ridge Housing C. Dexter Center D. Kennett Center E. Malden Center F. Sikeston Center G. Willow Springs Center H. Caruthersville Center 8. Security. The successful bidder agrees to adhere to the following: A. The successful bidder will be responsible for being knowledgeable of the security requirements of the College and for enforcing the security rules of the College as they apply to the successful bidder and any agents or employees thereof. B. In addition to any other security rules and regulations, the successful bidder shall inform their employees or agents of the following: I. No guns, knives, or other dangerous weapons are allowed on campus. II. No dangerous drugs, or other prohibited substances, including alcohol, are allowed on campus. III. All keys to the building will be furnished by Public Safety to the successful bidder or their employees, if applicable. All keys shall be returned to Public Safety upon request. A charge will be assessed for each key not returned. IV. The successful bidder will be responsible for the cost of key replacement, re-keying, or lock replacement when the successful bidder or employees of the successful bidder are negligent in this regard. 9. Insurance Requirements. The successful bidder is required to supply the College with a Certificate of Insurance issued by an insurance company that is licensed to do business in the State of Missouri and acceptable to the College. 10. Contractor. It is mutually understood and agreed that, where applicable to the terms and conditions set forth in this agreement, an independent contractor relationship is being established between the successful bidder and the College. A. The employees of the successful bidder are not, nor shall be deemed to be, employees of the College. B. The employees of the College are not, nor shall be deemed to be, employees of the successful bidder. C. The successful bidder acknowledges that they are an independent contractor and are not an agent, partner, joint venture nor employee of College. Page 3 of 6

D. The successful bidder shall have no authority to bind or otherwise obligate the College in any manner nor shall the successful bidder represent to anyone that they have a right to do so. 11. Damage to College Property. The successful bidder shall be respectful of the College s property and shall report any damage as follows: A. The successful bidder shall be responsible for the repair and replacement of any damage to College property caused by the misuse or negligence of the successful bidder or their employees or agents. B. The successful bidder is responsible for reporting, in writing, within 72 hours the occurrence of damage to College property. C. Failure to report the damage within the specified time may be cause for termination of this contract. 12. Proposal. The successful bidder shall supply the College with their proposal meeting the requirements included in this agreement. The proposal should include the following: A. A brief introduction and summary of your company. B. A service approach outlining the methods your company would use. C. A list of any applicable certifications that your company holds. D. Information on emergency services offered and availability of said services. E. Three references from upstanding businesses with similar needs to those of the College. F. Price proposal outlining the cost of the services defined in this agreement. I. Price proposal shall be broken down by the following: (1) Location (2) Monthly rate or hourly rate with anticipated man hours per month. II. Price proposal shall include price estimates of typical emergency services. G. Proposal shall include a description of any special services or unique traits that are exclusively provided by your business. Page 4 of 6
