C01485 Adams Avenue Business Association Poposed Actfvities fo the Fiscal Yea 2009 The following explains how the Adams Avenue Business Association (AABA) intends to use the BID Funding fo the Fiscal yea 2009 (July 1, 2008 - June 30, 2009). The Adams Avenue Business Association undestands that all staff time expended and eimbusements equested, ae fo sevices pefomed will be in accodance with the poposed ageement between The City of San Diego and Adams Avenue Business Association fo the management of the Adams Avenue Business Impovement Distict in Fiscal Yea 2008. The annual budget fo the AABA is neaing $500,000, and the expected assessments fo the Adams Avenue Business Impovement Distict in the fiscal yea 2009 (assuming the expansion to include. Kensington businesses) will geneate appoximately $44,000. Because the geneated evenues ae insufficient to fully fund activities, pojects and pogams of the AABA, emaining costs will be geneated though othe evenue souces. Some of these othe evenue souces include Small Business Enhancement Pogam funding, special event fundaising effots and the Adams Avenue Maintenance Assessment Distict funding. Opeations (FY 2009 BID Funding $11,800) The Adams Avenue Business Association (AABA) will patially fund its opeations though the BID evenues. These expenses include but may not be limited to: $7,400 insuance (D&O, Geneal Liability, Woke's Compensation) $1,200 Office Supplies $2,000 Office Space Rent $800 Office Utilities (Telephone & Intenet) $400 Meeting Supplies Publications/ Website (FY 2009 BID Funding $18,000) (Staffing Cost: $8,000/ Poduction Cost: $10,000) Duing the fiscal yea, the AABA will publish a numbe of documents, newslettes, publications and continue to update the website, all patially funded with BID evenues. These effots include: Wite, design, pint and mail a quately newslette fo the membe businesses Wite, design and pint a "One Sheet" touting the benefits of the Adams Avenue Business Distict to attact new businesses to the distict. Wite, design and pint a "One Sheet" attacting developes to puchase and develop available popeties within the Adams Avenue Business Distict. Wite, design and e-mail the "AABA Weekly E-News". a fee weekly e-blast to subscibes. Redesign, host, update and tack taffic fo the AABA Website, www.adamsaveonline.com. Wite, design, pint and distibute to the egion's hotels a business listing/ event calenda bochue to attact visitos to the Adams Avenue Business Distict. FY 2009 AABA Poposed BID Funded Activities

The advetising effots include: Offeing co-opeative advetising to membe businesses in vaious publications Witing and submitting pess eleases to vaious publications Witing and submitting peiodical columns o news-wothy aticles to vaious publications Negotiate educed ate advetising fo the membe businesses in vaious local publications Technical Assistance Pogams fo Small Businesses (FY 2009 BID Funding $7,200) (Staffing Cost: $7,200) The Adams Avenue Business Association has made it a pioity to addess the needs of the membe businesses though a vaiety of pogams offeing technical assistance to the mechants. The AABA's Technical Assistance Pogams include City of San Diego's Stoefont Impovement Pogam: The AABA will pomote the pogam to the businesses and popety ownes in the business distict. The AABA will also offe assistance to the paticipants with the administative aspects of the pogam and act as liaison between the business/ popety owne and the City of San Diego Staff fo each poject to ensue completion in a timely fashion. Public Right of Way Enhancement Pogam (PROW): Pomote and administe the pogam which allows businesses to place tempoay sidewalk displays of a-fame signs, mechandise displays and outdoo cafes to enhance the visual appeaance and atmosphee of the business. distict fo a minimal annual pemit fee. Mico-entepise Consulting Pogam: Pomote and fully administe a pogam to offe assistance to small businesses and mico-entepise mechants within the Adams Avenue Business Distict. Though the collective effots of othe oganizations such as SCORE, Accion, Small Business Development and Intenational Tade Cente and othes, this pogam will offe business planning assistance, site location assistance and finance stuctuing in ode to attact new and etain existing viable businesses in the business distict Advocacy and Resouces fom outside oganizations: Woking with outside oganizations to bing help and suppot to the AABA and membe businesses. Some of these suppot oganizations include the vaious depatments of the City of San Diego, Business Impovement Distict Council and the Mid City Paking Distict. Design Impovements (FY 2009 BID Funding $3,000) (Poject Cost $3,000) The Adams Avenue BID is assessed $3,000 pe yea to suppot design impovement pojects though Adams Avenue Maintenance Assessment Distict (AAMAD). These funds suppot additional pojects that would nomally not be affoded the AAMAD though egula popety owne assessments. Consultants (FY 2009 BID Funding $2500) (Consultant cost $2,500) The AABA will hie a consultant to assist the Boad of Diectos with Oganizational and Boad Development thoughout the yea. In San Diego, the fees geneally ange fom $40 to $500 pe business each yea, ancho businesses paying up to $5,000 to suppot BID-elated pojects. Businesses within the Diamond Business Impovement Distict typically pay appoximately $100 each pe yea. This esults in appoximately $4500 pe month, o $54,000 pe yea in annual income though basic business assessments. The boad is consideing using its powe to incease assessments which could esult in doubling evenue to appoximately $108,000 pe yea. We pleased to see that the develope has been chosen by the Downtown Paking Distict/CCDC to constuct the mixed use poject at 7,h & Maket to include ove 600 publiopaking spaces. Ou impotant position on the Downtown Paking Management Goup is essentia! to the development and implementation of innovative shot and long-tem solutions to the paking management poblems in downtown San Diego. Its' sophisticated design and layout will seve to ceate a distinctly "Gaslamp" pesentation that will be distibuted thoughout the city though taditional and non-taditional hospitality outlets. We will incease ou pomotional pogams to include a "Holiday" pomotion this Holiday Season. To bette achieve ou Maketing goals, the GQA is continuing into the fouth yea of ou Stategic Maketing Plan, "San DieGO Downtown!" that focuses on the downtown aea in a holistic fashion, highlighting the divese dining, shopping and entetainment options available to esidents and visitos alike. The Pomotions Committee, with its Pacific BeachFest subcommittee, has the goal of pomoting Pacific Beach as a place to do business as a custome o a business peson. Its popula pogams will continue. Pacific BeachFest, two estauant walks, touist map, and conciege event ae a coe of special events. Discove Pacific will examine the potential fo developing a new event in FY09 which will showcase the divesity of Pacific Beach's business community. San Ysido Pot of Enty- San Ysido is the wold's busiest land bode cossing aveaging 113,000 pesons (including people in vehicles) daily (2006 tallies), a figue which is pojected by SANDAG to gow to 150.000 pesons pe day by 2020. The cuent facility is inadequate to handle this huge volume with acceptable wait times that do not negatively impact business. GSA has povided the fist design of a $570+ million poject to expand the POE, and constuction of the fist phase could stat as ealy as late 2008 (with completion by 2014). SYBA has played an impotant ole in advocating that the poject addesses needs of business community in design and mitigation of negative impacts on commecial land displacement and local taffic ciculation. The EIR/EIS pocess (due in sping 2009) needs to be monitoed closely. SYBA will wok closely with the San Ysido Smat Bode Coalition as a focal point fo a united font by the San Ysido community. Additionally, the SY Planning Goup has equested that the City of San Diego povide maste planning technical assistance (to include identification souces of additional funding needed). Paticula mitigation include such emediation as: secue southbound pedestian exit into Mexico on the east side, elocation of Geyhound and othe bus company's opeations into a tue long distance bus teminal capacity (as oiginally envisioned in the $30 million San Ysido Intemodal Tanspotation Cente), emediation pedestian/vehicle conflict at Rail Cout and the 1-5 nothbound entance, and constuction of a lage scale bidge deck connecto ove the 1-5 lo connect the nothen bounday of the GSA poject (the pedestian walkway) to the existing Camino de la Plaza bidge. Estimated by Caltans at $25 million, this impovement will link both sides of the community cuently divided by the feeway in a damatic pedestian plaza setting that will also allow fo small business "kiosks." 2. Shot-Tem Opeational Impovements- In the inteim of completing the new Pot of Enty, many additional measues can applied to make the bode cossing moe efficient; such as: the long pomised additional CBP staffing, additional "stacked" booths, pedestian SENTRI, "smat" technology to actually "ead" documents pesented. EXECUTIVE SUMMARY: The Califonia Steets and Highways Code authoizes the City to establish Business Impovement Disticts (BID's), to levy and collect an assessment fom businesses within the BID's, and to apply these assessments towad impovements and activities that benefit the businesses within thei espective BID's. The City established each of the BIDs by adopting an odinance which details the steet anges to be included in the BID, the categoization of the types of businesses within each BID, and in some cases the size of the businesses as detemined by the numbe of employees. The assessment levels, as detemined by these factos, ae also detailed in each odinance. Unde State law the City Council must annually eview and appove the Budget Repots fo the BID's. In addition, the City Council must annually authoize the levying of the assessments as established in the espective odinances and hold a noticed public heaing on the matte. Once authoized, the BID assessments ae collected by the City Teasue at the same time and in the same manne as the City's business tax. The City collects appoximately $ 1.3 million annually in BID assessments fom appoximately 12,000 businesses; these funds ae accounted fo sepaately in the City's accounting system and ae povided to the non-pofit business associations (whose membeships include the businesses

These funds ae identified in the Budget Repots as Estimated Unexpended Assessments to be caied fowad and Estimated Outstanding Opeating Advances. In appoving the Budget Repots the City Council appopiates the assessments to be collected and the pio yea suplus funds. In accodance with State Steets and Highways Code, poposed modifications to the Adams Avenue BID and the Noth Pak BID ae noted in the Budget Repots. Actions to initiate the amendment to the Adams Avenue BID have stated and it is anticipated that the odinance amendment will be effective as of July ], 2008. J4S AGREEMENT BETWEEN THE CITY OF SAN DIEGO, A MUNICIPAL CORPORATION, AND XXXXXXXX FOR THE MANAGEMENT OF THE XXXXXXXX IN FISCAL YEAR 2009 This Ageement [Ageement] is made between The City of San Diego, a municipal copoation [City], and XXXXX XXXXX XXXXX XXXXX [Contacto], a Califonia Copoation, heeinafte collectively efeed to as the "Paties." RECITALS WHEREAS, Odinance No. 0- XXXXX established and defined a paking and business impovement aea, known as the XXXXX XXXXX XXXXX XXXXX [Distict]; and WHEREAS, pusuant to Odinance No. 0- XXXXX, the City collects a special chage fom business ownes in the Distict to be used fo the pomotion of, and impovement to, the Distict; and WHEREAS, pusuant to Council Policy 900-17. City Council shall designate an entity to cay out the impovement pogam; and WHEREAS, the City desies to conside plans and poposals fo the pupose of making geneal impovements in the Distict and solving poblems of the Distict, including the: a) acquisition, constuction, and/o maintenance of paking facilities fo the benefit of the Distict; b) decoation of public places in the Distict; c) pomotion of public events in public places in the Distict;. d) funishing of music in public places in the Distict; e) pomotion of business activities in the Distict; and f) any and all othe puposes authoized by law, the odinance establishing the Distict, and/o the City Council. WHEREAS, Contacto has expeience in small business affais within the Distict, local expetise, is epesentative of businesses, and is qualified and willing to povide the sevices descibed heein; and WHEREAS, the sevices to be pefomed by Contacto contibute to the economic and pomotional well-being of the Distict; Page 1

NOW, THEREFORE, in consideation of the above ecitals and the mutual covenants and conditions set foth in this Ageement, and fo good and valuable consideation, the sufficiency of which is heeby acknowledged, the Paties agee as follows: ARTICLE I EFFECTIVE DATE; TERM OF AGREEMENT 1.1 Upon the execution of this Ageement by the Paties and appoval of this Ageement by the City Attoney in accodance with Chate Section 40, this Ageement shall be effective as of July 1, 2008 and continue fo one yea until June 30, 2009 [Tem], unless teminated ealie in accodance with the tems of this Ageement. 1.2 This Ageement may be extended fo up to ninety days so long as any and all extensions ae made in compliance with all applicable City policies. ARTICLE II CONTRACT ADMINISTRATOR; DESIGNATED REPRESENTATIVE 2.1 The City's Economic Development Division [Division] is the contact administato fo this Ageement. City heeby designates the Office of Small Business Manage of the Division as City's designated epesentative fo the puposes of this Ageement. 2.2 City's designated epesentative shall communicate with Contacto on all mattes elated to the administation of this Ageement and Contacto's pefomance of its obligations and duties endeed heeunde. Contacto shall wok solely unde the diection of the designated epesentative of the Division in pefoming Contacto's obligations and duties unde this Ageement. 2.3 City, at its sole discetion, may change its designated epesentative at any time and shall infom Contacto of any change in its designated epesentative within ten calenda days of the date of such change. ARTICLE III INDEPENDENT CONTRACTOR; ASSIGNMENT; DESIGNATED REPRESENTATIVE 3.1 Contacto acknowledges, and shall equie each of its Subcontactos to acknowledge, that Contacto and its Subcontactos ae independent contactos, and not agents o employees of City. Any povision of this Ageement that may appea to give City a ight to diect Contacto concening the details of pefoming its obligations and/o duties unde this Ageement, o to execise any contol ove such pefomance, shall mean only that Contacto shall follow the diection of City concening the end esults of the Page 2

pefomance. Contacto shall have no authoity to bind City in any manne, no to incu any obligation, debt o liability of any kind, on behalf of o against City, whethe by contact o othewise, unless such authoity is expessly confeed unde this Ageement o is othewise expessly confeed in witing by City. 3.2 Because this Ageement is enteed into by City in eliance upon Contacto's involvement in small business affais within the Distict, expeience and is epesentative of business, Contacto shall not assign o subcontact any of its ights, obligations, and/o duties unde this Ageement, without fist obtaining the witten consent of the City. Any assignment in violation of this Section is gounds fo immediate temination of this Ageement, at the sole discetion of the City. In no event shall any putative assignment ceate a contactual elationship between the City and any putative assignee, but any such assignment shall be ineffective, null and void. 3.3 Contacto heeby designates its Executive Diecto to be Contacto's designated epesentative fo the puposes of this Ageement. In the event Contacto changes its designated epesentative fo the puposes of this Ageement, Contacto shall notify the City of the new designated epesentative within ten calenda days of the date of such change. 4.1 GENERAL OBLIGATIONS ARTICLE IV OBLIGATIONS OF CONTRACTOR 4.1.1 Contacto shall pefom all sevices necessay fo the pope management of the Distict. Specifically, Contacto shall pefom all Pogam-elated sevices, including, but not limited to, the administation of the Pogam within the Distict, in a pofessional and pudent manne, and in accodance with the povisions of this Ageement, the Budget Repot, City Council Policy 900-07 ("Business Impovement Disticts"), the Paking and Business Impovement Aea Odinance (San Diego Municipal Code sections 61.1800 et seq.), and the Paking and Business Impovement Aea Law of 1965 and 1989 (Califonia Steets and Highways Code sections 36000 et seq.). The "Budget Repot" is the annual epot submitted by contacto and appoved by City Council in Resolution R-. "Pogam" is descibed in the Budget Repot and also efes to the contacto's obligations heein. 4.1.2 The total payment to be paid to Contacto unde this Ageement shall not, unde any cicumstances, exceed the amount set foth in the Distict's Budget, as descibed in the Budget Repot. Any expenditue fo items not included in the Budget Repot shall not be eimbused by the City. 4.1.3 Contacto shall be esponsible fo subcontacting fo any suppot sevices equied unde this Ageement, and fo paying fo all such diect out-of-pocket expenses as may be necessay fo the timely completion of the Pogam. 4.1.4 Contacto shall conduct all hiing of staff using an open, competitive pocess. This pocess shall include the publication of a Request fo Qualifications in at least one newspape of geneal ciculation. 4.2 SPECIFIC OBLIGATIONS 4.2.1 Contacto shall: a) establish objectives fo evaluating and stengthening the existing businesses within the Distict, and exploe methods of attacting new businesses into the Distict; b) develop a geneal pomotional stategy, tailoed to the businesses within the Distict - any special events ae subject to the City's geneal egulations and equiements, unless an altenative witten ageement is executed between the City's Special Events Office and Contacto; c) establish a liaison with agencies conducting business evitalization activities, and exploe means of suppoting public impovement pojects within the Distict: d) be esponsible fo managing the Banne Distict (which ovelaps the Distict), in accodance with the City's Development Sevices Depatment policies, and any othe applicable ules and egulations; and e) distibute a newslette at least evey thee months, which shall include, among othe things, a diecto)' of Contacto's cuent Boad Membes, to evey business assessed in the Distict. 4.2.2 Contacto shall hold an annual meeting in compliance with the noticing equiements heein. In addition, Contacto shall send a notice of the meeting to all business ownes within the Distict, infoming them of Contacto's functions, and affoding them an oppotunity to expess thei desies and concens to Contacto. 4.2.3 Contacto shall appoint a epesentative and an altenate epesentative, at least one of whom shall attend each monthly meeting of the San Diego Business Impovement Distict Council. 4.2.4 Contacto shall povide, among othe things, each of the following submittals to City: a) Monthly Repot. This epot shall include an outline of the activities and pogess of Contacto's pojects within the Distict, as well as Page 4

5.1 ADVANCES Contacto's eimbusement equests, to be submitted by the thitieth day of each month, beginning sixty days afte the execution of this Ageement. b) Annual Appopiation Repot: 1. This epot shall include an outline of the poposed impovements and activities within the Distict, as well as the estimated cost, by categoy, of poviding those impovements and activities fo Fiscal Yea [FY] 2010. 2. The epot shall also identify the estimated amount of any suplus o deficit in Distict assessment funds to be caied ove fom FY 2009, and any anticipated contibutions duing FY 2010, to be collected fom souces othe than the Distict assessment funds levied in FY 2010. 3. The epot shall be deliveed to the City on o befoe Mach 1, 2009, in time fo the annual Business Impovement Distict [BID] appopiation pocess fo Fiscal Yea 2010 by the City Council. c) Annua! Repots Contacto shall pepae an Annual Repot, summaizing Contacto's goals, accomplishments, and expenditues fo FY 2009. The epot shall be deliveed to the City on o befoe Novembe 30, 2009, and distibuted to evey business assessed in the Distict. ARTICLE V ADVANCES; REIMBURSEMENTS; ADJUSTMENTS; OTHER REVENUE 5.1.1 Upon a witten equest fom Contacto, City may make a cash advance to Contacto fo woking capital puposes. Any advance will be based on available cash at the time of the equest, subject to cetification of funds availability by the City Audito and Comptolle. 5.1.2 Any advance to Contacto shall be etuned on o befoe the expiation of this Ageement (o upon temination, if ealie), eithe as a eduction of the final equest fo eimbusement, o as a tansfe of funds fom Contacto to City, unless othewise specified in Exhibit A, "Advance Payment Infomation." 5.1.3 The City may advance Small Business Enhancement Pogam [SBEP] funds to Contacto, in full o in pat, fom those SBEP funds allocated to the Business Page 5

Impovement Distict Council [BID Council], in accodance with City Council Policy 900-15. Such advance of SBEP funds is subject to each of the following: a) eview and appoval of the advance by the BID Council fo BID management activities; b) eceipt by City of a signed ageement between Contacto and the BID Council, detailing the amount, timing, pemitted use of such funds, and any othe language equied by this Ageement; c) authoization by Contacto fo City to audit the use of any advanced funds; and d) eceipt by City of a full accounting by Contacto of any BID management SBEP funds peviously advanced to Contacto. 5.2 REIMBURSEMENT REQUESTS 5.2.1 Contacto shall submit to City, on a monthly basis, its equests fo eimbusement (in duplicate), along with all suppoting eceipts, invoices, checks, payoll statements, bank statements, and any othe ecods fo sevices pefomed, in accodance with the pocedues descibed in Exhibit B, "BID Reimbusement Request Pocedues." Each expenditue fo eimbusement must show as cleaed on the submitted bank statements. Bank statements, alone, will not be accepted by the City, except unde extaodinay cicumstances. 5.2.2 All equests fo eimbusement shall be accompanied by the following statement: "(Contacto's Name) heeby cetifies that all staff time expended and eimbusements equested ae fo sevices pefomed in accodance with the Ageement between The City of San Diego and (Contacto's Name) fo the management of the (BID Name) in Fiscal Yea 2009". Reimbusement equests shall be signed by an office of Contacto, not the Executive Diecto. 5.3 REIMBURSEMENTS 5.3.1 City shall eimbuse Contacto fo Pogam expenses, upon eceipt of pope evidence of Contacto's expenditues and/o contactual obligations fo FY 2009, pusuant to this Aticle, and in accodance with the standadized accounting and eimbusement pocedues adopted by City and BID Council. Said eimbusement shall not exceed the total allocation of funds set foth in the Budget Repot fo FY 2009 (including eseves). 5.3.2 A Reimbusement Request that is not consistent with the Budget Repot, o is not suppoted with pope documentation descibed heein and in Exhibit B, shall be consideed an ineligible expenditue. 5.3.3 City heeby agees to pay all popely submitted equests fo eimbusement to Contacto no late than thity calenda days fom eceipt of Contacto's completed equest packet, subject to availability of Distict assessment funds collected by City, (i.e., Cash in Teasuy) fo the Distict. 5.3.4 Contacto shall not use Distict assessment funds in its opeations, diectly o indiectly, duing any peiod of fedeal, state, o local debament, suspension, o ineligibility of Contacto, when Contacto has been noticed, o should have known of such debament, suspension, o ineligibility. 5.4 ADJUSTMENTS BETWEEN COST CATEGORIES. Any Contacto equests fo adjustments between cost categoies that exceed twenty-five pecent of the Distict's Budget, as descibed in the Budget Repot, shall be submitted to City in witing, and shall be appoved by City, in witing, pio to Contacto's expenditue of additional funds in that cost categoy. City shall be authoized to make easonable adjustments between Contacto's estimated cost categoies, as limited by the total annual appopiation fo the Pogam. 5.5 OTHER REVENUE. In the event Contacto, in its capacity as the manage of the Distict, collects Distict assessment funds diectly fom associate membes and/o classes of businesses not equied by the City to obtain a Business Tax Cetificate, Contacto shall sepaately account fo such assessment funds and shall only use such funds to pay fo Contacto's pefomance of its obligations and/o duties unde this Ageement. Contacto shall, within thity calenda days of any witten equest by the City, povide the City an accounting of Contacto's collection and expenditue of any such assessment funds. ARTICLE VI SUSPENSION AND TERMINATION 6.1 SUSPENSION OR DISALLOWANCE OF PAYMENTS 6.1.1 Othe povisions of this Ageement notwithstanding, if Contacto fails to comply with any tem o condition of this Ageement, the City's emedies include, but ae not limited to, each of the following: a) suspending one o moe payments to Contacto, pending coection of the activity o action not in compliance; and/o b) disallowing funds fo all o pat of the cost of the activity o action not in compliance. 6.1.2 If the City notifies Contacto that the City has suspended payments o disallowed funds, Contacto shall not expend any funds elated to, o connected with, any aea of contovesy o conflict that esulted in the suspension o disallowance of Page?

funding. 6.2 TERMINATION FOR ANY REASON 6.2.1 Notwithstanding the Tem of this Ageement, City o Contacto may teminate this Ageement fo any eason at any time duing the tem of this Ageement upon sixty calenda days witten notice of the temination to the othe paty deliveed in accodance with the notice povisions heein. 6.2.2 In the event this Ageement is teminated pusuant to Section 6.2.1, Contacto shall delive to the City all books, data, ecods, wok poduct, leases, and ageements pepaed and/o completed diectly in connection with, o elated to, Contacto's pefomance unde this Ageement, as well as all Distict assessment funds, accounts eceivable attibutable to the use of such funds, vehicles, equipment, and any othe assets of the Distict, no late than the temination date of this Ageement. 6.3 TERMINATION FOR CURABLE DEFAULT 6.3.1 Except as povided in Section 6.4.1, the City, at its sole discetion, may teminate this Ageement upon thity calenda days witten notice to Contacto deliveed in accodance with the notice povisions heein, if Contacto fails to comply with (i.e., defaults on) any tem o condition of this Ageement. The witten notice shall include a desciption of Contacto's default. If Contacto fails to cue the default within thity calenda days of the date Contacto eceives the witten notice, the City may immediately teminate this Ageement. 6.3.2 The City eseves the ight to suspend one o moe payments to Contacto duing the thity calenda day notice peiod descibed in this section. 6.3.3 In the event this Ageement is teminated pusuant to this Section, Contacto shall delive to the City all books, data, ecods, wok poduct, leases, and ageements pepaed and/o completed diectly in connection with, o elated to, Contacto's pefomance unde this Ageement, as well as ail Distict assessment funds, accounts eceivable attibutable to the use of such funds, vehicles, equipment, and any othe assets of the Distict, upon the temination date of this Ageement. 6.4 TERMINATION FOR INCURABLE DEFAULT 6.4.1 The City, at its sole discetion, may immediately teminate this Ageement upon witten notice to Contacto deliveed in accodance with the notice povisions heein if: a) Contacto makes mateial misepesentations in egad to infomation funished to the City pusuant to this Ageement, egadless of whethe Contacto had knowledge o intent with espect to the misepesentation; b) Contacto, o any of its offices o diectos, engages in conduct that esults in Contacto, o any of its offices o diectos, being convicted of a felony that mateially and advesely affects Contacto's pefomance of its obligations unde this Ageement; c) Contacto misappopiates funds; d) Contacto files a voluntay petition in bankuptcy, is adjudicated bankupt, o makes a geneal assignment fo the benefit of ceditos; and/o e) Contacto is unable o unwilling to cumpiy with any additional tems o conditions concening the Pogam that may be equied by newly enacted (o amended) fedeal, state, and/o local laws, ules, egulations, and/o othe diectives. 6.4.2 In the event this Ageement is teminated pusuant to this Section, Contacto shall delive to the City all books, data, ecods, wok poduct, leases, and ageements pepaed and/o completed diectly in connection with, o elated to, Contacto's pefomance unde this Ageement, as well as all Distict assessment funds, accounts eceivable attibutable to the use of such funds, vehicles, equipment, and any othe assets of the Distict, upon the temination date of this Ageement. 6.5 CONTINUING RESPONSIBILITIES. In the event this Ageement is teminated: a) Contacto shall, until the temination date of this Ageement, continue to manage the Distict, so that thee is no inteuption in o loss of sevice to the business ownes within the Distict. Contacto shall complete any and all additional wok necessay fo the odely filing of documents and closing of Contacto's pefomance of its obligations and duties unde this Ageement. Fo sevices endeed in completing the wok, Contacto shall be entitled to fai and easonable compensation fo the sevices pefomed by Contacto befoe the effective date of temination. b) City will, upon the effective date of temination, assume the esponsibility fo the management of the Distict. c) Contacto, by accepting payment fo completion, dischages City of all City's payment obligations and liabilities unde this Ageement. 6.6 RIGHTS AND REMEDIES. The City's temination of this Ageement shall teminate each and evey ight of Contacto, and any peson claiming any ights by o though Contacto unde this Ageement. The ights and emedies of the City enumeated in this Aticle ae cumulative and shall not limit, waive, o deny any of the City's ights unde any othe povision of this Ageement. No does this Aticle othewise waive o deny any ight o emedy, at law o in equity, existing as of the date of this Ageement o heeinafte enacted o established, that may be available to the City against Contacto. 6.7 NO SUBSEQUENT AGREEMENT, In the event this Ageement expies and City elects not to ente into a subsequent ageement with Contacto fo the management of the Distict fo the following fiscal yea, Contacto shall delive to the City: a) all books, data, ecods, wok poduct, leases, and ageements pepaed and/o completed diectly in connection with, o elated to, Contacto's pefomance unde this Ageement, as well as all Distict assessment funds, accounts eceivable attibutable to the use of such funds, vehicles, equipment, and any othe assets of the Distict, upon the expiation date of this Ageement; and b) the Annual Repot, in accodance with Contacto's specific obligations enumeated heein. ARTICLE VII INDEMNIFICATION 7.1 INDEMNIFICATION AND HOLD HARMLESS AGREEMENT. Contacto shall defend, indemnify, potect, and hold hamless the City, its elected officials, depatments, offices, employees, epesentatives, and agents fom and against any and all claims asseted, o liability established, fo damages o injuies to any peson o popety, including, without limitation, injuy to Contacto's offices, employees, invitees, guests, agents, and/o Subcontactos, which aise fom, o ae in any manne diectly o indiectly connected with, o ae caused, o claimed to be caused, by this Ageement, o. by the acts o omissions of Contacto, its offices, employees, epesentatives, agents, and/o Subcontactos in pefoming the wok o sevices equied whethe o not such wok o sevices ae authoized heein, and all expenses of investigating and defending against same, including, without limitation, attoney's fees and costs. Contacto's obligations unde this section shall not include any claims o liability aising fom the established sole negligence o willful misconduct of City, its elected officials, depatments, offices, employees, epesentatives, and/o agents. City may, at its own discetion, conduct the defense, o paticipate in the defense, of any claim elated in any way to this indemnification, if the City elects to conduct its own defense, paticipate in Page 10

its own defense, o obtain independent legal counsel in defense of any claim elated to this indemnification, Contacto shall pay City fo all costs elated theeto, including, without limitation, attoney's fees and costs. 7.2 ENFORCEMENT COSTS. Contacto shall pay the City any and all costs City incus enfocing the indemnity and defense povisions set foth in this Aticle o any matte in this Ageement. ARTICLE XIII INSURANCE 8.1 CONTRACTOR'S DUTY TO MAINTAIN INSURANCE. At all times duing this Ageement, Contacto shall maintain and comply with the insuance equiements set foth in this Aticle. Contacto shall povide to City insuance cetificates eflecting evidence of all insuance coveage equied unde this aticle within thity days of the Effective Date. Notwithstanding any povision of this Ageement to the contay, Contacto's failue o efusal to obtain, maintain o enew insuance as equied by this Ageement, o failue to povide poof of insuance, shall be a default of this Ageement. If a default unde this Aticle occus, City shall be pemitted to suspend payments duing such default peiod. 8.2 INSURANCE REQUIREMENTS. Contacto shall delive to City a cuent cetificate of insuance fo: 8.2.1 Commecial Geneal Liability [CGL] Insuance, poviding coveage fo bodily injuy, including death, pesonal injuy, and popety damage with limits of at least One Million Dollas ($1,000,000) pe occuence, subject to an annual aggegate of at least Two Million Dollas ($2,000,000); 8.2.2 Automobile Liability Insuance, poviding coveage fo all bodily injuy and popety damage, with a limit of at least One Million Dollas ($1,000,000) pe occuence. Such insuance shall cove liability aising out of any vehicle (including owned, hied, and non-owned vehicles) opeated on the Pemises. Coveage shall be witten on ISO fom CA 00 01 12 90, o a substitute fom poviding equivalent liability coveage; and 8.2.3 Wokes' Compensation Insuance, as equied by the laws of the State of Califonia fo all of Contacto's employees who ae subject to this Ageement, with Employes' Liability coveage with a limit of at least One Million Dollas ($1,000,000). The Wokes' Compensation policy shall be endosed to expessly povide that the insue waives the ight of subogation against The City of San Diego, its elected officials, offices, agents, employees, and epesentatives. 8.3 Additional Insueds. Pusuant to a sepaate endosement [CG2010 (11/85) o equivalent fom], "The City of San Diego, its elected officials, offices, employees, Page 11

epesentatives, and agents" shall be named as additional insueds in the CGL and the Automobile Liability Insuance. 8.4 Pimay & Non-Contibutoy. Insuance policies shall be endosed such that the coveage is pimay and non-contibutoy to any coveage caied o maintained by City. The policies shall be kept in foce fo the duation of the Tem and any extended use. The cetificate(s) of insuance shall be filed with City's Economic Developmenl Depatment. 8.5 Qualified Insue(s). All insuance equied by the tems of this Ageement must be povided by insues licensed to do business in the State of Califonia which ae ated at least "A-, VI" by the cuent AM Best Ratings Guide. Non-admitted suplus lines insues may be accepted povided they ae included on the most ecent list of Califonia eligible suplus lines insues (LESLI list) and othewise meet City equiements. 8.6 Deductibles/Retentions. All deductibles and self-insued etentions on any insuance policy ae the sole esponsibility of Contacto and must be disclosed and acceptable to City at the time evidence of insuance is povided. 8.7 Continuity of Coveage. All policies shall be in effect on o befoe the fist day of the Tem. At least thity (30) days pio to the expiation of each insuance policy. Contacto shall funish a cetificate(s) showing that a new o extended policy has been. obtained which meets the equiements of this Ageement. 8.8 Modification. To assue potection fom and against the kind and extent of isk existing by the obligations unde this Ageement, City, at its discetion, may equie the evision. of amounts and coveage at any time duing the Tem by giving Contacto thity (30) days pio witten notice. Contacto shall also obtain any additional insuance equied by City fo changed cicumstances o City's easonable e-evaluation of isk levels elated to Contacto's obligations unde this Ageement. 8.9 Contacto's Liability Not Limited to Insuance Coveage. Notwithstanding any othe povision in this Ageement, Contacto's liability shall not be deemed limited in any way to the insuance coveage equied in this Aticle. ARTICLE IX DATA AND RECORDS 9.1 GENERAL. Contacto shall maintain, and equie its Subcontactos to maintain, all administative and financial ecods equied in connection with the Pogam (including, but not limited to, all books, accounting ecods, invoices, eceipts, payoll ecods, pesonnel ecods, and any othe data and ecods petaining to all mattes coveed in this Ageement) duing the tem of this Ageement. ' 9.2 ACCOUNTING RECORDS, Contacto shall maintain, and equie its Subcontactos to maintain, complete and accuate accounting ecods, in accodance with Geneally Accepted Accounting Pactices [GAAP] in the industy. Within thity calenda days of any witten equest by the City fo such ecods, Contacto shall make available to the City, fo eview and audit, all Pogam-elated accounting ecods, documents, and any othe financial data and ecods. Upon the City's equest, Contacto shall submit exact duplicates of the oiginals fo all equested ecods to the City. 9.3 INSPECTION AND PHOTOCOPYING. At any time duing nomal business hous and as often as the City deems necessay, Contacto shall pemit, and equie its Subcontactos to pemit, the City, o its authoized agents, to inspect and photocopy, at a easonable location within the County of San Diego (e.g., the offices of Contacto), all books, accounting ecods, invoices, eceipts, payoll ecods, pesonnel ecods, and any othe Pogam data and ecods petaining to all mattes coveed in this Ageement, fo the puposes of auditing, monitoing, and/o evaluating Contacto's pefomance of its obligations and/o duties in connection with the Pogam. The City may etain copies of the same, with appopiate safeguads, if such etention is deemed necessay by the City in its sole discetion. The City will keep all copies of Contacto's data and ecods in the stictest confidence equied by law. 9.4 STORAGE PERIOD. Contacto shall stoe, and equie its Subcontactos to stoe, all Pogam data and ecods fo a peiod of not less than five yeas fom the expiation date of this Ageement. All such data and ecods shall be kept at Contacto's (o elevant Subcontacto's) egula place of business. At any time duing the stoage peiod, Contacto shall pemit, and equie each of its Subcontactos to pemit, the City, o its authoized agents, to examine all such data and ecods. Afte the stoage peiod has expied, o all audit findings have been esolved, whicheve is late, Contacto shall povide City with thity calenda days witten notice of its intent to dispose of any Poject data and ecods. 9.5 ORIGINAL DOCUMENTS. Notwithstanding the foegoing, upon the expiation o temination of this Ageement, City may equest that Contacto delive, and Contacto shall delive, within fifteen calenda days of any such equest by City, the oiginals of all such data and ecods to City. Contacto may etain copies of all data and ecods deliveed lo City. 9.6 OWNERSHIP OF DOCUMENTS. Once Contacto has eceived any eimbusement fom City fo Contacto's pefomance of its obligations and/o duties unde this Ageement, all data and ecods (including, but not limited to, all documents pepaed and/o wok poduct completed diectly in connection with, o elated to, Contacto's pefomance unde this Ageement) shall be the popety of City. City's owneship of such documents includes the use, epoduction, and/o euse of such documents, as well as all incidental ights, whethe o not the wok fo which the documents wee pepaed has been pefomed. This Section shall apply whethe the Ageement is teminated by the completion of the Poject, the expiation of this Ageement, o upon temination of this Ageement, ifealie, in accodance with the tems of this Ageement. ARTICLE X AUDITS; FINANCIAL DISCLOSURES; OTHER DISCLOSURES 10.1 AUDITS. Contacto shall ensue that Annual Single Audits and Financial Statement Audits ae completed by a Cetified Public Accountant. Individual pojects funded by City must be clealy identified in theaudit epots, as well as the dolla amount allocated to the Pogam by City. 10.1.1 In accodance with the Single Audit Act of 1984 (PL 98-502) petaining to ecipients of fedeal funds, Contactos expending $500,000 o moe (o the cuent fedeal theshold) in total fedeal funding fom all souces in a yea, shall have an Annual Single Audit conducted in accodance with Fedeal OMB Cicula Nos. A-l 10 and A-133. Contacto shall ensue that Single Audits ae completed within 180 calenda days of the expiation date of this Ageement. Contactos completing audits by calenda yea (athe thanfiscalyea) shall ensue that Single Audits ae completed within 180 calenda days of Decembe 31st. Contacto shall povide City with a copy of the Single Audit within fifteen calenda days of Contacto's eceipt of the audit. 10.1.2 if, duing FY 2009, Contacto expends $35,000 o moe of Distict assessment funds and othe City funds, combined, then Contacto shall have a Financial Statement Audit of those Distict assessment funds and othe City funds. City funds include, but ae not limited to, SBEP funds eceived though the BID Council. Thefinancialstatements must be pepaed in accodance with Geneally Accepted Accounting Pinciples [GAAP], and audited by an independent Cetified Public Accountant [CPA], in accodance with Geneally Accepted Auditing Standads [GAAS]. This audit epot shall include the following statements: a) a Statement of Expenditue of City Funds, by pogam, identified in the same expenditue categoies as set foth in the Budget Repot, and compaed with the coesponding budgeted amounts; b) a Statement of Revenues and Expenditues, including a Balance Sheet of all funds eceived by Contacto. c) a Statement of Compliance, setting foth Contacto's compliance with the tems and conditions of this Ageement; and Contacto shall povide City a copy of the Financial Statement Audit within 150 calenda days of the end of Contacto's last complete fiscal yea. Extensions of up to thity calenda days to this deadline may be ganted in witing by City, upon witten equest by Contacto. Page 14

' 10.1.3 If Contacto is subject to an audit fom a souce othe than City, Contacto shall povide a copy of the audit to the City within thity calenda days of completion of the audit. The City, at its sole discetion, may conduct an annual eview of such thid paty audit(s). 10.2 FINANCIAL DISCLOSURES. If, duing FY 2009, Contacto expends less than $35,000 of Distict assessment funds and othe City funds (as defined above), combined, then Contacto shall povide tue, accuate, and complete financial disclosue documentation, evidencing the financial status of Contacto's last complete fiscal yea and detailing all funds eceived fom City duing that fiscal yea, employing the same statements descibed in 10.1.2 above. Contacto shall povide City these documents within ninety calenda days of the end of Contacto's last complete fiscal yea. Extensions of up to thity calenda days to this deadline may be ganted in witing by City, upon witten equest by Contacto. 10.3 ACCOUNTING OF CDBG FUNDS. If Contacto has a sepaate ageement with City fo the use of Community Development Block Gant [CDBG] funds, then the audit povisions of that ageement shall contol fo the accounting of CDBG funds. ARTICLE XI CONFLICTS OF INTEREST 11.1 Contacto shall comply with all fedeal, state, and local laws, including conflict of inteest laws, statutes, odinances, egulations, and policies of City elated to to public contacts and pocuement pactices to the extent applicable. 11.2 The Paties ae unawae of any financial o economic inteest of any public office o employee of the City elating to this Ageement. If such a financial and/o economic inteest is detemined to exist, the City will pomptly teminate this Ageement by giving witten notice theeof. 11.3 Contacto shall establish, and make known to its agents and employees, appopiate safeguads to pohibit employees fom using thei positions fo a pupose that is o that gives the appeaance of being, motivated by the desie fo pivate gain fo themselves o othes, paticulaly those with whom they have family, business, and/o othe elationships. 11.4 Contacto's pesonnel, employed in pefoming the obligations and duties unde this Ageement, shall not accept gatuities, o any othe favos, fom any Subcontacto o potential Subcontacto. Contacto shall not ecommend o specify any poduct, supplie, o contacto with whom Contacto has a diect o indiect financial o oganizational inteest o elationship that would violate conflict of inteest laws, egulations, o policies. 11.5 If Contacto violates any conflict of inteest law, o any of the povisions of this Aticle, Page 15

the violation shall be gounds fo immediate temination of this Ageement, and/o the imposition of othe emedies set foth in Exhibit C, "Conflict of Inteest and Pocuement Policy fo Non Pofit Copoations Contacting with the City of San Diego" o othewise available in equity o at law. Futhe, any such violation shall subjeel Contacto to liability to the City fo attoney's fees and all damages sustained as a esult of the violation. ARTICLE XII SUBCONTRACTORS 12.1 SUBCONTRACTORS LIST AND SUBCONTRACTS 12.1.1 On o befoe the date this Ageement is executed by the Paties, Contacto shall povide the City with each of the following: a) a completed Subcontactos List, listing the names and contact infomation of all Subcontactos it has hied o etained, o intends to hie o etain, in connection with this Ageement, which City will fowad to EOCP; and b) a copy of all subcontacts enteed into in connection with this Ageenient, including the scope of wok, along with a witten statement descibing the justification fo the Subcontacto sevices, and an itemization of all costs fo the Subcontacto sevices. 12.1.2 If, duing the tem of this Ageement, Contacto identifies a need fo additional Subcontacto sevices, Contacto shall, within ten calenda days of the date of any subcontact fo such sevices, povide the City with each of the following: a) a copy of the subcontact, including the scope of wok, along with a witten statement descibing the justification fo the additional Subcontacto sevices, and an itemization of all costs fo the additional Subcontacto sevices; and b) an updated Subcontactos List that includes the name and contact infomation of any new o substitute Subcontacto hied to povide the additional Subcontacto sevices, which City will fowad lo EOCP. 12.1.3 Contacto shall pocue the sevices of all Subcontactos in confomance with the pocedues set foth in Exhibit C. Contacto shall maintain documentation of the pocess used to pocue any such Subcontacto sevices, and shall povide a copy of all such documentation to the City within ten calenda days of any witten equest by the City. 12.2 REQUIRED LANGUAGE FOR SUBCONTRACTS 12.2.1 Contacto shall ensue that all subcontacts enteed into in connection with this Ageement contain language which equies Subcontactos to at all times comply with all applicable laws, statutes, odinances, and egulations of City, county, state, and fedeal govenments. Subcontacto shall also comply with all notices issued by City unde the authoity of all cuent o futue laws, statutes, odinances, o egulations. 12.2.2 Subcontacto shall obtain all insuance coveage equied of Contacto in this Ageement. Subcontacto shall maintain, in full foce and effect, such insuance coveage duing any and all wok pefomed in connection with this Ageement. Subcontacto shall not begin wok on a subcontact until all insuance equied of the Subcontacto unde this Section has been obtained. 12.2.3 If City is made a paty to any judicial o administative poceeding to esolve the dispute between Contacto and Subcontacto, Contacto shall defend and indemnify the City as descibed heein. 12.3 CONTRACT ACTIVITY REPORT. Within ten calenda days of a witten equest by the City, Contacto shall povide the City: a) statistical infomation (as descibed in the City's Contact Activity Repot), including the amount of subcontacting povided by fims duing the peiod coveed by the Contact Activity Repot; and b) an invoice fom each Subcontacto listed in the Contact Activity Repot. 12.4 PROHIBITION ON USE OF CERTAIN SUBCONTRACTORS. Contacto shall not employ, awad any contact to, engage the sevices of, o fund any Subcontacto duing any peiod of fedeal, state, o local debament, suspension, o ineligibility of Subcontacto, when Contacto has been noticed of such debament, suspension, o ineligibility. ARTICLE XHI PROMOTIONAL MATERULS 13.1 REQUIRED LANGUAGE. Contacto shall include the following language on all pomotional bochues, newslettes, advetising, Intenet web sites, fact sheets, news Page 17

Contacto shall comply with the povisions of City Administative Regulation 95.65 egading poduct endosements. Contacto shall not ceate any pomotional mateial o witing that identifies o efes to the City as the use of a poduct o sevice, without obtaining the pio witten appoval of the City. 13.3 SUBMITTALS TO THE CITY. Contacto shall not disciminate in any manne against any peson o pesons on account of ace, colo, eligion, gende, sexual oientaticn, medical status, national oigin, age, maital status, o physical disability in Contacto's activities pusuant to this Ageement, including but not limited to the poviding of goods, sevices, facilities, pivileges, advantages, and accommodations, and the obtaining and holding of employment. 14.2 Compliance with City's Equal Oppotunity Contacting Pogam. Contacto shall comply with City Council Odinance No. 18173 (San Diego Municipal Code sections 22.2701 though 22.2708, as amended), EQUAL EMPLOYMENT OPPORTUNITY OUTREACH PROGRAM, a copy of which is on file in the Office of the City Clek and by this efeence is incopoated into this Ageement. Contacto and all of its subcontactos ae individually esponsible to abide by its contents. Contacto shall comply with Title VII of the Civil Rights Act of 1964, as amended; Executive Odes 11246, 11375, and 12086; the Califonia Fai Employment Pactices Act; and any othe applicable fedeal and state laws and egulations heeafte enacted. Contacto shall not disciminate against any employee o applicant fo employment on any basis pohibited by law. On o befoe the Effective Date, Contacto shall submit a cuent Wok Foce Repot o a cuent Equal Employment Oppotunity (EEO) Plan as equied by Section 22.2705 of the San Diego Municipal Code, which sets foth the actions Contacto will take to achieve City's commitment to equal employment oppotunities. Contacto shall inset the foegoing povisions in all contacts and subcontacts fo any wok coveed by this Ageement so the povisions will be,binding upon each contacto and subcontacto. equiements shall be a default of this Ageement, and City may ba Contacto fom paticipating in City contacts fo a peiod of not Jess than one (1) yea. 14.3 Local Business and Employment. Contacto acknowledges that City seeks to pomote employment and business oppotunities fo local esidents and fims in all City contacts. Contacto shall, to the extent legally possible, solicit applications fo employment, and bids and poposals fo contacts and subcontacts, fo wok associated with this Ageement fom local esidents and fims as oppotunities occu. Contacto shall hie qualified local esidents and fims wheneve feasible. 14.4 City Employee Paticipation Policy. Contacto shall be in default of this Ageement if Contacto employs an individual who, within the twelve months immediately peceding the employment, did in his/he capacity as a City office o employee paticipate in negotiations with o othewise have an influence on the ecommendation made to the City Council in connection with this Ageement. This povision does not apply to membes of the City Council. 14.5 Dug-fee Wokplace. Contacto shall be equied to abide by the omnibus dug legislation passed by Congess on Novembe 18, 1988, by adopting and enfocing a policy to maintain a dug-fee wokplace by doing all of the following: 14.5.1 Publish a statement notifying employees that the unlawful manufactue, distibution, dispensation, possession, o use of contolled substances ae pohibited in the wokplace and specifying the actions that will be taken against employees fo violations of the pohibition; and 14.5.2 Establish a dug-fee awaeness pogam to infom employees about all of the following: a) The danges of dug abuse in the wokplace; b) Contacto's policy of maintaining a dug-fee wokplace; c) Any available dug counseling, ehabilitation, and employee-assistance pogams; and d) The penalties that may be imposed upon employees fo dug abuse violations. 14.5.2 Contacto shall include in each of its contacts elated to this Ageement language obligating each contacto and subcontacto to comply with the povisions of this section to maintain a dug-fee wokplace. Contacto, and each of its contactos and subcontactos, shall be individually esponsible fo thei own dug-fee wokplace pogam. 14.6 Disabled Access Compliance. Contacto shall at all times comply with the 1990 Page 19

Ameicans with Disabilities Act ("ADA") and Title 24 of the Califonia Code of Regulations (commonly known as the "building code") as defined in Section 18910 of the Califonia Health and Safety Code and any othe applicable fedeal, slate, o local egulations heeafte enacted potecting the ights of people with disabilities. 14.7 Living Wage Odinance. Contacto may be equied to comply, and equie each of its Subcontactos to comply, with the povisions of the City's Living Wage Odinance, codified in San Diego Municipal Code [Code] sections 22.4201, et seq., in pefoming its obligations and/o duties unde this Ageement. To the extent Contacto believes that it o its Subcontactos may be exempt fom compliance pusuant to Code section 22.4215(b)(1), o any othe exemption, Contacto may apply to City's Living Wage Administato fo detemination of exemption. ARTICLE XV GENERAL PROVISIONS 15.1 Compliance with Law. Contacto shall at all times comply with all applicable laws, statutes, odinances, and egulations of City, county, state, and fedeal govenments. Contacto shall comply with all notices issued by City unde the authoity of all cuent o futue laws, statutes^ odinances; o egulations. 15.2 No Political Activity. Contacto shall not use and equie its subcontactos not to use, any of the funds eceived pusuant to this Ageement, o any pesonnel o mateial paid fo with funds pusuant to this ageement, fo political activity. The tem "political activity" shall mean a communication made to any electoate in suppot of, o in opposition to, a ballot measue o candidate in any fedeal, state o local govenment election. 15.3 Open Meetings and Bown Act Compliance. The Contacto shall comply with the Ralph M. Bown Act, Califonia Govenment Code section 54950 et. seq. An agenda containing the date, time, and location of the meeting, and a geneal desciption of each item of business to be discussed o tansacted, shall be posted in a place feely accessible to the public at least 72 hous pio to the meeting. The agenda shall also be sent to evey membe of the public equesting notification of the meetings, by facsimile, via the United States Postal Sevice, o electonic mail, at the time of the posting of the agenda. 15.4 Califonia Public Recods Act. Contacto shall comply with the povisions of the Califonia Public Recods Act, codified in Califonia Govenment Code sections 6250-6270, fo all documents and ecods petaining to all mattes in connection with this Ageement. 15.5 Confidentiality of Infomation. Notwithstanding any othe law o povision in this Ageement, all infomation povided by the City to Contacto in connection with this Ageement, including, but not limited to, all business tax infomation and ental tax Page 20

infomation, is fo the sole use of Contacto. Contacto shall not elease any such infomation to any thid paty, without the pio witten consent of the City. 15.6 Notices. If any tem, covenant, condition, o povision of this Ageement is found invalid, void, o unenfoceable by a cout of competent juisdiction, the emaining povisions shall emain in full foce and effect. 15.8 Unavoidable Delay. If the pefomance of any act equied of City o Contacto is diectly pevented o delayed by eason of stikes, lockouts, labo disputes, unusual govenmental delays, acts of God, fie, floods, epidemics, feight embagoes, o othe causes beyond the easonable contol of the paty equied to pefom the act, the obligated paty shall be excused fom pefoming that act fo the peiod equal to the peiod of the pevention o delay. If Contacto o City claims the existence of a delay, the paty claiming the delay shall notify the othe paty in witing of the fact within ten (10) days afte the beginning of the claimed delay. 15.9 Legal Poceedings. If any paty bings an action o poceeding against anothe paty unde this Ageement, the pevailing paty shall be entitled to ecove fom the nonpevailing paty all easonable costs and expenses theeof, including without limitation easonable attoney fees and costs. The "pevailing paty" shall be that paty who obtains substantially the esult sought, whethe by settlement, dismissal, o judgment. Page 2

City and Contacto, by signing this Ageement, agee that thee is no othe witten o oal undestanding between them with espect to the subject matte of this Ageement. Each paty has elied on its own advice fom its own attoneys, and the tems, covenants, and conditions of the Ageement itself. Each paty to this Ageement agees that no othe paty, agent, o attoney of any othe paty has made any pomise, epesentation, o waanty whatsoeve which is not contained in this Ageement. The failue o efusal of any paty to ead the Ageement o othe documents and obtain legal o othe advice elevant to this tansaction constitutes a waive of any objection, contention, o claim that might have been based on such actions. 15.13 Dafting Ambiguities. The Paties agee that they ae awae that they have the ightto be advised by counsel with espect to the negotiations, tems, covenants, and conditions of this Ageement, and the decision of whethe o not to seek advice of counsel with espect to this Ageement is a decision which is the sole esponsibility of each paty. This Ageement shall not be constued in favo of o against eithe paty by eason of the extent to which each paty paticipated in the dafting of the Ageement. 15.14 Modifications. This Ageement shall not be modified, alteed o amended unless the modification, alteation o amendment is in witing and signed by all paties to this Ageement. Any and all amendments to this Ageement equie City Council appoval. 15.15 Time is of Essence; Povisions Binding on Successos. Time is of the essence of all of the tems, covenants, and conditions of this Ageement. Except as othewise povided in this Ageement, all of the tems, covenants, and conditions of this Ageement shall apply to, benefit, and bind the successos and assigns of the espective paties, jointly and individually. 15.16 Waive. City's failue to insist upon the stict pefomance of any of Contacto's obligations unde this Ageement, in one o moe instance, shall not be constued as a waive of any such obligation, and the same shall emain in full foce and effect. City's waive of a default shall not be a waive of any othe default. Any waive of a default must be in a witing executed by City to constitute a valid and binding waive. City's delay o failue to execise a ight o seek a emedy shall not be deemed a waive of that o any otheight o emedy unde this Ageement. EXHIBIT B BID REIMBURSEMENT REQUEST PROCEDURES Funds ae distibuted on a eimbusement basis. To access you BID assessment money, you must submit a eimbusement equest to the Office of Small Business (OSB). The equest should not exceed the cash-in-teasuy amount, which is povided to each oganization (Contacto) at the beginning of the month. If the eimbusement equest amount exceeds the cash-in-teasuy amount, the equest will be delayed fo pocessing, until sufficient funds ae available. Only BID-elated activity expenses ae eligible fo eimbusement. Please note that late fees, finance chages, citations, othe penalties, nonsufficient fund bank fees, gift cads, and alcohol puchases ae deemed as ineligible fo eimbusement. Reimbusement equests should adhee to the following guidelines: They should be submitted monthly. Submitting multiple months at once will ceate delays in pocessing the eimbusement equests. Afte eviewing and appoving submitted documentation, staff pepaes an online electonic equest fo Diect Payment (DP). The oiginal copy of the eimbusement equest is sent with the DP to the City Audito fo appoval. The City Audito eviews the DP and eimbusement equest fo completeness and veifies that sufficient funds ae available to pay the equest. Upon appoval by the City Audito, the DP is then scheduled fo payment. The payment pocess can take up to 10 business (10) days. The entie eimbusement pocess can take up to 30 days (o longe if documentation o funds ae lacking).. Both OSB and the City Audito ae only able to assign staff on a pat-time basis to eimbusements. Theefoe, making sue the packet contains all the necessay documentation in the fist place will help us expedite the pocess. As mentioned ealie, submitting multiple months of packets at once will delay the eimbusement pocess. Checks ae cut by the Audito's Office on Monday, Tuesday, Wednesday, and Thusday nights and ae mailed out by them the next moning. It may take thee (3) to fou (4) woking days fo you check to be deliveed. The Audito's Office ecently implemented a new policy in which checks will no longe be held fo pick-up, except in emegency situations.

EXHIBIT C CONFLICT OF INTEREST AND PROCUREMENT POLICY FOR NONPROFIT CORPORATIONS CONTRACTING WITH THE CITY OF SAN DIEGO Pupose It is impotant fo the City and its citizens to have confidence in the integity of nonpofit copoations which contact with the City to povide sevices and administe pogams, and which eceive funding fom o though the City. Offices, diectos, membes, committee membes, staff and voluntees of these nonpofit oganizations shall avoid taking actions that give the appeaance of being motivated by pivate gain. The appeaance of a conflict of inteest is ceated by the selection, ecommendation, o specification of a poduct, supplie o subcontacto with whom the epesentative of the nonpofit has a diect o indiect financial, oganizational o family inteest o elationship. It is the intent of the City to incopoate this policy govening conflicts of inteest and pocuement of goods and sevices into the City's contacts with such associations, and to equie compliance with this policy as a contact obligation. This policy is not intended to supesede, negate o othewise invalidate any statute, odinance o policy, but is intended to supplement existing authoities govening these subjects. Associations eceiving Community Development Block Gant (CDBG) funds, o othe funds fom the Depatment of Housing and Uban Development, ae subject to fedeal authoities govening the eceipt of those funds. Conflict of Inteest Standad - Contacts o Tansactions All nonpofit mutual benefit copoations and nonpofit public benefit copoations contacting with the City ae subject to the following conflict of inteest standad, which is based on the conflict of inteest povisions of the Califonia Copoations Code: No contact o tansaction may be enteed into by the copoation if one of its offices, diectos, committee membes, staff membes o voluntees has a mateial financial inteest in the contact o tansaction, except in the following cicumstances: 1. The action by the boad is one fixing the compensation of a diecto o office of the copoation; o 2. All of the following conditions ae met: (a) The mateial facts as to the tansaction and as to the paty's inteest ae fully disclosed o known to the membes, boad o committee voting on the matte. (b) The contact o tansaction is appoved by the membes, boad o committee in good faith, by a vote sufficient without counting the vote of the inteested paty o paties.

(c) Any membeship owned by the inteested paty abstains fom voting on the matte. (d) The contact o tansaction is just and easonable to the copoation at the time it was authoized, appoved o atified. (e) The inteested paty shall not actively paticipate in the decision about the tansaction o contact, except to answe questions o povide a boad explanation. (f) The action is ecoded in meeting minutes, noting which membes voted, how the membes voted, and identifying any membes who abstained fom voting. 3. A committee o peson authoized by the boad appoved the tansaction consistent with the standads in section 2 above, it was not easonably pacticable to obtain appoval of the boad pio to enteing into the tansaction, and the boad atified the action at its next meeting by a majoity vote of the diectos, without counting the vote of the inteested paty o paties. Economic Disclosue Upon equest by the City, a diecto o voting membe of a nonpofit copoation contacting with the City shall disclose infomation to the City about his o he financial inteests and business affiliations which may be affected by decisions of the copoation elated to the copoation's contact with the City. Boad Roste All nonpofit copoations contacting with the City shall povide, within 30 days of execution of an ageement, a list of the names of all boad membes and thei business affiliations. In the event that the boad membeship changes, the copoation shall povide the City with an updated list. Pocedues fo Pocuement of Goods and Sevices All pocuement of goods and sevices by nonpofit associations contacting with the City, which eceive funding fom o though the City, shall comply with the following standad: I.
