Authored the Orrick Guide to Securities Litigation, an innovative ebook with classic cases and recent developments in securities litigation law RECENT RESULTS Chesapeake Energy Corporation In its response to a multi-pronged legal assault, Chesapeake s Board of Directors relied upon Orrick s consultation and advice, and over a year later, Orrick s guidance enabled the Board to (i) successfully manage the array of shareholder demands, and (ii) achieve dismissal of the securities class action and multiple shareholder derivative suits, all of which were dismissed prior to discovery. Credit Suisse The Orrick team secured a victory in the Ninth Circuit for Credit Suisse and Morgan Stanley in a precedent-setting case that has raised the pleading bar in Section 11 cases based on secondary offerings. The decision, In re Century Aluminum Company Securities Litigation, is the first to apply the Supreme Court s nonsecurities decisions in Twombly and Iqbal to a Section 11 claim outside an IPO and was reported in the Am Law Litigation Daily and Law360. NVIDIA Orrick secured dismissal of a class action, Granfield v. NVIDIA Corp., negotiated a favorable settlement of all other cases, and in a decision (In re NVIDIA GPU Litigation) defeated efforts to overturn the settlement on appeal. The settlement was unprecedented in that it required NVIDIA to negotiate complex agreements with each of the OEMs that manufactured the computers purchased by plaintiffs, and to resolve a plethora of logistical issues in providing repair, replacement and reimbursement remedies to a multitude of plaintiffs who purchased their computers from third parties. Oracle Orrick won a significant victory for Oracle in connection with Oracle s $1.4 billion merger with RightNow Technology, a U.S. software company that develops customer relationship management (CRM) software for enterprise organizations. Plaintiffs consolidated their litigation in Montana, a state whose courts have little experience dealing with merger litigation. In fact, prior to the case, no Montana court had ever handled a public company merger case, much less one involving a $1.4 billion deal. Orrick s work on the Oracle- RightNow litigation was the latest in a long string of Orrick engagements for Oracle in the area of securities, SEC and merger litigation.
