You have 31 days from your date of hire to enroll in these benefits: Medical, Dental, Vision, Health Care Spending Account, Dependent Care Spending Account, Long-Term Disability coverage, Supplemental Life Insurance, Dependent Life Insurance, Basic Life and Accidental Death and Dismemberment (AD&D) Insurance, Short-Term Disability (STD) coverage and the Employee Assistance Program (EAP). If you do not make any elections, you will only be enrolled in these core benefits: Basic Life and Accidental Death and Dismemberment (AD&D) Insurance, Short-Term Disability (STD) coverage, Long-Term Disability (LTD) coverage and the Employee Assistance Program (EAP). You pay the full cost of LTD coverage with after-tax dollars. Nielsen pays the full cost of the rest of these benefits.

Health and Wellness Plans Healthy Measures Through this voluntary program, you have the opportunity to complete a biometric screening for five key measurements that can lead to chronic and costly conditions. If you complete the voluntary screening and the Health Risk Questionnaire, you may be eligible to receive a discount* on your 2014 medical plan premium contributions. Every eligible associate can participate in the Healthy Measures program, with the choice of completing some or all of the measurements. Every eligible associate can participate in the Healthy Measures program if you choose not to participate, you are not eligible to receive the discount offered by the program. If you qualify, these results will be used to offset your 2014 medical premiums. Nielsen designed Healthy Measures to encourage individuals to take only constructive and prudent steps to improve their health. If your biometric screening test results satisfy the Healthy Measures target ranges, you will receive the reward. If not, you will have the opportunity to take the free screening at the next fall enrollment and qualify for the reward. Recommendations from your healthcare provider will be accommodated and can be submitted on an appropriate form via fax to Nielsen Healthy Measures. * Medical premiums are deducted from your salary before federal, state and local income taxes are assessed. However, medical premiums you pay for your domestic partner and his or her children are deducted from your salary after federal, state and local income taxes are assessed. Also, medical premiums you pay for a same-sex spouse and his or her children will be deducted before federal taxes are assessed, but may be subject to state or local taxes depending on where you live. 1

Best Doctors Nielsen offers full-time associates and their dependents covered in a Nielsen medical plan access to the Best Doctors program, designed to help you get answers to health issues, or a second opinion on your treatment, from the country s highest-rated doctors. Visit www.bestdoctors.com to learn more. If you participate in Best Doctors and obtain a recommendations report, you will receive a $100 contribution into your HRA once per year. Health Management Programs Nielsen is committed to the health and well-being of you and your family. While your primary care physician and other medical professionals remain responsible for your medical care, we know that getting time with the doctor can often be a challenge. And even when you are able to get time with your doctor, sometimes you need more like support between doctor visits, information about a new medication or help understanding a new diagnosis. As a Nielsen medical plan participant, you have access to a specially trained team of nurses who will assist you and your family with all your health care needs. Each time you need support, you will be able to connect with the same nurse, so he/she will know you and your family and be able to help you develop a plan that address your concerns and meets your health goals. Best of all, this support is available at no cost to you as a Nielsen medical plan participant. 2

Get answers to all your health-related questions Talk with your personal care nurse about everything from your simple cold symptoms or your most difficult health questions. Think of your personal care nurse and the broader team as your go-to resource for all of your healthrelated issues. Make lifestyle changes Want to shed those extra pounds? Do a better job managing your diabetes? Eat better? Your personal care nurse will connect you with a wellness coach to better understand your health risks and give you the information and support you need to make informed decisions about the lifestyle habits that impact your health. Manage a condition Whether you are expecting a baby, dealing with chronic back pain or looking for help managing your diabetes, your personal care nurse can help. Special support is offered for the following conditions: Asthma Back pain Cancer Chronic Obstructive Pulmonary Disease Congenital Heart Disease Coronary Artery Disease Diabetes Heart failure Maternity Organ transplant Navigate treatment options Get information about a diagnosis, learn what questions to ask your doctor and understand your potential treatment options. Coordinate care for chronic or irreversible illness If you or a loved one is facing a chronic, irreversible disease or medical condition, a nurse will work with you to understand your care goals and coordinate efforts with your family, primary care physician and other health professionals as appropriate. 1-800-459-1495 24 hours a day, seven days a week. While you can call the nurse team any time you have questions or need support, be aware that a nurse may contact you as well if they see an opportunity to help. For example, if you need to be hospitalized, expect a nurse to reach out to you to give you support during your recovery and to help make sure that you don t wind up back in the hospital. Or if you have a condition such as diabetes or high blood pressure and you are not seeing your doctor regularly, having the right tests or getting your prescriptions filled, expect a nurse to contact you. The nurses know your time is valuable so they are only going to call you when they can help. Earn Additional HRA Funding For associates and members who meet program requirements and complete at least three telephonic sessions with a UnitedHealthcare ruse, Nielsen will contribute an additional $250 to your HRA. Nielsen will also contribute an additional $50 to your HRA for participating in a telephonic Wellness Coaching program. A word about confidentiality All of the information shared between you and the nurse team is completely confidential. UnitedHealthcare cannot share any of your medical information with Nielsen, in compliance with all federal privacy laws. 3

Community Based Diabetes Programs Diabetes Prevention Program For those who are pre-diabetic, this program aims to prevent or delay the onset of diabetes. If you or a family member is pre-diabetic, you may be contacted by UnitedHealthcare to participate in a 16-session program in a group setting through a local YMCA or other communitybased organization. The program, conducted by lifestyle coaches, teaches participants how eating healthier and a moderate increase in activity can prevent or delay the onset of Type 2 diabetes by nearly 60 percent. You can also access the Diabetes Prevention Program in an online format that allows participants to create a personalized, interactive experience that includes real-time coaches, peers from across the country, and fun and innovative tracking tools all accessible 24/7. For associates and members who meet program requirements and complete nine group sessions, Nielsen will contribute up to an additional $250 to your health reimbursement account (HRA). Diabetes Control Program For those who have already been diagnosed with diabetes, this program focuses on using network pharmacy providers to help patients follow their physician s treatment plan and provides additional support such as diabetes education, medication management and monitoring any complications. These pharmacists are specially trained and provide one-on-one care in a private setting. All appointments are prescheduled, and are covered as a preventive benefit by Nielsen s medical plans. For associates and members who meet program requirements and complete three pharmacist sessions during the calendar year, Nielsen will contribute up to an additional $250 to your health reimbursement account (HRA). 4

Health Management Resources for All Benefits Eligible Associates Fitness and Weight Program Reimbursement The Nielsen Get Healthy Rewards Program provides all full-time, benefits-eligible Nielsen associates with a reimbursement of up to $100 per year for either fitness club membership or weight management program costs. Through the Get Healthy Rewards Program, you will also have access to discounted fitness club memberships through the International Fitness Club Network (IFCN). This program is administered by Preventure. Tobacco Cessation Program The Health Advocate Tobacco Cessation Program is 100% confidential and free to all fulltime benefit-eligible associates and their spouses or domestic partners. The program provides you with unlimited access to your own personal coach, who can help you set up your own quit plan and support you every step of the way. Coaches are available Monday Friday, 8 am to 9 pm Eastern time at 1-866-695-8622. Flu Care Card To help you stay well during flu season, Nielsen provides a prepaid Flu Care Card to all Nielsen associates and dependents covered in a Nielsen medical plan. Use this card at any participating retail pharmacy* to pay for your flu shot and Nielsen will pick up the tab. You ll receive your prepaid Flu Care Card package at your home address in the fall. It will contain everything you need to know about using your Flu Care Card. * In some states by law pharmacists cannot administer flu shots to minor children. In those circumstances, associates are advised to see their physicians. 5

Medical Plans Nielsen offers two comprehensive medical plans through UnitedHealthcare: the Nielsen Health Fund Premium and the Nielsen Health Fund Value plans. These consumer-driven health plans will help you better see the cost of medical services and make smarter decisions for both your health and your wallet. In keeping with our commitment to our culture of health, in-network preventive care is covered at 100%, with no s, no copays and no coinsurance. Who s Eligible If you choose medical, dental or vision coverage for yourself, you can also enroll your eligible dependents, including your: Legal spouse Dependent children Domestic partner (same or opposite gender) Dependent children of your domestic partner Medical Eligibility Dependent children are eligible for coverage through the end of the month in which they turn age 26, regardless of student or marital status. Dental and Vision Eligibility Your unmarried children (until the end of the month in which they reach age 19 or, if a fulltime student at an accredited school, until the end of the month in which they reach age 25) who are not employed full-time and who are dependent upon you for support based on federal tax guidelines. Unmarried dependent children who are handicapped before age 19 and financially dependent on you can continue their medical/dental/vision plan eligibility beyond age 26 if approved by the carrier. Dependent children include: Your natural children Legally adopted children Children for whom a court has given you guardianship and financial responsibility (following federal tax guidelines) Stepchildren, foster children and domestic partner's unmarried dependent children who reside in your home The definition of eligible dependent children does not include the spouse, domestic partner or children of your eligible adult dependent child(ren). Health Reimbursement Account Nielsen contributes $400 per year to a Health Reimbursement Account (HRA) for you or $800 per year if you enroll your spouse or domestic partner and/or your covered dependents. Your HRA is prorated based on your date of hire. For example, if you start working on June 1, 2014, you can expect to receive 50% of the total HRA. It can be used to pay-as-you-go for eligible medical services, including covering a portion of your. Additionally, in 2014, Nielsen will contribute up to an additional $250 to your Health Reimbursement Account (HRA) if you are eligible and meet program requirements for a Health Management Program. Medical Plans continued The Benefits of Nielsen Plan Details At-A-Glance If you cannot locate an in-network provider within 30 miles of your home (either a primary care physician, a specialist or a health care facility), you may call UnitedHealthcare and request approval to have your out-of-network provider claims processed as in-network claims. You will be required to do this each time you see a provider. If the charges you (or your doctor) submit to your health plan are higher than what the health plan considers normal for the covered service (higher than R&C), then UnitedHealthcare may not cover the full amount charged to you. 7

Medical Plans continued Prescription Drug Program When you enroll in a Nielsen Health Fund Plan, you and your enrolled dependents are automatically covered by the CVS Caremark prescription drug benefit program, which provides you and your family a choice of affordable drugs on the CVS Caremark Primary/Preferred Drug List. CVS Caremark also includes Maintenance Choice for medication used on an ongoing basis. The prescription drug program includes the Step Therapy Program, which encourages the use of therapies that should be tried first, before other treatments are covered, based on clinical practice guidelines and cost effectiveness. Cigna Dental Coverage Nielsen offers two dental plans through Cigna the Cigna Dental Care HMO and the Cigna Dental PPO. Cigna Healthy Rewards Because your dental carrier is Cigna, you now have access to additional discounts from acupuncture to buying vitamins online through Cigna Healthy Rewards. The discounts apply whenever you use Healthy Rewards participating providers. To find them, simply call 1-800-870-3470. Vision Care Benefits VSP, Nielsen s national vision insurer, offers vision coverage to you and your dependents. You do not need to be enrolled in a Nielsen medical plan to enroll in VSP. The Benefits of Nielsen Flexible Spending Accounts When you participate in a flexible spending account (FSA), you set aside money from your paycheck on a pre-tax basis, and then use the money to reimburse yourself for eligible health care and/or dependent care expenses that you paid out-of-pocket. Under IRS rules, if you do not spend the money in your account by the end of the year, any remaining money over $500 is forfeited so you must use it or lose it. If you begin a new contribution during the year as a new hire or because of a qualified status change, you are only eligible to submit expenses incurred from your date of hire or qualified status change through the end of the year. Nielsen offers two FSAs: A Health Care Spending Account and a Dependent Care Spending Account. Employee Assistance Program and Behavioral Health Benefit The Nielsen Employee Assistance Program (EAP) and Behavioral Health benefit provide confidential support for those everyday challenges, and for more serious problems. Through your EAP and Behavioral Health benefit, you have access to a nationwide network of licensed behavioral health professionals who can help you with a wide range of personal issues or concerns. Life and Accident Insurance Basic Life Insurance Through this company-paid plan, you will receive coverage of one times your insurable pay (rounded up to the next multiple of $1,000), up to a maximum of $1 million. Supplemental Life Insurance Through this associate-paid plan, you may elect coverage for yourself, your spouse or domestic partner, and/or your unmarried dependent children. You must elect coverage for yourself in order to enroll your spouse or domestic partner and children. Basic Group Accident Insurance Through this company-paid plan, you will receive Basic Group Accident insurance for you in the event of an accidental death or dismemberment. This plan pays a benefit of up to one times your insurable pay, up to a maximum of $1 million. Voluntary Group Accident Insurance This associate-paid plan pays benefits in the event of an accidental death or dismemberment and is available for you, or you and your family. You may elect coverage in $10,000 increments, up to a maximum of $1 million, for yourself and/or your family. Short-Term Disability (STD) You receive Short-Term Disability coverage automatically at no cost to you after your first 90 days of full-time employment. Long-Term Disability (LTD) You automatically receive Long-Term Disability coverage after your first 90 days of full-time employment unless you actively opt-out within the first 31 days from your date of hire. Evidence of Insurability Proof of good health also known as evidence of insurability must be submitted to and approved by MetLife when electing: More than three times insurable pay or increasing supplemental life coverage any time outside of initial eligibility period Long-Term Disability (LTD) outside of initial eligibility period If evidence of insurability is required, you must complete a Statement of Health and return it to MetLife. The form is available on Fidelity NetBenefits. You will be notified of your approval or denial. Payroll deductions will not begin until after you have been approved for coverage. 9

Retirement Program 401(k) Plan Regular full-time* associates can enroll in the Plan at any time. Part-time associates are eligible to enroll upon completion of 1,000 hours of service in a calendar year. You can enroll, start, stop or change your contributions at any time by visiting Fidelity NetBenefits at www.netbenefits.com/nielsen. Plans include pre-tax and Roth 401(k) after-tax contributions, up to 2014 IRS limits. Nielsen matches up to 50% of the first 6% of your pre-tax and Roth after-tax contributions. The 2014 IRS limits are: Your combined contributions regular pre-tax and Roth after-tax cannot exceed $17,500.
