What is IPIMS.ep? IPIMS.ep, an extensive multimedia knowledge and learning system, is devoted to all areas of Upstream Petroleum technology. In its current form the content database covers all areas of E&P Technology. IPIMS.ep may be used as a comprehensive knowledge resource during job assignments, as a learning system to improve employee performance, and as a means of seeking critical advice from others. Because it is available within the Internet/ Intranet format, individuals may access it from their desktops whenever the need arises. IPIMS.ep is divided into three major subdivisions: ep.knowledge, ep.learning and ep.communication. They, in turn, are divided into several components as explained below. ep.knowledge ep.knowledge consists of two major content databases: Background Knowledge and Practical Knowledge. Background Knowledge is an extensive database of the current technology and practical know-how of the four major E&P disciplines: Petroleum Geology, Petroleum Geophysics, Petroleum Engineering and Formation Evaluation. The content, which consists of all forms of media (video, text and graphics), is vast. It includes over 100 hours of digitized video, 17,000 graphics and 10,000 pages of text and, in the CD version, consists of over 56 CDs. It is organized around an E&P Knowledge Map and Index that allows the user to find specific content with ease. The content is expanded and updated on an ongoing basis by IHRDC specialists in response to recommendations of IPIMS licensees and changes in technology.

Practical Knowledge is both a template and a database. The template allows licensees to capture recommended practices, processes or job related guidelines and store them within an intranet system for later retrieval and application to job assignments. This component is organized around the same Knowledge Map that is used for Background Knowledge. ep.learning ep.learning allows users to pursue both knowledge-based (Background Learning) and competency-based (Action Learning) Learning Plans in E&P technology on an interactive, self-directed basis. Background Learning is a powerful virtual learning resource that allows users to learn about upstream petroleum technology. It consists of 228 interactive Learning Plans in all areas of E&P technology. Carefully built around the award-winning video, text and graphics of Background Knowledge, this major new interactive learning component includes over 3000 multiplechoice self assessment questions that allow a user s progress to be measured and recorded. The Learning Plans are broad in scope and application. Some are ideal for those with nontechnical backgrounds; others will be of interest only to technical specialists. A user may select his or her own Learning Plan, follow one of many development plans that have been specified by IHRDC, or integrate your own company s competency development plans into the system. A Learning Plan may be limited to an individual Topic (e.g., Selection of Grid Systems) or Module (e.g., Fundamentals of Well Testing) or it may consist of a comprehensive self-development program (e.g., Reservoir Engineering).

Challenging self-assessments allow users to obtain immediate feedback on their understanding of the material presented and to record their progress. This system allows a company to identify Learning Plans for each of their employees, which they can pursue on a self-paced basis at their desktop. Action Learning relies on the old adage that "People learn best on-the-job". The foundation of this unique IHRDC learning component is the completion of challenging virtual assignments that are based on actual field data and job competencies that have been identified by senior industry specialists. During the learning process, users complete substantial sets of simulated assignments in order to demonstrate job competency. Pre-selected Background Knowledge is available as needed to support the learning. The performance of each learner is measured and recorded in his or her personal record. The first set of competency-based Learning Plans to be offered is in Integrated Reservoir Management. These were developed by IHRDC in alliance with Petroleos de Venezuela and are based on existing Venezuelan reservoirs and 46 performance competencies identified by IHRDC and PDVSA senior specialists. Each Learning Plan is approximately equivalent to a one-week course of instruction. The first release consists of the Action Learning Plans currently available as described in Attachment 2. Action Learning is licensed as an Add-on to IPIMS.ep. The complete details regarding Usage Fees are found in the IPIMS.ep License Fee section later in this brochure. ep.communication ep.communication consists of Knowledge Communities and Industry News (at ipims.com). Timely Presentations and Management Updates will soon be added. The Knowledge Communities consist of E&P Discussion Groups. User Access to IPIMS A company may license and gain access to IPIMS directly from IHRDC s Internet server or through its own Intranet. The major benefit of a Web-based license is that it can be accessed by many types of platforms (Windows 95/98/NT and Unix) worldwide. For maximum usage a licensee may elect to have access on both its Intranet and the IHRDC Internet site at www.ipims.com. Using the IHRDC Internet site avoids the administrative and maintenance burden on internal IT departments and gives users access to content as soon as it is posted on the IHRDC server. IPIMS Minimum Recommended Hardware and Software The following hardware and software are the miniumum recommended configurations for accessing IPIMS. Setting Up a 30-day IPIMS Trial Account If your company is seriously considering installing a web based learning system and feels that IPIMS meets some or all of your needs, we recommend that you contact one of our sales personnel (ipims.info@ihrdc.com) to establish a 30-day trial account. This will allow you to evaluate the complete system before making a formal license commitment. Most of our licensees have followed this approach. During the evaluation, we recommend that you use our IPIMS evaluation guidelines. You may also ask us to prepare learning programs that satisfy your competency models or integrate IPIMS smoothly into your learning management system (LMS) before the license agreement becomes effective. This way you will gain the maximum benefits from the system when it is installed. Review of License Agreement Once you are ready to review an IPIMS license agreement contact us at ipims.info@ihrdc.com. We will be happy to discuss the licensing option that is most appropriate to your company. Once we receive your executed copy of the agreement, our Media Group will assist you to install the system, make sure that it is fully operational and that your personnel are using it with ease. IPIMS.ep Implementation Workshops IHRDC has developed a special workshop, Achieving Higher Performance with IPIMS.ep, to help IPIMS.ep licensees realize corporate-wide substantial value from this important resource. The workshop introduces the critical factors involved in successfully introducing and effectively using IPIMS.ep as a corporate knowledge and learning system. It can also be used to facilitate a corporate-wide e-learning Implementation Action Plan. During the workshop an IHRDC specialist will: lead your IPIMS.ep users in hands-on sessions to show the system s features, functionality and major uses; demonstrate the effective use of Background Learning and how it can be used to build development plans for everyone in the organization; practice creating a Practical Knowledge data base that links recommended practices and lessons learned to IPIMS.ep Subtopics show how Action Learning Plans are designed and how you can use them to build competency within your organization; explain how the Communications features can be customized to build effective in-house networks; show your administrators how to use the excellent reporting and administration system; and assist you in building an internal Implementation Action Plan. The workshop can be customized to meet your company s needs. Past participants have said that this workshop "really opened my eyes to all the potential that IPIMS holds." Certificate, Diploma and Degree Programs Using IPIMS IPIMS.ep is the foundation of IHRDC s recently announced e-learning Certificate Programs in Oil and Gas Technology Management and a Diploma Program in Upstream Oil and Gas Management. These programs cover the following major topics: Reservoir Management; Drilling and Well Completion Practices; Production and Operating Practices; Upstream Natural Gas Management; and General Management and Business Practices. IHRDC expects to announce shortly that it has joined with one or more major universities to offer its IPIMS users the opportunity to obtain Master Degrees where "distance learning" using IPIMS is a major component of the degree requirements. IPIMS.ep License Fees IPIMS Annual License Fees All of IPIMS.ep, except Action Learning (see below), is offered to individual organizations on an annual license fee basis. Licenses are available on a "per country" basis with the annual fee dependent upon the maximum number of Users licensed to use the system during the year. The Minimum Annual License Fee is $25,000 for the first Licensed Country and $10,000 for each additional Licensed Country. There is no limitation on the number of users that may access the system at any one time. The Annual License Fee for each country can be calculated as follows: Effective: January 1, 2002 Minimum Annual License Fee Number of Licensed Users First Licensed Country $25,000 50 Additional Licensed Countries $10,000 20 Supplemental User Annual Fee Supplemental Users $500/user 51-100 $400/user 101-200 $300/user 201 and above A Licensed User is one that logs onto the system twice during the year. A company commits to the number of Licensed Users at the outset of a license and may increase this number at any time by paying a supplemental license fee for a minimum of 20 Licensed Users. The number of Licensed Users may also be increased or decreased at the time a license is renewed. Up to 30 percent of the User Fees paid for in one year, but unused, may be used in the following year provided the Minimum License Fee has been received for the new year.

Action Learning Usage Fees Action Learning Plans are installed on the servers that licensees use to access IPIMS. In order to gain access to these Learning Plans, the licensee must make an advanced payment to IHRDC as a credit against Usage Fees. A Usage Fee is charged against the credit each time a Learning Plan is selected by a user. An internal counter records the transaction and keeps track of the remaining credit. When the credit has been drawn down, the licensee simply makes a supplemental payment to IHRDC and the counter is adjusted. The Usage Fee for each Action Learning Plan is $US495 and the minimum number of units that can be ordered at one time is 10. Discounts are available for large orders. A demonstration Learning Plan is available for potential clients to pilot test when they open an IPIMS trial account. Annual License Fee Example: A company wishes to license IPIMS in Country X and Y and decides to license a total of 100 users. It will pay the basic fees for Country X ($25,000 and 50 users), Country Y ($10,000 and 20 users) and an additional 30 users ($15,000) that may be used in either country. Within three months the usage grows and it wishes to license an additional 50 users. The Supplemental User Fees will be (400x50) = $20,000. The client also wishes to license 20 Action Learning Plans and will pay ($495 x 20) $9900 for the use of this excellent learning system. Special Licensing Situations Licenses for special situations, e.g. learning management system usage, dispersed groups of employees, unlimited usage, may be subject to individual quotations. Support Services All IPIMS content updates and the support of our Boston-based Customer Support Team are included in the license fee during the license term without additional charge. Design and Implementation Services Licensees often call upon IHRDC to provide specialized services during the planning and implementation of IPIMS. These services may include preparing Implementation Plans for introducing the system within a country, building of competency models, integrating these models into the IPIMS system, delivering IPIMS "roll-out" workshops throughout the company, serving as mentors during key learning stages, and developing new content to meet the company s individual needs. All of these services are offered on an individual service agreement basis. Invoices Invoices will be issued by IHRDC upon the receipt of an executed license. Licensee should make payment within 30 days of receipt of the invoice. Once payment is received by IHRDC, the IPIMS System will be made available to client. Invoices for the renewal of a license will be issued 30 days in advance of the license anniversary date and payment should be received by IHRDC on or before the anniversary date to avoid interruption of Licensee s access to the IPIMS System. Local Taxes Fees and charges are quoted free of all local taxes. If taxes are charged and the invoiced amount not paid in full, IHRDC will issue a supplemental invoice for the amount of the shortfall and Licensee agrees to pay such amount within 10 days of receipt of the invoice.

Attachment 2 Action Learning Plans IHRDC s Action Learning Plans are built around simulated job assignments that allow individuals and teams to develop their competencies in key areas of E&P technology. The first set of Learning Plans to be published by IHRDC concentrate on Integrated Reservoir Management. These nine Learning Plans are described inside. IHRDC

Learning Plan 1: Reservoir Engineering Fundamentals (Completed) Task Summary: Modules: You are part of a team of E&P specialists responsible for evaluating a recent discovery in the Republic of Sucre. Your immediate objective is to determine formation properties and estimate hydrocarbon recovery potential, based on the limited information currently available. This will be the first step in developing a detailed reservoir model and, if justified, a long-term reservoir management plan. Collect representative formation fluid samples and measure their PVT properties. Obtain core material and analyze reservoir rock characteristics. Describe the subsurface stress environment. Use volumetric and material balance methods to estimate the reservoir s initial hydrocarbon in place, define the primary drive mechanisms and determine a primary recovery factor. Use the computer as a tool for solving reservoir engineering problems, managing databases and enhancing job productivity. Review interdisciplinary resources for describing the reservoir. 1. Multidisciplinary Reservoir Management Learning Plan 2: Drilling, Workover and Well Servicing Fundamentals (Completed) Petros Corporation s Drilling Department has asked you to work on several projects related to the Sucre discovery. First, you will develop a well plan and monitor drilling and completion operations for a new appraisal well. Next, you will plan a possible re-entry and sidetrack of Well 5C1-SW, which is currently suspended. Finally, you will perform an initial screening to help determine whether horizontal wells should be considered as part of the reservoir development project. Your assistance with these projects will be of great help to the Drilling Department, which is currently short of personnel due to increased rig activity worldwide. Task Summary: Establish basic drilling parameters (i.e., target depth, formation markers, directional drilling requirements, mud specifications and casing points). Generate a casing design. Monitor and optimize the drilling fluid and hydraulics programs. Plan and execute the casing and primary cement jobs. Calculate the target coordinates and trajectory for a possible sidetrack and re-drill of Well 5C1-SW. Compare the productivity of vertical and horizontal well completions to determine the feasibility of a horizontal drilling program.

Define basic logging parameters, establish log scales, monitor tool responses, and confirm the validity of the acquired log data. Work with the geologist and geophysicist to identify and interpret deformation styles and generate a model of tectonic evolution. Establish correlations of sedimentary sequences to contribute to the definition of the reservoir model. Identify and analyze the depositional envi-
