GuidelinesforLawyersRepresentingLSU TheseGuidelinesareissuedbytheLSUSystemOfficeofGeneralCounsel( OfficeofGeneralCounsel ) pursuanttotheauthorityofpm(permanentmemorandum)"72.theysetforththegeneralbilling, invoicing,andotherpoliciesandprocedurestobefollowedbyattorneyshandlinglegalworkonbehalf oflsuandanyofitscampusesandinstitutions.whiletheseguidelinessetforthlsu sgeneral expectations,theyarenotasubstituteforandarenotintendedtoaffecttheattorney sresponsibilityto exercisesoundprofessionaljudgmentandfollowthehighestprofessionalstandards. 1. ContractsforLegalServicesandRequests 1.1 AlllegalservicesperformedforLSUmustbepursuanttoacontractforlegalservicesassetforthin PM"72,whichisincorporatedinandmadeapartoftheseGuidelines. 1.2 AlllegalservicesperformedforLSUshallbeconnectedwithaparticularRequest(asdefinedinPM" 72)madebyanauthorizedemployee(whosenameshallbeincludedintheRequest)oratthe directionoftheofficeofgeneralcounsel. 1.3 EachRequestshallincludeaRequestIdentifiergeneratedbythecampus,whichshouldbeusedto trackallactivitygeneratedpursuanttotherequest. 1.4 EachRequestshallidentifyaContactEmployee,whowillbetheprimarypointofcontactwithLSU forthelawyerorlawfirmregardingthematterwhichisthesubjectoftherequest. 1.5 AlllegalservicesperformedforLSUmaybesubjecttothegeneraladministrativesupervisionand legalparticipationoftheofficeofgeneralcounsel,asappropriateunderthecircumstances. 2. InitialEvaluation UponreceiptofaRequest,thelawyerwhowillberesponsibleforthemattershallconductaninitial evaluation.thisshouldinclude,atleast,thefollowing. 1
2.1 Atask"basedbudget.ThebudgetshouldcontainsufficientinformationtoallowLSUofficialsto makereasonablecost"benefitdecisionsforthematterwhichisthesubjectoftherequest. Collaborativeeffortswillbeundertakentodevelopasimplifiedsystemtobeuniformlyemployed byalllawyersworkingonbehalfoflsu.nobudgetisrequirediftheleadattorneyreasonably anticipatesthatthematter,andreasonablyrelatedmatters,willtakefewerthan10hoursof billableattorneytime.whenitbecomesreasonablylikelythatthisthresholdwillbeexceeded,a budgetmustbesubmitted,includingabriefexplanationofthereasonforthechange. 2.1.1 Whereappropriate,thebudgetshouldbedividedintophases,identifyingeachphaseand theconditionsunderwhichthenextphasemayberequired.forexample,amatter involvingpotentiallitigationshouldreflectapre"litigationphase,adiscoveryandpre"trial phasewhichwouldbenecessaryiflitigationisfiled,andatrialphasewhichwouldbe necessaryifnopre"trialresolutionismade. 2.1.2 ThebudgetshouldbesubmittedtoboththeContactEmployeeandtheOfficeofGeneral Counselwithin10businessdaysofreceiptoftheRequest,bye"mail. 2.1.3 Thebudgetshouldbereviewedatappropriatestages.Iffactsarelearnedduringthe handlingofarequestthatindicatethatthematterwillrequiremoretimeandresources thanoriginallyapparent,adjustmentsshouldbemadetothebudget.anysuchadjustments, andabriefwrittenjustificationfortheadjustment,shouldbesubmittedtoboththecontact EmployeeandtheOfficeofGeneralCounselpromptly. 2.1.4 UseoftheUniformTask"BasedManagementSystem(availableat http://www.abanet.org/litigation/utbms/utbms.pdf)isacceptableasapplicable,butnot required. 2.2 ForRequestswhichdonotrequireabudget,aninitialactionplanandestimatedtimeline.Thelevel ofdetailrequireddependsonthescopeandcomplexityoftherequest.forexample,anaction planmightconsistsimplyof Reviewdocumentssubmittedbycampus,researchrelevant provisionsofpublicrecordslaw,givewrittenopiniontocampusbytuesday. Theinitialactionplan andestimatedtimelineshouldbesubmittedbye"mailtothecontactemployee,withacopytothe OfficeofGeneralCounsel,promptlyand,exceptinexigentcircumstances,priortoworkbeingdone ontherequest. 2.3 Aconflictreview.Allactualorpotentialconflictsofinterestmustbeimmediatelydisclosed,in writing,totheofficeofgeneralcounsel.waiversofconflictsmustberequestedinwritingandcan onlybeauthorized,inwriting,bythesystemgeneralcounsel.particularsensitivityshouldbeused inconsiderationwithrepresentationofentitieswhichareaffiliatedwithlsu,suchasfoundations. 2.4 Astandardizationreview.PM"72limitsRequestsforlegalservicesforthedevelopmentofcontracts whichhavebeenorshouldbestandardized.lsubusinessprocessesandcontractsshouldbe standardizedtothefullestextentpracticableandconsistentwithsoundbusinesspractices.itisthe 2
responsibilityoflawyersandlawfirmsworkingonbehalfoflsutominimizelsu slegalexpenses byidentifyingopportunitiesforstandardizationandassistingwiththecreationofstandardized contractsandcontractprovisions,sothatnewcontracts(includingleases)neednotbecreated fromscratcheverytime.lawyersmustcomplywiththestandardizationrequirementsofpm"72 andshouldusestandardcontractsandcontractprovisionsprovidedbythelouisianadivisionof Administrationwhereverappropriate. 2.5 ORMInsurancereview.WhereapotentialclaimagainstLSUisinvolvedintheRequest,aninitial reviewshouldbeconductedtodeterminewhetherthepotentialliabilityiscoveredbytheofficeof RiskManagement(ORM)orinsurance.Thisdeterminationshouldbetransmittedwiththetask" basedbudgetortheinitialactionplantotheofficeofgeneralcounsel.ifcoverageisuncertain,the transmittalshallincludethebasisfortheuncertaintyandthestepstobepromptlyundertakenby counseltoresolvetheuncertainty. 3. Staffing 3.1 EachlawfirmshallsubmittotheOfficeofGeneralCounselaproposedlistofthelawyerswhowill beauthorizedtoworkforandbilltimetolsu,whichwillbesubjecttoapprovalbythesystem generalcounsel.nolawyermaybillorworkonanymatterforlsuwithouthavingbeenso approved. 3.2 Allmattersshouldbestaffedwiththeminimumnumberoflawyersorotherpersonnelconsistent withhighqualityandproportionatelegalservices. 3.3 Allmattersshouldbehandledatthemostefficientlevel(partner,associate,paralegal,clerk,or secretary)consistentwithhighqualitylegalservices.allinvoicesshouldcontainsufficientdetailto makeclearthatthelevelofworkisappropriatetothelevelofthepersonperformingit. 3.4 Onlyonelawyerfromafirmnormallyshouldattendmeetings,depositions,mediations,arguments, etc.,unlesstheattendanceofmoreisrequiredtoaccomplishthepurposeoftheevent.theoffice ofgeneralcounselmayrequirepriorwrittenapprovalforattendancebymorethanoneperson. 4. TimeBillingRequirements 4.1 Allinvoicesforattorneyorparalegalhourlytimeshouldcontainatleastthefollowinginformation: 4.1.1 Thedatethetaskwasperformed; 4.1.2 Thenameofthepersonperformingthetask; 4.1.3 Abriefbutdetaileddescriptionofthetaskperformed(e.g.drafted[descriptionof document],orresearched[descriptionofpreciseissueresearched]ormetwith[nameof personorpeople]about[topic(s)ofdiscussion]; 4.1.4 Thetimedevotedtothetask; 3
4.1.5 TheRequestIdentifier(seesection1.3); 4.1.6 Wherepriorapprovalisrequired,thenameofthepersonwhogaveapprovalandthedate andmethodofcommunicationoftheapproval(e.g. approvedbyjohndoe,11/20/07,bye" mail );and 4.1.7 AnyotherinformationrequiredbyR.S.39:1521.1orthecontractforservices; 4.1.8 UseofABATaskBillingCodes(seesection2.1)isacceptablebutnotrequired. 4.2 Timerecordsshouldbekeptin0.1hourincrements,exceptforactivitiestakinglessthan0.1hour thatshouldbegroupedwithotherstoaccuratelyreflectthetotaltimespent(forexample, respondingto3e"mailsin12minutesshouldbebilledas0.2hours,not0.3hours). 4.3 Block"billing(i.e.,chargesthatlumptogetherseveralunrelatedtaskswithasingletotalfortime spentonthosecombinedtasks)isnotacceptable. 4.4 Minimumbilling or unitbilling isnotacceptable.lsuwillpayonlyforthetimeitactuallytakes toperformatask.forexample,ifamatterisrelativelystandard,andittakestheattorneyonlya fewminutestoreviewandmakeminorchangestoastandardizeddocument,onlythetimespent makingthosechangesmaybebilled,notthetimeitwouldtaketoprepareanewdocumentfrom scratch. 4.5 Legalresearchtimeshouldbeseparatelyitemized,specificallyidentifyingeachtopicresearched andwhetherthatresearchwasperformedon"line.absentexigentcircumstances,legalresearch whichresultsinchargesinexcessof$500fortimeandon"linedatabaseexpensesrequirestheprior approvaloftheofficeofgeneralcounsel.thislimitationdoesnotapplyto priorart searches conductedaspartofapatentapplicationprocess. 4.6 LSUwillnotpayfortraveltimewhichisusedtoperformworkforanyotherclient.Traveltime duringwhichnoworkisdoneforotherclientsmaybebilledifdoneduringnormalworkinghours andifitdoesnotcauseservicechargesforthedaytoexceedeighthours. 4.7 LSUwillnotpayforanyofthefollowing: 4.7.1 Preparationofbudgets,invoices,orresponsestobillinginquiries; 4.7.2 AttendanceatmeetingsoftheLSUBoardofSupervisors,unlessthelawyerhasbeen specificallyauthorizedinwritingtoattendbyeitherthecontactemployeeortheofficeof GeneralCounsel; 4.7.3 Clericalwork,whetherperformedbyclericalstaff,attorneys,orparalegals; 4.7.4 Trainingoreducationofpersonnel,includingtimespenttoremaincurrentinthelaw; 4.7.5 Basicresearchonmatterspresumedtobewithinthelawyerorlawfirm sexpertise; 4
4.7.6 Routinesummarizingofdepositionsanddocuments; 4.7.7 Filereviewororganization;and 4.7.8 Inter"officeconferencingamongattorneysorothers,unlesstheconferenceisnecessary eitherforastrategymeetingforanupcomingevent,orwherecounselconsultswith anotherpersoninthefirmtoobtainspecificinputonsubstantiveorproceduralaspectsof thecasethatresultinmoreeffectiveandefficienthandlingofthematter.where appropriate,specificexplanationofsuchmustbeprovidedinthebillings. 5. ExpenseBillingRequirements 5.1 Allinvoicesforexpensesshouldincludeatleastthefollowinginformation: 5.1.1 Thedatetheexpensewasincurred; 5.1.2 Thenameofthepersonincurringtheexpense; 5.1.3 Thenameofthevendor,serviceprovider,expertwitness,orotherpersontowhomthe expensewaspaid; 5.1.4 Abriefdescriptionoftheexpenseandwhyitwasincurred; 5.1.5 Theactualcostoftheexpense(notincludingoverheadorothermark"ups); 5.1.6 TheRequestIdentifier(seesection1.3);and 5.1.7 Wherepriorapprovalisrequired,thenameofthepersonwhogaveapprovalandthedate andmethodofcommunicationoftheapproval(e.g. approvedbyjohndoe,11/20/07,bye" mail ). 5.2 LSUwillpaynomorethantheactualcosttothelawyerorlawfirmofanyexpensesincurred.In otherwords,lsuwillpaynomark"uponthoseexpensesandexpectstoreceivethebenefitofany discountsorrebatesobtainedbythelawyerorlawfirm. 5.3 TravelexpenseswillbereimbursedattheratesandsubjecttotheconditionssetforthinLSUPM" 13,UniversityTravelRegulations(http://www.lsusystem.lsu.edu/pdf/PM/PM"13.pdf)andinthe GeneralTravelRegulationsestablishedbytheCommissionerofAdministrationpursuanttoPPM" 49.Allovernighttravel,andanyexceptionstotheUniversityTravelRegulations,requiretheprior writtenapprovalofthecontactemployeeortheofficeofgeneralcounsel. 5.4 HiringanyexpertwitnessrequirespriorwrittenapprovalfromtheOfficeofGeneralCounsel.The lawyerprimarilyresponsibleforhandlingtherequestshouldconsultwiththeofficeofgeneral Counselintheselectionofanyexpertwitnesses.Expertwitnessfeesshouldbepaidbythelawyer orlawfirmandbilledtolsuasanexpense,unlesspriorwrittenarrangementismadeforlsuto contractdirectlywiththeexpertwitness. 5
5.5 Foranyindividualexpensegreaterthan$500,areceiptorotherdocumentationmustbeincluded withtheinvoice.otherwise,allinvoices,receipts,andotherdocumentationofexpensesshallbe maintainedbythelawyerorlawfirmforaperiodofthree(3)yearsaftertheexpenseisinvoicedto LSU.Theserecordsaresubjecttoreviewpursuanttosection11.2oftheseGuidelinesand R.S.39:1516.Someexamplesofthereceiptsordocumentationthatmustbeobtainedand maintainedaregivenbelow: 5.5.1 Telephoneexpenses adailyitemizationofalllongdistancecallsindicatingthenumber called,whoplacedthecall,andthecharge; 5.5.2 Expressmail acopyoftheinvoicefromthevendor; 5.5.3 Travelexpenses airlineticketreceipts,mileagelogs,parkingreceipts,taxireceipts,hotel receipts,andanyotherreceiptsordocumentationrequiredbylsupm"13(seesection5.3; creditcardreceiptswillnotbeaccepted); 5.5.4 Photocopying anitemizationofin"housephotocopyingchargesindicatingtotalnumberof copiesandtotalamountperentry,orthereceiptforanycopyingperformedbyanoutside vendor. 5.6 LSUwillnotpayforanyofthefollowingexpenses: 5.6.1 Secretarial,wordprocessing,proofreading,filing,officemachineattendants(photocopyor fax tending ),librarianorotherclericalservices(normal,temporary,orovertime); 5.6.2 On"lineresearchfeesfortheuseofcommonLouisianadatabasesinon"lineresearch services(westlaw,lexis,fastcase,etc.),suchaslouisianacases,louisianastatutes, LouisianaAttorneyGeneralOpinions,etc.,accesstowhichshouldbeconsideredoverhead (LSUwillpayactualcostsforthereasonablynecessaryuseofspecializedresearchtools, subjecttotheprovisionsofsection4.5); 5.6.3 Overhead,rent,officeadministration,orotherexpensesproperlychargeabletooverhead, capitalexpensecosts,ortheroutinemaintenanceofoffices,includingairconditioning, lighting,conferencerooms,officesupplies,andfilestorageormaintenance,whetherpro" ratedorotherwise; 5.6.4 Telephoneandfaxexpenseswhichdonotresultinadditionalchargesbythevendor(e.g., localphonecalls,cellularphonecalls,andincomingfaxes);and 5.6.5 Regularfirstclasspostage(LSUwillpayforappropriateusageofcertifiedmail,overnight delivery,andsimilarservices,whichshouldbeusedonlywhenjustified). 6
6. InvoiceSubmission 6.1 Invoicesshallbesubmittedmonthlyandshallincludetheinformationspecifiedinsections4.1 (TimeBillingRequirements)and5.1(ExpenseBillingRequirements).AsrequiredbyR.S.39:1521.1, eachinvoicemustbesubmittedintheformofaswornaffidavit.invoicesmustbesubmittedwithin 30daysfollowingtheendofeachmonth. 6.2 Separateinvoicesshallbesubmittedforeachcampusorinstitution.Withineachinvoice,billed itemsshouldbegroupedbyrequestidentifier(seesection1.3)andbydate.wherefeasible,the ContactEmployeeshouldbelistedforeachRequest. 6.3 Invoicesshouldbeforasinglecalendarmonthandshouldincludealltimebillingsforthatmonth. 6.4 Totheextentfeasible,invoicesshouldincludeallexpensesincurredinthatmonth.Ifanyexpenses areincurredinaparticularmonthbutnobillisreceivedfromthevendorbythelawyerorlawfirm duringthatmonth,everyreasonableeffortshouldbeundertakentoobtainsuchbillsinatimely mannerandincludethoseexpensesinthefollowingmonth. 6.5 Allinvoicesshallbesenttotheappropriatecampusorinstitution,whichshallberesponsiblefor processingandpayment.acopyofeachinvoiceshouldalsobesenttotheofficeofgeneral Counsel,preferablybye"mailinasearchableelectronicformat(e.g.,PDF,Word,orExcelfile,nota scanned"inimageofthepapercopy).eachcampusorinstitutionwillreporttheamountactually paidtothesystembudget&financeoffice. 7. MonthlyReportsandOtherCommunications 7.1 Onamonthlybasis,alllawfirmshandlingatotaloftenormoreRequestsshallreporttotheOffice ofgeneralcounselthefollowinginformationforeachrequest,sortedbycampusandbythe personorpositionmakingtherequest.wherepracticable,thesereportsshouldbeprovidedin searchableelectronicformat. 7.1.1 TheRequestIdentifier(seesection1.3); 7.1.2 Theclassificationofthematter,usingthecategoriessetforthinsection2.4.7ofPM"72; 7.1.3 Theamountbilledtodateandtheamountremainingintheestimatedbudgetcreatedfor therequestpursuanttosection2.1,ifapplicable; 7.1.4 Abriefdescriptionofanysignificantactivitywhichoccurredinthepreviousmonth;and 7.1.5 Adescriptionofanyinstitutionalpolicyimplicationsofthematterifnotpreviouslyreported. 7.2 Onamonthlybasis,alllawfirmshandlingfewerthanatotaloftenRequestsshallreporttoOffice ofgeneralcounseltherequestidentifier,thecampuswhichmadetherequest,thenameofthe ContactEmployee,andabriefnarrativedescribingthematterandanysignificantrecentactivity. Thismaybeincludedwithorwithinthemonthlyinvoice,inwhichcasenoseparatereportis 7
required.additionalreportsandinformationmayberequestedasdeemedappropriatebythe OfficeofGeneralCounsel. 7.3 OnceaRequesthasbeenfulfilledorresolvedandnofurtherlegalworkisneeded,thelawyeror lawfirmshallsubmitabrieffinalreporttothecontactemployee,withcopiestotheauthorized employeewhomadetherequestandtheofficeofgeneralcounsel,indicatingthenatureofthe resolution. 7.4 AcopyofallcommunicationsbyalawyerrepresentingLSUaddressedtothePresident,any chancellororequivalent,orothersystemofficers(i.e.,officialsemployedatthelsusystemlevel ratherthanatanyparticularcampus)shallbesenttotheofficeofgeneralcounsel. 7.5 Unlessotherwisespecificallyagreedinwriting,allresearchmemorandaandanyotherdocuments producedorobtainedpursuanttoanycontractforlegalservicesshallbemadeavailabletolsu uponrequest. 7.6 Copiesofanylegalresearchmemoranda,majorbriefsormotions,andotherimportantdocuments shouldbesent(insearchableelectronicformatwhenpracticable)totheofficeofgeneralcounsel. 7.7 Otherthanconfirmingfactsthatareamatterofpublicrecord,nolawyerrepresentingLSUshould commenttothemediaonanyotherspecificsofanycaseormatterrelatingtolsu,oronany generalmattersinvolvinglsupolicies,procedures,ordecision"making.allmediainquiriesshould bereferredtotheappropriatecampusorsystemofficial. 7.8 Asageneralrule,anylegaladvicerequestedbyacampusorinstitutionshouldbeprovidedin writing,inaprivilegedlegalformat,withacopyprovidedtotheofficeofgeneralcounselbye" mail.forminor,routinematters,informalverbaladvicemaybegiven.whentheopinionofa lawyeristoberelieduponbyacampusorinstitutionforanysubmissionbeingmadetotheboard orthepresident,orwhenthecampusorinstitutionisseekingtheopinionatthedirectionofthe SystemOffice,theopinionmustbeprovidedinwriting,withacopyprovidedtotheOfficeof GeneralCounselbye"mail.Anywrittenopinionshouldidentifytherelevantfacts(orhypothetical facts)onwhichtheopinionreliesandthenameofthepersonwhoprovidedthosefacts. 8. RequestsforAttorneyGeneralOpinionsandEthicsAdvisoryOpinions 8.1 NoAttorneyGeneralOpinionandnoEthicsAdvisoryOpinionshallbesoughtwithoutpriorwritten approvalbytheofficeofgeneralcounsel.anylawyerrepresentinglsuwhohasknowledgeofany LSUemployeeseekingsuchanopinionwithouttheapprovaloftheOfficeofGeneralCounselshall reportthatinformationtotheofficeofgeneralcounsel. 9. Litigation 9.1 Oncelitigationregardingaparticularmatterappearsreasonablylikely,alitigationanalysisshould beperformedtodeterminethebeststrategyforhandlingthecase.meritoriouscasesshouldbe 8
resolvedattheearliestpossibletime.whereliabilitybylsuappearsreasonablylikely,informal mediationshouldbeconsideredinanattempttoresolvethecase,ifpossible,withoutthe expenditureofdiscoverycosts.formalmediationmaybeapprovedbytheofficeofgeneral Counsel. 9.2 WhentheauthorizedemployeewhomadetheRequestortheContactEmployeewillbeacentral factwitnessortheirconductislikelytobecalledintoquestioninlitigation,thelawyershall communicatethosefactstotheofficeofgeneralcounsel,whichwilltakestepstoassurethatthe fact"findingprocessandattorney"clientrelationshipisnotadverselyaffected. 9.3 NocivilactionshallbefiledonbehalfofLSUoranyofitscampusesorinstitutionswithoutapproval bytheofficeofgeneralcounsel.absentexigentcircumstances,defensiveactionsaresubjectto timelynoticeandapprovaloftheofficeofgeneralcounsel. 9.4 Courtfilingsdeterminedbythelawyertobekeydocumentsbecauseoftheirlegalorpolicy significanceshouldbereviewedbytheofficeofgeneralcounselpriortofiling.whatconstitutesa keydocumentwillvaryfromcasetocase.wherethisreviewisrequired,thedocumentshouldbe providedtotheofficeofgeneralcounselatleast5businessdayspriortothefilingdeadline. Responsibilityfortimelyfilingremainswiththelawyer. 9.5 ForcaseswhichexposeLSUtoaliabilitygreaterthan$10,000orwhichinvolvesignificant institutionalorpolicyissues,aninitialcaseevaluationmeetingshouldbeconductedwithin30days ofthecommencementoflitigationbetweenthelawyerprimarilyresponsibleforhandlingthe litigation,thecontactemployee,andtheofficeofgeneralcounsel.thepurposeofthismeetingis todiscussthelawyer sanalysisofliabilityanddamageissues,legalandfactualdefenses,further investigation,anticipateddiscovery,thegoalsexpectedtobeachieved,appropriatemotions (includingsummaryjudgment),casevalue,settlementvalue,and,whereapplicable,alternative disputeresolution. 9.6 Thissection9doesnotapplytomattersbeforetheCivilServiceCommission,unlesstheyinvolve significantinstitutionalpolicy. 10. ResolutionandCorrectiveAction 10.1 Alldismissals,settlements,orotherfinalresolutionsmustbeapprovedbythePresidentorthe SystemgeneralcounselwhenauthorizedtodosobythePresident.Somesettlementsmayalso requireapprovalbytheboardofsupervisorspursuanttotheboardbylaws,andthedelaysforsuch shouldbeconsidered. 10.2 Whenalawyer,duringthecourseofrepresentingLSU,learnsofcircumstanceswhichwould suggesttheneedforinstitutionalremedialaction(e.g.anemployeewhohascommitted misconduct,anunsafephysicalconditiononlsuproperty,inadequateadministrativesafeguards whichcontributetoliability,negligentorsubstandardconductbyanemployeeorcontractor,or possibleviolationsoftheethicscodeorotherapplicablelawsandstateorfederalregulations),this 9
