2 A Word from the Managing Director

Dear Shareholders, You are holding in your hands Unicorn Systems annual report, which summarizes the results of our activities in 2009. This year can be evaluated as successful because we managed to meet our planned goals. We reached a turnover of EUR 44.1 million, almost 90 % of which came from the services provided. A fundamental part of revenues was derived from services in the area of development, operation and support of information systems. The year 2009 was successful for us in terms of gaining projects and new customers abroad. The most valuable deals included winning a tender for the delivery of a software platform for common security analyses of the electricitytransmission system. The tender was announced by eleven Transmission System Operators (TSO), brought together under the TSO Security Cooperation initiative and ensuring the supply of electricity for 170 million Europeans. Another major achievement was winning a tender for the supplier of a business platform that enables participants of the energy market to access the transmission capacity on a submarine interconnector between Great Britain and the Netherlands. The tender was announced by BritNed. All these results are reflected not only in economic success but also in customer satisfaction. We provide quality services which bring high added value, on time and for appealing prices. Our approach has allowed us to develop trustworthy relations with our key clients, Česká spořitelna, Komerční banka, Tatra banka, Česká pojišťovna, Allianz, ČEPS, SEPS or Telefónica O2 and Škoda Auto. Hereby I would like to thank all our partners and clients for their confidence. We greatly appreciate it and we shall enhance it further on by providing high-quality services. Our success would, of course, not have been possible without our outstanding employees and their willingness to contribute their ideas and efforts to the company. I deeply appreciate their work. In 2010, Unicorn Systems plans to increase its turnover. Other priority goals include maintaining the current growth of the international revenue and the revenue from the implementation of business information systems on the Unicorn Enterprise System platform and Unicorn Universe service. Its line of business, as defined under the trade law, is providing software and consulting in the area of hardware and software, wholesale and specialized retail trade. 4

History 2009 Unicorn completed division of its activities into three areas: Unicorn Systems, Unicorn Universe and Unicorn Learning Center. The company moved into a new Executive Briefing Centre in Classic 7. Unicorn Systems launched new significant international projects and maintained its leading position on the market. 2008 A new successful service, Unicorn Universe, was introduced into the market. The service is based on the SaaS (Software as a Service) and provides a full-featured information system for managing a company. Unicorn established a new system of management supporting the protection of the environment and fulfilling legislative requirements related to the environment based on ISO 14001:2005. 2007 The corporation achieved a turnover of unprecedented CZK 1,205 million, while the year-on-year growth was 20 %. Additionally, our activities abroad greatly increased. In September 2007, Unicorn College, a newly established private college of information technologies started its classes. 2006 The holding is divided into three groups, Unicorn a.s., Vigour a.s. and VIG Plus a.s. Each of these groups focuses on its own field of activity. Unicorn provides ICT services with high added value. Vigour concentrates on selection, qualification and training of ICT specialists and VIG Plus focuses on providing benefits to employees from all the three groups. 2005 Unicorn continues to expand its impact both in the Czech Republic and abroad. Unicorn establishes development centers in Plzeň and Brno and a branch office in the United Kingdom. The corporation also becomes a co-founder of European Software Association. 2004 The turnover continues to grow, basic capital is increased to CZK 100 million. All the companies of the holding move into one prestigious residence, Danube House. 2003 The corporation reaches a turnover of CZK 562 million, which is almost triple the turnover of 2000 (174 % growth). 2002 Unicorn Holdings is transformed into Unicorn a.s. with an increase in basic capital of CZK 87 million. 2001 Unicorn opens a development center in Hradec Králové. 2000 Unicorn receives ISO 9001-2000 certification. In the same year it expands internationally and establishes daughter companies in Croatia and Slovakia. 1998 Individual business units of Unicorn are divided into independent daughter companies of Unicorn Group. 1997 The company financially strengthens its activities in the area of information systems and technology. Unicorn incorporated company is established. 1996 Unicorn expands the portfolio of its services which are closely linked to the software development itself and include consulting services, technology distribution, training and maintenance. 1995 Unicorn expands and develops a more complex structure. Unicorn Group is established and after some time becomes the core of the Unicorn companies. With its development a new system of employees is created under the umbrella of Vigour. 1992 Unicorn reaches a turnover of one million American dollars. 1990 Vladimír Kovář establishes a company called Unicorn.

Economic Results Earnings Development Unicorn Systems is a part of Unicorn holding which has been providing comprehensive services in the field of information systems and information and communication technologies for the past 20 years. Long-term growth of the company is one of the fundamental objectives of the corporation. In 2009, Unicorn Systems solidified its position in the market. The consolidated turnover of the company reached EUR 44.1 million while, traditionally, more than 87 % of the turnover came from services. Major part of revenue was derived from services in the area of development, operation and support of large information systems. mil. Revenues until 2008 are stated for the Unicorn holding. In 2009, the Unicorn holding managed to slightly increase its turnover. Employee Development By the end of 2009, Unicorn Systems and its partner, Vigour, together employed over 700 employees. The average age of our employees was 28. Each new employee completes a series of introductory trainings where they not only learn more about skills required by their position but also about the company s culture. After the training ends, our employees obviously continue developing their skills. Unicorn Systems considers education a continual, never-ending process. 6

Successes of 2009 Unicorn Systems achieved positive results in projects in the areas of banking services, insurance, energy, telecommunications and industry. Komerční banka Application DISPO The DISPO application is a key system of Komerční Banka supporting two fundamental processes for debt recovery, the so called soft collections and hard collections. Not only does it integrate information from other KB systems, but it also allows to easily define the strategy of collections. In the sixth phase, Unicorn Systems realized the implementation of additional customer requirements. KB required to introduce new groups of clients in the collection process, to automate the collection of information, to extend the audit of manual operations and to generally simplify the work with IS DISPO including its administration. Allianz Application CHEX In the first phase of the CHEX project, Unicorn Systems developed and deployed an information system for automation of insurance claims handling processes and their subsequent processing, including visits of an insurance inspector. This solution was built on the IBM TeamWorks platform. Tatra Banka Package Redesign GATE allows workers of Tatra banka a comprehensive view of clients registered in other banking systems, not only from the perspective of information relating directly to the clients but also in terms of products and services they use in Tatra banka. The package redesign, which was successfully deployed, brought a comprehensive solution for opening of current accounts with a service package. The main objective was to replace the old system of solving the opening and changing of package current accounts and to automate and de-duplicate various manual steps. ČEPS Damas Energy In 2009, Damas Energy was deployed. It was a third version of the system which brought major technological and conceptual changes. Damas Energy is a comprehensive solution for most business processes of the European Transmission System Operators (TSO). Thanks to its unique properties, particularly in terms of configurability and flexibility, Damas is becoming a widely used platform for many applications in the field of electricity industry and beyond. National Grid and RTE IS for Trading with Capacities to Transfer Power between Great Britain and France Unicorn Systems began the operation of information system for trading with the capacities for electricity transfer between Great Britain and France. The Damas information system provides comprehensive services for the allocation, administration and management of cross-border electricity transmissions on a submarine interconnector between the British provider of transmission systems National Grid (NG) and the French Réseau de Transport d Electricité (RTE). It is a fully outsourced solution. Unicorn Systems provided the development and deployment of the system, but also delivered necessary infrastructure and provides hosting operation of the whole solution, including user and operational support. Data Boxes Together with the introduction of egovernment Information System Data Boxes (ISDS) Unicorn Systems presented an application for management of data boxes on the MS SharePoint platform. This solution helps small, medium and large companies to streamline the exchange of data messages with the public administration agenda and optimize their internal processing. This solution is being used by dozens of clients throughout the Czech Republic such as Česká pojišťovna, Seznam.cz, PHOENIX medical wholesaler, SITA CZ or Hradecká lesní a dřevařská společnost. Vodafone Testing of Applications Unicorn Systems has become one of Vodafone s strategic partners in the supply of capacities for testing. It has provided for Vodafone performance-testing of the Mobile2Web project. Mobile2Web is a portal with many functionalities common in community portals and many others serving customers of Vodafone. Telefónica O2 Project Management Office Unicorn Systems provided for Telefónica O2 CZ with the Project Management Office (PMO) service within the realization of ICT projects. The service includes providing methodology, consultants, and the Unicorn Universe for management support and information sharing. DHL Comet Testing Unicorn Systems executed complete performance tests of the Comet application, created on the Siebel platform, which ensures all-encompassing support of the DHL business structure. The overall preparation of tests, including testing of data, execution and evaluation of tests and complete administration of the testing environment was provided as a service to DHL.
