The Bank's managerial team is finalized Since its creation, on 3 December, 31 managerial positions have been filled, in addition to all of the new company's governing bodies Everything is in place to be able to initiate operations on 1 January, having complied with all legal requirements and formed the management frontline 30 December 2010.- The presidency of the bank formed by Caja Madrid, Bancaja, La Caja de Canarias, Caja de Ávila, Caixa Laietana, Caja Segovia and Caja Rioja has today appointed twenty one new operational managers, who will constitute the executive frontline of the number three financial institution in Spain. These appointments take the total number of managers appointed since the new bank was officially constituted on 3 December, and the names of the executive frontline announced, to 31. The new company, which is registered under the name Banco Financiero y de Ahorros, S.A., finishes 2010 with its main managerial frontline in place, all legal procedures complied with and in place, before the prescribed period, and all other issues dealt with, in anticipation of beginning operations on 1 January 2011. The new bank becomes the first IPS to have all of its management frontline appointed. Integration in record time In the space of merely six months the integration work initiated on 10 June 2010 has been completed, the seven savings banks arriving at an agreement to form an IPS, and henceforth fulfilling all necessary commitments. This timeframe is a record for one of the most complex integration processes in the history of the Spanish financial system, and given the number of institutions concerned (seven, spread over six autonomous communities), its territoriality (present in all provinces), its market share (11%) and turnover (390,000 millions). On 20 December, Ignacio Navasqüés was appointed as Vice Secretary of the bank, Adolfo Porcar as a Legal Divisional Director, and Teresa Arellano as Presidency Coordinator. The new bank will officially initiate activity on Saturday 1 January with the integration of its financial, treasury, capital market, risks and general 2

intervention policy. The launch of the corporate website is planned for the same day. ANNEXE I: Appointments 30 December General Financial and Risk Management Carlos Stilianopoulos. Chief Financial Officer Graduate in Economics from the University of Richmond (United Kingdom). He is the Director of Treasury and Capital Market at Caja Madrid, where he has also served as Director of Origination and Unionisation. He was also Director of Origination of Banco Santander and head of origination, distribution and trading for Banco Santander de Negocios. Whilst at Banesto, he was responsible for the Eurobonds Trading Desk. Antonio Román. General Administrator Graduate in Economics and Business Studies from the Complutense University, Madrid and Master in Business Administration from the Drake University of Iowa. He is Director of Control at Caja Madrid and Chairman of the Board of Caja Madrid Pensions, as well a member of the boards of Globalvía Consultant, MAPFRE Caja Madrid Vida, SPPE and Promomadrid. At Caja Madrid he has also held the positions of Marketing Manager, Director of Business Madrid North, Scheduling and Control Director, and Director of Planning. Juan Bartolomé. Director of Property Asset Management He is Risk Director of Caja Madrid, as well as chairman of the Board of RESER Auctions, Deputy Chairman of the Spanish Mortgage Association, and Consultant to Tasamadrid, Banco SF Caja Madrid-Mapfre and Venture Capital Madrid. He has also occupied various other positions at Caja Madrid, including Promotions Director, Assistant Manager of Retail Banking, Area Commercial Director of Financing, and Director of Business Madrid South. Carlos Torres. Director of Organisation and Innovation Project Branch Graduate in Economics and Business Studies for the Complutense University of Madrid, Chartered Accountant and member of the Registry of Auditor of Accounts Economists. He holds a Master s in Financial Directorship from the IE Business School. He is Executive Director of Organisation and Innovation for Caja Madrid and has previously carried out the positions of Managing Director of HR Development, Director of Corporate Banking and Regional Director of Alicante and Murcia. 3

He is Director of Strategic Development of Cibeles and has served of Head of Special Investments, Director of Investment Analysis and Monitoring, and Corporate Development Director at Caja Madrid. Vicepresidency Miguel Morillo. Coordinator of Vicepresidency With a degree in Economics and Business Studies from the University of Valencia, he is also an Auditor. He has attended several postgraduate courses at the IESE and the University of Valencia. He is Director of Corporate Development at Bancaja, and a consultant for Aseval, Bancaja Bancassurance, Bancaja Asset Management, Arcalia Sociedad de Valores and Invercalia. He has also occupied various executive positions in Bancaja, in the Financial Management and Management and Control of the Group of Investee Companies departments. 7
