The first service charge becoming due 5 days past the due date of the invoice. Any additional work outside the scope of this proposal must be quoted separately by Tempo Creative, Inc. and signed off on by the client. Any missed deadlines, delays or slowdowns in work due to the client are the responsibility of the client and may result in additional hours billed to compensate for the scheduled time lost. Hosting, Maintenance Packages, Organic Search Engine Optimization, AdWords Management and Email Marketing accounts require a 12- month minimum service commitment starting on the sign date unless otherwise agreed to in writing. Time accrued on Maintenance Packages banks and can be used at any time unless the client has a past due account or the client opts to terminate their account with Tempo Creative, Inc. A $350 early termination fee will be due for each account that is terminated early. All work performed is licensed for use by Tempo Creative, Inc. and becomes the property of the client after payment in full. In the event of litigation the client waives their right to a jury trial and agrees to mediation. All legal proceedings will be held in Maricopa County, Arizona and all costs including collections, attorney, court costs and legal fees or otherwise shall be borne by the client.
