Project Development & Finance While focusing on renewable power, clean fuels, fossil fuels, and energy consumption management, the Energy Team serves clients who develop, invest, or lend in the building, operation, or management of renewable energy projects. Our clients include companies at all stages of development from publicly-traded companies developing or investing in multi-billion projects to mature mid-market development companies to young innovative companies raising venture capital and private equity. Using our advanced expertise in bioenergy, biofuels, renewable chemicals, solar, data centers, and energy storage, the Energy Team has negotiated and structured contracts and agreements, including some of the largest solar power purchase agreements in the U.S. Our strong track record in creative and government financing has helped numerous clients qualify for federal loans and grants from the U.S. Department of Energy and the U.S. Department of Agriculture as well as cross border financing from the U.S. Export- Import Bank, the Overseas Private Investment Corporation, foreign export banks, and multi- and bi-lateral finance institutions. Prominent experience includes: Handled all legal aspects of the development and sale of a 20 MW solar farm in North Carolina, including the project s joint development agreement, PPA negotiation, real estate matters, EPC contract, and construction financing. Advised developer in all aspects of project development and finance for an innovative biomass-to-advanced biofuels project in North Carolina and another in Oregon, both using a biomass-to-advanced biofuels USDA loan guarantee. Represent energy storage companies in negotiating some of the first energy storage agreements with major utilities under California s 1.3 GW energy storage mandate.
Energy Investment With the energy markets in a constant state of flux new technologies, price changes, new regulations having knowledgeable and trusted advisors can prove invaluable to investors and investees. While concentrating on renewable energy, investment, asset acquisition, and clean energy technology development and finance, we help our investor clients such as banks, lending institutions, and private equity funds make optimal deals when financing and investing in energy assets. Likewise, we also help our investee clients negotiate and structure the most economical investments from investors. To ensure our clients success, our Energy Team offers a wide range of services, including investment fund structuring, private placements, project refinancing, project restructuring, master limited partnerships, YieldCos, real estate investment trusts, other IPOs, holdcos, and core agreements and documents such as subscription agreements, private placement memoranda, S-1s, and M&A agreements. Prominent experience includes: Assisted waste-to-energy and cleantech private equity fund with fund formation, capital deployment, and asset management. Advised leading global commodities firm in the due diligence and potential equity investment in a U.S.- based natural gas-to-liquid fuels project. Represented U.K. private equity fund in the sale of a landfill gas portfolio.
Energy Procurement While focusing on commercial and industrial renewable energy, data centers, project development, energy efficiency, energy storage, and microgrids, our Energy Team helps consumers of electricity procure energy in a sustainable and cost-effective manner. We stay abreast of new energy technologies, energy price fluctuations, changing debt financing, equity fund mechanisms and programs, and actionable regulatory matters to best advise our clients on current or anticipated regulatory and market conditions as well as procurement challenges and opportunities so clients can make smart choices in a perpetually changing energy economy. Specifically, our attorneys help clients evaluate energy procurement strategies and manage energy consumption, resulting in reduced costs and risks, diversified assets, and increased corporate responsibility. As part of our representation, we negotiate and draft contracts and agreements, structure transaction financing, provide tax advice specific to energy matters, assist with request for proposals (RFPs), advise on regulatory and government affairs matters, and offer insights into the global energy markets. Prominent experience includes: Counseled pharmaceutical company on all aspects of development of a 4 MW solar array. Assisted international manufacturing company in negotiating a power purchase agreement for biomass energy. Represented a major utility company in multiple sourcing transactions involving procurement of technology platforms, IT services, and core business processes worth more than $500 million.
