2 TERMS OF TRADE - KEY DETAILS By agreeing to work with Web Wonks, you agree to our payment terms. Deposit Web Wonks will raise a 30% deposit invoice upon acceptance of any quotation. This invoice is required to be paid within 7 days before any project commences. Progress Payments Once a project / retained job has commenced, an invoice will be raised on the first of the month for a percentage of the project / retainer and will be due on the 20th of the following month. This progress invoice amount will be indicated within the approved quote and agreed to by the client. The client agrees to pay these progress invoices on time and Web Wonks may stop all work on the project if these payment terms are not adhered to and additional charges may be incurred. Termination The Client is responsible for all time spent on the project, if the project is terminated at any point the client is still responsible for the full amount of the quoted work. Indemnification by Client Client agrees to indemnify Web Wonks Ltd from any and all damages, liabilities, costs, losses or expenses arising out of any claim, demand, or action by a third party. Additional and Resource Costs Web Wonks quotes include our fee only. Any and all outside costs will be billed to the Client unless specifically otherwise provided for in the quote. These include services such as AdWords, MyDataRank, Crazy Egg, Optimizely and any other tool that is required for the project. We will endeavour to disclose any additional costs at the earliest possible opportunity. This almost always happens during the initial quoting period, though third parties may increase fees without warning. / 2

3 INFORMATION HELD BY WEB WONKS 1 Our Company Ethos 1.1 Always impart value to the client - it is from this starting point we seek to liberate our clients from the bad practice often displayed in the digital industry. 1.2 As a company it is our job to independently advise you our your rights and responsibilities. We take pride in helping to reduce fees for our clients - from us, or from any other service provider. 1.3 As a mark of respect to you, we will always engage with your company in a professional and courteous manner. Please do the same. 1.4 We know that digital services are sometimes un-seen. At all times we try to be clear with the service provision you are receiving, if you have a query about any job, please your account manager and they will explain the work completed. 2 Your Company Data 2.1 We will retain your company details for the purposes of communication and completing work. 2.2 Unless expressly authorised in writing, we will not give access to your details to any third party. 2.3 Your contact details may be used for correspondence from our team. You may unsubscribe to our database at anytime. 3 Your Third Party Data 3.1 Through the course of completing our work on behalf of our clients, we create a master Google account/s. In every case this account will be used to link digital products on your behalf. You own this account. 3.2 We do however retain an internal record of the master account login details. This is to ensure we can have access to your accounts while we conduct our work, as well as leaving your company with a final backup login, in the event your team can no longer gain access to your accounts (ie, a staff member leaves) 3.3 You may request in writing these login details at anytime in writing. 3.4 Your data may be used for research and development purposes. Your specific details will not be disclosed to a another party unless you have given express written consent. 3.5 You may terminate connection to Web Wonks at anytime. Please note an additional fee is chargeable if we are removed from your accounts and then have to reconnect in order to diagnose, or resolve an issue. / 3

4 ACCOUNTS PAYABLE TERMS: 1 Quotes 1.1 Web Wonks will raise a 30% deposit invoice upon acceptance of any quotation. This invoice is required to be paid before any project commences. 1.2 Upon written acceptance of a quote, the job is then pushed to both our operations and accounts teams. 1.3 An invoice is generated on the day you accept the quote and is due on the 20th of the following months. eg, if you accept a quote on the 28th of October, it will be due on the 20th of November (less than one month). If you accept a quote on the 1st of November, it will be due on the 20th of December (more than one month). 1.4 If very few cases we may be asked to complete jobs urgently. In those cases we will give a verbal estimate and will issue an invoice upon completion of the job. 1.5 We are aware that some jobs can take longer than the expected timeframe. If through no fault of Web Wonks we were unable to complete the work, you will still be liable for any work we were able to complete. 1.6 Once a project has commenced, on the 20th of each month that the project is in progress, an invoice will be raised for a percentage of the project. This progress invoice amount will be indicated within the approved quote and agreed to by the client. The client agrees to pay these progress invoices on time and Web Wonks may stop all work on the project if these payment terms are not adhered to. 1.7 Web Wonks quotes include our fee only. Any and all outside costs will be billed to the Client unless specifically otherwise provided for in the Quote. These include services such as Crazy Egg, Optimizely and any other tool that is required for the project. 1.8 The Client is responsible for all time spent on the project, if the project is terminated at any point the client is still responsible for all time spent on the project to date. 1.9 All accepted quotes are treated as the full and final agreement for the work to be completed. Please ensure you are 100% happy with a quote before you sign it off, as we will still charge the full amount regardless of your termination of the job subsequent to signing the quote off. / 4

5 ACCOUNTS PAYABLE TERMS: 2 Invoices 2.1 Payment is due on the 20th of every month. 2.2 If for whatever reason you are unable to pay your invoice in full, please contact us in writing at your earliest opportunity to arrange for a payment schedule to be put in place. 2.3 Overdue payments later than 28 days will result in all work on your account stopping. 2.4 Overdue payments later than 56 days old will result in a 10% immediate interest penalty and will then accrue a further 10% per month until the invoice is cleared. 2.5 If your account remains unpaid after 90 days it will automatically sent to debt recovery (unless arrangement for payment has been made with the accounts receivable team). 2.6 If your account is sent to debt recovery all costs in relation to collection of overdue accounts will be added to your account. 2.7 If your account is overdue for longer than 90 days, we reserve the right to retain control of any and all accounts created and managed on behalf of your business until the amount is paid in full. / 5

6 YOUR GOOGLE ACCOUNT & WEB WONKS TERMS: 1 Google Account 1.1 Your company retains full ownership over this account. 1.2 We will create a single Google account using a unique address for the purposes of completing a master account setup. 1.3 Please be aware we must name this account with a real person. 1.4 You will be asked to verify this account with a mobile phone number. This will preferably a company owned mobile, as it will be used for ownership purposes in the future. 1.5 Web Wonks will attach a secondary recovery from a Web Wonks domain address. This is to help with security of your account. 1.6 Web Wonks will retain the master level access to this account internally. This allows us to manage work on your behalf, and also helps to keep the account clean from one single person using it for their own requirements - you want this account ONLY for digital marketing. 1.7 We will link any staff, or personnel of your choosing to any Google product you wish us to. 1.7 We keep a secure record of your account details. You may request these details in writing at anytime. *Please note our terms in no way alter or change the terms and conditions for owning a Google Account. / 6

7 YOUR GOOGLE ANALYTICS ACCOUNT & WEB WONKS TERMS: 1 Your Google Analytics account 1.1 We endeavour gain master control over your Google Analytics account using our master Google Account. 1.2 In addition to adding this gmail account, we also link the master Web Wonks address google@ webwonks.co.nz. 1.3 We request an address from your company, so that you can manage your own property. 1.4 In some cases we cannot get access to the full admin of your account. In these instances, you will be made aware. 1.5 In some critical cases there is no known way to reclaim an Analytics account and you may be at risk of losing all your data. We recommend you make the hard choice of control, over keeping the data from the old account. If you find yourself in this situation be sure to exhaust all options available to you to reclaim control. 1.6 If we have installed Tag Manager into your website, we will shift the Analytics Tag into the tag container. 1.7 If we have created an AdWords account we will connect Analytics also. 1.8 If we have access to your Webmaster Tools account, we will connect it with your Analytics account. 1.9 If your Analytics is connected to a master account with a Google Plus Page, these two products will auto connect. *Please note our terms in no way alter or change the terms and conditions for owning a Google Analytics Account. 8 YOUR GOOGLE ADWORDS ACCOUNT & WEB WONKS TERMS: 1 Your Google AdWords account 1.1 We will create a master AdWords account using our Master Client Center (MCC). We use a Google AdWords MCC to manage all of our clients AdWords accounts. 1.2 Your master Google Account will be connected as a full administrator to your Google AdWords account. 1.3 Your company wholly owns this AdWords account and your may remove MCC level management at anytime. 1.4 You will be asked to add your company credit card details. We encourage you to view the billing terms and conditions for Google AdWords, as we are not responsible for ad charges to your account. 1.5 Where we have express management in place for your account we will set a daily budget for your account. At times there may be a variance to this amount by a small amount - please see AdWords Terms for more. 1.6 Unless by written authorisation, all Ad campaigns will end after a 28 day period. These may be restarted by accepting a quote for further management, or by logging into your account and restarting the ads. 1.7 We are not responsible for what you represent in your ads. 1.8 You agree to indemnify us for any actions related to the advertising, that we as your agent, are asked to serve on any network. 1.7 If we have created an AdWords account we will connect Analytics also. 1.8 If we have access to your Webmaster Tools account, we will connect it with your AdWords account. 1.9 If your AdWords is connected to a master account with a Google Plus Page, these two products will auto connect. *Please note our terms in no way alter or change the terms and conditions for owning a Google AdWords Account. 9 YOUR GOOGLE ADWORDS ACCOUNT & WEB WONKS TERMS: 2 Promotional Code 2.1 Every new account is eligible for a $100 AUD promotional code. You must have entered your credit card details and have made a payment of at least $25 AUD to be eligible for the credit. 3 Account Setup 3.1 As above, we create Google AdWords accounts using an MCC and your a master Google Account. 3.2 We encourage you to gain admin access using an address that has not yet connected to an existing Google AdWords account. See your account manager for more information. / 9
