1 SEO Service Levels, Terms and Conditions Thank you for choosing WSI Yorkshire for your Internet Marketing. So that we start off on the right foot we are giving you some information on what you can expect from us. In this document we will detail the following areas: What have I bought? What happens next? What are the Service Level Agreements? Who do I contact? What happens if I am not happy or if I want to cancel? What have I bought? Search Engine Optimisation is the process of improving the visibility of your website within the search engines via organic search results. In general, the higher ranked on the search results page, and more frequently a site appears in the search results, the better your website will do. Each month we will complete a range of tasks as described below to improve your website in terms of SEO. We will perform such tasks that are equivalent to the time and expertise that you have paid for, this will depend on the structure of the site and which area we feel needs most attention and every site is different. Specific services agreed to, are outlined in the proposal and confirmed on our invoice to you. Optimisation Tasks: Keywords Researched Keyword Research is critical to the success of any Internet Marketing Campaign. It is important to understand how many times that keyword phrase is being searched, how competitive that market is, and what type of variations people are searching for. We will agree the final selection of keywords with you. Number of Keywords Optimised This is the number of primary keyword phrases that will be optimised. You have purchased SEO on a number of Keywords. Number of Pages Optimised In order to achieve results, it is important to optimise the page with your keyword phrase. Typically, each page should be focused on one keyword phrase. However, other pages on your site need to be optimised as well to help with the sites overall performance. Navigation and Design Optimisation (SEO Tidy Up) This process will involve HTML code cleanup ensuring the search engines can crawl the page effectively and index accordingly. Design optimisation involves our team making recommendations on the layout of the site to help with conversions. 2 HTML Code Meta Tags with Content Optimisation This process involves our team strategically placing keyword phrases in: Title Tag Description Tag Keywords Tag H1 H2 H3 and H4 Tags Body Page Names Internal Links Incoming Links ALT Tags URLs Note: Our team will determine where the keyword phrases should be placed to get the best results. Images and Link Optimisation Image optimisation involves naming images accordingly for optimisation purposes. This is defined by the ALT tag so search engines understand what the image is about. Directory Submissions Your site will be submitted to relevant directories to drive traffic from directory searches and help build incoming one way links to your website. Number of One Way Links Having one way links pointing back to your website from sites helps build your sites credibility. Essentially, the more websites that are linking to you the more popular you are in terms of the search engines and the more likely you will be ranked higher. However, it is not quantity that is important, but quality. Social Bookmarks Created Having users bookmark your site to online bookmarking communities, helps drive targeted traffic from those social bookmarking sites, but also helps increase the number of high quality links pointing back to your site. Blog or Article Postings (Content Provided by Client) Search engines love blogs because they usually provide fresh content and are updated frequently. Our services will ensure your content is optimised accordingly and syndicated to blog search engines. If you are unable to provide the content on a timely regular basis we can offer a paid copywriting service, however, we strongly recommend that you do provide this content about your business and services yourself, for accuracy and best impact. If you are unable to supply the content for Blogs we will attempt to create this for you, however, unless you pay for an additional copywriting, this will be at the expense of other services e.g. time spent on writing articles will displace time spent on link building. steve@wsi ebizsolutions.biz Tel Page 2 of 7

3 What Happens Next? In the first month we will complete the SEO Set up which involves the following tasks listed below, it is important that we start off with a baseline understanding of your website and ensure we have the foundations correct to enable us to build on the SEO in the preceding months. Initial Analysis We will analyse your site, competition and needs and prepare a work plan, this is for our internal use, if you require a written analysis and report this will be an additional cost and depend on the extent of the works requested. XML and HTML Sitemap & URL List Creation Having a sitemap gives your website visitors an understanding of all the different pages of your website. An XML Sitemap and URL List works similar but it is not meant for your visitors it is for the search engines so they understand all the different pages your website has. This also helps search engines index pages that might be missing from their database. W3C Validation Checking to see if your site passes W3C Validation Test for accessibility purposes. Google Analytics Setup (if paid for) This involves adding a tracking code on each page of your website so we can measure visitor behaviour on your website. Who do I contact? You will be assigned a dedicated account manager to work on your website and report back to you on a monthly basis. You can call the office Monday to Friday between 9am and 5pm to discuss your campaign on Outside of these hours we have an answering service so that you can leave a message. If you are unhappy with the service or campaign your first step should be to address the issue verbally or by e mail with your account manager, we will do our best to accommodate your concerns, it may necessitate a review meeting where we can analyse the campaign and your concerns in more detail. If you are still not satisfied, please feel free to contact our owner and Managing Director: Stephen Harvey Franklin steve@wsiyorkshire.co.uk Steve will call you to see how we can best rectify any issues. If you still wish to cancel, then simply notify us by e mail, giving at least 30 days notice, the notice will be to terminate after the next full month, usually this entails paying the current invoice that you have, we will then ensure a smooth handover, we are keen to maintain good relations and many customers do return back to us after they have paused a campaign. steve@wsi ebizsolutions.biz Tel Page 3 of 7

4 What are the Agreed Service Levels? Purpose: To provide the You with Web based services such as Search Engine Optimisation (hereinafter referred to as SEO ) and other web based services, outlined in this document, on the your website/s. Your Obligations: You must appoint one internal contact person, identified at the end of this agreement, who will serve as the final decision maker and be authorised to provide timely approval, in writing, for all required sign off stages. The Contact will be available for consultation with the WSI Yorkshire project team members, as needed, during normal business hours. The Sign off Stages will be: Final Keyword/phrase Approval keywords and phrase in the proposal must be approved in writing within 10 business days of the execution of the Service Agreement. Keyword/phrase Integrated Content You must provide WSI Yorkshire with content integrating the final approved key phrases (the SEO Content ) for the website within 45 days of Keyword/phrase Approval. You will provide all of the additional text and graphical images (the Graphical Content ), for use in your website. FTP Access: You must provide WSI Yorkshire with full FTP access to your website. Removal of or restriction of access may relieve WSI Yorkshire of its obligation under this agreement (recommended); or In the event that you cannot or will not provide WSI Yorkshire with Full FTP access, WSI Yorkshire will provide you with instructions how to populate your website with SEO Content. WSI Yorkshire will review your site for accurate SEO content population and work with you to correct any errors; however, we are not responsible for any delays or losses caused by your failure to follow instructions provided by us. SEO Works Completed by WSI Yorkshire: We will assist you determining the keywords and keyword phrases people are using to identify or find your services. However, final selection and approval of the keywords and key phrases will be your responsibility. We will modify the content of your website to the extent necessary to incorporate the keywords and/or phrases exactly as they appear in the Final Key Phrase Approval. We reserve the right to refuse to perform any black hat actions, as determined/defined by current industry standards. Black hat actions include any SEO actions which are considered within the industry to be misleading, unfair, deceptive or otherwise unacceptable. Each month we will apply a mix of link building techniques such as article submissions, blog commenting and social book marketing. The volume of work carried out each month depends on the number of keywords and their competitiveness within the market, and the package that you have paid for. We will manually check the page ranking for each of your keywords or key phrases, exactly as listed in the Final Approval, once monthly, and provide these results. Our Search Engine Optimisation methods may add keywords to the body of your website page(s). This may change the way text on your page reads. For Example If you choose Holmfirth Product Design as one of your keywords, We will list the exact phrase Holmfirth Product Design in the body of your page. You cannot substitute Holmfirth Product Design with Product Design Company Huddersfield. We might not achieve page one ranking if Company does not use the exact keyword or phrase on your web page(s). 5 Reporting We will send you a monthly report no later than the 12 th each month of comprising: Reported positions for keywords that we are specifically working on Reported positions for associated keywords Additional activities completed (only if these were highlighted in the previous month s recommendations) Recommendations to assist SEO or onsite conversion Ad Hoc Analysis as seems appropriate to us at the time Term and Payment: The set up fee is fully payable and upon the execution of this Service Agreement. ie in advance of the service delivery, this helps us keep our costs to you down and avoids unnecessary unpaid overhead. You will be invoiced once monthly In advance, on the 1st of each month, beginning on the first full billing cycle after execution of this agreement. Payment is due, in full, within thirty (30) days of the date of the invoice. A standing order or direct debit must be set up for the regular monthly payment. Late payments and cheques returned for insufficient funds may be subject to a ten percent (10%) interest penalty. Termination: This agreement may be terminated by either party with at least 30 days notice. The contract will then cease at the end of the next full month. Notice may be given via confirmed receipt electronic mail or via facsimile. Other Charges WSI Yorkshire reserves the right to increase the management service fee from time to time, 30 days notice will be given. If you wish us to market new products and services, setting up this element of the campaign may attract an additional set up fee From time to time we may recommend changes to your website to improve the conversion rate, the bounce rate or the effectiveness of the campaign; we will always quote you for any additional works, and will only proceed with your approval. From time to time we may recommend changes to your campaign or recommend alternative digital marketing strategies, we will always discuss and quote for any changes in our charges, and will only proceed with your authority. Warranties and Indemnification: Your Company represents and warrants that it owns or otherwise has the right to use the provided SEO Content and Graphical Content and that the SEO Content and Graphical Content do not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person or legal responsibilities (collectively the Rights ). You agree to indemnify, defend and hold WSI Yorkshire and our affiliates and our officers, directors, owners, agents, information providers, affiliates, licensors and licensees (collectively, the "Indemnified Parties") harmless from and against any and all liabilities and costs (including reasonable legal fees) incurred by the Indemnified Parties in connection with any claims by a third party that the Content violates its Rights. WSI Yorkshire does not guarantee any volume of website traffic or any number of leads or phone calls. WSI Yorkshire only works to achieve page one placement on Google.co.uk for the approved keywords and key phrases, as listed in the Final Key Word Phrase Approval. steve@wsi ebizsolutions.biz Tel Page 5 of 7

6 Site Release Policy: Once the project goes live and is under your control, WSI Yorkshire is not responsible for the website, its content or its functionality. You assume full responsibility for the site after it goes live. ebizsolutions.biz Tel Page 6 of 7

7 Miscellaneous: Exclusive Remedy: If WSI Yorkshire breaches its obligation(s) under this Service Agreement, WSI Yorkshire will make commercially reasonable efforts to fulfil its obligations. Force Majeure: In no way shall WSI Yorkshire have any liability or be deemed to be in breach of this Agreement for any failure or delay of performance resulting from any government action, fire, flood, or other natural disaster, power failure, riot, embargo, strikes, terrorist act, network failure, changes by Google of its search algorithm or any other changes to Google s functionality, or failures or problems with Your web hosting company which adversely affect the SEO service provided under this agreement. Waiver. The waiver of any provision of this Agreement by a party shall not constitute a waiver of any other provision or waiver of the same provision at any other time. Entire Agreement: This agreement constitutes the entire agreement between us and you, and supersedes any prior written agreements and any prior or contemporaneous oral agreements between you and us.
