1 Biographies of the NABL Board of Directors Scott is a Partner in the tax group at Hogan Lovells US LLP in Washington, D.C., where he has provided tax advice in connection with financings for numerous state and local governments and various types of special purpose authorities and districts, as well as advising a number of states in connection with their qualified tuition programs. His practice involves all areas of tax law, with a special emphasis on public finance, and it also includes advising corporations and partnerships in connection with various forms of debt financings, including structured finance transactions such as securitizations and mortgage backed securities issues. He has also represented clients before the Internal Revenue Service in connection with audits and requests for advance rulings. Prior to joining Hogan Lovells, Scott served for three years as an Attorney Advisor with the Office of Assistant Chief Counsel (Financial Institutions and Products) for the IRS in Washington, D.C. Scott has been an active member of NABL, serving as 2008 Chair of the NABL Tax Committee and member of the Board of Directors since He has also been vice-chair and chair of the NABL Education Committee, a member of the Editorial Board of The Bond Lawyer, vice-chair and chair of the NABL Washington Seminar, and a frequent faculty member at NABL s Fundamentals Seminar, Tax and Securities Law Institute, Washington Seminar, and Tax Seminar. Scott graduated from the University of Colorado in 1983 and earned his J.D. (with honors) at the University of Maryland School Of Law in 1987, where he was an editor of the Maryland Law Review and a member of the Order of the Coif. Allen is a Shareholder in the Charlotte, NC office of Robinson, Bradshaw & Hinson, P.A. He is particularly involved in the firm s health care public finance practice, but also has substantial experience in financings of educational facilities, exempt facilities (i.e.., multifamily housing, solid waste disposal and airport facilities), and manufacturing facilities (i.e., industrial development bonds). He also is involved in the firm s banking, bankruptcy, and health care practices. Allen served on the NABL Board of Directors in and was elected to a three-year term in He was the Chair of the 2009 Bond Attorneys Workshop, was a Co-Chair of the Third Edition of The Function and

He has been listed in Chambers USA: America s Leading Lawyers for Business for banking & finance since 2004 and in Best Lawyers for public finance since Allen received a B.A. with highest honors in economics from the University of North Carolina, where he has a Morehead Scholar and a Truman Scholar, and earned his J.D., magna cum laude, from Harvard University. He served as a law clerk to the Honorable James B. McMillan, United States District Court for the Western District of North Carolina.. A partner in Edwards Wildman Palmer's Boston, MA office, Tony leads his firm's public finance tax practice. He has extensive experience with virtually every form of tax-benefited public finance transaction, including tax-exempt governmental, 501(c)(3) and corporate facilities bond financings, working capital borrowings and tax credit and direct-pay bond structures. He regularly advises clients on the arbitrage, rebate and interest rate hedging issues associated with these transactions, and assists with the structuring of advance refundings and other refinancings of outstanding indebtedness. Tony also regularly represents public finance borrowers on IRS examination and other tax controversy matters. Tony is a regular speaker and panelist on federal tax law issues at NABL tax seminars and at NABL's Bond Attorneys' Workshops. He served from as Editor-in-Chief of NABL's Federal Taxation of Municipal Bonds treatise. Additionally, he served as Chair of NABL's 2005 Fundamentals of Municipal Bond Law seminar and as Chair of NABL's 2008 Tax and Securities Law Institute. Tony earned his B.A. summa cum laude at Union College and graduated from the Columbia University School of Law, where he was a member and Notes Editor of the Columbia Law Review Ken is a Managing Shareholder with Bryant Miller Olive s Orlando, FL, office, and has been actively practicing public finance law beginning since He has represented municipalities, counties, school districts and special taxing districts as disclosure counsel, bond counsel and special tax counsel. He has experience with both general obligations, backed by the full faith and credit of the political subdivision, and with revenue obligations including lease-purchase financings. Ken is a regular panelist, along with members of the Securities Exchange Commission staff, at NABL's Bond Attorneys Workshop on the topic of legal issues related to the adequacy and fairness of disclosure for initial public offerings of tax-

He took an active role in the NABL response to the Securities Exchange Commission's initial release of Rule 15c2-12 and NABL s response to the U.S. Treasury's proposed revisions to Circular 230. Mr. Artin served as Co-Chair and Reporter of Considerations in Preparing Disclosure in Official Statements Regarding an Issuer s Pension Funding Obligations. Mr. Artin is listed in the Municipal Bond Attorneys' section of The Bond Buyer's Municipal Marketplace. He graduated from the State University of New York at Buffalo Law School in 1982 and from Southern Methodist University with an LL.M. in taxation in Kristin is a Partner with DLA Piper LLP (US) in Baltimore, MD. She concentrates her practice in corporate debt offerings and tax-exempt financing, including federal income tax aspects of municipal finance. She represents a wide variety of municipal market participants, including issuers, credit enhancers, insurers, conduit borrowers and purchasers of tax-exempt obligations in connection with a wide range of projects including health care projects, tax increment financings, multi-family housing and general municipal projects. In addition to serving on the NABL Board of Directors, Kristin has served as the Chair of the NABL Tax Committee, 1996 Chair of NABL s Tax Seminar, 2003 Chair of the Bond Attorneys' Workshop, Chair of the NABL Opinions Committee, and Editor-in-Chief of the 1999 edition of Federal Taxation of Municipal Bonds, as well as moderator and panelist at various NABL conferences. Kristin is an active member of the American Bar Association s Section on Taxation and its Tax-Exempt Financing Committee. She has been named to The Best Lawyers in America, Maryland s Super Lawyers and Maryland s Top 100 Women. Kristin graduated from Johns Hopkins University in 1981, and earned her J.D./M.B.A. from Stanford University in Kim is a Partner with Ballard Spahr LLP in Baltimore, MD. Her practice focuses on federal tax laws and regulations involving taxexempt and tax-advantaged bonds. She has represented issuers, underwriters, borrowers and banks in a broad range of primary transactions, including 501(c)(3), governmental, exempt facility, mortgage revenue and various tax credit obligations. She also counsels clients on a variety of post-issuance tax compliance issues, including arbitrage, private use questions, remediation as a result of change in use, reissuance, Schedule K filing, and IRS audit and review activities.

4 In addition to serving on the NABL Board of Directors, Kim was the Chair of the 2010 Bond Attorneys Workshop, the Editor-in-Chief of the 2008 edition of Federal Taxation of Municipal Bonds and has been a chair, speaker or writer for various NABL panels and comment projects. She presented on post-issuance tax compliance at the 2007 and 2009 Summer Conferences of the Maryland Government Finance Officers Association. After graduating from the University of Pennsylvania, Kim earned her J.D. from William & Mary Law School. Clifford is a Partner at the San Francisco, CA, office of Sidley Austin LLP. He oversees the firm s Tax Practice with respect to all financings originated by the West Coast Public Finance group. He is nationallyrecognized in the federal income tax aspects of tax-exempt financing, and is a frequent speaker at tax and municipal bond conferences. Clifford served as Chair of the American Bar Association s Tax- Exempt Financing Committee from 2005 to 2007, is the Treasurer for the American College of Bond Counsel s Board of Directors, has chaired NABL s Arbitrage Seminar and was a former vice chairman of the NABL Education Committee, and served on the Steering Committee for Bond Attorney s Workshop from 2003 to Clifford is also a former co-chairperson for the Practicing Law Institute s seminar of tax-exempt financing, a former Editor-in-Chief for the Federal Taxation of Municipal Bonds, and a former editor for the Hofstra Law Review. He received his B.S. from the State University of New York at Albany, his J.D. from Hofstra University, and his LL.M. in Taxation from New York University. Perry is a tax lawyer who, since 1980, has concentrated his practice on tax-exempt financing. Perry currently acts as a consultant or special tax counsel to bond counsel firms, issuers, and underwriters across the country. He also advises issuers and conduit borrowers on postissuance compliance matters and represents issuers and borrowers in audit examinations by the Internal Revenue Service. He also occasionally acts as an expert witness on municipal bond tax matters. Prior to starting his own practice in 2007, Perry was a partner at Orrick, Herrington & Sutcliffe LLP in California for 20 years. Perry started his career in Boston with Palmer and Dodge. Perry was a member of the inaugural Tax Exempt Advisory Committee. He has been active as a panelist and on the executive committee for the Bond Attorney's Workshop, as panelist and chair of the Arbitrage Seminar, and as a panelist on Tax and Securities Law Institute of the National Association of Bond Lawyers. He has also chaired teleconferences, committees, and regulations comment projects for NABL, as well as serving on the Board of Directors and acting as Secretary of NABL. He is a member of the ABA Tax Section Tax

5 Exempt Financing Committee, where he currently serves as chair of the Governmental Financing Subcommittee and has chaired comments projects. He authored the Orrick, Herrington & Sutcliffe Arbitrage Rebate Manual (1990) and was the initial Editor-in-Chief of Federal Income Taxation of Municipal State Bonds: Statutes, Regulations and Rulings (Prentice Hall Law: Business, 1993; currently published by LexisNexis). He contributed the chapter entitled Summary of Federal Tax Requirements for Tax-Exempt Bonds included in The Handbook of Municipal Bonds (Feldstein and Fabozzi, eds.), published in Perry received his J.D. cum laude from Boston University School of Law in 1979, where he was also on the Boston University Law Review. He also received an LL.M. in Taxation from Boston University School of Law in His undergraduate work was at Princeton in English. Alexandra (Sandy) MacLennan is a partner in the Tampa, Florida office of Squire Sanders (US) LLP and serves as bond, underwriters and disclosure counsel. She has been named in The Best Lawyers in America each year since 2006 and has been recognized in Chambers USA for banking and finance since Sandy has more than 25 years of experience as bond, disclosure and underwriters counsel in a variety of transactions including, in particular, financing for healthcare, higher education and airport projects, as well as traditional municipal projects. Sandy is a member of The Florida Bar, former chair of the City, County and Local Government Law Section of The Florida Bar and a frequent speaker and panelist, locally and nationally, on municipal finance and disclosure topics. Sandy chairs the Squire Sanders national Disclosure Group, an internal group of public finance, tax and corporate securities lawyers whose purpose is to assist clients in compliance with the requirements of federal and state securities laws as applied to municipal securities. Sandy has been an active NABL member since 1986, serving as Chair of the 2009 Tax and Securities Law Institute and two terms on the Steering Committee for the Bond Attorneys Workshop, as well as participating in projects of the Securities Law Committee. In 2007 Sandy was one of the first Florida women elected a Fellow of the American College of Bond Counsel. Also in 2007 she was recognized by the Thirteenth Judicial Circuit s Pro Bono Program, H.A.V.E. A HEART and the Bay Area Volunteer Lawyers Program for her exceptional pro bono service to the Tampa community. In 2006 she was awarded the Paul S. Buchman Public Service Award for outstanding contribution in the area of legal public service at the annual meeting of the City, County and Local Government Law Section of The Florida Bar. The award is named after Paul S. Buchman, a longtime city attorney for Plant City, Florida, who is noted throughout Florida and nationally for his contributions to municipal law and his service to the community. Sandy received both her undergraduate degree in Journalism and her law degree from the University of Florida.

6 Faith Pettis is a founding partner of the Pacifica Law Group, a Seattle firm that provides legal services and counsel to government and Northwest clients in the areas of public finance, public-private project counseling and appellate and civil litigation. Prior to Pacifica, Faith practiced for 19 years with Preston Gates & Ellis and its successor firm, K&L Gates, where she served as the chair of the firm-wide public finance practice group. She serves as bond counsel and outside counsel to state and local governments, with a primary focus on housing, education and nonprofit finance. Her clients range from state agencies to local school districts and include the Washington State issuer of nonprofit, multifamily and single-family bonds and the Washington State issuer of bonds for private colleges and universities. Faith was appointed in 2012 by the Governor of the State of Washington to chair the statewide Affordable Housing Advisory Board and also serves as a Trustee for College Spark Washington, an education grant making organization. Faith served as 2011 Chair of the NABL Bond Attorneys Workshop and the Steering Committee of the Workshop, as First Vice Chair, Second Vice Chair and Chair of the Multifamily Housing panel from 2006 to She also served on the NABL Board of Trustees in Faith has been recognized in multiple years by Washington Law & Politics as a Super Lawyer and has been selected for inclusion in The Best Lawyers in America 2012 in the field of Public Finance Law. Faith received her B.A., magna cum laude, from the University of Washington (Phi Beta Kappa) and her J.D., cum laude, from Harvard Law School. Tyler Smith is a shareholder in the Greenville, SC office of Haynsworth Sinkler Boyd, P.A., where he serves as bond counsel, letter of credit, underwriter and borrower counsel among other roles in both tax-exempt and taxable financings. Tyler also works regularly in areas including interest rate swaps, complex investment transactions, new market tax credits and historic rehabilitation tax credits and the like, with clients spanning an array of sectors including education, health care, state and municipal governments, corporations as well as other law firms. Tyler regularly speaks at national forums on various topics and has served in varying roles with NABL, including having served as Vice Chair and Chair of Fundamentals of Municipal Bond Law, Vice Chair of the Education Committee, Chair of

7 the Municipal Law Committee and on the Steering Committee for the NABL Bond Attorneys Workshop. Tyler received his undergraduate degree in Mathematical Economics, magna cum laude, from Wake Forest University in 1991 where he was named to the Omicron Delta Epsilon and Pi Mu Epsilon honorary societies for Economics and Mathematics. He received his law degree, as well as a master s degree in Economics, from Duke University in 1994 and is a member of Mensa International. Dee is Member at the Denver, CO, office of Sherman & Howard, LLC. He represents governmental entities and other transaction participants in public finance transactions and economic development matters in Colorado and Nevada. Additionally, he handles financings, including general obligation bonds, user fee revenue bonds, special assessment bonds, excise tax revenue bonds, lease transactions, tax increment financings and private activity bonds. Dee has served as Chair of NABL s Education and Member Services Committee from and the NABL 2010 Fundamentals of Bond Law Seminar. He has been a frequent panelist for the Fundamentals of Bond Law Seminar and the Bond Attorneys Workshop. He has worked for local and state governments for his entire career. He started his career as Staff Attorney to the Colorado Municipal League. He joined Sherman & Howard in He has been recognized in The Best Lawyers in America since 2007 and was selected as the Best Lawyers 2012 Public Finance Lawyer of the Year in Denver. He graduated from Dickinson College undergrad, and earned his J.D. from the University of Denver. Bill is the Director of Governmental affairs at NABL s office in Washington, DC. He served as Deputy Director and then Director of the New York City Federal Affairs Office, from , where he conducted NYC s legislative and regulatory advocacy on taxes, municipal finance, pensions, employee benefits, immigration, and homeland security. In addition, he led the development of NYC s federal priorities in concert with NYC agencies. Most recently, Bill was the Senior Vice President, Government Relations, with the Bond Dealers of America (BDA). At BDA, Bill scrutinized legislative and regulatory proposals for effect on municipal market and developed positions and strategies to present the members views to the Federal government and worked with other organizations to advance the members goals. Most notably, Bill represented the BDA on the NABL-led comprehensive pension disclosure project.

8 Bill received a B.A. degree from the University of Connecticut, a J.D. degree from Boston University and a Master of Laws in Taxation from Georgetown University Law Center. Linda is the Chief Operating Officer at NABL s office in Washington, D.C., bringing with her over twenty years of experience in non-profit association management. Prior to joining NABL, Linda served as COO at the National Utility Contractors Association, an association with approximately the same size and budget as NABL, since She had previously been with NUCA from 1994 to 1996, and returned as COO at the request of the association s CEO. Between her tenures at NUCA, Linda served as Assistant Vice President for Member and Chapter Relations before being promoted to Vice President at the National Association of Industrial and Office Properties. Linda also has professional experience with the Interstate Truckload Carriers Conference, the Council for Rural Housing and Development, and the U.S. Office of Personnel Management. She earned her B.A. in Political Science and her B.S. in Business & Finance from Mount Saint Mary s University in 1988.
