1 Office 365 Deployment Offer Terms & Conditions This document sets forth details of the Office 365 Deployment Offer ( Offer ), including eligibility requirements and the obligations for both Microsoft Corporation ( Microsoft ) and the participating customer ( Customer ). By participating in the Offer, Customer has indicated acceptance of these terms and conditions. Scope of Offer As detailed below, if Customer meets the eligibility requirements of the Offer, Customer might be eligible to benefit from a deployment investment paid by Microsoft directly to Microsoft Consulting Services or a qualified Partner (each, a Partner ). Offer Investment Details The amount of funds Microsoft will pay to a Partner once required deployment work ( Deployment ) is completed depends upon the quantity of eligible SKUs purchased by Customer, as shown in Table 1 below. FY14 Deployment Offer Customer s purchase of eligible seats 1,000 or more Funds paid to Partner upon completion of Deployment $20,000 USD $12,000 USD $5,000 USD Before a Partner will be eligible to claim investment funds through this offer, the Partner must satisfy various milestones for Deployment to be considered complete, including but not limited to: Tracking deployment progress within Microsoft tools, including a defined start and end date; Confirming that the Partner has assigned all users that Customer plans to deploy; and Working with Customer to establish a minimum of 10 users who are actively using at least one cloud workload of the eligible Office 365 seats. For further clarification, the following are examples of what constitutes active use for each of the eligible workloads: Exchange Online: Customer s employees are signing in and sending/receiving Lync Online: Customer s employees are signing in and sending/receiving instant messages SharePoint Online / OneDrive: Customer s employees are signing in and accessing/creating SharePoint sites and content Office 365 ProPlus: client is installed on desktops and being used by Customer s employees Yammer: More than 250 of the Customer s employees are signing in at least one time per month. [Note: The maximum amount of funds the Partner will receive irrespective of the eligible seats purchases will not exceed $5000 USD if Yammer is used as the eligible workload.] Microsoft will confirm active use of every seat prior to approving payment to a Partner. Microsoft will reject Partner investment requests where no active use is found. Microsoft may also verify other metrics, including data migration, customer feedback, etc. No funds will be paid out until the Partner has completed all required deployment work and the Customer is actively using a minimum of 10 eligible Office 365 seats. *Additional terms for Yammer workload payout apply

2 Page 2 of 16 Yammer workload is eligible for payout through special terms. The customer must be actively using 250 or more seats on the Yammer workload and can only receive a maximum payout of $5,000 USD irrespective of the number of eligible seats purchased. If the Customer qualifies for more than $5,000 USD worth of funds, they can chose to relinquish the remaining eligible funds or chose to deploy another workload per the required terms to receive full funding. For example: If a customer is eligible for $20,000 USD and chose to deploy the Yammer workload, the Partner would be paid $5,000 USD. This would leave $15,000 remaining. Either the customer can chose to not use those $15k in funds, or they can deploy another qualified workload (ex. Exchange, Lync, etc.) to get the remaining funds. All terms would apply to that deployment. Deployments of any on-premises workloads are not eligible for this offer. Eligibility Requirements 1) Customer must purchase at least 150 seats of the eligible Office 365 SKUs listed below in table 2 between September 1, 2013 and June 30, 2014 ( Offer Period ). Customer may satisfy this minimum by aggregating any number of separate transactions that occur during the Offer Period. The funds for which a Partner is eligible will be based on the total number of eligible seats Customer purchases by the end of Offer Period. 2) The Offer only applies to deployment of seats of the Office 365 SKUs listed in Appendix 1 that a Customer purchases during the Offer Period and for which a Partner has completed deployment within 12 months of the initial qualifying purchase or before the end of Customer s current eligible Office 365 agreement term, whichever comes earlier. 3) China O365: The offer includes China O365, Office 365 Operated by 21Vianet. 3 Page 3 of 16 A Partner must submit an investment request to Microsoft before 12 months have expired from the time of Customer s qualifying purchase or before the end of Customer s current eligible Office 365 agreement term, whichever comes earlier. The submission date will be the date and time the submission is recorded by Microsoft. 4) Deployment investment is on a per-office 365 tenant basis and is only eligible for up to five tenants per Customer. The maximum deployment investment benefit per Customer enrollment is $100,000 USD. 5) The potentially qualifying transaction must not involve a Customer that may create a conflict of interest. 6) Customers that qualified for the FY13 Office 365 EA Offer Deployment Investment are not eligible for this Offer. 7) Customers that have already deployed Office 365 are not eligible for this Offer. 8) Office 365 purchases made through Dedicated, Academic, or Charity programs are not eligible for this Offer. 9) Customers making an early commitment to their renewal by June 30, 2014 may take advantage of the Offer provided they purchase eligible promo skus. Eligibility for deployment investment funds requires a purchase of at least 150 seats of eligible SKUs on the customer s current EA by June 30, The amount of deployment investment funds available to the customer will be calculated based on the quantity of eligible seats purchased on the current agreement by June 30, The maximum time to use the deployment investment funds is still 12 months from the initial qualifying purchase. 10) Customers taking advantage of Reserved not yet Billed or RNYB are not eligible for this offer as they are leveraging the transition free float benefit. 11) See additional Compliance Criteria below. Payment Partners may invoice for the investment funds of this offer as soon as the Deployment is completed. All deployment investment funds will be paid by Microsoft directly to the Partner in local currency based on published Microsoft exchange rates and disbursed semi-monthly. For all related payments received from this Offer, the Partner is solely responsible for reporting and paying all applicable taxes (such as value added tax, sales tax, gross receipts tax, or any other tax) that may be required under any applicable laws. Customer should consult a tax advisor with any questions or concerns about the applicable taxes related to this offer and agrees to indemnify and hold Microsoft harmless for any damages arising from Customer s failure to timely pay such taxes. The deployment investment associated with this Offer may or may not cover the full cost of Deployment. If a Partner s cost to perform Deployment exceeds the amount of the deployment investment funds associated with this Offer, the Partner may seek to recover from Customer the difference between the Partner s cost and the deployment investment funds it receives from Microsoft. By choosing to participate in the Offer, Customer and Partner acknowledge this and agree to indemnify and hold Microsoft harmless from any claims related to a Partner s cost in excess of deployment investment funds.

4 Page 4 of 16 Adjustment to Payments If a Partner receives an overpayment of deployment investment funds from Microsoft, or if Microsoft finds that payments were made to Partner for Deployment that was not completed in full compliance with this Offer, Microsoft may adjust or deduct sums from future payments to the Partner or require that the Partner repay such funds to Microsoft. Publicity Microsoft may publically disclose (orally and in writing) that Customer is a customer of Microsoft and a purchaser of the USLs, including in a list of Microsoft customers and other promotional materials. Sharing of Information Customer agrees to share information with Microsoft about forecasts and progress of Deployments upon request. Voiding of Offer Any non-compliance with the terms of this Offer will void the Offer. In such circumstances, the Partner will have to refund to Microsoft all deployment investment funds Microsoft has paid to the Partner pursuant to the Offer. Microsoft also reserves the right to pursue all other legal and equitable remedies available under applicable law. Offer Disputes For any disputes regarding the Offer or any payments relating to the Offer, Customer must contact Microsoft in writing by ing [email protected] within 30 days of the disputed payment or event. After 30 days, the Offer and all payments relating to the Offer shall be treated in all respects as final. Indemnity Customer will at all times indemnify Microsoft against any loss, costs, expenses or liability, whether direct or indirect, arising out of the breach of the terms of this Offer by Customer. This indemnity will survive the expiration or termination of the Offer. Liability All deployment assistance services provided under this Deployment Reimbursement Offer will be performed by Partners under separate agreement between the Partner and Customer. Although the Partners have been approved by Microsoft to participate in this Offer, the Partners (except for Microsoft Consulting Services (MCS)) are not affiliated with Microsoft and do not have authority to bind or impose any obligation or liability on Microsoft. Except as otherwise set forth in a separate agreement between Microsoft and Customer, to the maximum extent permitted by applicable law, Microsoft will not be liable for any damages arising from the Deployment services that may be provided by a Partner in connection with this Offer. Offer Term The Offer term consists of two different periods. 1. SKU Purchase a. Eligible SKUs must be purchased by Customer between September 1, 2013 and June 30, SKUs purchased outside of this time period will not be eligible for the deployment investment.

After purchase by Customers, SKUs must be deployed by a qualified Partner within 12 months of Customer s initial purchase of eligible SKUs or before the end of Customer s eligible Office 365 agreement term, whichever comes earlier. Microsoft, in its sole discretion, may decide to extend the Offer beyond June 30, 2014, but will be under no obligation to do so. Termination of or Changes to Offer Microsoft, in its sole discretion, may terminate, modify, or revise the terms of this Offer at any time. Modifications may include, but are not necessarily limited to, the SKUs eligible for the Offer, the amount of deployment investment funds included in the Offer, or the Customer eligibility for the Offer. Customer may terminate its participation in the Offer at any time by notifying Microsoft in writing. Microsoft will not distribute any deployment investment funds as part of this Offer for qualifying transactions submitted by Customer after termination of Customer s involvement in the Offer. Applicable Law The laws of the State of Washington govern the terms of this Offer. Relationship of the Parties Neither the terms of this document as a whole nor any specific term or condition relating to the Offer will be interpreted as a creating a partnership, joint venture, agency or franchise between Microsoft and Customer.
