We have two major roles, namely consultation and education. On consultation, we work closely with the authorities to relay the views of our members on issues that have implications for the asset management industry. 5 Speaker biographies Azizul Azmi Adnan Wong & s Azizul is a partner in the Finance & Projects Practice Group. He has over 9 years of experience advising MNCs in various industries on banking & finance, Islamic finance, capital markets and securities-related matters. Prior to that, he worked for 5 years in a leading Malaysian merchant bank where he was the head of the corporate planning and legal unit. He advised on banking and securities laws, in particular laws relating to the secondary market trading of debt and equity instruments and the OTC derivatives markets. From an M&A perspective, Azizul has advised on a number of local, regional and cross-border acquisitions as well as listings of companies, including JVs and takeovers. Azizul was recognized as a leading lawyer in Islamic Banking & Finance by Islamic Finance News in He was also named a leading lawyer for Capital Markets and Banking & Project Finance and according to IFLR 1000 (2011 edition), Azizul continues to show promise in acting as underwriter s counsel in attractive transactions. He was admitted to practice in the High Court of Malaya in Philippa Allen ComplianceAsia Philippa Allen, CEO and Managing Director of ComplianceAsia, has over 20 years extensive experience of business and regulation in Japan, Korea, Taiwan, the PRC,, Singapore, South East Asia, the Indian Subcontinent and Australia. She has extensive knowledge of business and regulation in both the developed and emerging economies of the region. She has considerable experience in industry led lobbying of Asian Regulators and has been a member of various consultative groups with regulatory bodies. The launch of ComplianceAsia in 2003 was driven by her particular expertise and experience in developing compliance solutions for foreign and new entrant financial institutions in these markets as well as in managing regulatory issues arising from mergers and acquisitions. Seeing a niche in the industry, ComplianceAsia focuses solely on providing compliance advice, consulting and solutions for the financial industry. ComplianceAsia has offices in and Singapore and employs 30 people, all with a financial industry background and a mix of compliance, legal and accounting skills. Theo Bakker Ali Budiardjo, Nugroho, Reksodiputro Mr. Theodoor Bakker graduated from Leiden University in the Netherlands, and is admitted to the Amsterdam bar. He has worked in Southeast Asia since He has considerable experience in: direct foreign investment; project finance work, including private power and petrochemical projects; ship finance; infrastructure development; and general manufacturing investment. He has worked with international agencies as well as for institutional investors in the region. During the Asian financial crisis, he was involved in many aspects of restructuring and insolvency, and has advised on foreign law issues of bankruptcy reform in Indonesia. His work now also encompasses capital market transactions and mergers and acquisitions. He has published various articles on insolvency and cross-border investment issues and teaches at the Faculty of Law of University of Indonesia and at the Department of Law and Human Rights. Rolfe Hayden Simmons & Simmons Rolfe is a partner of Simmons & Simmons in the Financial Services Group in and Head of Financial Sevices within it. Qualified in England in 1993 and in in 1996, Rolfe has practised in since 1995, specialising in financial services generally and investment in particular. His experience includes both SFC authorised and unauthorized collective investment schemes and he has worked on all types of, including hedge, ETFs, structured, listed investment companies, REITs, private equity, property and MPF schemes as well as licensing, regulatory and securities issues connected with asset management in the UK, and other jurisdictions in Asia. He also has experience in bank mergers, licensing and regulation and advises on corporate securities regulatory issues generally in. Rolfe has contributed to a number of fund industry related publications including Asia Law (Regulation of Mutual Funds in Asia), China Finance Manual, World Securities Law Report, the Barclays Capital Guide to Private Equity in Asia, Capital Asia, and ISI s Marketing Unit Trusts and Mutual Funds in Asia. Rolfe has an MA from Cambridge University. Khemajit Choomwattana LS Horizon Limited Khemajit is a partner in Corporate Real Estate Practice. He has represented various asset management companies and sponsors in establishing a number of major property for public offering (PFPOs), a structure similar to Real Estate Investment Trusts (REITs), transactions in Thailand, including the domestic and international offerings of the CPN Retail Growth Leasehold Property Fund (one of the largest PFPOs in Thailand), TICON Property Fund and Thai Industrial Fund 1 and their subsequent capital increases, Dusit Thani Freehold and Leasehold Property Fund, Prime Office Leasehold Property Fund, Land and House Property Fund. He has also represented a number of clients in their acquisitions of various types of real properties, such as office buildings, hotels, serviced apartment and shopping complexes. He has experiences in representing various clients, which are publicly listed on the Stock Exchange of Thailand, in their compliance with the regulations of the Office of the Securities and Exchange Commission or the Stock Exchange of Thailand. He has LL.B. from Chulalongkorn University, LL.M. in comparative law from Dickinson School of Law and LL.M. in Securities and Financial Regulations from Georgetown University Law Center. Basil Hwang Dechert LLP Mr. Hwang is the Managing of the Hong Kong office, and heads the Asian private equity practice. He has extensive experience in advising on private equity and growth capital transactions in Greater China and Asia, and on complex shareholders agreements and JVs. He also advises on public securities offerings and flotations in Hong Kong and the US, corporate law and Stock Exchange matters, buyouts and divestitures through trade sales, and financial and securities regulation in. Chambers Asia ranked Mr. Hwang as one of the leading individuals for investment, noting that market sources single out Basil Hwang for his in-depth knowledge of the legal and business market and good local connections. Chambers highlighted that Mr. Hwang is a responsive and accessible lawyer whose focus lies on private fund work. Pil-Kook Lee Kim & Chang Pil-Kook Lee is a senior foreign attorney in the firm s Investment Management Practice Group and Securities Regulations Practice Group. Mr. Lee has extensive experience in a wide range of cross-border transactions and regulated financial business activities. He has advised many companies on regulatory matters in connection with various financial business activities with an emphasis on investment management and securities business, including setting up Korean operation and licensing applications, cross-border business activities, registration of securities and for offerings to Korean investors, and regulatory compliance and examinations of domestic financial institutions. Mr. Lee also advises clients on foreign investments in Korean listed and unlisted companies, acquisitions of financial institutions, and general corporate law and regulatory matters arising from such transactions. He received a bachelor s degree from the University of Maryland and J. D. from the George Washington University National Law Center. He admitted to bar, Maryland, USA. Thomas H. McGowan Russin & Vecchi Tom is a US licensed attorney with 30 years of Asia based experience. He worked in Korea for five years before joining Russin & Vecchi, Taipei, as a foreign legal consultant in Tom s practice focus is the financial services sector, representing major multinational commercial and investment banks, asset managers and private equity investors. Tom and his firm have an active practice in all aspects of the mutual fund and structured product business in Taiwan and offer an in-depth knowledge of both the history and current status of the Taiwan legal and regulatory environment for product providers including fund managers and distributors. He has a BBA from the University of Notre Dame and a J.D. from Georgetown University Law Center. He is the author of Marketing Unit Trusts and Mutual Funds in Taiwan Capital Guide to Marketing Unit Trusts and Mutual Funds in Asia (2005) and the Taiwan chapter of the Capital Report on Asian- Pacific Fund Markets to Scott Peterman Sidley Austin LLP Scott is a foreign legal consultant in the firm s and Tokyo offices and advises on corporate and commercial transactions with a primary focus on hedge fund formation, private equity transactions, and alternative investments. He also advises clients on a broad range of legal matters, including M&A, JVs, LBOs, venture capital and entrepreneurial transactions, corporate finance for telecommunications and high-tech clients, as well as the regulatory issues associated with these matters. His hedge fund and private equity clients include many of the world s leading firms, several large Japanese banks, and many of Asia s prominent hedge fund managers. He has a Ph.D. from Stanford University. Preetha Pillai Conyers Dill & Pearman Singapore Preetha is with the Singapore office of Conyers Dill & Pearman, an international offshore legal practice that advises on the laws of the Cayman Islands, the British Virgin Islands, Bermuda and Mauritius. Preetha advises on corporate law, with an emphasis on offshore investment work. Preetha was seconded to Conyers investment team in the Cayman Islands in , and was admitted to practice in 2009 in the Cayman Islands and the British Virgin Islands. Preetha obtained her LL.B (Hons) from the University of Reading in 1989 and her LL.M (Commercial and Corporate Law) from Kings College London in Following her admission as an Advocate & Solicitor, Supreme Court of Singapore in 1993, Preetha practised Singapore corporate and securities law for more than 10 years before moving in-house for 3 years as assistant general counsel with Singapore s largest local telecommunications company. Preetha was admitted to the English Bar in 1990 and as a Solicitor, Supreme Court of England & Wales in 2000 (she does not currently practise in the United Kingdom). She is also registered in Bermuda to practise law, and is a member of the Honourable Society of the Middle Temple, the Singapore Academy of Law and the Cayman Islands Law Society. Preetha co-authored Marketing of Hedge Funds in the Cayman Islands, published by Complinet in December Stéphane Karolczuk Arendt & Medernach Stéphane Karolczuk is head of Arendt & Medernach s representative office in, where he advises clients based in the Asia Pacific region regarding their Luxembourg legal and regulatory questions.
