6 A Brief History Of PDM PDM entered the steel service center industry in 954 with the acquisition of the Proctor-James Steel Company in San Jose, California. In 955, Kyle & Company was purchased, with facilities in Fresno, Stockton, and Sacramento. With four service centers, PDM was able to provide outstanding service throughout central and northern California. In 962, a new facility was constructed in Fresno, California. In 968, the existing operations were greatly augmented by the completion of a large, state of the art service center in Stockton, California. The most modern material handling equipment and strategies available were used in this facility. In 974, a new warehouse was built in Sparks, Nevada to improve service in the central, northern California, and northern Nevada areas. To provide the greatest possible service and selection to customers, a Common Inventory Concept was adopted which provided customers throughout the company, access to uncommon, hard to find, slow moving items, without the burden of carrying duplicate inventories in each location. Under the Common Inventory Concept, the new Stockton facility became the geographical hub of the service wheel with spokes running east to Sparks, south to Fresno and west to Santa Clara. The Interplant Transfer System was developed to quickly move this common inventory between service centers, providing short lead-time delivery of most items regardless of the inventory location. This concept proved to be so successful that future PDM operations were either built or expanded to provide other hub type distribution facilities. In 977, a new service center was established in Spanish Fork, Utah, south of Salt Lake City. This location was expanded several times to meet market demands. It is now a full line distribution and processing facility acting as the hub for the Intermountain Region while providing service for customers in Utah, Idaho, Wyoming, Montana, Colorado, and New Mexico. In January 997, PDM purchased General Steel, a carbon steel service center in Vancouver, Washington. In April of 999 this operation moved into a newly designed facility in Woodland, Washington and became the next hub in the Great Northwest. The Woodland service center serves Washington, Oregon, and parts of Idaho, Alaska and Canada. In July 200, Reliance Steel & Aluminum Co. of Los Angeles, California purchased PDM Steel Service Centers. Today PDM Steel operates as a wholly owned subsidiary now named: PDM Steel Service Centers, Inc. PDM entered the Las Vegas market in late 200 working from a remote Page 4

7 office with delivery supplemented through both Fresno and Spanish Fork. By early 2005, the company moved into a small full-service warehouse with delivery throughout Southern Nevada and into Southern Utah. In March of 2008, a transfer yard and sales office were established in Grand Junction, Colorado to aid the company s expansion from the Spanish Fork facility into Colorado and New Mexico. INTRODUCTION By May of 2008, PDM acquired Engbar Pipe and Steel in Denver, Colorado. With support of regular delivery and a vast inventory from the Spanish Fork operation, PDM Denver expanded their service and product offering to the greater Colorado market and parts of Wyoming. PDM built and moved into a new, state of the art facility in Las Vegas in August This operation now houses a complete product offering with multiple processing capabilities. PDM Las Vegas serves the Southern Nevada market and parts of Utah, Arizona, and California. Since 2000, as demand for pre-production processing material grew, the company responded by investing new processing equipment installed at all facilities. State of the art automatic saws with controlled feed-in and feed-out tables and enhanced plate burning equipment have been upgraded in almost all locations. In 2008, the company purchased a multifunction precision plate processing center and located it in Fresno. In 200 a second center was located in Spanish Fork. These processing centers provided improved thermal cutting capabilities and multifunction processes, like drilling, punching, taping, scribing and marking all on one machine. In that same year, PDM installed a 20 ton iron worker in Fresno augmenting the production of plate and small structural parts. The following year, in Fresno, a,000 ton x 24 press brake was installed bringing heavy plate forming to PDM. Then in 202, the company further expanded by adding two multi axis beveling machines in Fresno and a laser cutting machine in Sparks. Continuing the company s consistent pattern of growth, in July of 202, a stocking satellite was opened in Boise, Idaho, which is supplemented from the Spanish Fork facility on a regular basis. PDM Steel Service Centers, Inc. is constantly evaluating opportunities to improve service, inventories, and delivery in existing facilities and has an on-going program to explore opportunities for expansion into new markets. Estimated delivery dates for special work or for material incoming from a mill are as closely estimated as possible and we use our best efforts to ship on the estimated date, but cannot guarantee to do so. CUSTOMER S ACCEPTANCE OF TERMS: PDM Steel Service Centers, Inc. shall hereinafter be referred to as PDM and the Customer shall be referred to as CUSTOMER. The CUSTOMER desires to purchase goods and/or services from PDM, and CUSTOMER agrees in consideration thereof to be bound by the conditions stated herein, which may be viewed in full at Additionally, if a sale is on credit terms, CUSTOMER further agrees to the terms and conditions found in PDM s credit application. PDM hereby objects to Page 6

9 any terms or other conditions at variance with, different from or additional to those terms and conditions stated herein unless such terms and conditions are hereafter set forth in a writing signed by an officer of PDM. Terms are subject to change without notice. 2. TITLE: Title to products priced and delivered to PDM s shipping point shall pass to CUSTOMER upon delivery at such shipping point. Any charges at destination of spotting, switching, handling, storage and other accessorial services, and demurrage, shall be at CUSTOM- ER s expense. INTRODUCTION. LIMITED WARRANTY: For a period of one () year following the date PDM delivers the goods to CUSTOMER (the Warranty Period ), PDM warrants that the goods will (a) be free from defects in material and workmanship, and (b) conform, within industry standards, to the description and specifications set forth herein. PDM will repair or replace any defective or non-conforming goods, or at PDM s option, refund the price paid by CUSTOMER for such defective or non-conforming goods, provided that CUSTOMER notifies PDM in writing of such defect or non-conformity within the Warranty Period. The limited, express warranty set forth in this provision is exclusive and given in lieu of all other warranties, representations and guaranties of every type and kind in connection with the goods. PDM excludes and disclaims and CUSTOMER waives any and all other oral and written warranties, representations and guaranties in respect of the goods, whether express or implied by operation of law or otherwise, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. 4. DAMAGES: In no event shall CUSTOMER, or any person claiming by, through or under CUSTOMER, have the right to claim or recover from PDM for any loss, damage, cost of repairs or incidental, punitive, special, consequential or liquidated damages of any kind (including but not limited to, lost profits or damages for loss of efficiency or delay to any project on which the goods or services are used or ordered or intended for use). This waiver of damages provision shall apply whether the claim is based upon warranty, contract, strict liability, negligence or any other causes of action arising in connection with the design, manufacture, sale, transportation, installation, use or repair of the goods sold by PDM. PDM shall be excused from any failure to perform due to any actions, events, conditions, inactions or any other cause beyond PDM s control in the reasonable operation of its business. Any and all delivery dates given by PDM constitute good faith estimates only. PDM shall not be liable for any failure to meet any specific shipping or delivery date as long as PDM acts in good faith. 5. SHORTAGES OR DAMAGED GOODS: Any physically damaged or Page 7

10 shortage of material must be noted by CUSTOMER at time of delivery. Any concealed damage or shortages resulting from prepackaged or wrapped shipping containers must be noted by CUSTOMER within 48 hours and prior to any consumption by CUSTOMER. After such period, CUSTOMER shall be deemed to have irrevocably accepted the goods, if not previously accepted. After such acceptance, CUSTOMER shall have no right to reject the goods for any reason or to revoke acceptance. Delivery of goods shall be subject to normal variations in weight, color, size, quantities, etc., as are standard in the industry. No material shall be returned to PDM without its written consent. CUS- TOMER is solely responsible for all inspection and testing charges of goods. 6. CANCELLATION AND RETURNS: CUSTOMER may not cancel any order of goods without PDM s express, written consent. Any cancellation so authorized shall be subject to a cancellation/restocking charge of 5% at PDM s sole discretion, plus all applicable freight. Unused goods, processed material or specially manufactured materials not normally carried in PDM s inventory may not, under any circumstances, be returned. The amount of credit, if any, allowed to CUSTOMER for returned goods shall be at the sole discretion of PDM. 7. HAZARDOUS BUSINESSES: Unless otherwise agreed in writing by an authorized representative of PDM, goods sold hereunder are not intended for use in connection with any hazardous activity or any other critical application where failure of a single component could cause substantial harm to persons or property. If so used, PDM disclaims all liability for any damage, contamination or other injury and CUS- TOMER shall indemnify and hold PDM harmless from such liability, whether as a result of breach of contract, warranty or tort (including negligence). 8. TAXES: Unless otherwise indicated herein, the prices specified do not include any taxes payable on account of the transaction, and all such taxes now or hereafter applicable to this transaction shall be paid by CUSTOMER. 9. ACCEPTANCE / ENFORCEABILITY OF COPIES: CUSTOMER agrees that PDM may, at PDM s sole discretion, accept, utilize and rely upon a facsimile copy, electronic copy or photocopy of this agreement (and such a copy of any Continuing Personal Guaranty or Corporate Guaranty), in lieu of an original document. CUSTOMER acknowledges that, by transmitting a facsimile copy, electronic copy or photocopy of this document to PDM, CUSTOMER, and the Guarantor (if applicable), agree to be bound by the terms and conditions contained in this document to the same extent as if an original were transmitted to PDM. CUSTOMER, and Guarantor (if applicable), consent to PDM s use of Page 8

11 this document and waive any right to object to the use of a copy in place of the original and any right to require PDM to subsequently produce an original document. 0. DELAYS: In the event of any delay in PDM s performance due to mill rolling changes, fire, explosion, strike, or other difference with workman, shortage of utility, facility, material or labor, delay in transportation, breakdown or accident, compliance with or other action taken to carry out the intent or purpose of any law or regulation, or any cause beyond PDM s reasonable control, PDM shall have such additional time within which to perform this contract as may be reasonably necessary under the circumstances. In addition, PDM shall have the right to apportion its production among its customers (including, CUSTOMER) in such manner as it may consider to be equitable. INTRODUCTION. SEVERABILITY: If any term, covenant or condition of this agreement, or the application thereof to any person or circumstance, shall, to any extent, be invalid or unenforceable, the remainder of this agreement or the application of such term, covenant or condition to persons or circumstances other than those as to which it is held invalid or unenforceable, shall not be affected thereby, and each term, covenant or condition of this agreement shall be valid and shall be enforced to the fullest extent permitted by law. 2. COMPLETE AGREEMENT: These Terms and Conditions of Sale, together with any terms and conditions contained in PDM s Credit Application and Agreement (for credit sales), PDM s Quotation (if any) and PDM s invoice, constitute the entire understanding between PDM and CUSTOMER with respect to the sale of all goods and services furnished by PDM to CUSTOMER, superseding all negotiations, prior discussions and preliminary agreements, if any. Any modification or supplementation of these Terms and Conditions of Sale by CUSTOMER are void and of no effect unless made in writing and signed by an officer of PDM. Page 9

12 PDM Processing & Equipment Processing Equipment Sawing Steel to Length At PDM, almost all of the 25 band saws throughout the company are fed with state of the art conveyor systems that greatly increase productivity and overall tolerances. With CNC controlled indexing and automated miter cutting, these operations are efficient and very accurate. Capacities: Jaw openings up to 40 x 48 Miter cutting capacity up to 25 x 25 CNC indexing, accurate bundle cutting Computer driven nesting capabilities Steel Plate Shearing Driven by large hydraulic rams, high carbon blades come together like a large pair of scissors to cut steel plates. 13 Thermal Shape Cutting Thermal cutting employs the processes of oxy fuel or high definition plasma cutting. Oxy fuel cutting is utilized to handle thicker plate cutting while high definition plasma cuts much faster in thickness ranging from 0 ga. up to 2 ½ thick. PROCESSING Punching, Drilling, Tapping, Marking, and Scribing The B-25 FICEP Machines can cut, punch, drill, tap, mark, scribe, and cut steel plate parts in a multitude of thicknesses and grades with improved accuracy. Due to a method of stationary gantry for fixed points of operation, this provides greater accuracy in cutting and the other processes. The applications are wide and varied, from structural fabrication needs to manufactured parts. PDM Steel cambers structural steel beams using a heavy duty lateral hydraulic press to gently alter the steel beam into its desired shape. Applications for Cambered product would include multi-story buildings and bridge construction. Capacities: Beams up to 40 x 244 lbs./ft. Steel Beam Splitting Services PDM splits steel beams into Tee s using a rotary beam shear. This process, results in less stress relieving during the splitting process. 15 Coil Sheet & Plate Services: Leveling & Cut-to-Length Leveling is the process where large steel coils are straightened and then cut-to-length for a specific requirement. This meets customer s needs to purchase exact length of material eliminating drop that would result from using stock size sheet or plate. Capacities: 28 ga. 20 Hot Rolled Bar Products Commercial Quality Commercial Quality bars are typically produced in grades C008, C020, to chemical specifications. Commercial Quality bars are not subject to mechanical property tests. Typical properties are given for reference only. Mill size tolerances apply to all Commercial Quality bars. Applications Commercial Quality bars are used in many applications. Among them are structural uses involving moderate cold bending or hot forming, welding, punching, and the production of non-critical parts of buildings, bridges, railway equipment, road building equipment, agricultural equipment and implements, and general machinery. ASTM-A6 Hot rolled, ASTM-A6 bars are produced by steelmaking methods that result in a sound product throughout the cross-section and are tested to both chemical and physical specifications. ASTM-A6 material is suitable for most construction purposes including riveted, bolted and welded structures. Material that is made to ASTM-A6 is suitable for mild hot and cold forming. 28 Bar Size & Structural Shapes Structural shapes are those whose greatest dimension, not including length, is three inches or greater. Applications ASTM A6 is utilized in riveted, bolted or welded construction in a wide variety of products such as bridges and buildings. ASTM A572 Grade 50 (high strength, low alloy) structurals are intended for use in riveted or welded fabrication of bridges, buildings and other critical structures where greater strength is required. High Strength, Low Alloy shapes provide excellent strength to weight ratios and in some cases, improved resistance to atmospheric corrosion. ASTM A992 wide flange beams are dual specification, meeting the requirements of ASTM A6 and of ASTM A572 Grade 50. Weldability When any grade of steel is used in welded construction, procedures must be suitable for the steel and the intended service. ASTM A6 steel presents no welding problems when using all welding processes. The quality of the welds is generally extremely high for both welds and joints. Welding rod specifications are dependent on welding conditions such as the thickness of the sections to be welded, service requirements and design. High Strength, Low Alloy grades such as A572 Grade 50 and A992 Grade 50 are weldable with welding techniques suitable for the grade and intended service application.
