DEFI NI TI ONS I n thi s agree ment: "Counsel " means: «BarTitl e» «BarFst Nm» «BarSur na me», Barri ster and any ot her counsel ei ther from Cha mbers or r eco mmended by counsel i n accor dance wi t h cl ause 12 who si gns t hi s agree ment at any ti me at t he soli citor s request. "The soli citor" means the fir m: «I nst Na me» The Cli ent" means the Cl ai mant i n the matter of «CaseNa me» *acti ng by hi s/her Liti gati on Fri end [ ent er na me of liti gati on fri end], or t he Cli ent s personal represent ati ves ( on deat h) or the Cli ent s liti gati on friend ( on l oss of capacity). "Success" means t hat t he Cli ent s cl ai m i s fi nall y deci ded i n hi s or her f avour, whet her by a court decisi on or an agree ment t o pay da mages or i n any way that the Cli ent deri ves benefit frompursui ng the Cl ai m. Fi nall y means t hat t he Opponent i s not all owed t o appeal agai nst t he court deci si on; or has not appeal ed i n ti me; or has l ost any appeal. Fail ure means if t he case i s l ost or on Counsel' s advi ce ends wi t hout success then Counsel is not entitled to any fees or expenses. Thi s agree ment is a contract enf orceabl e at l aw. 5. SOLI CI TOR S OBLI GATI ON TO PAY (1) Upon success, subj ect as pr ovi ded bel ow, t he Sol icitor i s li abl e t o pay Counsel s nor mal and success fees. (2) Subj ect t o cl auses 11 t o 14 bel ow t he a mounts of f ees and expenses payabl e t o Counsel under t hi s agree ment are payabl e whet her or not the Soli citor is or will be pai d by the Cli ent or Opponent. (3) Upon success t he Soli citor will pr omptl y concl ude by agr ee ment or assess ment t he questi on of costs and will pay Counsel pr omptl y and i n any event not l ater than one mont h after recei pt of such costs as are r ecovered from t he Opponent/s t he f ull sum due under t hi s agree ment. (4) Such part of Counsel s nor mal f ees whi ch i s not recover ed fr om t he l osi ng Opponent and any success f ees may be capped or r educed pr o rata i n accor dance wi th paragraphs 11 to 13 bel ow. (5) I n t he event of f ail ure t he soli citor s obli gation t o pay Counsel s nor mal and success f ees i s as s et out i n cl ause 9 of t he st andar d ter ms. 6. THI S SCOPE OF THI S AGREE ME NT I S AS FOLL OWS: (1) What is covered by thi s agree ment Thi s agree ment rel ates to and covers all work already done and all further wor k to be undertaken by Counsel i n respect of the cl ai muntil the cl ai mis won, l ost or ot her wi se concl uded, or thi s agree ment is ter mi nat ed. If the case is settled or goes short, counsel will consider the solicitor's reasonable requests to reduce his/her brief fee set out above. Notes: * The hourly rate and the estimated fees shown above are examples only. It is up to counsel and solicitors to agree rates for each agreement. ** The time estimates for the duration of a trial or interlocutory hearing and for the hours of preparation which are shown above are examples only. The rate of Counsel' s success fee will be as f oll ows: No success fee has been charged by Counsel under thi s agree ment. REAS ON FOR THE SUCCESS FEES: 10. No success fee has been charged under thi s agreement. PAY ME NT OF COUNSEL S NON RECOVERED FEES 11. Counsel s nor mal fees I n the event that, after settl ement or assess ment of costs, some of Counsel s nor mal fees are not recovered fromt he Opponent, the f oll owi ng shall appl y: The Soli citor will NOT be li abl e f or any of Counsel s nor mal fees whi ch are not recovered fromt he Opponent. 12. Counsel s Success fees No success fee is payabl e under thi s agree ment. 13. Unr ecovered fees foll owi ng an Opponent s Part 36 Offer If the Opponent makes a Part 36 off er and the Client recovers da mages and i nterest l ess than the offer and as a result al so recovers no costs fromsome dat e after the Part 36 offer then: [1] if Counsel advi sed that the off er shoul d be accepted and the Cli ent rej ected that advi ce and pr essed on, Counsel is entitl ed to nor mal fees f or the work done after the Part 36 off er was made.

7 [2] if Counsel advi sed that the Part 36 off er be rej ected then Counsel is not entitl ed to recover any f ees fromt he dat e after whi ch the Cli ent recovered no costs because of the eff ect of the Part 36 offer.
