Qualification Profile (1) Te developments of te latest times internationalisation, Europeanisation, economising etc. pose new callenges for notaries, as well as for oter classic legal professions. Legal experts wit general legal competence, specialized business law competence and basic insigts into economic process and connections are required. Te general law study programme at te universities offer a necessary, universal law education tat does not completely cover te specific requirements of te legal professions. Additional knowledge and skills in special areas of te law are required as well as economic knowledge and foreign language and communication skills. In terms of efficient continuing education tese knowledge and skills are best acquired part-time. (2) In te face of tese new callenges, in cooperation wit relevant institutions te University of Innsbruck offers a continuing education course on te international level of a Master study programme tat does justice to te scientific and practical requirements of law profession wit economic relevance: Business Law Corporate and Contract Law since te winter semester 2009/10. (3) Corresponding to te situation on te outset te qualification profile of te continuing education course of Business Law Corporate and Contract Law is to impart extra occupational knowledge and skills tat go beyond te diploma study programme of law and ave become essential in te modern juristic practice to already employed representatives of classic legal professions. Focus is not only on special knowledge of te time, but also on gaining te ability to adjust to future canges and novelties fast and efficiently, based on a profound knowledge of structures and metods, and to apply tem successfully. Te continuing education course of Business Law Corporate Law is aimed at competent and flexible jurists tat see canges as callenges not as obstacles. 1
2 (4) For realizing tis fundamental educational objective, te modules of te course range from an extended and in-dept education in te areas of European Law, company and business law, tax law and financial criminal law, private foundation law, employment law, intellectual property law, competition law, banking and insurance law, capital market law and stock excange act, public procurement law, international civil law and e-commerce law, law for trade and industrial facilities to legal Englis and economic principles. 2. Admission (1) Te continuing education course of Business Law Corporate and Contract Law is limited to 25 participants. Te minimum number of participants for te course to take place is 15. (2) Precondition for being admitted is te completion of a law study programme at a university, wic corresponds to te employment law according to 6a NO and 3 RAO. (3) Sould more tan 25 persons apply for te continuing education course, te selection of te participants for te course is made based on objective criteria by te ead of te course: relevant professional practice, prior education, motivation, balanced mixture of participants, etc. 3. Duration and Structure (1) Te continuing education course of Business Law Corporate and Contract Law as a duration of four semesters. Te first semester is te basic level; te second to fourt semester is te advanced level. Te total continuing education course covers are allocated to te modules (35 semester ours, ereinafter referred to as ), 20 (10 ) of wic are allocated to te basic level and 50 (25 ) of wic are allocated to te advanced level. Te Master s tesis wic is sceduled to be written in te advanced level covers 14. If possible courses are sceduled on Fridays and Saturdays. 4. Modules (1) All modules are compulsory. Tey cover one to tree courses. (2) Te eads of te course sould provide or disclose learning materials for te students, so tat tey can prepare for te course. (3) Te following compulsory modules must be passed in te basic level: First semester 1. Module: Business and Company Law Business and Company Law VO Company and corporate forms, mergers, minorities, individual rigts and creditor protection Total oral Learning Objective of te Module: Acquisition of in-dept knowledge of te basic principles of business and corporate law in special consideration of minorities, individual rigts and creditor protection. 2. Module: European Law European Law - System and Metods VO Sources of law, metods, relationsip European law national law, single European market Total oral Learning Objective of te Module: Gaining of te essential competence for te application of te law, institutional, material and metodical. 3. Module: Fundamentals of Business Law Fundamentals of Business Law Goals, instruments and principles of economic law; business law as private and public law. Overview of te main areas of business law: competition law, commercial crime, economic 3
4 supervision, and economic governance law. Learning Objective of te Module: Insigt into te functionality and instrumentality of te private and public business law. 4. Module: Tax and Revenue Law a. Tax Law b. Financial Criminal Law Introduction to te Material and Formal Financial Criminal Law Total 3 6 Learning Objective of te Module: Knowledge of te tax and financial criminal-law-relevant determinants for te drafting of contracts and business activities. 5. Special Aspects of Business Law Partner loans tat replace proprietary capital, liability of managers and partners Total 3 6 Learning Objectives of te Module: Control of te instruments required for restructuring or liquidation of businesses. 5. Master s Tesis (1) Eac participant of te continuing education course as to write a Master tesis during te advanced levels. Te tesis amounts to 14. (2) Te Master s tesis is a written project tesis tat serves as proof tat te writer is able to deal wit relevant practical tasks in a scientific way. Te topic of te Master s tesis must be selected from one or several modules listed in 4 Para 3 and 4. 7
8 (3) Te participants of te continuing education course ave to suggest a supervisor from te course lecturers and a topic for te Master s tesis, wic as been selected in accordance wit te lecturer, to te ead of te continuing education course. Tis suggestion can be proposed to te ead of te continuing education course from te end of te first semester to te start of te fourt semester at te latest. Te suggestion is deemed to be accepted if te ead of te continuing education course expressly accepts it or does not ban te topic witin a mont. 6. Examination Regulations (1) A module ination must be passed for eac module. Te performance is assessed by course inations in every course. (2) All inations are oral. (3) For repeating inations te regulations of 77 of te Universities Act 2002 apply analogously. (4) If all modules ave been successfully passed and te Master s tesis as been positively evaluated, te Business Law Corporate and Contract Law continuing education course as been passed. 7. Academic Degree Graduates of te continuing education course of Business Law Corporate and Contract Law receive te academic degree of Master of Business Law, abbreviated MBL. 8. Coming into Force (1) Te Curriculum comes into force one mont after publication. (2) Te modification of tis curriculum is effective as of one mont after te announcement. 8
