Our model is to generate inbound inquires from prospects who are specifically asking for reverse mortgage information. Because each lead proactively sought out reverse mortgage information, the quality of our leads and the resulting conversion rate is outstanding. Unfortunately, the downside is that our volume is quite limited we generate less than 2,500 leads monthly nationwide. Unlike direct mailers and telemarketers, our maximum capacity is limited by the number of calls and requests we receive each month. That s why the most common request we get from our clients is more leads. History It s been three years since our first client, Financial Freedom, decided to give us a try. We ve been with them through all the ups and downs and the relationship continues today. Along the way we ve added dozens of smaller organizations and some other big names. Current clients list As a member of the Better Business Bureau with a spotless track record, we stand apart from the burn and churn approach to clients that many lead generators take. We are proud of our client retention rate and that s why we ask ourselves, Will you still be with us in a year? when we speak to a prospective client. Conversion and guarantees The historical national conversion rate is 17%. Highly competitive markets convert at approximately 12% with smaller markets hitting highs around 26%. When a client needs to return a lead for failing one of our guarantees, you simply reply to the with the reason for return and we credit the lead for replacement. Inquiry sources All of our inquiries come in through our Chicago based call center or through one of our web sites that are set up to pair with a specific advertising campaign. We advertise nationally on: Cable television networks with disproportionately senior demographics Radio advertisements on targeted stations and time slots Print advertising in niche publications Our advertisements promote our toll free number and web sites where prospects can request detailed information about the reverse mortgage program. When an inquiry comes in, the prospect s info is automatically scrubbed and delivered. Because we do not send any information to the prospect, we require that each client agree to provide the prospect with the educational material they have requested. That typically includes a standard mailer with marketing collateral and loan estimates. 6 Marketing Agreement Silver Financial, Inc. ( Marketer ), a Delaware corporation headquartered at 105 W Adams St, Suite 1325, Chicago, Illinois, 60603, is a marketing agency and provides marketing services to the client, a mortgage broker or lender ( Client ). The Marketer does not act as a lender or broker. The Marketer does not commit to any benefits, collect Social Security Numbers of potential borrowers, or solicit, process, or place loan applications. The Marketer makes tools available to the public on behalf of the Client that use industry averages to provide rough estimates of loan limits and related figures. When an individual who has been identified as a result of the Marketer s services chooses to conduct a loan transaction with the Client, all transaction information remains exclusively between the individual and the Client. The Client is solely responsible for the conduct of its officers and business practices. Marketing Criteria The Marketer will endeavor to the best of its ability to ensure that the prospect information transmitted to the Client meets the following criteria: The prospect information generated by the Marketer on behalf of the Client is exclusive and will not be shared with other parties. The prospect s interest is recent, having been indicated within a reasonable timeframe, typically within an hour of transmission to the Client. Average property value of leads will track the regional average but property values of individual leads will vary. The Marketer will limit the scope of qualified prospects to those prospects who meet each of the following criteria: A minimum homeowner age of 61 years and nine months. Eligible under commonly available HECM with minimal (less than $4,000) shortfall or no shortfall. Replacement The Marketer will replace the services provided to the client with services of equal value on a maximum of twenty-five percent of the total order value if: Any one of the Market Criteria is not met. The contact information for the prospect is invalid and is not able to be corrected: Telephone number is disconnected or is a fax line The mailing address is undeliverable and the customer can not be reached by phone or The Marketer reserves the right to deny replacement requests in the event that the aggregate volume of replacement requests exceeds twenty-five percent of the order size. Termination The Marketer may terminate the order without cause by notifying the Client and refunding the outstanding balance of the order. Warrants The Marketer does not endorse, warrant, or guarantee the products or services of any Client, including, without limitations, any rates, points, and loan programs quoted by the Client. None of the Marketer s services or tools constitutes an advertisement for credit as defined by paragraph of regulation Z of the Truth in Lending Act. All representations and warranties, express or implied, including without limitation, any warranties of merchantability or fitness for a particular purpose, are hereby disclaimed the Marketer. In no event shall the Marketer be liable for any direct, indirect, special, exemplary, incidental, consequential, or punitive damages, irrespective of whether such damages are foreseeable or unforeseeable. The limit of the Marketer s liability (whether in contract, tort, negligence, strict liability in tort or by statue or otherwise) in any manner related to any campaign, for any and all claims, shall not in aggregate exceed the fees and expenses paid for the services rendered by the Marketer. Client agrees that all information resulting from activities conducted by the Marketer will be held confidential by the Client and no portion thereof will be distributed to any third party. Arbitration Client agrees that any dispute or controversy arising out of or relating to any interpretation, construction, performance or breach of this Agreement, shall be settled by arbitration to be held in Chicago, Illinois, in accordance with the Commercial Arbitration Rules of the American Arbitration Association before a single arbitrator who shall have experience in the area of the matter in dispute. Entire Agreement This Agreement contains the entire agreement of the Marketer and the Client and supersedes all prior or contemporaneous negotiations, correspondence, understandings, and agreements, whether written or oral, between them, with respect to the subject matter hereof. Severability The invalidity or unenforceability of any provision hereof shall in no way affect the validity or enforceability of any other provision hereof. Page 2 of 2
