SETTING THE STAGE: WHY ARE ZONIT S PRODUCTS & SERVICES NEEDED In these times of ravenous demand for more and faster computing power, data centers literally keep the world turning. They operate 24/7, 365 days a year, and keep billion-dollar corporations, governments, and small businesses running; serve billions worldwide who use the Internet; host applications now running in the cloud ; and more. With the strong impact data centers have on commerce (and life in general), it s easy to see why data centers are under pressure to improve uptime and reliability. Yet, data center managers also are facing pressure to reduce energy consumption, minimize their data center s carbon footprint, and reduce labor and facility costs. 2 2-2-2 Highlights of the AFCOM data center study include: 71.3% of respondents are actively engaged in greening their data center, and 60.8% of those endeavors are focusing their green programs on Power Efficiency (i.e., using less power) Power consumption is the most monitored item in a data center, with 68.1% of respondents monitoring power consumption above all else More than 97% of data centers queried have a UPS (uninterruptible power system) infrastructure installed (Source: AFCOM, A January 2010 study conducted by CIO Magazine indicated that: 26% of companies surveyed are making IT investments to lower business operations costs, and Another 23% are making IT investments to manage IT infrastructure more efficiently. ZONIT COMPANY HISTORY Zonit Structured Solutions was founded in 2007 as a spin-off of Boulder, Colo.-based Root Group ( The Root Group was founded in For more than 20 years, the Root Group has been providing professional services and products for the design, implementation, and management of IT infrastructure, including: servers, storage, networking, and security.

The Root Group founded a data center infrastructure practice in As a result of these efforts, Zonit was spun out from the Root Group to focus on being a developer and manufacturer of data center infrastructure products. Zonit has an extensive intellectual property portfolio, with a large number of patents and patents pending. The first two products introduced by Zonit include the Zonit Power Distribution System (zpdu ) and the new Zonit Micro Automatic Transfer Switch (µats ). More products are scheduled for introduction in 2011, and extensive research-and-development for products that address critical data center needs continues. THE CURRENT ZONIT PRODUCT LINE Zonit Structured Solutions is focusing its initial product introductions in one of the most critical areas and challenges faced by data center managers: efficient power distribution, and energy efficiency. The following is a brief look at Zonit s initial product offerings: The Zonit Power Distribution System (zpdu ): This patented power distribution system takes a new and more efficient approach to power distribution within a data center. The zpdu is comprised of hardware and a new methodology for power distribution that vastly simplifies wiring in the data center, as well as being able to make power and receptacle type changes quickly and efficiently as power needs change at the racks within a data center. The zpdu almost completely eliminates the need (and related costs) for custom electrical work every time power needs to change at the rack. The zpdu is proven technology that has been in use for more than eight years at many large data centers throughout the United States.

The Zonit Micro Automatic Transfer Switch (µats ): Introduced at Data Center World in October 2010, the Zonit µats is breakthrough technology that provides the features and functions of rack-mounted automatic power transfer switches with comparable functionality at a MUCH lower price point, and an ultra small form factor that takes NO rack space. The Zonit µats plugs into the back of single-power-supply devices in data centers such as servers and routers and provides redundant power without the need to buy a second power supply for the device. The µats also can be used to help dual UPS devices more efficiently utilize power, which can save a data center between 3-5% of its annual power consumption. The µats also can be used for hot moves moving a server, router, or switch within a rack or to another rack in the data center while still being powered on. Additional Zonit products are slated for introduction throughout THE ZONIT MANAGEMENT TEAM Bill Pachoud Chairman, Founder & Chief Technical Officer: Bill Pachoud (pronounced: Pah-Showd) is the, chairman, founder, and CTO of The Root Group, and the founder of Zonit Structured Solutions. He has more than 20 years of experience in information systems architecture, design and implementation, with particular emphasis on the architecture of large, complex information technology environments. Prior to founding Root Group, and subsequently Zonit, Mr. Pachoud worked at Bell Labs from 1984 to 1987 in the design, implementation and testing of data communication features for PBX systems. From 1987 until 1988, he worked at Solbourne Computer as the Chief System Administrator. During this time, he managed the tripling of the company s network and two relocations. From 1989 until the present, he has been the Chairman and CTO of the Root Group. He received his Bachelor of Science in Geophysics from the University of Colorado - Boulder. His graduate work in Computer Science at CU-Boulder focused on artificial intelligence, cognitive science, and user interface design.

5 5-5-5 THE ZONIT MANAGEMENT TEAM (cont.) Michael Corrigan Chief Financial Officer: Michael Corrigan has 30 years of experience in financial and operations management. Mike has held the position of CFO for Visual Products Corporation embarking the company on a roll-up of the sign manufacturing industry, acquiring four companies across the USA and Canada, and expanding the total revenue from $12 million to more than $70 million a year. Prior to this, Mike was the CFO for the Gordon Sign Company and for Davis Audio Visual. He held the controller position while reporting directly to the President of Destron/IDI, a publicly held Canadian high-tech manufacturing company operating in Boulder, Colo. Here, he managed all accounting and financial issues, including creating and filing SEC Form 10 in order to become listed on the NASDAQ, and a joint venture with Hughes Aircraft for international manufacturing. Mr. Corrigan acquired his CPA license as an audior for Touche Ross & Co., and after earning a Bachelor of Science in Finance with an emphasis in Accounting from Univrsity of Colorado at Boulder in Ric Lukasiewicz Vice President of Sales: Ric Lukasiewicz (pronounced: Luke-Ah- SEV-ich) has 24 years of marketing & management experience, with a long history of successes in marketing, sales, and business turnarounds. Prior to joining Zonit, Lukasiewicz has been the principal in his own management consulting firm, owned multiple busieneses, plus held a variet of senior-level sales management and sales positions where he consistently was a top worldwide performer in generating sales, developing sales & marketing teams, and establishing sales & distribution networks, and more. He has held management and positions with Meru Networks, Mu Dynamics, Extreme Networks, 3Com, Arrow Electronics, and International Business Machines (IBM). Mr. Lukasiewicz earned a Bachelor of Science in business administration with added concentrations in Finance, Management, and Marketing from California State University in Sacramento. Courtney DeWinter Chief Marketing Officer: Courtney DeWinter has 25 years of experience in branding, marketing, public relations, and business coaching. She has worked as a corporate communications specialist for a publicly traded technology company; as a senior account strategist and account manager for several large PR agencies; as a member of the media (reporter, staff editor & managing editor); and as the principal of her own marketing/pr agency. Technology marketing and PR is one of her areas of specialty, as is working with entrepreneurs to launch new companies, products, and services. Notable successes include executing the launch of Webroot Software (now a $300+ million company), and serving as a member of the PR team that launched the natural beef industry. Ms. DeWinter earned a Bachelor of Science in technical journalism from Colorado State University, with added courses of study in marketing and behavioral sciences.
