1 LADY HIGHLANDER BASKETBALL BOOSTER CLUB Booster Club Constitution and By-Laws Proposed October 1, 2008 Article I Name The name of the organization shall be the Lady Highlander Basketball Booster Club (LHBBC). The LHBBC is organized under the University Interscholastic League (UIL) Guidelines, as well as in compliance with the rules and regulations of the Conroe Independent School District (CISD) and The Woodlands High School. Article II Purpose The Lady Highlander Basketball Booster Club is organized exclusively for the charitable and educational purposes. Any distribution of funds will be made solely to organizations that qualify as exempt organizations under section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code. No part of the net earnings of the organization shall insure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof. No substantial part of the activities of the organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office. Notwithstanding any other provision of this document, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under section 501 (c) (3) of the Internal Revenue Code, corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under section 170 (c) (2) of the Internal Revenue Code or corresponding section of any future federal tax code. Upon the dissolution of the organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not disposed of shall be disposed of by the Court of common Pleas of Montgomery County, Texas exclusively for such purposes or to such organizations as said Court shall determine which are organized and operated exclusively for such purposes. The fiscal year for the financial reporting to the Booster Club is June 1 through May 31. To promote a wider interest in the Lady Highlander Basketball Program at The Woodlands High School. To develop and promote good fellowship and encourage the participation of activities and programs for the benefit of the Lady Highlander Basketball Program within The Woodlands High School. To assist in any Lady Highlander Basketball functions. To raise funds for the general support of the Lady Highlander Basketball Program. To provide educational and charitable support for the Lady Highlander Basketball teams. 2 To provide scholarships to qualified/eligible graduating seniors. Article III Meetings General membership meetings shall be held semi-annually during the fall and spring. The Executive Board will determine the meeting dates and times. The meetings are open to the public. The paid members that are present shall approve business activities of the LHBBC. Meetings of the Executive Board are to be held as required. Article IV Membership Membership is open to all who have an interest in and actively support The Lady Highlander Basketball Program. The members of the Booster Club understand the UIL rules, as well as the Rules and Regulations of The Woodlands High School, and will comply with the spirit of the rules. Article V Membership Dues The Membership Dues of the LHBBC will be $125 per year, per player and will determine voting eligibility. Article VI Officers and Their Duties The Officers term of office will be equal to the fiscal year of the organization. The Officers of the LHBBC shall be: President, Vice President, Secretary, and Treasurer. These officers, along with the Principal, the Athletic Director and the Varsity Basketball Coach shall be known as the Executive Board. President: Call and preside over all general meetings and maintain general supervision of the affairs of the LHBBC. Establish meeting agendas, to be approved by the Varsity Basketball Coach. Facilitate the appointment and/or selection of chairpersons. Shall have no vote at general meetings, unless to break a tie. Oversee the compilation of committee reports, documentation and guidelines to insure successful committee transactions from season to season. Responsible for all communications between the LHBBC and CISD. Vice President: Assist the President and assume his/her responsibilities in his/her absence. Secretary: Record, present, provide and maintain/retain, the minutes of each meeting, as well as officer and committee reports. Maintain current list of membership, including phone numbers and addresses, with respective team-specific distribution lists. Conduct correspondence, as delegated. Treasurer: Account for all financial transactions, by maintaining an accurate record of all income/revenue, as well as expenditures, with associated receipts. Present, provide and maintain/retain an income statement/balance sheet for each meeting. Shall head the committee to create the annual budget, as comprised of the Executive Board. Coordinate full financial disclosure with CISD independent auditors, when necessary.

3 Article VII Election of Officers Persons interested in being a prospective Executive Board member must contact the Varsity Coach by March 31 st of the current calendar year to be considered for an Executive Board position for the following year/season. Each prospective Executive Board nominee shall interview with a school representative. The Varsity Coach shall also solicit Executive Board members at his/her discretion. The new Executive Board will be presented to the general membership for approval upon all Executive Board positions being filled and will assume office immediately thereafter. Article VIII Committee Chairpersons Committee Chairpersons shall volunteer or be appointed by the Varsity Coach for each committee and be responsible for coordinating representatives for each team (Varsity, JV, and Freshmen via the following committees: LHBBC Membership Committee: Responsible for complete program membership and associated rosters. Fund Raising Committee: Responsible for the organization of suggested fundraising events with Executive Board approval. TWHS, CISD, and UIL guidelines and/or policies must be strictly followed. These currently include the following sub-committees - all responsible for securing dates and accounting for all funds raised: Game Day Program Committee securing business and personal ads, coordinating booklet distribution. Basketball Tournaments Committee the Lady Highlander Invitational tournament and any other LHBBC sponsored tournaments. Coordinating brackets, concessions, entrance fees, programs and publicity with the Varsity Coach. Golf Tournament Committee coordinating workers, participants, event contest, food and refreshments and prize donations/solicitation. Yard Signs Committee - taking orders and distributing yard signs Concession Stand Committee: Responsible for the set up, organization and staffing of the concession stand for home games and tournaments. Mandatory staffing is required of each player s parent. If a parent is unable to fulfill their duty they are responsible to find a replacement and report it to the Concession Stand Committee Chairperson. Volunteers must be at least 16 years of age. Clothing Committee: Responsible for assisting the Varsity Coach with the ordering of clothing items to be sold to LHBBC members and game day shirts for players. Clothing and game day apparel design shall be coordinated with the Varsity Coach. Gym Wall Nameplate Committee: Responsible for securing player nameplates posted in gym.

4 Information Night Committee: Responsible for coordinating the date, time and decorations for the Information Night through the Varsity Coach's office. Meet the Team Night / Ice Cream Social Committee: Responsible for coordinating with the Varsity Coach player and team introductions and for coordinating the ice cream social at the meeting. Year-End Banquet Committee: Responsible for the year-end banquet including date, location, food decorations and time. All details are to be coordinated through the Varsity Coach's office. Away-Game Meals Committee: Responsible for securing delivery of sandwiches to both campuses for player's interested in participating in this optional cost service, coordinated with the Varsity and Freshman coaches. Locker Decoration / Name Plates Committee: Responsible for decorating the player's locker room for the season opener and all district home games for both high school campuses and for securing player nameplates for the respective player s locker. Programs Committee: Responsible for the development of game day, tournament and year end banquet programs. Game and tournament programs will include all high school players and the respective varsity opponent for that game. The year-end banquet program will be coordinated with the Varsity Coach. Halftime Entertainment Committee: Responsible for securing entertainment for halftime of all Varsity home games, in addition to arranging the singing or playing of the National Anthem before all Varsity Home Games. Red and Green Parade Committee: Responsible for coordinating all activities including float, decorations and player participation associated with this annual event. Senior Yearbook Ad Committee: Responsible for securing an ad for graduating seniors in the TWHS Yearbook, in conjunction with picture, ad design and player organization. Web Site Committee Responsible for the development of the Lady Highlander Basketball web site. To provide updates to the Information Booklet via . Jr. High School Liaison Committee Responsible for the contacting, informing and engaging junior high school participation in LHBBC functions and activities.

5 Audit Review Committee: An internal review committee can include officers and members; however, there should be at least one non-officer on the committee. Officers who are authorized signers at the bank cannot be on this committee. This committee will review the financial statements prepared by the Treasurer, compare bank statements to check register, verify documentation of invoices paid, and complete a Review Committee Report for the Booster Club Board, the School Principal and the CISD Internal Auditor. Scholarship Evaluation Committee Committee:Members of the Booster Club excluding parents of seniors will assist the Varsity Coach in the evaluation process of determining individual scholarship amounts to be awarded to seniors, as well as the underclassmen yearly evaluations. Article IX Scholarships The head coach is responsible for the selection of qualified / eligible senior scholarship recipients, as a result of proper application, including a letter of intent, meeting a submission deadline and being a senior in good standing. Funding of the LHBBC scholarship program will vary according to available funds and applicant qualifications. Scholarship awards will be made at the TWHS Senior Awards Assembly and the check will be payable to the educational institution selected by the student with college acceptance verified by the Head Coach. Article X Amendments This constitution and by-laws may be amended by a two-thirds vote of the paid members present, provided that reading of the proposed amendment(s) has taken place at the previous general meeting.
