1 TEXAS TRAIL BLAZERS BASKETBALL ORGANIZATION The Texas Trail Blazers Basketball Organization (TTBBO) exists to offer basketball training, advanced playing opportunities, and to teach good sportsmanship to pre-high school youngsters and high school students who reside in the Dallas-Fort Worth area. Our organization is volunteer-run, and participation by the youth of the Dallas-Fort Worth area is voluntary as well. Membership in the TTBBO is limited to the parents and/or guardians of player participants. The Board of Directors is elected at the mandatory general membership meeting held before the beginning of the school year. 2 BYLAWS ARTICLE 1. NAME The name of this organization shall be the Texas Trail Blazers Basketball Organization (TTBBO). It shall be a non-profit organization. ARTICLE 2. OBJECTIVES ARTICLE 3. POLICIES Section 1. A. To provide an opportunity for 3rd to 12th grade students, who reside within the Dallas- Fort Worth area, to participate in a competitive basketball program. B. To promote good sportsmanship and fair play by the players, parents, and coaches. C. To teach basketball fundamentals through playing experience that can prepare players for local high school teams and collegiate athletics. D. To ensure the health and welfare of each participant is our principal aim. Section 2. The TTBBO is organized exclusively for the charitable purposes within the meaning of Section 501 of the Internal Revenue Code. Section 3. To carry on activities and business consistent with the foregoing purposes which the Board of Directors of the organization deems appropriate. Section 4. To provide a means of communication between TTBBO and the family as it pertains to basketball. This organization shall be non-profit, non-commercial, non-sectarian, non-partisan, and shall not engage in any activities other than those deemed necessary to accomplish the stated objectives. TTBBO's revenues shall be used solely to further the purposes set forth in Article II. All provisions will be implemented by the organization. ARTICLE 4. MEMBERSHIP, REGISTRATION, PLAYER ELIGIBILITY, AND FUNDRAISING Section 1. The Board of Directors shall establish the fees for membership in this organization. All participants must have a parent or guardian as a paid member of the organization by the first scheduled game of play. Section 2. Students must maintain a minimum of a 2.0 grade point average on a 4.0 scale, with no failing grades. Grades used to determine eligibility will be those recorded on the report card and/or interim report. A player can only become ineligible at the time of a report card marking period and can regain that eligibility at interim report time. Section 3. As a commitment to the TTBBO, all players are expected to participate in all practices and be available to participate in a majority of league games.

3 Section 4. Participation in the TTBBO fundraising is open to all parents, guardians, coaches, and team members. Memberships are available throughout the year and are automatically conferred on parents or guardians of team participants. Each member shall have one vote for the purpose of conducting the business of the organization. Section 5. No member of this organization shall be personally liable for the debts, liabilities, or obligations of the organization. ARTICLE 5. OFFICERS, BOARD OF DIRECTORS, AND THEIR ELECTION Section 1. The officers of this organization shall be: President, Vice President, Director of Basketball, Director of Operations, Treasurer, and Secretary. Section 2. These officers (Except the President) shall be elected annually by the membership. Each member present shall have one vote. No proxy votes shall be accepted. Section 3. The President remains intact; however, all other officers shall serve a one-year term, assuming the role at the start of the school year with support of the President and previous board member. Term served is September 1 to August 31. Each Board of Directors position can be performed in a shared capacity but limited to no more than two people. Serving in a Co-Officer position counts as one term. Section 4. The Board of Directors, the governing body of the TTBBO, shall consist of only the officers listed in Article 5. Section 1. Section 5. Officers are each responsible for suggesting one or more prospective replacement for themselves upon resignation or completion of their terms of office. The President shall then assemble the slate of prospective new Officers and present it to the membership for a vote in June. Twenty (20) days prior to the election, the President is to notify membership of the proposed slate of officers. Section 6. When an Officer or Board of Directors Member fails to attend three (3) regular board meetings, or fails to perform his/her duties without adequate reason, the Board of Directors may remove the Officer and declare the position vacant. The Board of Directors shall then appoint a replacement for the position for the remainder of the term. Section 7. Officers and Board of Directors members shall serve without financial compensation. Section 8. To be an officer of the Board of Directors, you must have a child currently participating in the students basketball program at the TTBBO for that school year. ARTICLE 6. DUTIES OF OFFICERS AND BOARD OF DIRECTORS MEMBERS Section 1. The President shall preside at all meetings of the organization and shall form committees necessary to execute the policies of the Board of Directors. It shall be the duty of the President to make sure the Bylaws are followed and enforced. In the spring, the President will present a slate of officers for the next year to be voted upon at the June general meeting. Section 2. The Vice President shall be chairman of the Ways and Means Committee and perform the duties of the President in his/her absence. The Vice President and his/her

4 committee shall primarily be responsible for all fundraising activities. Including all management of these activities and insuring the work is fairly apportioned to all families involved in students basketball. The Vice President in conjunction with the officers of the Board of Directors will make the final decision on what the fundraising activities will be for that year. Section 3. The Director of Basketball shall coordinate and oversee the basketball activities related to TTBBO. The Director will supervise the personnel responsible for supporting the basketball teams, as well as direct various personnel actions including, but not limited to, hiring coaches, performance appraisals, promotions, transfers, equipment ordering, organizing camps, and coordinating community service activities for the program. Section 4. The Director of Operations shall be responsible for liaison between the Board and staff, shall support the Board in carrying out its duties and shall have overall management responsibility for all programs and activities of the Texas Trail Blazer Basketball Organization. The Directors of Operations will be responsible for supporting the basketball teams, as well as direct various personnel actions including, but not limited to, hiring coaches, performance appraisals, promotions, transfers, equipment ordering, organizing camps, and coordinating community service activities for the program. Section 5. The Secretary shall keep a record of all minutes of all Board of Directors meetings and regular meetings, keep and maintain a current list of all members, and maintain records of correspondence. Section 6. The Treasurer, or in his/her absence the Secretary, shall receive all money for the organization and shall deposit same in the name of the organization in an account in a financial institution approved by the Board of Directors. Where cash receipts are concerned, all money shall be counted and verified by signature as to the amount before being turned over to the Treasurer. The Treasurer shall keep most of the funds in the interest-bearing account and a minimum amount in the checking account. Section 7. The Treasurer shall pay all bills by check and keep an accurate record of receipts and disbursements. All checks issued in the name of TTBBO Boosters shall be signed by two of the following: President, Vice President, Treasurer, or Secretary. The Board of Directors shall approve each separate disbursement over $500. Section 8. The Treasurer shall reconcile the checkbook monthly with the bank statement and present a written financial report to the Board of Directors quarterly. The fiscal year shall run from September 1 st to August 30th. The Board of Directors shall arrange for an independent audit to be performed by an auditor who has no personal or familial relation to anyone on the Board of Directors. The audit will be performed in the month of September and will include but not be limited to: (1) verification of all receipts and disbursements, and (2) reconciliation of the checkbook with the approved disbursements listed in the minutes and their invoices. The annual audit shall be filed with the President, Treasurer, and Secretary in the fall of each year. ARTICLE 7. BUDGET AND FUNDRAISING Section 1. The annual budget of the TTBBO shall be approved by a majority vote of attending members at the first regular meeting of the school year as formulated by the Board of Directors and submitted to the principal/designee.

5 ARTICLE 8. MEETINGS Section 2. All major fundraising activities of the organization shall be approved by a majority vote of attending members at any Board of Directors meeting. Board of Directors meetings will be held monthly if needed. General meetings shall be held at least three (3) times a year, at the start of students basketball season and at the end of the school year for the election of new officers. Meetings shall be conducted under Robert s Rules of Order. Each member present shall have one vote, and no proxy votes will be accepted. ARTICLE 9. TITLE IX It is the policy of TTBBO in compliance with Title IX of the Education Amendments of 1972, not to discriminate on the basis of sex in its programs and activities. ARTICLE 10. DISOLUTION Upon the dissolution of the organization, its assets remaining after payment, or provision for payment, of all debts and liabilities of this organization shall be distributed by the Board of Directors to a non-profit fund, foundation or corporation which is organized and operated exclusively for charitable purposes and which has established its tax exempt status under Section 501(c)(3) of the Internal Revenue Service Code (or corresponding section of any future tax code). ARTICLE 11. REMOVAL, SUSPENSION, EXPULSION AND APPEAL OF MEMBERS, OFFICERS AND DIRECTORS ARTICLE 12. AMENDMENTS Section 1. The Board of Directors may revoke the membership of a player, coach, or parent whose unsportsmanlike conduct may jeopardize the health and safety of other players, parents or the officials. Also, when it is considered in TTBBO's best interest. Section 2. A membership may be terminated or suspended by TTBBO for not abiding by the Bylaws of the organization. The Board of Directors of TTBBO also maintains the right to terminate or suspend a membership for not abiding by the Bylaws, and/or the Players/Parents Conduct Guidelines. In addition, any violation of civic or criminal laws can result in immediate termination. Section 3. Any player that is removed from multiple games for a conduct issue by an official of the game or an official of TTBBO will automatically serve an additional game suspension. Section 4. Any coach that is removed from multiple games for a conduct issue by an official of the game or an official of TTBBO will automatically have a hearing with the full TTBBO Board of Directors, at which time disciplinary action will be taken. Section 5. Any person against whom the Board has taken disciplinary action may appeal to the general membership to reverse the action of the Board. A majority vote by written ballot of the entire membership is required to repeal an action to the Board. These by-laws may be amended by a two-thirds vote of members in attendance at any regular meeting provided notice to members has been given at least 15 days previously.
