Unitil affiliates include Unitil Energy Systems, Fitchburg Gas and Electric Light Company, Northern Utilities and Granite State Gas Transmission. Together, Unitil serves approximately 100,500 electric customers and 70,000, natural gas customers. Other subsidiaries include the non- regulated business segment doing business as Usource. The Company supports the development of strong, successful communities through investments in its infrastructure as well as local economic and community development programs. Unitil maintains strong partnerships with local, regional, and state economic development organizations and actively promotes sound development opportunities. The Company also actively supports community and non- profit agencies and programs with funding as well as through employee volunteerism and executive leadership. Affiliate Profiles: Fitchburg Gas and Electric Light Company (FG&E), a Massachusetts corporation organized in 1852, became part of the Unitil system in Today, FG&E provides retail electric and natural gas distribution service in a 170- square- mile service area in north- central Massachusetts, with an estimated population of 82,000. This includes electric distribution service to 27,812 customers and natural gas service to 15,120 customers. Towns serviced include Fitchburg, Townsend, Lunenburg, Ashby, Westminster and Gardner. Granite State Gas Transmission was incorporated in New Hampshire in 1955 and became part of the Unitil system in Granite s principal business is delivering natural gas transportation services to Northern Utilities and providing access to inter- state natural gas pipeline supplies over 87 miles of FERC- regulated pipeline located primarily in Maine and New Hampshire. Unitil Energy Systems (UES) is a New Hampshire corporation, the successor company from the 2002 combination of Concord Electric Company and Exeter & Hampton Electric Company. Concord Electric Company was organized in 1901 to provide electric service to customers in Concord, NH. Exeter & Hampton Electric Company was organized in 1908 to provide electric services to customers in Exeter, Hampton and surrounding communities. Today, UES provides electric distribution service to more than 72,500 customers in the Capital and Seacoast regions of New Hampshire, serving the 31 communities of Allenstown, Atkinson, Boscawen, Bow, Brentwood, Canterbury, Chichester, Concord, Danville, Derry, Dunbarton, East Kingston, Epsom, Exeter, Greenland, Hampstead, Hampton, Hampton Falls, Hopkinton, Kensington, Kingston, Loudon, Newton, North Hampton, Pembroke, Plaistow, Salisbury, Seabrook, South Hampton, Stratham, and Webster. Unitil Resources, Inc. was incorporated in New Hampshire in 1993 as a non- utility subsidiary of Unitil. Its subsidiary, Usource L.L.C. provides energy brokerage service to large energy users throughout the Northeast seeking competitive electricity or natural gas supplies. Unitil Service Corp. was incorporated in 1984 to provide centralized administrative and management services to Unitil System subsidiaries. Unitil Service Corp. is located at Unitil's corporate headquarters facility in Hampton, New Hampshire, and operates a customer service center in Concord, New Hampshire.

Its predecessor companies include Portland Gas. 1984: Unitil Service Corporation is founded to provide joint administrative services for Concord Electric and Exeter Hampton and Electric 1992: Unitil buys Fitchburg Gas and Electric from local municipalities. 1993: Unitil founds Unitil Resources, Inc. as a non- utility subsidiary of Unitil. Its subsidiary, Usource LLC., provides energy brokerage service to large energy users throughout the Northeast seeking competitive electricity or natural gas supplies 2008: Northern Utilities becomes part of the Unitil system.

4 Financials: Unitil (UTL) is a publically traded company on the New York Stock Exchange. Unitil posted total operating revenues of $367 million in 2009, or earnings of $1.03 per share. The latest Annual Report is available here. Energy Efficiency Programs: Unitil offers a variety of energy efficiency programs for both its gas and electricity customers. Through coordination with other New England electricity providers, programs designed to address specific target markets and/or efficient technologies exist for our commercial, industrial and institutional customers. Programs range from a free consultation to a commercial retrofit program to help replace inefficient equipment. On the natural gas side of the business, reduced cost energy assessments are available for commercial, industrial and multifamily housing projects along with some rebates and other cost saving initiatives. Our Senior Leadership Team members are profiled below: Bob Schoenberger is Unitil s chairman of the board, chief executive officer, and president. Prior to joining Unitil, Bob was president and chief operating officer of the New York Power Authority. Bob serves as a director of Satcon Technology Corporation in Boston, Massachusetts a leading provider of solar inverter and fuel cell power conversion solutions. He was formerly the chairman and trustee of Exeter Health Resources in Exeter, New Hampshire, and a director of the Greater Seacoast New Hampshire United Way, the New England Gas Association, and the Southwest Power Pool. Bob is a graduate of the University of Delaware and LaSalle University Mark Collin is Unitil s senior vice president and chief financial officer, a position he has held since February 2003, and has been the company s treasurer since Mark joined Unitil in 1988 and was Unitil s vice president of finance from 1995 until Prior to joining Unitil he worked for the New Hampshire Public Utilities Commission as a Utility Analyst. Mark is an alumnus of the State University of New York at Cortland and the UNH Whittemore School of Business & Economics. He is actively involved as a member of the Board of Directors for New Hampshire Public Television and currently serves as chairman. Tom Meissner is Unitil s senior vice president and chief operating officer. Prior to this position, Tom he was senior vice president, operations, from February 2003 through June Tom joined Unitil in 1994 and was named Unitil s director of engineering from 1998 to Before joining Unitil, he held a variety of engineering and operations positions at Public Service of New Hampshire. In addition to his work as a board member of Rockingham County Community Action and the Northeast Gas Association, Tom is involved with the Energy Council of the Northeast and the New Hampshire section of the Institute of Electrical and Electronics Engineers. A graduate of Northeastern University and the University of New Hampshire, Tom is a registered professional engineer. George Gantz is Unitil s senior vice president, distributed energy resources (Unitil Service), a position he assumed in September George joined Unitil in 1983, was senior vice president, communications and regulation, from 1994 until 2003, and held the position of senior vice president, customer services and communications, from

6 2003 until George graduated from Stanford University and is an active member of the Business and Industry Association of New Hampshire and the North Central Massachusetts Community Foundation. Todd Black is Unitil s senior vice president, external affairs and customer relations. Todd joined Unitil in 1998 and served as vice president, sales and marketing, for Unitil subsidiary Usource until 2003 and as Usource president until Todd is a member of the Foundation Board at Fitchburg State College, serves on the Green Launching Pad Board at the University of New Hampshire, and is a board member of the Whittemore School of Business & Economics at the University of New Hampshire. An alumnus of UNH, Southern New Hampshire University, Mr. Black also completed Stanford University's Graduate Executive Program for Growing Companies. George Long has been Unitil s vice president, administration (Unitil Service), since February George joined Unitil in 1994 and was director, human resources, from 1998 to Prior to Unitil, he worked as director of compensation and benefits for Monarch Capital Corporation. He is actively involved as Secretary of the Board for the new Outlook Teen Center in Exeter, NH. George is a graduate of Rensselaer Polytechnic Institute.
