4 I. Introduction Constantly changing customer expectations and worldwide competition require continuous improvement in all products and services and also all processes and company procedures. Customer satisfaction due to quality in all aspects is a decisive factor for success for DEUTZ AG (hereinafter referred to as "DEUTZ") as an independent engine manufacturer and thus for you as our contractor (hereinafter referred to as the Supplier) whose products are incorporated in DEUTZ engines. For this "Zero Defect Quality" of all deliveries is an imperative requirement which can only be achieved and assured by the joint efforts of DEUTZ and its suppliers. Avoiding defects instead of detecting defects and continuous improvement in the whole process chain - customer inquiry, quotation, order, product creation, start of production, series delivery and use in the field - are indispensable requirements which we must and will fulfill with the active help of our suppliers. These guidelines point out to our suppliers the requirements, methods and implementation advice which are necessary for achieving the joint goals. Version 2013_1.4 1
5 II. Basic requirements a. Quality management system The supplier has effectively introduced a QM System into his company and with it proves his quality capability. This system complies at least with the requirements of the standard DIN EN ISO 9001: As proof the supplier generally has to submit the valid certificate from an accredited certification company (third party audit). Additional requirements by the automobile industry and also by DEUTZ must be known to the supplier and must be fulfilled where requested with regard to the products supplied. The additional requirements are for example specified in: VDA 6.1 and VDA 6.3, APQP, MSA, SPC, H 0758, or generally in: ISO / TS A third party certification (ISO / TS 16949) in accordance with the standards / publications is recommended by DEUTZ. The environmental standard DIN EN ISO is to be taken into account. b. Continuous improvement process The supplier has introduced in his company a structured process for continuous improvement of all products, processes (also applies to out-sourced processes), operating procedures and services and demonstrably applies it to the products delivered to DEUTZ and activities associated with the business relationship. He demonstrates the effectiveness by a continual improvement of his quality performance, delivery performance, flexibility and collaboration. The relevant programs and measures for continuous improvement will be submitted to DEUTZ on request. Version 2013_1.4 2

7 1. Selection and qualification process In order to enter into a business relationship with DEUTZ as a supplier, first of all a process defined by DEUTZ must be passed. All the information collected is checked and evaluated by DEUTZ. Using this evaluation the supplier receives a corresponding grading. On achieving a positive grading this process ends with the supplier being cleared for a business relationship with DEUTZ. The grading is valid without time limitation. The supplier is obligated to announce changes that have impact on the first grading in advance to renew the grading. The individual process stages are described more exactly in the following chapters. Version 2013_1.4 4
8 2. Supplier disclosure The supplier applies to DEUTZ with a detailed supplier self-disclosure filled in by him. The self-disclosure allows DEUTZ to assess the supplier organizationally, economically and also qualitatively and forms the basis for all further activities. The supplier self-disclosure consists of the following documents: Supplier Information Quality Questionnaire Feasibility study* Confidentiality agreement (if necessary) Exclusivity agreement (if necessary) * if a specific product is already requested Only after receiving and assessing this information, further steps in the supplier qualification and release process are initiated or the business relationship will be terminated. a. Supplier Information The supplier disclosure contains the organizational and economic details of the supplier. It identifies who the supplier's contact people are, how the organization is structured, how the supplier is technically equipped and which certificates he has achieved. Applicable documents: VQ-L003 Selbstauskunft_Supplier Information b. Quality Questionnaire With the self-assessment the supplier evaluates his Quality System in the form of a self-grading. Feasibility study With the Feasibility study the supplier certifies that he has comprehended the task company wide and that he has proved and rated all specification requirements (each characteristic). The supplier must be able to manufacture the parts under consideration of all requirements and specifications of the DEUTZ AG in the quality and quantity required. This is confirmed by signing the Feasibility study. Applicable documents: VQ-L008 Feasibility study d. Confidentiality agreement The supplier must ensure confidentiality in the development of products and projects on behalf of DEUTZ and also safeguard the applicable product information. Information received from DEUTZ is to be kept secret and must only be passed on to third parties when prior consent is agreed with DEUTZ in writing. Applicable documents: VQ-L009 Confidentiality and Exclusivity agreement e. Exclusivity agreement Products which the supplier manufactures using DEUTZ know how must be supplied exclusively to DEUTZ and not disposed of to third parties. Applicable documents: VQ-L009 Confidentiality and Exclusivity agreement Confidentiality and Exclusivity agreements expire if a long time contract is signed containing these regulations. 10 3. Initial audit & Potential Supplier Audit (PSA) In preparation for a decision to place an order with an unknown supplier, particularly when placing orders for technically demanding products, the quality capability and the development know how of the applicant has to be assessed. The purpose of the first audit is the successful introduction of a new supplier. This means an assessment of the quality of the supplier focusing on the product and the process as well as the implementation of robust processes. Activities before the visit by DEUTZ: DEUTZ Purchasing: As a first step all necessary documents are sent to the supplier. The dispatch of these documents is done the by DEUTZ Purchasing (see chapter 2 and 0 as well as drawings and specifications specific to the product). Supplier: The supplier submits a quotation with regard to the part price, a capacity assessment, the tooling costs and also packaging (see also chapter 15) and dispatch costs. DEUTZ quality management: To analyze the potential of the supplier depending on the parts' criticality audits are mostly carried out in accordance with the VDA standard. If required an audit question catalogue will be made available to the supplier in advance for the purpose of preparation. Execution of the first audit: The first audit is carried out by an auditor from DEUTZ Supplier Qualification. In addition to this DEUTZ retains the right to commission external auditors. In addition specialists from other areas (e.g. Purchasing, Development, Material Testing or Test departments) can be involved in a supporting role. Version 2013_1.4 7

This document, based on the potential analysis of VDA, is used for the first rating/ assessment of suppliers. It is not comparable to the initial audit and is only used for the first selection of suppliers. 13 4. Process Sign Off (PSO) The Process Sign Off (PSO) is only carried out by DEUTZ for selected parts. The aim of a PSO is to check the capability of a supplier's manufacturing process concerning DEUTZ products. It has to be ensured that the customer's requirements have been completely understood by the supplier. A PSO is a systematic and sequential check on the series manufacturing process at the supplier's. This check is carried out at the planned manufacturing speed, with the designated manufacturing personnel, the series manufacturing facilities and also series equipment, processes, materials, methods and production tooling. Activities before the visit by DEUTZ: The requirements and contents of the PSO are explained to the supplier and agreed with him. Checking the documentation: The supplier must support DEUTZ with suitable documentation. This takes place in accordance with the PSO checklist (Examples of documents). Applicable documents: VQ-L013 Prozessfreigabe_process sign-off This documentation must include a product start up plan, which must contain a planned throughput yield rate and also the accepted failure rates.. Participants during the PSO. An auditor from DEUTZ Supplier Qualification takes on the management of the PSO. Optionally other specialists from other areas (such as e.g. from Purchasing, Development, Material Testing or Test Department) can participate in a supporting role. Version 2013_1.4 10
14 Execution of the PSO: The duration of production during the PSO must be agreed between DEUTZ and the supplier. Both DEUTZ and also the supplier must accept this agreement. The minimum requirement is for a representative quantity to be produced. The aim is to establish that a robust and capable series process has been established. During the PSO the criteria are questioned and documented in accordance with the PSO checklist. Data which document the readiness for series production of the process, i.e. for example the manufacturing speed, cycle times, process capabilities etc., are to be determined and analyzed during the PSO. For this defined critical characteristics are to be checked in advance at a suitable frequency and assessed with regard to their capability. Functioning tests are to be carried out where they are sensible and appropriate. The initial sample documentation must be complete and available for cross checking. Is the initial sample documentation not available at deadline, parts are taken out the process and defined as initial samples. A unique and agreed labeling has to be defined. Version 2013_1.4 11
15 5. Sampling The aim of sampling is to prove the capabilities with regard to quality required from the supplier and to check whether the requirements of the drawings or specifications are being fulfilled. All standards drawn on for these documents are not rescinded by the Supplier Manual. The DEUTZ company standard H defines and specifies procedures and rules for the character, manufacture, testing and approval of samples. These procedures and rules are applied to all sample parts which are purchased for the further manufacture of DEUTZ products. The supplier has to document all characteristics and their tolerances marked in drawings, specifications and other belonging documents in the initial sample inspection report (ISIR) in a traceable way. Traceability means attaching copies of drawings etc. at the ISIR which contain the continuous numbers of the characteristics according to the ISIR. In CAD drawings the numbers are defined in the characteristics list. For serial deliveries the supplier has to take the execution time of the initial sample inspection for his time schedule into consideration. The initial sample inspection is product dependent so the supplier has to request the estimate execution time of the initial sample inspection at the purchasing department. 16 6. Additional requirements a. Special and critical characteristics Special and critical characteristics are specially highlighted in the drawings and specification. Manufacturing discrepancies from specified dimensions, tolerances and other characteristics are not permissible in principle. The function-related Characteristic Grading on the design documentation takes place at DEUTZ by unmarked normal characteristics, special characteristics identified with a symbol and critical characteristics identified with a symbol. These take into account the level of the consequences (see also DEUTZ company standard H 0759). If drawings from suppliers are transferred into DEUTZ specifications other symbols can also come into use. For all identified characteristics (DEUTZ as well as Supplier) DEUTZ requires verification of the process capability. Applicable documents: H 0759 Classification of Characteristics According to Function b. Product and Process FMEA A FMEA is a systematic approach to assessing the risk of defects. Potential errors and their causes are to be assessed with regard to their error potential. In the event of a critical assessment, e.g. high Risk Priority Number, suitable measures must be defined to preclude these errors. This assessment has to be carried out for all products delivered to DEUTZ by the supplier and the documentation has to be shown on inquiry. This applies to newly provided products and also for alterations to ongoing products or to the process. Details are laid down in VDA Volume 4, chapter "product and process FMEA". Version 2013_1.4 13
17 c. Capabilities By using suitable statistical processes the supplier ensures that the machinery, tools, measurement and testing equipment used and also the processes are capable of complying with the DEUTZ quality requirements. Inspection equipment capability In the analysis of the measurement system it is assessed whether the measurement system is capable of monitoring the process repeatable and reproducibly. The minimum requirement is that the supplier must have established a suitable inspection equipment monitoring system in order to monitor and document all measurement and test equipment in an appropriate manner. The following standards apply: DIN EN ISO Decision rules DIN EN V Instruction for determining the measurement uncertainty Measuring equipment counts as capable when GR&R 10%. Measuring equipment counts as limited capable when GR&R 30%. Improvement actions have to be implemented and documented. Measuring equipment counts as not capable when GR&R > 30%. Using this equipment is not permitted. Machine and Process capability Temporary process capability index: P pk 2.00 Minimum scope 100 parts or scope right for the process. At least 20 individual spot checks are required for maintaining the necessary control card. Long-term process capability index: C pk 1.67 A suitably long period under normal series production conditions in which it is ensured that all influential factors can become effective. Guideline: min. 20 production days. Version 2013_1.4 14
18 Details of the procedure are specified in VDA Volume 4, chapter Economical Process Design and Process Control. If the minimum requirements are temporarily not achieved, then 100 % tests are to be carried out until the capability is achieved by corrective measures. d. Product and Process Approval (at the supplier) For product approval the supplier has to present initial samples to DEUTZ before the start of series delivery, and these must comply with all agreed specifications and properties. The initial samples (see also chapter 5) and all individual components and materials used in their manufacture must be completely produced with series operating equipment and under series conditions and released by the supplier; if necessary by a PSO (see chapter 0). If DEUTZ wishes it can check or request the results of the internal process approval at the supplier's. e. Regulation (EC) 1907/2006 (REACH) The supplier has to know and fulfill the requirements defined in the Regulation (EC) 1907/2006 regarding registration, evaluation, authorization and restriction of chemical substances (REACH) (in force since June 2007). 19 7. Advanced Product Quality Planning (APQP) [optional] Advanced Product Quality Planning (APQP) is a structured method of continuous project management to track the product and process quality of a component over all phases of the development process. The aim is to ensure that the DEUTZ requirements for product and process are processed by the supplier in time in terms of quality and quantity. The DEUTZ AG is doing APQP via the supplier portal SupplyOn (see chapter 13). APQP projects are initiated and leaded by the quality management in purchasing according to the criticality of the component. APQP improves the communication between all involved persons by standardized procedures to ensure that all necessary steps are implemented in a timely manner. Some advantages of APQP are: Target-orientated capacity planning Early identification of problems to initiate changes in a timely manner Avoiding changes in late project phases Delivering a high quality product in time at lowest costs Increased delivery reliability and customer satisfaction Version 2013_1.4 16
20 8. Parts Handling Review (PHR) [optional] Aim of the assessment is to ensure that components in the whole process chain (packaging, internal transport, logistics and assembly) are handled in a product compliant manner. For this, the DEUTZ processes have to be examined. The objective is to avoid error costs by joint preventive measures. Depending on the criticality of the parts / components a PHR is done at DEUTZ jointly with the supplier as part of the PHR. This includes an appraisal / auditing of all assembly and handling conditions within DEUTZ. The PHR is carried out by the supplier and DEUTZ. The supplier takes a leading role in this. A joint summary is then drawn up from the knowledge gained. A joint working out of action plans follows. Any weak points identified are to be remedied by suitable measures. The PHR counts as concluded as soon as the supplier has confirmed a declaration of consent to the assembly and handling processes, in writing. By mutual consent this can also take place in conjunction with a jointly agreed action plan. Version 2013_1.4 17

22 9. Changes at the supplier Changes influencing the quality of the parts delivered to DEUTZ have to be announced to DEUTZ in advance. These rules are prescribed compulsorily for new and altered products and also after substantial changes at the supplier. This includes: Relocation of production to a new / other production site Changing of important sub suppliers Changes within the company's ownership structure Substantial changes within the production process Substantial changes within the manufacturing technology (incl. tools) Changes within the quality assurance Significant re-organizations Any alterations must be disclosed by the supplier and approved by DEUTZ. 23 10. Supplier assessment The main aspect of the supplier assessment at DEUTZ AG is monitoring the quality performance of the suppliers for serial products and differentiating suppliers by its quality performances. The assessment is based on the DEUTZ supplier cockpit. In the cockpit the suppliers are rated with the help of 4 key performance indicators (KPI): Purchasing Logistics Quality Research & Development Those 4 KPI are aggregated in an overall KPI for each supplier. This overall KPI is used by the DEUTZ AG for rating and classification its suppliers. Version 2013_1.4 20
24 11. Complaint management Complaint management at DEUTZ is done using the web portal SupplyOn (see chapter 13). Each supplier receives a Test Report with rating for each complaint. It is thus possible for the supplier to judge his quality performance for himself at any time. a. 8D-Report The procedure has to be executes as described in the following. The supplier is obliged, as far as possible, to react without delay to the complaint sent to him with a Test Report by means of an 8D report. In any case a statement of the supplier regarding the implemented improvement measures is expected. The execution of the 8D report respectively the statement is done by using the web portal SupplyOn. Further information about the execution can be received in this portal. b. Firewall Immediately after the occurrence of the failures the supplier must ensure that all stocks at the suppliers, in transit, at DEUTZ (e.g. stores, assembly, service, consignment stock etc.) are checked 100% for the characteristics noticed. The aim is that no defective component shall get into the DEUTZ assembly process. If systematic or repetition failures are identified, the supplier will be invited to DEUTZ and suitable measures are established jointly. The supplier has to report about the progress of the measures at set intervals. Version 2013_1.4 21
25 12. Product and process audit At suitable stages within his area of responsibility the supplier must carry out product audits at regularly intervals in order to verify the fulfillment of all specified requirements, such as e.g. product dimensions, functionality, packaging and labeling. The supplier has to validate each production process to assess its efficiency. The supplier will regularly carry out planned internal process audits (e.g. to VDA Volume 6.3) in advance for all products supplied to DEUTZ and the processes associated with their development and manufacture. The basis for this is the specified product specifications and properties plus further agreements concerning the deliveries, e.g. on logistics and packaging. If there are any discrepancies the supplier will immediately introduce all necessary corrective measures and ensure their effective longterm implementation. In addition to this DEUTZ is entitled at any time, even at short notice after advance notification, to check by a product, process or system audit whether the supplier's quality assurance measures comply with the DEUTZ requirements. If quality problems crop up caused by services and / or supplies from sub-contractors to the supplier, the latter has to carry out an audit at the sub-contractor by request of DEUTZ and disclose the results to DEUTZ. 27 13. Documents and exchange of information a. Communication platform - Supplier and DEUTZ AG More complex products with a higher number of variants, increasing added-value content by the supplier and higher quality requirements under growing cost pressure require a modern communication platform. DEUTZ meets these challenges and uses the automotive portal SupplyOn for process optimization in quality management. The objective is to significantly increase the transparency and traceability in communications between our companies. The use of the SupplyOn supplier portal opens up new possibilities for us to structure even better the procedures and methods of quality management and to standardize them worldwide. Based on internet technology we can exchange information more easily, more quickly and more error-free than previously. As supplier to DEUTZ AG you have to register your company with SupplyOn. DEUTZ concentrates on the following core processes in quality management: Complaints Management (8 D) - SupplyOn Problem Solver. Supplier assessment and development - SupplyOn Performance Monitor. Product quality planning (APQP) - SupplyOn Project Management. Certificate Management - SupplyOn Business Directory. You can find detailed information for the individual services in the broschure Supplier Portal SupplyOn at: To be able to use the SupplyOn services your company must meet two requirements: 1. Non-recurring PID registration of the company in the SupplyOn portal. (not necessary if your company is already a SupplyOn customer). 2. Entry of the SupplyOn services offered by DEUTZ. DEUTZ database for standards and norms To ensure a better exchange of documents and information between DEUTZ and the supplier, the DEUTZ company standards and technical specifications are distributed over the internet. This procedure gives advantages in the quality and timely preparation of the documents and alteration information and also a reduction in the processing time of document administration at DEUTZ and at the supplier. The supplier undertakes to check at regular intervals that he is using the current version of all documents in each case. Furthermore the supplier must ensure that he demonstrably utilizes the information made available by DEUTZ and applies it to all activities associated with the business relationship. The access and operation of the system are explained in the DEUTZ company standards H and H (available on the DEUTZ website). The supplier must nominate at least one responsible person in his company who receives the access authorization from DEUTZ. To do this the full name and the address of the responsible person at the supplier has to be provided to the DEUTZ contact at [email protected]. 29 14. Traceability The supplier is obliged to ensure the traceability of the parts supplied by him. By identification marking and traceability of the products, or alternatively other suitable measures, the supplier ensures that in the event of a defective product all further possible defective products can be identified without delay in order to keep the subsequent damage as low as possible and if necessary to be able to call back the affected products. Beyond that these products are put on stop until follow up actions are agreed between the supplier and DEUTZ. The identification marking of the products is done for example by applying a barcode or similar marking. For this identification all quality relevant data for the product are to be recorded and assigned. With the aid of the recorded data for example the following must be ensured: All manufacturing data, inspection and test results (actual values) must be able to be assigned to the product. All defective products must be able to be isolated. The data which must be recorded to ensure the requirements are to be specified by the supplier on the basis of his know-how with regard to his product and his processes. 30 15. Packaging The DEUTZ packaging department develops for each individual part packaging regulations with container type, filling levels and if necessary special instructions on part protection. These packaging instructions are a component part of the DEUTZ purchase order and thus binding on the supplier. Detailed explanations (photos, specifications etc.) are to be requested if necessary from DEUTZ Packaging Planning. Adherence to the packaging instructions is continually checked in the goods inwards departments. Non-compliance with the packaging instructions will lead to repackaging work whose costs will be passed on to the supplier. There are differences between the packaging regulations for transport inside and outside Europe. This is to be taken into account in purchasing negotiations and for purchase orders. The Packaging Manual and the Logistics Manual the procedures and regulations regarding packaging and transport of parts and products are defined and explained. 31 16. Quality agreements a. dppm agreement For implementation of the "Zero Defect Quality", DEUTZ and the supplier agree measurable goals for the quality supplied. The contractually fixed dppm agreements are to be regarded as supplementary agreements to the delivery contract and serve as the basis for achieving the "Zero Defect Quality" as part of the continual improvement process (CIP). The main objective is to completely negotiate and conclude the dppm agreement before the start of serial production. Definitions: dppm: defect parts per million = Number of defective parts per million parts supplied Penalty: The penalty designates a contractual fine. The supplier undertakes to pay the contractually agreed penalty to DEUTZ upon falling above the agreed dppm target figures. Applicable documents: VQ-L005 dppm agreement b. Market sector procedure (TMV) Defective parts, e.g. from very distant regions, will not be sent back to DEUTZ due to cost aspects (transport, customs duty etc.). Only defective parts from specific markets and market sectors, agreed between supplier and DEUTZ will be examined. With the examination of the defective parts it will be established what and possibly who caused the failure. Remedial measures will be derived from the findings. If the cause of the origin of the failure can be unequivocally clarified, financial measures will be calculated from this. If for instance the failures can be clearly traced back to the supplier, he must, in accordance with a specific agreement (quota), accept the quality costs incurred. From the analysis of the parts provided (approximately 30%) a quota will be calculated related it to all defective parts. This happens as not all defective parts can be analyzed.
