1 Deed of Undertaking and Acknowledgement This Deed of Undertaking and Acknowledgement is provided to Boost Juice Franchises Pty Ltd ( Boost Juice ) of Level 1, Tower 2 Chadstone Place, 1341 Dandenong Road, Chadstone, Victoria, Australia, 3148 by the parties described below as the Recipients ( the Recipients ) to acknowledge receipt by the Recipients from Boost Juice of a information known as the Boost Juice Model ( the Model ) a copy of which is attached to this Deed. 2 We, the Recipients, by signing this deed acknowledge on our personal behalf and on behalf of any corporation we represent, that the Model contains financial and other information prepared for the sole purpose of assisting us to determine our level of interest in becoming a master franchisee for Boost Juice. We acknowledge and agree that it is intended as a starting point to assist us, and our business advisors, to conduct our own assessment of the business opportunity and form our own views as to the possible success of the business and make our own assessments of likely revenue and expenses. We warrant to Boost Juice as a condition of providing the information to us that:- 1. we are experienced business principals and sophisticated investors with substantial financial resources and significant experience operating businesses and evaluating business opportunities; 2. we will conduct our own market research and make our own assessment of the performance, expenses and capital requirements for the business; 3. we will engage suitably qualified business and legal advisors to assist us to make any decision we shall choose to make. We unconditionally acknowledge and accept that neither Boost Juice Franchises Pty Ltd nor any related entity of Boost Juice as defined in the Corporations Act nor any director, employee, agent or representative of Boost Juice or any related entity warrants the truth, accuracy, completeness or relevance of this information, nor accepts any liability whatsoever to any person for reliance on any information contained in this document. We acknowledge that Boost Juice is relying on these acknowledgements when providing the Model and any other information and that these acknowledgements are intended to be and may be pleaded in any legal action as a complete bar to any action by the Master Franchisee against Boost Juice Franchises Pty Ltd, all related entities of Boost Juice and all directors, employees, agents or representatives of Boost Juice or any related entity. We understand that the Model must be read subject to the following important information: The data contained in the Model is provided as a general guide. It sets out an indicative model including sales, expenses and operating profits for a hypothetical master franchise operation. It does not purport to be comprehensive, nor to represent the sales, expenses or profits for any particular master franchise operation, including the master franchise that you may purchase.
