Dimitris Georgakopoulos started - off as a junior associate in a Piraeus based law firm and subsequently joined M. & P. Bernitsas in June In early 2001, DG became a partner of the firm and, almost immediately thereafter, the head of the firm s market leading PFI & PPP practice. During his years with M. & P. Bernitsas Law Office (which is one of Greece s most prominent law firms) as well as during the brief life of his newly founded legal practice, DG obtained extensive experience in the fields of project finance, mergers, acquisitions and privatisations, commercial agreements, international public tenders, banking, arbitration and civil and commercial litigation. A summary description of such experience is set out below: (*) Recent Transactions & Assignments (all of the assignments appearing in this section have been handled from June 2006 onwards in association with the partners and associates of D. Georgakopoulos Law Office) Advising the Ministry of Economy and Finance in connection with tenders launched pursuant to Law 3389/2005 pertaining to PPPs. Such tenders included the construction and maintenance of school buildings, the construction and maintenance of correctional facilities, the transformation of a former Olympic Games facility into a convention and exhibition centre, the building of two local government houses, the construction and maintenance of a series of Fire Stations and numerous other projects. Scission of ABYT S.A. (a member of the Axon Holdings Group). Legal 2

3 counsel to Axon Holdings S.A. in the context of the scission of ABYT S.A. and the absorption of its separate branches of activity by Axon Holdings S.A. and MISTRAS S.A.. Work carried out included legal due diligence, the drafting of the Scission Agreement, the drafting of all necessary corporate documentation and the provision of assistance and advice in the context of the ensuing share capital increase of Axon Holdings and the listing of its shares on the Athens Exchange. Representing the New Acropolis Museum before the Athens Courts in the context of a lawsuit filed against it by ALTE S.A. Advising AEIMA S.A. in the context of five (5) tenders launched by DEPANOM S.A. for the procurement of systems of tri-production systems for heating, cooling and electricity to be installed in five (5) public hospitals. Updating the articles of association of all societe anonymes represented by the firm to the ends of making them compliant with the provisions of Law 3604/2007. Bernitsas Law Office) Advising the PPP Taskforce of the Greek Ministry of Economy and Finance in connection with the tendering and award of PPP Projects falling within the ambit of Law 3389/2005. Projects tendered included: the design, construction, financing and maintenance of school buildings (tendered by the Organisation of School Bulidings), correctional facilities, courthouses (tendered by Themis S.A.), local government buildings (tendered by the local governments of Korinthos and Trikala), fire stations (tendered by KED), police stations and hospitals (tendered by DEPANOM S.A.).. Preparation of draft law on Public Private Partnerships: Member of the legal team which acted as counsel to the Ministry of Economy and Finance for the drafting of the law 3389/2005 on Public Private Partnerships. Thriassio Logistics Centre: Legal counsel to Thriassio S.A. (a wholly owned subsidiary of the Hellenic Railways Organisation (O.S.E.) in the context of the preparation of the tender for the design, construction, financing and operation of the first sizeable logistics centre in Greece which is to be constructed in the area of Thriassio, in the suburbs of Athens. PATHE Motorways (Section Maliakos Kleidi): Legal counsel to a syndicate of banks supporting one of candidates. Erasinio Oncological and Therapeutical Clinic: Legal counsel to EFG Telesis Finance / EFG Eurobank. Attiko Metro Extensions Advisory Project: Legal counsel to Attiko Metro for the purposes of producing a report detailing alternative ways of financing the extensions of the Athens Metro network on a PPP basis. Attiki Odos (ESSl Motorway): Greek counsel to the European Investment Bank in the context of the design, build, finance and operation of the Athens peripheral motorway. Rion - Antirrion Fixed Link Project: Legal counsel to the French - Greek Consortium to which the project was awarded (partners included the French Vinci Grand Projets - formerly GTM DUMEZ - and Elliniki Technodomiki) in the context of the negotiations of the security documents. 3

Amendments secondary legislation for energy: Legal counsel to the Regulatory Authority for Energy (RAE) in the context of the preparation of secondary legislation required to be enacted in view of the liberalisation of the energy market in Greece. Windfarm Project: Legal counsel to Linkchart Hellas SA and Linkchart Ltd in t he context of a project for the design, construction, operation and maintenance of the Cyclades Wind Farm Energy Centre. Sale of a 35% stake in the Public Gas Corporation (DEPA S.A. ): Legal counsel to the German-Russian consortium of Ruhrgas Energie Beteiligungs AG and OAO Gazprom in the context of the tender process for the acquisition of a 35% stake in DEPA S.A. Sale of a 23 % stake in Hellenic Petroleum S.A.: Legal counsel to the Hellenic Republic in the context of the tender process for the sale of a 23% stake in Hellenic Petroleum S.A. to a strategic partner. Privatisation of Voxites of Elefsina S.A. : Legal counsel to the state Organisation for the Restructuring of Enterprises. Windfarm Co-operation Project : Legal counsel to NUON International for a windfarm project in co-operation with ROKAS Enterprises. 4

5 Construction of LNG Tanks on the islet of Revythoussa: Legal counsel to a major U.K.-based construction company in the context of the design, construction, testing, delivery and commissioning of two antiseismic tanks for Liquefied Natural Gas (LNG) on the islet of Revythoussa in the bay of Megara, Attica for the Public Company for Natural Gas (D.E.P.A.). Syndicated loan agreements and bond loan agreements to private enterprises: Clients represented include P.N. Gerolymatos S.A. and Sidma S.A. Municipality of Ano Liossia Securitisation Project : Legal counsel to the municipality of Ano Liossia in the context of its effort to securitise revenues from waste disposal. Credit facilities extended to State-owned entities: Clients represented include The Bank of Tokyo Mitsubishi and Piraeus Bank. Scission of ABYT S.A. and absorption of its high technology and real estate branch of activities into Axon Holdings S.A. Merger of N.D. Devletoglou and Sigma Securities S.A.: Legal counsel to N. D. Valentino SpA & Gruppo Financiario Torino Versus Image Ltd.: Representation of the two (2) companies of the Valentino Group in the context of proceedings pending before the Athens Courts and brought against them by their former Greek distributor. Versus Technical Union S.A.: Representation of the English construction company in the context of a series of regular and injunctive proceedings which opposed it to their former Greek partners. Den Norske Bank S.A. Versus Dimitri Antonatos: Representation of the Norwegian Bank in the context of injunctive proceedings and settlement negotiations in relation to a thirty million dollar claim against the former manager of their Greek desk. Negotiation, drafting and execution of commercial agreements on behalf of Greek and foreign clients active in the pharmaceutical, commercial and industrial sectors and provision of advice on distribution agreements. Hellas Sat Versus Siemens S.A.: Representation of Hellas Sat S.A. (a subsidiary of the Hellenic Telecommunications Organisation (OTE) in the context of arbitral proceedings governed by the Rules of Arbitration of the Commercial and Industrial Chamber of Commerce of Greece (EBEA) and opposing it to Siemens S.A. Whessoe LGA Gas Technology Ltd. Versus Technical Union S.A.: Represented Whessoe LGA and its subsidiary Krossgates Ltd. (both subsidiaries of the Babcock Borsig Group of companies) in the context of arbitral proceedings held under the ICC Rules.
