HU-4030 Debrecen, Mikepércsi út topographic No.: 0493/24; Registry Court No.: ) as exclusive proprietors, provide information on as bellow: The is located in Debrecen, the second largest city in Hungary. It is situated in the Eastern part of Hungary, 220 km far from the capital. In terms of road transportation the most important development is Motorway M3 which connects the city via Budapest to the European network of motorways. Debrecen is also the largest railway junction of the Eastern Hungarian region. The most remarkable corridor is the electrified, double-track Budapest- Debrecen-Nyíregyháza line, which is just about to be upgraded, and which provides direct access, on the one hand, toward the Ukraine and Russia, and on the other hand, puts Budapest within quick and easy reach by way of the frequent InterCity trains. Express trains running between Záhony and Vienna connect Debrecen into the railway network of Western Europe. Concerning the population, the number of residents is (taking those people into account who live within a 120 km rayed area). 38 % of the county s population lives in Debrecen. From the direction of city there is an easy access to Romania and the Slovak Republic both on public roads and rails, too. Debrecen has been widely known as an educational centre for centuries, the number of university and college students is about The city is not just the second largest one in Hungary but also a regional centre incorporating three counties, as it is regulated by the European Union. Debrecen is a decisive element of the Budapest-Szolnok-Debrecen- Nyíregyháza urbanization axis. The city is among the targets of the pole project for developments, (one of the fundamental forms of developmental sources supported by the European Union). Within the framework of the project, more than 20 % of the enterprises of the region are already working. (55% of the county s) Transport conditions of the environments of the above-mentioned properties are extremely good since the realties are beside the 2x2-lane road 47 and the distance from the railway branch is not more than 500 meters. By 2012, Motorway 35 is expected to reach the Hungarian-Romanian border, until then Highway 47 provides the connection with the clearway network. 4 OWNERSHIP a Debreceni Vagyonkezelő tagvállalata The property of AIRPORT DEBRECEN was purchased by the City Council of Debrecen of County Rank from the Hungarian government in The compilation on the property of the airport and the land designated the ensure the deployment of the navigational equipment is included in the appendix of the information brochure containing documents sent out by the registry of title deeds and proprietary issues. Properties owned by Debrecen of County Rank: Area designated to ensure the deployment of C -marked NDB beacon at Szepes 0474/14 (extraction of the land from cultivation is in progress) 0474/60 (extraction of the land from cultivation is in progress) Area designated to ensure the deployment of outer DC -marked NDB beacon 0426/2 (extraction of the land from cultivation and division is in progress based on to the enclosed and proposed scheme) Operational area 0493/30 (division of the land is in progress based on the enclosed and proposed scheme) 0493/31(division of the land is in progress based on the enclosed and proposed scheme) With the division of the 0493/30 and 0493/31 lands there is going to be a 0493/41 land designated to serve as an air rescue base for the National Ambulance and Emergency Service (OMSZ). 2. Properties owned by the Hungarian State: The operational area of the airport is reduced by a 0493/44 17 hectare-sized property which is owned by the Hungarian State but it is not included in the register of title-deeds. After the proportioning process it is going to be considered as an independent property paralleled with the proprietary registration of the Hungarian State. The 0470/7, 0470/2, 0474/59, 0473/2 areas are in the possession of the Hungarian State and are managed by the Ministry of Defense, the deployment of the approach lights here have been registered with the administration of easement. 3. Properties hired by the AIRPORT-DEBRECEN Ltd: Property hired from the Debreceni Vízmû Zrt. (Debrecen Water Works Inc.) to deploy the EN -marked NDB beacon. At the register of title-deeds the registration of easement is in progress based on the enclosed lease contract. 4. Properties hired out for utilization by the AIRPORT-DEBRECEN Ltd: Property hired by the NAGYMESTER KERESKEDŐHÁZ Ltd. based on the enclosed lease and leasehold contract. Property hired by the TOTAL HUNGARIA Ltd. based on the lease and leasehold contract.

5 FACILITIES a Debreceni Vagyonkezelő tagvállalata Airport Debrecen is a remarkable facility of the Northern Plain Region of Hungary; being a traffic centre and a means of economi development. The City Council of Debrecen of County Rank as the proprietor of Airport Debrecen and AIRPORT DEBRECEN Ltd. as the operating company set as target of the complex development conception of 2001 so that the airport could serve the passengers of Eastern Hungary and the region as adequately as possible and be a means of regional development as quickly as possible to serve our common development. The most important achievements of the years of development work appeared in On 21st April, 2004 the Hungarian Government qualified the as the first regional airport of Hungary an International Airport with permanent customs way which made equal with Budapest Ferihegy International Airport on an authority level. According to the qualification the airport operates as an international border crossing point, which means it has a state financed permanent immigration office, customs, police and national security service. The completed investments have ensured the accomplishment of a basic airport infrastructure which complies with European Union regulations and international standards and which is suitable for frequent flight operation and includes: modern navigation equipment and lighting system guarding and patrolling on the airport territory according to the international safety standards adequate passenger flow due to the reconstruction of the terminal building computer aided passenger and baggage handling system high fire rescue category The airport has advantageous facilities, and is suitable for passenger and cargo transportation. The main facilities and technical data of the airport are the following: Runways: Airport Debrecen possesses two parallel runways of northeast-southwest direction which are connected to the apron through taxiways. The distance between the centre lines of the runways is 160 meters. Only one of the two runways is in use, the other runway, which was established in 1950, was closed due to its bad condition. The runway in use is meters long and 40 meters wide, its direction is NE-SW (05R/23L). On the basis of its size, the runway is usable for almost all types of aircraft operated in Europe. During the past years there have already been flights to the airport with aircrafts like Boeing 767 (with 260 passengers on board), Ilyushin- 86 (with 344 passengers on board) and Lockheed Tristar with 300 passengers on board. Apart from these the airport is frequently used by aircrafts belonging to

6 FACILITIES the Boeing 737 family and those belonging to the Airbus 319/320/321 family. The average number of passengers of these aircrafts is 180. The runway is in good condition, and has a rainwater sewage system. Taxiways: The width of the taxiways is meters. The taxiway curves have been widened up to 23 meters in order to make taxiing safer. The total length is meters and also usable for almost all types of aircrafts operated in Europe. Apron: The ground handling of aircrafts takes place on the apron, that is, the disembarking and embarking of passengers, the unloading and loading of baggage, and the special handling procedures of the aircraft (water uplift, lavatory service, etc.). The length of the presently used apron is 700 meters, width is 50 meters ( m2). The apron is suitable for the handling of at least 7 aircrafts with a passenger number of 180. The condition of the apron is similarly good as that of the taxiways and the runway, and possesses a rainwater sewage system as it is on the runway. The maintenance and the repair of surface faults and concrete joints have been done continuosuly in the past few years. Navigation aids: Debrecen Airport has a category 1 instrument landing system which enables airplanes to land at the airport in bad weather conditions (fog, shower, etc.) This landing system consists of radio navigation instruments (ILS and DME instruments) and a lighting system installed at the runway (edge lights, end lights and approach lights) aided by a PAPI system. Besides, the airport possesses three NDB equipments. Part of the apron is illuminated by two light towers. Security: Along the complete perimeter of the airport there is a fence system, which complies with the regulations of the international organization of ICAO. In addition one lane partoling road has been constructed. Since 2004 armed airport security guards have been responsible for insuring the security of the airport day and night (H24). Terminal and servicing facility: The reconstruction and extension of the terminal building in order to accomodate the airport staff, the airport authority, and the air traffic controllers and to provide higher survice level and capacity, has been done in many phases. The extension of the building with a second floor and a new ATC tover above the second floor was in The further enlargement of the building was the most significant project int The reconstruction and extension of the terminal building became inevitable owing to Hungary s joining the Schengen Treaty. Following the extension, the already existing 1200 m2 area grew to 3500 m2. Due to the enlargement of the building, the capacity of the airport significantly increased, concerning the daily maximum hours of operation as well as the annual passenger traffic capacity. The airport became able to handle even a number of thousand passengers a year.

7 FACILITIES The possibilities provided through the extension of the building: The division of Schengen inside and Schengen outside flights was realized without any limitation in time It became possible to provide handling 2 departing and 2 arriving flights operated by aircraft of a passenger capacity of 180 at a time It became possible to handle transit passengers The passenger handling areas (check-in, departure lounge, arrival hall, passenger security check, passport control, etc.) possess a size and capacity which correspond to the recommendations and the previously experienced crowded areas ceased to exist. Apart from the extension of the building, the handling and security level also increased significantly, which were ensured by the following purchased equipment: CCTV system installation The installation of flight information sound system, flight information display system and information signs The purchase of new baggage X-ray equipment and metal detector gates (100% baggage examination is provided) The purchase of new baggage handling systems (check in, arrival reclaim carousels) The purchase of baggage tag and boarding pass printers and readers The purchase of new check-in counters In 2006 the renovation of a servicing building which was in a sleazy condition was carried out in order to accomodate the armed security guards, the fire brigade, the air ambulance, and the airport handling staff. During the years the reconstruction of the electrical, telecommunicational, water, and gas network was carried out to the terminal and the servicing building. Parking: The first phace of the construction of the car parking area with 200 spaces was completed in Due to the growing traffic volume in 2005 and 2006 the parking spaces were no longer sufficient, therefore in 2006 new parking spaces were established in addition to the existing parking area on the land gained by hangar demolition. Following the expansion, the car park offers parking spaces for 380 cars and 16 buses and trucks. Furthermore, a car park with 60 parking places was established for the vehicles of the airport staff, in order to prevent that airport staff from occupying the parking places reserved for the passengers and block their traffic. Handling equipment: The handling equipment for the handling needs of the airlines are available at the airport, and besides we also possess the handling and maintenance equipment necessary for winter operation. We have the following equipment as owned:

8 FACILITIES Handling vehicles: Passenger buses Ground power unit Baggage conveyors Lavatory service vehicle Baggage carts Highloader Follow me vehicles Passenger stairs Air starter unit Portable water vehicle Baggage tractors Catering and cabin service vehicle Container dollies Winter maintenance and handling equipments: Snow ploughs Snow sweepers Snow cutter-blowers Runway de-icing spreader Aircraft de-icing vehicles Friction tester vehicles Fire rescue: AIRPORT DEBRECEN is able to provide a fire rescue category up to ICAO Cat 9 with own vehicles (Rosenbauer SIMBA s 8x8, Cheetah, DAF, Rescue vehicle) also with our own trained staff. The AIP published fire category is Cat 7, which is provided in full opening hours. Upon prior request the fire category can be upgraded. ATC service: In order to upgrade the previous AFIS service the previous airspace structure and flying rules have been changed and an air traffic control staff has been trained. As a result, from June 2007 on ATC service in controlled air space (CTR/CTA) is being provided at. In the starting period ATC is available 2 days a week and on the remaining days AFIS is provided, but upon airline request for scheduled flight the ATC service can go up to every day during the week. Last year air traffic working conditions in the tower were improved with the purchase of new controll desks and air traffic communicaton system. Fuel service: Both JET A1 kerosene and AVGAS 100 LL is available at Debrecen International Airport. From the second part of 2007 on a new provider TOTAL Hungaria - will be present at the airport, which will put a new aviation storage facility into operation and will be the only fuel supplier. Meteorological equipment: One of the main stations of the National Meteorology Service can be found at the airport. The current weather conditions and forecasts of Eastern Hungary and Western Romania are evaluated here every 30 minutes. The meteorological equipment belongs to the National Meteorology Service. This service is responsible for the preparation of TAFs (Terminal Forecasts). Thanks to the facilities and infrastructure of the airport, it is capable of receiving and handling almost all types of aircrafts operated in Europe. Decontamination process: In 1994, at the time of the purchase, the local government undertook to carry out the necessary decontaminating activities on the property at its own expenses. As a result of the accomplished decontamination process based on the technical intervention plan worked out in May, 2005, ten contaminated areas were reduced to five. Applying state support, the decontamination process of the five feculent areas got started in 2006, the end deadline being September 30th, Find enclosed the location schemes of the contaminated areas in the appendix.

9 TRAFFIC a Debreceni Vagyonkezelő tagvállalata Due to the investments international charter flight operation from Debrecen Airport started again in During the summer season of 2004 (between June and September) charter flights were in operation to Antalya in Turkey twice a week. More than 5000 passengers going on holiday took the advantage of these flights. From December 2004 on in the winter season charter flight operation was continued with the starting of the weekly flight operation to Egypt. Considering this, the airport finished a highly successful year, totalling nearly airport operations and the traffic of passengers. In 2005 the number of traffic at the airport was further increased. New charter destinations were obtained: Greece (Corfu), Tunisia, Turkey and Egypt. Passengers travelled by B737, B757, Airbus 320 and MD 82 airplanes. From May 2005 on scheduled flights started operation between Debrecen and Munich, thus creating a direct connection between our town and Western Europe. Incoming tourism also appeared at the airport, travel agencies from Germany organized charter flights from Leipzig and Dresden to the spa baths of the region. The chart below details the dynamic increase of traffic. Due to the increasing traffic, the number of passengers using the airport doubled again in became the airport with the second largest number of passengers in Hungary with over passengers. In 2006 a further increase in traffic was experienced with the start of new charter destinations. In 2006, apart from the popular destinations, charter flights to Crete, Mallorca and Bourgas in Bulgaria were started. Incoming tourism was also widened, one more travel agency started flights from Leipzig and Dresden. Travel agencies provided a possibility for outgoing passengers as well. In May 2006 scheduled flights were started again from Airport Debrecen to Budapest Ferihegy Airport. The flights were operated by the German airline OLT in cooperation with the national airline, MALÉV, thus creating a direct connection of our town with 74 cities of 40 countries in the world through a transit and transfer flight via Budapest. The flights were operated twice daily between Debrecen and Budapest. Unfortunately operation was terminated for undefined period by the operator airline in October In 2006, as a result of a further increase in traffic, the number of passengers increased by 22%, therefore the number of handled passengers exceeded by the end of the year.

10 TRAFFIC The data of operations in Airport Debrecen from 2000 to 2006 is shown in the diagram and chart below: Year Number of operations Total number International Domestic of operations Number of passengers Total number of operations International operations Number of passengers With the dynamic increase in traffic in 2007 the number of passengers served at the airport is expected to increase again as compared to 2006, the number of passengers might as well exceed passengers. Alike to the past years, summer charter flight operation starts again in 2007 from Airport Debrecen. The year 2006 destinations (Turkey-Antalya, Bulgaria-Bourges, Tunisia-Monastir, Greece-Corfu and Crete, Spain-Mallorca) remained and were expanded with 3 new destinations Greece (Rodos and Zakynthos) and Egypt (Sharm El Sheikh) in the summer season between June and September. For the period following September there have already been negotiations concerning the launch of winter charters and scheduled flights are also expected to start again. Destinations directly reached from Debrecen in 2007 were the following: Greece (Corfu) Greece (Crete) Greece (Rodos) Greece (Zakynthos) Spain (Mallorca) Egypt (Sharm El Sheikh) Turkey (Antalya - twice a week) Tunisia (Monastir - twice a week) Bulgaria (Bourgas - twice a week) Germany (Dresden) Germany (Leipzig)

11 POTENTIAL a Debreceni Vagyonkezelő tagvállalata Marketing possibilities: The AIRPORT-DEBRECEN Ltd. with the help of an independent expert made a survey on prospective market demands, the basis of which is created by the potential market and an analysis of surveys on demands. According to an extended range forecast the following traffic data could be reached: with the dynamic increase in turnover the number of passengers is expected to increase in 2007, compared with 2006, passenger traffic could exceed people. The expected date of departures from the Debrecen Airport Cargo: Debrecen, as the Eastern gate of the European Union, is located near three (Romanian, Ukrainian, and Slovakian) borders. The intensive economic development of the city and the neighboring settlements is highly remarkable, the number of investments, the Hungarian and foreign productive enterprises in the region is steadily growing. The economic experts of these companies are profoundly interested in airborne operations, that is, cargo flights. There is going to be a run on cargo flights concerning the increasing demand of the newest branch of the industrial park settled down in the proximate neighborhood of the airport. Due to the advancement of road and railway junctions, the airport is capable to work as an intermediate logistic center. As a result of the constant developments over the past few years, the Debrecen airport has become an outstandingly modern one; it possesses the basic airport infrastructure necessary to service cargo flights, consequently, the basic conditions of starting up airborne transportation of goods are absolutely ensured. To fully meet market requirements concerning the international airborne transportation of goods there is steadily growing interest in the construction of a cargo base and there are several areas available for this purpose on airport grounds.

12 BUSINESS PARK a Debreceni Vagyonkezelő tagvállalata Further investment possibilities at Airport Debrecen Business Park: The location of Southern Industrial Park is similar to the Debrecen Industrial Airport; moreover, the closeness of the airport is of basic importance regarding the approach of the area. According to the present regulations, building height is al least 7.0 m to a maximum 9.5 m, and the allowed building-in level is 40% at the most. Changing of the valid regulations of settlement is possible within a 6-month long period. The Southern Industrial Park is provided with legally binding environmental permission necessary to build industrial, storing constructions and equip them with technical infrastructure on the area. This study is not only concerned with the demands necessary for the development of properties named Southern Industrial Park, but it is also focusing on the prospects of 300 hectare realty adjoined with the 117 hectares owned by the Debrecen Property Management Inc. Formerly, the Debrecen Property Management Inc. worked out a project involving both realties and aimed at the realization of an organic development of the more than 600 hectare area.
