3 Dear DUET Investor, We are pleased to enclose your 2012 DUET Group ( DUET ) Annual Tax Statement which should be read in conjunction with this Tax Statement Guide. These contain information that will help you complete your 2012 Australian income tax return. DUET is comprised of three trusts and a company: Diversified Utility and Energy Trust No.1 ( DUET1 ), Diversified Utility and Energy Trust No.2 ( DUET2 ), Diversified Utility and Energy Trust No.3 ( DUET3 ) and DUET Investment Holdings Limited ( DIHL ). Securities in the four entities are stapled together. This means that the securities cannot be separated from each other and can only be traded together. A summarised structure of DUET and its investments is illustrated below. Investors DUET Investment Holdings Limited Stapled Diversified Utility Stapled Diversified Utility Stapled and Energy Trust No.1 and Energy Trust No.2 Diversified Utility and Energy Trust No.3 Investments in Utility and Energy Assets If you are an individual who was a resident of Australia for income tax purposes during the year ended 30 June 2012, you have the option to complete your 2012 Australian income tax return electronically or on a paper version. Completing your income tax return electronically If this option is available to you then this is the most efficient way to complete your 2012 Australian income tax return. By the end of August 2012, following the issue of the DUET 2012 Annual Tax Statement, the ATO will have pre-populated the DUET income components into your electronic tax return for you. If you have not sold DUET securities, or the tax deferred distributions received during the year to 30 June 2012 do not result in you making a capital gain, then no further work is required on your behalf to incorporate the DUET Annual Tax Statement components into your 2012 Australian income tax return. If you have disposed of any DUET securities during the year to 30 June 2012 or the tax deferred distributions received during the year to 30 June 2012 result in you making a capital gain you will need to work through Part B to this guide. Completing a paper version of your income tax return If you intend to complete a paper version of your 2012 income tax return you will need the following to complete your tax return: n Your 2012 DUET Annual Tax Statement (you will not need your DUET Distribution Statements); n n This guide; and A copy of the Individual Tax Return Instructions 2012 and the Individual Tax Return Instructions Supplement 2012, and (possibly) copies of certain other Australian Taxation Office ( ATO ) publications (referred to in the instructions) that can be downloaded from the internet or through contacting the ATO.

4 We have also included a Shortcut Guide for Australian Resident Individuals. If you meet all of the conditions for using that Shortcut Guide, it should enable you to complete your 2012 Individual Tax Return relevant to your DUET securities without working through all of the relevant parts of this Guide (Parts A and B). If you are unable to use the Shortcut Guide or require further information, detailed steps for you to follow in order to correctly report your DUET distributions in your 2012 Australian income tax return are included in Part A of this Guide. If you disposed of any or all of your DUET securities in the year ended 30 June 2012 (or entered into a contract on or before 30 June 2012 to do so), you should not use the Shortcut Guide and you will need to address the income tax (including capital gains tax ( CGT )) consequences of that disposal. Further, even if you did not dispose of your DUET securities, the tax-deferred distributions you received during the year ended 30 June 2012 may in certain circumstances be relevant to your CGT position for the year ended 30 June Part B of this Guide will give you information which you will need for this purpose. If you are NOT an individual but you were a resident of Australia for income tax purposes during the year ended 30 June 2012, you will need to: n Reflect distributions from DUET appropriately in your Australian income tax return. Your 2012 DUET Annual Tax Statement should give you the information you need; and n Reflect any relevant gain or loss in respect of your DUET securities during the year in your 2012 Australian income tax return Part B of this Guide will give you information which will assist you in computing any CGT result. If you were NOT a resident of Australia during the year ended 30 June 2012, you will need to decide whether you should lodge an Australian income tax return. This decision is outside the scope of this Guide and you should consult a tax adviser if you are in any doubt. If you do lodge an Australian income tax return, the information in your 2012 DUET Annual Tax Statement and in this Guide will assist you. 6 Australian Resident Individuals How to complete your 2012 Australian income tax return electronically The DUET registry service provider, Computershare Investor Services Pty Limited ( Computershare ) will provide the components of the DUET Group 2012 Annual Tax Statement to the ATO by the end of August 2012, following the issue of the tax statements on 14 August Once received by the ATO and loaded into the ATO s database, your 2012 electronic Australian income tax return will be pre-populated with your DUET Group income components. You should check to ensure that the ATO has loaded the correct amounts into your electronic tax return by comparing the amounts to the DUET Group 2012 Annual Tax Statement as issued by Computershare. If you have not disposed of any of your DUET securities during the year then this should be all you need to do to include the DUET Group 2012 income components in your 2012 tax return. However, even if you did not dispose of your DUET securities, the tax-deferred distributions you received during the year ended 30 June 2012 may in certain circumstances be relevant to your CGT position for the year ended 30 June Part B of this Guide will give you information which you will need for this purpose. If you have disposed of all or some of your DUET securities during the year then Part B of this guide will give you information on how to calculate any capital gain or loss that may have been crystallised for inclusion in your 2012 tax return DUET Group Annual Tax Statement Guide

7 2012 DUET Shortcut Guide for Australian Resident Individuals Conditions for using this DUET Shortcut Guide If you satisfy all of the following conditions, you can use this Shortcut Guide to help you complete your 2012 Australian income tax return in relation to your DUET securities: you are an individual, and you hold your DUET securities for your own benefit (and not as a trustee for anyone else); you held your DUET securities on capital account ie not as trading stock or otherwise on revenue account (refer to Part B of this Guide for further information or consult your tax adviser if you are not sure); you were a resident of Australia for tax purposes at all times during the year ended 30 June 2012; you did not dispose of, or enter into a contract to dispose of, any of your DUET securities during the year ended 30 June 2012; you satisfy yourself that the total tax-deferred distributions that you received from DUET1, DUET2 and DUET3 during the year ended 30 June 2012 and in prior years did not exceed your CGT cost bases of your units in DUET1, DUET 2 and DUET3 respectively (DUET believes that it is unlikely that the tax-deferred distributions made by DUET1, DUET2 and DUET3 up to 30 June 2012 would have exceeded the cost bases of units in DUET1, DUET2 and DUET3 held by any DUET investor, but you should satisfy yourself that this is the case in your particular circumstances); either no Tax File Number (TFN) amount was withheld from your DUET distributions, or, if any TFN amount was withheld from your DUET distributions, it has not subsequently been refunded to you; and you are not entitled to claim any tax deductions (e.g. for expenses or brought forward revenue tax losses) against the foreign source income part of your DUET distributions in respect of the year ended 30 June If you are not sure whether you satisfy any of the above conditions, you should work through this Guide and/or consult a professional tax adviser. Should the following conditions apply to your holding, this Shortcut Guide may still assist you to complete your 2012 Australian income tax return. However, due to the added complexity we strongly recommend you work through the relevant parts of this Guide: if any Tax File Number (TFN) amount was withheld from your DUET distributions, as set out on your Annual Tax Statement and it was subsequently refunded to you; you are entitled to tax deductions (e.g. for interest or borrowings) in relation to your DUET securities for the year ended 30 June 2012; or you have carried forward (revenue) tax losses from the year ended 30 June 2011 which you are claiming, in whole or in part, against any of your foreign source income in the year ended 30 June DUET Group Annual Tax Statement Guide 3

10 Part A: Australian Resident Individuals How to complete a paper version of your 2012 Australian income tax return using your 2012 DUET Annual Tax Statement This section applies where you complete a paper version of your 2012 income tax return. The sections you need to follow in this Guide depend on where amounts appear on your 2012 DUET Annual Tax Statement. If there is an amount next to this item on your 2012 DUET Annual Tax Statement then you need to go to the relevant section of Part A of this Guide. 11 Part A, Section 1 Australian non-primary production income (from DUET1, DUET2 and DUET3) The total of these amounts is shown adjacent to item 13U, in the Taxable Income column on your 2012 DUET Annual Tax Statement. Part A, Section 2 Tax-deferred amounts (from DUET1, DUET2 and DUET3) These amounts are shown on your 2012 DUET Annual Tax Statement. During the year ended 30 June 2012, DUET1, DUET2 and DUET3 each made a tax-deferred distribution on 16 August 2011 and DUET1 made a tax-deferred distribution on 14 February Please refer to Appendix 3 for details on tax-deferred distributions made by DUET1, DUET2 and DUET3 up to 30 June Assuming that you held your DUET securities on capital account for income tax purposes (i.e. not as trading stock or otherwise on revenue account refer to Part B of this Guide for further information or consult your tax adviser if you are not sure), these distributions were tax-deferred and, except as described below, do not form part of your assessable income for tax purposes and do not have to be reported in your 2012 Australian income tax return for individuals. The tax-deferred distributions reduce the cost base and reduced cost base of your units in DUET1, DUET2 and DUET3 for CGT purposes. Some or all of a tax-deferred distribution will itself constitute a capital gain if the cost base is reduced to nil by that tax-deferred distribution or has been reduced to nil by prior tax-deferred distributions. While it is unlikely that the tax-deferred distributions made by DUET1, DUET2 and DUET3 up to 30 June 2012 would have exceeded the cost base of the units held by any DUET investor, you should confirm this for yourself. You should read Tax-deferred distributions on pages [13] and [16] of Part B of this Guide if you think this may have occurred in your circumstances. The tax-deferred distributions made by DUET1, DUET2 and DUET3 on 14 August 2012 are not relevant for your 2012 income tax return, but may be relevant for your 2013 tax return DUET Group Annual Tax Statement Guide 7

12 Part A, Section 3 TFN amount withheld If the amount shown adjacent to item 13R on your 2012 DUET Annual Tax Statement has not previously been refunded to you, you should include this amount at item 13R of your 2012 Australian income tax return for individuals (supplementary section). This amount represents Tax File Number (TFN) tax deducted from part of your distributions because you did not provide a TFN or where relevant, an Australian Business Number (ABN) or claim an exemption for your DUET investment. Part A, Section 4 Capital gains The amount shown adjacent to item 18A/18H in the Taxable Income column of your DUET Annual Tax Statement represents discounted capital gains which you need to take into account in reporting your 2012 capital gains tax result in your 2012 Australian income tax return. Since you received distributions of capital gains, you should complete the YES box at item 18G of your 2012 Australian income tax return (supplementary section). You will also be required to answer the question at item 18Q of your 2012 Australian income tax return (supplementary section). Note that your DUET capital gain does not relate to a forestry managed investment scheme. You need to work through question 18 (Capital Gains) of the tax return supplement instructions so that you report your capital gains and/or losses correctly at item 18 of your 2012 Australian income tax return (supplementary section). Additional guidance may be obtained from the following ATO publications: Personal investors guide to capital gains tax (relevant if your only capital gains in 2011/2012 were from the disposal of shares or units, and/or from receiving distributions of capital gains from trusts); and Guide to capital gains tax 2012 (relevant if you had capital gains or losses in 2012 from sources (such as the sale of an investment property) additional to those mentioned above). 13 When working through question 18 you should take the following into account: the discounted capital gains that are shown adjacent to item 18A/18H in the Taxable Income column of your DUET Annual Tax Statement; and any capital gains or losses from any disposal of all or part of your DUET investment in the year to 30 June 2012 (refer to Part B of this Guide). In working through question 18 and the ATO materials referred to above, you may need the following information in relation to the gains shown adjacent to item 18A/18H, in the Taxable Income column of your DUET Annual Tax Statement: Capital gains discount method Capital gains indexation method Capital gains other method Total current year capital gains this is the grossed-up amount of your discounted capital gains. This grossed-up amount is worked out by multiplying the amount shown adjacent to item 18A/18H in the Taxable Income column of your DUET Annual Tax Statement by 2. This amount should be included at item 18H in your 2012 Australian income tax return. this amount is 0. this amount is 0. this is the sum of the above three amounts, i.e. in your case it is equal to the amount worked-out above as Capital gains discount method The discount capital gains amount shown adjacent to item 18A/18H in the Taxable Income column of your DUET Annual Tax Statement should be included at Item 18A of your 2012 Australian income tax return (provided the CGT discount is available to you). If you had any capital gains or losses in the year to 30 June 2012 because of the disposal of any or all of your DUET stapled securities (see Part B of this Guide), treat those gains or losses in the manner required by question 18 and the relevant ATO publications. Part A, Section 5 Foreign Source Income (from DUET3) The amount to include in your Australian income tax return is shown adjacent to item 20E/20M, in the Taxable Income column of your 2012 DUET Annual Tax Statement DUET Group Annual Tax Statement Guide 9

14 Part B Capital gains tax on disposal of DUET securities and in some cases, on receipt of tax-deferred distributions from DUET1, DUET2 and DUET3 If you disposed of, or entered into a contract to dispose of, any or all of your DUET securities in the year ended 30 June 2012, you need to address the tax consequences of that disposal. Tax consequences may also have arisen from any tax-deferred distributions you received from DUET in the year ended 30 June If you disposed of, or entered into a contract to dispose of, any or all of your DUET securities in the year ended 30 June 2012, or had a capital gain in that year resulting from the receipt of tax-deferred distributions, and you were not a resident of Australia for tax purposes in that year, it is likely that any capital gain or loss you made will be disregarded for Australian CGT purposes but you should consider this for yourself in light of your own circumstances and consult your tax advisor if required. Revenue v capital account While many investors hold investments such as DUET securities on capital account, in certain circumstances, including where your DUET securities were held as part of the assets of a business, the investment may have been held on revenue account. If you held your DUET securities on revenue account, you may have a revenue gain or loss which you will need to compute. If you believe that you held your DUET securities on revenue account, or you are in any doubt, you may wish to consult your tax adviser. Whether or not you held your DUET securities on revenue account, you will need to do a CGT calculation. The remainder of this Part B is concerned with CGT and your DUET securities. Recognition of capital gain or loss You will need to reflect in your 2012 Australian income tax return the CGT result of any disposal of part or all of your DUET securities. The time of disposal for CGT purposes is the time of the contract to make the disposal (or if no contract exists, the time of the disposal). If you disposed of any or all of your DUET securities in the year ended 30 June 2012 and you are an individual, and/or a taxpayer with a 30 June tax year end, who was a resident of Australia for income tax purposes during the year ended 30 June 2012, you need to reflect the result in your 2012 Australian income tax return. Tax-deferred distributions During the year ended 30 June 2012, DUET1, DUET2 and DUET3 each made a tax-deferred distribution on 16 August 2011 and DUET1 made a tax-deferred distribution on 14 February Please refer to Appendix 3 for details on the tax-deferred distributions made by DUET1, DUET2 and DUET 3 up to 30 June In addition, DUET1, DUET2 and DUET3 each made a tax-deferred distribution on 14 August 2012, which is not relevant for your 2012 income tax return, but may be relevant for your 2013 tax return DUET Group Annual Tax Statement Guide

15 Tax-deferred distributions reduce each of the cost bases and reduced cost bases of your units in DUET1, DUET2 and DUET3. In the event that the cost base of a unit is reduced to nil by such distributions (either in the year ended 30 June 2012 or earlier years), any further tax-deferred distributions on the unit will constitute capital gains. This means that such tax-deferred distributions (after your cost base has been reduced to nil) have to be included in your capital gains for the purposes of working out your overall CGT result to be included in your 2012 Australian income tax return. This is the case even though you might not have disposed of your DUET securities. Please note that you will need to separately consider each tax-deferred distribution made by each of DUET1, DUET2 and DUET3 in relation to the reduction of your cost bases and reduced cost bases of units in DUET1, DUET2 and DUET3 (ie please refer to the amounts included on your DUET Annual Tax Statement under DUET1 Distributions, DUET2 Distributions and DUET3 Distributions rather than Total DUET Distributions ). DUET considers it unlikely that the tax-deferred distributions made by DUET1, DUET 2 or DUET3 up to 30 June 2012 would have eliminated any of the cost bases of the units in DUET1, DUET2 and DUET3 held by any DUET investors, but investors are encouraged to check for themselves on this point. Technically, the receipt of a tax-deferred distribution is a CGT event known as CGT Event E4. If you are an Australian resident individual, you only need to answer YES to having a capital gains tax event at G, item 18 of your 2012 Australian tax return for individuals (supplementary section) if you had a capital gain or loss in respect of a CGT event (refer to the instructions that accompany this question in the Individual Tax Return Instructions supplement 2012). This means that if you are an individual taxpayer and you did not have any other CGT events during the year ended 30 June 2012 (other than the receipt of the DUET1, DUET2 and DUET3 tax-deferred distribution amounts), you will only need to answer YES to having a capital gains tax event if your tax-deferred distribution amounts exceeded the remaining cost base of any of your units in DUET1, DUET2 and/or DUET3. Eligible investors should be entitled to the CGT discount concession for any capital gains which arose in this way (assuming the relevant requirements are met). Calculation of capital gain or loss The remaining generalised statements, while not a complete description of CGT, may assist you in computing the CGT result of any disposal of your DUET securities. One DUET security constitutes a number of separate CGT assets For CGT purposes, stapled securities comprise separate assets even though they cannot be traded separately. A DUET security comprises one unit in DUET1, stapled to one unit in DUET2, stapled to one unit in DUET3 and stapled to one share in DIHL (i.e. four separate CGT assets). If you disposed of, or entered into a contract to dispose of, your DUET securities in the year ended 30 June 2012, you will need to do separate CGT calculations for each of your investments in DUET1, DUET2, DUET3 and DIHL. 16 Establishing your cost base and sales proceeds a) Splitting your acquisition cost Appendices 1 and 2 will help you to split your DUET security acquisition cost between a unit in DUET1, a unit in DUET2, a unit in DUET3 and a share in DIHL. Appendix 1 sets out all the relevant dates and prices at which DUET securities have been issued up to 30 June 2012 and shows the proportion of the issue price of each DUET security that related to a unit in DUET1, a unit in DUET2, a unit in DUET3 and a share in DIHL. If you acquired your DUET securities through the Australian Securities Exchange, you will need to decide how much of your purchase price for each DUET security related to a unit in DUET1, a unit in DUET2, a unit in DUET3 and a share in DIHL. The Responsible Entities of each of DUET1, DUET2 and DUET3 and the Manager of DIHL are of the view that the allocation of value among the entities up to 30 June 2012, implied by the traded prices on the Australian Securities Exchange, was as detailed in Appendix 2. To determine the split of the acquisition cost of your DUET securities among DUET1, DUET2, DUET3 and DIHL, you may wish to refer to the relevant percentage split for the month in which you acquired your DUET securities. b) Calculating the cost base of your DIHL shares for the DUET restructure on 30 August 2006 If you acquired some or all of your DUET securities on or before 30 August 2006, you will need the following details in relation to your shares in DIHL as a result of the DUET restructure that happened on that day. Your shares in DIHL were acquired on 30 August 2006 (being the time that DUET1 and DUET2 made an in-specie distribution of the shares to you). Your CGT cost base of those DIHL shares is equal to the market value of those shares on that day. The Responsible Entities of each of DUET1 and DUET2 are of the view that the market value was cents per share in DIHL. Please also note that the cost base and reduced cost base of each unit that you held in DUET1 and DUET2 at the start of that day was reduced by cents and cents respectively. Work out the number of shares in DIHL that you acquired on 30 August 2006 as part of the DUET restructure on that date this is the same as the number of DUET securities that you held at the start of that day. 17 i) Your units in DUET3 were acquired on 22 June 2007 (being the time that DUET1 made the in-specie distribution of the units to you). Your CGT cost base of those units is equal to the market value of those units on that day. The Responsible Entity of DUET1 is of the view that the market value was cents per unit in DUET3. Please note that the cost base and reduced cost base of each unit that you held in DUET1 at the start of that day was reduced by cents. ii) Work out the number of units in DUET3 that you acquired on 22 June 2007 as part of the DUET restructure on that date this is the same as the number of DUET securities that you held at the start of that day. If you require further information in relation to the DUET restructure and its impact on the disposals of DUET stapled securities, please refer to the 2007 DUET Tax Statement Guide (a copy is included on the DUET website). d) Splitting your sales proceeds Regardless of how you acquired your DUET securities, you will also need to split the sales proceeds into the part referable to the units in DUET1, the part referable to the units in DUET2, the part referable to the units in DUET3, and the part referable to the shares in DIHL. The Responsible Entities of each of DUET1, DUET2 and DUET3 and the Manager of DIHL are of the view that the allocation of value among the entities implied by the traded prices on the Australian Securities Exchange was as detailed in Appendix 2. To determine the split of the sales proceeds of your DUET securities among DUET1, DUET2, DUET3 and DIHL you may wish to refer to the relevant percentage split for the month in which you disposed of your DUET securities. Tax-deferred distributions As noted above, DUET1, DUET2 and DUET3 made tax-deferred distributions during the year ended 30 June This means there was a CGT event in respect of each tax-deferred distribution that reduced the cost bases and the reduced cost bases for CGT purposes of your units in DUET1, DUET2 and DUET3. Please refer to Appendix 3 which sets out the tax-deferred amounts distributed by DUET1, DUET2 and DUET3 up to 30 June DIHL has never made any tax-deferred distributions. Calculations of reductions in the cost bases and the reduced cost bases of units arising from the payment of tax-deferred distributions can be complex. You may wish to read the ATO s publications referred to in question 18 of the Individual Tax Return Instructions supplement 2012 and/or obtain professional assistance. In addition, if you hold your DUET securities on revenue account, the receipt of tax-deferred distributions may have further tax implications. You should consult with your tax advisor regarding these potential tax implications. Inclusions in cost base Don t forget that incidental costs of acquisition and disposal (such as broker fees and stamp duty) should be included in the cost bases and reduced cost bases of your units and shares DUET Group Annual Tax Statement Guide 13

18 Other general comments If you are an individual... If you are an individual and in the year ended 30 June 2012 you sold, or entered into a contract to sell, your DUET securities, then your CGT result in respect of that sale should generally be as follows in respect of your units in DUET1, DUET2 and DUET3 and your shares in DIHL: If you held your units or shares for less than 12 months 1, your CGT gain or loss is the difference between your sales proceeds and your cost base or reduced cost base (as reduced by the receipt of any tax-deferred amounts); or If you held your units or shares for 12 months 1 or more, and your sales proceeds were less than your reduced cost base (as reduced by the receipt of any tax-deferred amounts), your CGT loss is the difference between the two amounts; or If you held your units or shares for 12 months 1 or more, and your sales proceeds exceeded your cost base (as reduced by the receipt of any tax-deferred amounts), your CGT gain is computed using the discount method. The discount method Under the discount method, your CGT gain is called a discount capital gain. Provided you have no CGT losses, the CGT gain will be equal to half of the excess of your sales proceeds over your cost base (as reduced by the receipt of any tax-deferred amounts).
