5 REPORT The President of RWE Polska about corporate social responsibility Dear Readers, I am pleased to provide you with the report summarizing the activities of RWE Polska and RWE Stoen Operator, two of the largest companies of RWE in Poland, in terms of corporate responsibility and sustainable development in It is the first joint report of RWE in Poland, prepared in accordance with the international reporting standard - Global Reporting Initiative. The report also fulfils communication requirements of the UN Global Compact, the UN initiative of which RWE Polska is a member. Sustainable development is an integral part of the business strategy of RWE Polska. The Executive Board each year approves CSR objectives in different areas of their business, and then monitors and summarizes their level of implementation. In recent years the energy market has been characterized by high dynamics and at the same time uncertainty resulting from legislative changes and difficult conditions caused by the economic crisis. RWE Polska, when adopting goals and objectives for the future, takes into account two perspectives - challenges for the European market, on which the RWE Group operates and characteristics and a key development of the Polish market from the point of view of the company. One of the most important events of the year 2012 for RWE in Poland and the energy industry was the announcement of the upcoming legislative changes for the renewable energy market. We carefully prepare ourselves for the overall energy market liberalization and deregulation of tariffs for consumers, which certainly will increase the competitiveness of actions between energy suppliers. Other aspects that shape business activities of the company are - an increase in the volume of energy from renewable sources - and, in addition, innovations for reducing greenhouse gas emissions, a deregulation of the gas market and a growing role of consumers who become not only consumers but also producers of energy marked the 10th year of RWE presence on Polish market. Since 2002 the company has invested PLN 4.7 billion in Poland, including except the activity acquisition in Warsaw, the amount of more than PLN 1.5 billion in a development and maintenance of the power grid in the capital and PLN 1.4 billion in renewable energy sources in Poland. At present, our wind power capacity amounts to 192 MW. We strive to achieve a total capacity of 300 MW by We plan to develop a business area of the portfolio of innovative products and services for all customer segments, such as e-mobility - electric car charging stations which we offer to Polish customers together with one of the leading European car manufacturers. Customers are the continuous priority in our activities, that is why last year we developed the project "Customer in the centre of attention", whose main objective is to create the best customer experience in dealing with RWE. In 2013 we intend to make further convenience expected by customers, monitor their level of satisfaction and, through continuing education programmes, such as the RWE Conscious Energy", encourage the rational use of energy. One of the key activities of RWE Stoen Operator in 2012 was a complete preparation of energy infrastructure in Warsaw for a duration of the 2012 UEFA European Football Championship. RWE Stoen Operator closely cooperated with the authorities of the capital City of Warsaw. As a result of the undertaken investment projects RWE launched a high-voltage station "Stadium", supplying the Poland's National Sports Centre and households of Warsaw districts of Praga North and Praga South. RWE Stoen Operator is also preparing for the implementation of smart energy meters in the area of its network. As part of the "RWE Intelligent Energy" there was the first pilot implementation of smart meters in selected buildings in Warsaw conducted, together with an education campaign for residents and a study of consumer awareness and behaviour. RWE Polska and RWE Stoen Operator would like to know expectations and opinions of its stakeholders. Therefore, I would like to take the occasion and thank the participants of the first Panel of stakeholders of RWE Polska and RWE Stoen Operator in the energy sector in Poland. 13 REPORT RWE Polska is a joint stock company which is owned in 100% by RWE Beteiligungs- Verwaltung Ausland GmbH. The Board is headed by four Management Board members, which comprises: Filip Thon President of the Management Board Janusz Moroz Member of the Management Board Martin Mikláš Member of the Management Board Sławomir Jacek Koczywąs Member of the Management Board (employee representative) The Management Board is appointed by the Supervisory Board. The Company's employees are entitled to elect one candidate to the Board. The term of office for members of the Board is up to five years. The term of office is determined by the Supervisory Board for each individual member of the Board in the resolution on his or her appointment. Operating procedures of the Management Board, rules under which the Board conducts Company's activities and adopts resolutions are defined in "Regulations of the Management Board of RWE Polska S.A.", which is approved by the Supervisory Board. The Supervisory Board also evaluates the performance of the Management Board, which is monitored and accountable for achieving business objectives. A chairman of the Supervisory Board determines the remuneration of the Board members. The Supervisory Board of RWE Polska consists of seven members, appointed for a period of three years. Members of the Supervisory board are not verified in terms of setting strategy on economic, environmental and social issues. Rules of conduct of the Supervisory board are defined in "Regulations of the Supervisory Board of RWE Polska S.A." Members of the Supervisory Board, in accordance with the resolution of the General Assembly in 2009, do not receive any remuneration for the performance of duties as a Member of the Supervisory Board. It is worth noticing that both the Management Board and the Supervisory Board of RWE Polska have representatives of the employees in their structures. The Supervisory Board adopts rules of election of candidates for Management Board members and Supervisory Board members elected by the employees. Elections are conducted by the committee by secret ballot to be direct and general.
