This Group Policy Manual outlines the structure and key aspects of the Thiess Management System (TMS) and provides an overview of our policies and objectives, standards and procedures. In an organisation as diverse and dynamic as Thiess, it is essential that we conduct our business in a consistent and systematic manner. 15 GROUP POLICY MANUAL 13 INjURY MANAGEMENT PolIcY To EnsurE our InjurY ManaGEMEnT PracTIcEs FacIlITaTE and ExPEDITE THE recovery ProcEss and HElP EMPloYEEs return To work as soon as PossIBlE. WE WILL: Provide timely and quality services and return-to-work plans Maintain injured or ill employees at work in appropriate and productive activities Enable the earliest possible return to work for employees Maximise independent functioning for employees if return to work is precluded Provide a safe and healthy work environment and, in the event of injury or illness, proactively apply workplace based injury management in accordance with medical advice Cooperate with our employees and their treating providers Ensure appropriate suitable duties are made available to injured or ill employees to facilitate their safe and early return to work, with those duties to be medically approved and be time limited Ensure all employees are aware that, in the event of injury or illness, they, and their supervisors, will be consulted to develop their return-to-work plan for a structured, timely and safe return Comply with legislative obligations with respect to injury management including confidentiality and privacy of information Review this policy and accompanying procedures on an ongoing basis to ensure we continue to meet legislative requirements and the needs of all stakeholders managing director thiess pty ltd december 2013 tg-q&s-po-011

17 GROUP POLICY MANUAL 15 OUR DELEGATION OUR STRUCTURE The Managing Director has the ultimate responsibility for the company s performance and management. The Thiess Statutory Board monitors this performance and ensures company policies are implemented and statutory obligations are met. The role of the Statutory Board complements LHL line management authority levels and controls for project procurement, performance reviews, financial limits and investment approvals. The company delegates accountability to the business streams and to the respective business stream Executive General Managers who are responsible for the activities, operations and performance of their business stream. Business unit General Managers are responsible for the performance of their respective business units in accordance with the targets and objectives set out in their business plan. 18 16 GROUP POLICY MANUAL OUR SYSTEM The Thiess Management System (TMS) is the rule book for the Thiess group, providing the framework for the manner in which we conduct our business. Policy statements, standards and procedures respectively provide the commitment, minimum requirements and processes for how Thiess operates. This sets the foundation for delivering excellence and innovation in our projects and for maintaining quality outcomes in our day-to-day activities. The TMS is designed around the functional areas of the business and each area is championed by members of the Executive Management Team (EMT). The EMT holds functional managers at the group and business stream levels accountable for developing and reviewing procedures and processes in their respective functional areas. These reviews are carried out in consultation with subject-matter-experts and operational employees from the business streams. The responsibilities outlined in our TMS involve Thiess employees consistently implementing appropriate requirements across our diverse operations. Our TMS is simply the way we do things at Thiess. The TMS architecture is represented in the following diagram and is designed to: clearly communicate the hierarchy of TMS governance from the group level through our business streams to our projects, and recognise the diversity of our organisation and provide scope for variation between our construction, mining and services streams where it is appropriate.

GROUP POLICY MANUAL This Group Policy Manual outlines the structure and key aspects of the TMS and provides an overview of our policies and objectives, standards and procedures. 2. FUNCTIONAL AREAS The functional areas are made up of standards, procedures and supporting documents for managing our business and delivering our projects. Our functional areas are: Commercial Communications Design and Mine Planning Environment Finance and Administration Health and Safety Human Resources Information, Communication and Technology Legal and Contracts Operations Plant Tendering Strategic Procurement Quality and Systems Risk Management 3. BUSINESS STREAMS OUR COMPLIANCE The TMS structure provides for necessary adaptation to specific legislative and client requirements and for accreditation to relevant Australian, New Zealand and International Standards including: AS/NZS ISO 9001 Quality management systems AS/NZS ISO Environmental management systems AS/NZS 4801 Occupational health and safety management systems, and OHSAS Occupational health and safety management systems (International). Our operations are audited and accredited according to these standards at the business stream level. As Thiess is a fully-owned subsidiary of Leighton Holdings Limited, the TMS also complies with the Leighton Group Governance System, as applicable. The Risk and Assurance group undertake regular overall compliance reviews of TMS practices through both project reviews and tender practice reviews. MANUAL REVIEW This Group Policy Manual will be reviewed annually to confirm its currency with respect to TMS revisions, including applicable outcomes of group and business stream management reviews and business plan updates. If deemed appropriate, the manual will be amended and reissued. This document is the property of Thiess Pty Ltd and all rights are reserved in respect of it. This document may not be reproduced or disclosed in any manner whatsoever, in whole or in part, without the prior written consent of Thiess. Thiess expressly disclaims any responsibility for, or liability arising from, the use of this document by any third party. This document does not normally form part of any contract and is not intended to imply any representation or warranty. The company reserves the right to amend its procedures and representatives from time to time in order to comply with individual contract requirements.
