4 Adobe Systems Incorporated EEA Program Guide Education Enterprise Agreement Program Summary The Education Enterprise Agreement (EEA) program is a one- or two-year term-based licensing program that helps primary and secondary schools and higher education institutions minimize the cost and complexity of providing Adobe software to their faculty, staff, and students on institutionally owned or leased computers. EEA is available through select resellers, known in different regions as authorized resellers or Platinum/Gold/Certified resellers. Program Features EEA allows qualified educational institutions to standardize on Adobe products across their organization by offering select products with special pricing and benefits that include: Management, deployment, and purchasing cost reduction Budget planning with predictable pricing Lower administration efforts and compliance costs The ability to stay current with access to the latest software features and capabilities Primary and Secondary Schools Primary and secondary educational organizations may enroll in EEA and be covered as a single school site or under a legal entity* having responsibility for the procurement and contract management of multiple primary and secondary schools. All primary and secondary schools covered under EEA are required to have 100% fulltime equivalent (FTE) coverage of qualified faculty and staff. Discount Tiers The customer establishes their discount tier at the time of enrollment and will remain in effect for the duration of the EEA term. Three discount tiers are available for primary and secondary schools, and the total FTE of all fulltime and part-time faculty and staff employed within the school(s) determine the discount tier. All primary and secondary schools covered under EEA are required to have 100% FTE coverage, and provide the total FTE during the EEA enrollment process. The minimum FTE requirement for a single primary or secondary school site is 20 FTE while the minimum requirement for a primary or secondary school legal entity is 300 FTE. A legal entity* with an FTE lower than 300 is still eligible to participate at the 300 FTE level. For example, if the legal entity is a school district that has an FTE of 257, it may participate in the EEA program at the minimum 300 FTE level by using 300 as their FTE count upon enrollment. 5 NOTE *Legal entity in this document refers to an organization that has responsibility for the procurement and contract management of multiple individual primary and/or secondary schools, for example, a district, county, state, or government agency. Discount Tiers for Primary and Secondary Schools Minimum FTE Required Coverage under EEA Primary and secondary school % coverage of the defined primary or secondary school Primary and secondary school Legal Entity 300 2, % coverage of all primary and secondary schools under the Legal Entity Primary and secondary school Legal Entity 3, % coverage of all primary and secondary schools under the Legal Entity Higher Education Institutions Higher education institutions may elect to license on a per-installation basis or elect to cover their entire institution on a per-fte basis. One hundred percent FTE coverage of qualified faculty and staff is required for organizations licensing an entire institution on a per-fte basis. Licensing an entire institution on a per-fte basis may not be available in all locations and is currently not available in the United States, Canada, and Japan. Institutions in these regions that need to license on a per-fte basis should contact their Adobe Account Manager. Discount Tiers Two discount tiers are available for higher education institutions in most locations. Higher education institutions may elect to license on a per-installation basis or may elect to cover their entire institution on a per-fte basis. When covering an entire higher education institution, 100% FTE coverage of the entire institution s eligible faculty and staff is required. The minimum FTE requirement for coverage of an entire higher education institution is 100 FTE. For higher education institutions electing to license products under EEA on a per-installation basis, the quantity purchased will be based on the institution s required number of installations and not the total FTE. The number of installations may be any quantity, but the institution is required to order a minimum of one collection and must place the order with a reseller for the exact number of installations needed. Full-Time Equivalent Coverage Qualifying Faculty and Staff All employees who work more than 200 hours a year must be included in the FTE count. Exclusions from the faculty/staff FTE count include non-knowledge workers such as maintenance personnel, bus drivers, cleaning staff, and cafeteria workers. The following do not qualify toward the institution s FTE count: Students Alumni Workers who have been hired on a contractual basis for services either on or off campus (individuals not directly employed by the district) Retired faculty and staff Education conference attendees Visitors NOTE No student licensing option is available in the EEA program offering, and students should not be included in the total FTE count. Students who are official employees of the educational institution in a qualified full-time or part-time faculty or staff position may be included in the FTE count. Calculating Total FTE Discount tiers and pricing for organizations licensing on a per-fte basis are determined by the total number of FTE units entered during enrollment for the qualified educational organization. The total FTE is a count of all eligible faculty and staff for the entire enrolling educational organization. This includes full-time faculty and staff (considered as one unit each), part-time faculty (considered as one-third of a unit each), and part-time staff (considered as one-half of a unit each). The following equation is used to calculate Total FTE: Full-time faculty + (part-time faculty 3) + full-time staff + (part-time staff 2) = Total FTE quantity Page 6 Version 1
7 Example: If the enrolling educational organization has 4,000 full-time faculty, 3,000 part-time faculty, 2,000 fulltime staff, and 1,000 part-time staff, the total FTE quantity is calculated as follows: 4,000 + (3,000 3) + 2,000 + (1,000 2) = 7,500 FTEs If the total FTE count ends with a fractional component, the number rounds to the next unit. This means that FTE units would round to 101 total FTE units. True-up There is no true-up in EEA for educational organizations licensed on a per-fte basis. Any growth expected in the institution s FTE during the EEA term must be factored into the total FTE count defined during the EEA enrollment. For example, if a primary or secondary school district wants to cover its entire district under a twoyear EEA, and its current district FTE count is 15,000, but it is expecting its FTE to increase to 15,500 over the twoyear term, the district must define its total FTE at 15,500 when it first enrolls in EEA. Decreases in the institution s actual FTE over the EEA term will not reduce the EEA license fee. Qualifying Educational Organizations The Adobe EEA program is available only to primary and secondary schools and higher education organizations that meet the appropriate educational institution qualifications defined below: (a) Qualified Educational Institutions. The following is a non-exhaustive list of qualified educational institutions: (i) Accredited (by official accrediting entities) public or private primary or secondary school providing full-time instruction (ii) Accredited public or private university or college (including community, junior, or vocational college) that grants degrees requiring not less than the equivalent of two years of full-time study (iii) Named educational institutions approved by Adobe, only if individual named entities are approved by Adobe in writing (iv) Hospitals that are wholly owned and operated by an otherwise qualified educational institution, where wholly owned and operated means the educational institution is sole owner of the hospital and the only entity exercising control over day-to-day operations (v) Higher education research laboratories that are a public institution and recognized by a national or state educational authority (b) Non-Qualified Educational Institutions. The following is a non-exhaustive list of entities that are not qualified educational institutions: (i) Non-accredited schools (ii) Museums or libraries (iii) Hospitals not wholly owned and operated by an otherwise qualified educational institution (iv) Churches or religious organizations that are not accredited schools Version 1.0 Page 7
8 (v) Vocational training centers or schools granting certificates for courses such as computer software training or job training that are not accredited schools or that grant degrees requiring less than the equivalent of two years of full-time study (vi) Military schools that do not grant academic degrees (vii) Research laboratories not recognized by a national or state ministry overseeing education for example, institutions recognized by other government branches are not eligible (viii) Cooperative associations composed of multiple qualifying and unaffiliated educational institutions that join the cooperative association by enrolling; executing a written, legal agreement; or otherwise being qualified by the cooperative association as a member (each a consortium member) with the primary purpose of creating and/or managing volume-driven procurement/licensing agreements on behalf of its consortium members The above sections (a) and (b) through (vii) do not apply to the countries listed under the Regional-Specific Definition below. (a) Regional-Specific Definition. (i) Asia Pacific countries excluding Southeast Asia countries as defined in sub-paragraph (ii) below. If a member is a resident of Australia, New Zealand, India, Sri Lanka, mainland China, Hong Kong S.A.R., Taiwan R.O.C., the Republic of Korea, the People s Republic of Bangladesh, the Federal Democratic of Nepal, the Republic of the Union of Myanmar, Pakistan or Mongolia, or any country designated by Adobe from time to time, Educational Institution(s) shall mean the entities that satisfy the meaning of Qualified Educational Users (except for the sections entitled Full- and Part-Time Faculty and Staff and Students ) designated by Adobe on (or its successor website thereto), as updated by Adobe from time to time. (ii) Southeast Asia countries. If a member is a resident of Indonesia, Malaysia, the Philippines, Singapore, Thailand, or Vietnam, Educational Institution(s) shall have the respective meanings designated by Adobe on (or its successor website thereto), as updated by Adobe from time to time. (iii) Japan. a. Educational institution as provided under the School Education Act i. Schools (including elementary school, junior high school, high school, secondary school, university (including junior college, graduate school and University of the Air), high level technical college, school for the blind, school for the deaf, school for the handicapped and kindergarten ii. Professional Schools (as provided under Article 82.2 of the School Education Act and which consist of the following (i) established by national or prefectural government, (ii) established by city or town (including ward in Tokyo) based on permission by the prefectural school board, (iii) private school established based on permission by the prefectural governor.) [general courses, advanced courses, and specialty courses] iii. Vocational Schools (as provided under Article 83 of the School Education Act, and means the one of the following: (i) established by a city or town based on Page 8 Version 1
9 permission by the prefectural school board, or (ii) private school established under the permission by the prefectural governor. b. Other educational institutions i. Education Board and Education Institution as provided under the Law Regarding the Local Education Administration's Organization and Management. (Specifically, this is the Education Board provided under Article 2 of the Law Regarding Local Education Administration's Organization and Management and Education Center, Education Research Institute and other Education Institution(s) provided under Article 30 of the same law). ii. Independent Administration Institution(s) overseen by the Ministry of Education, Culture, Sports, Science and Technology, and which purpose is education, such as, Education Training Center. iii. Public Human Resources Development facilities and Vocational Training Entities as provided under the Human Resources Development Promotion Law (Public Human Resources Development facility is defined in Article 15.6 of the Human Resources Development Promotion Law, and is one of the following established by the national or regional government as (i) Human Resources Development School; (ii) Human Resources Development College; (iii) Human Resources Development University (including the Polytechnic University; (iv) Human Resources Development Promotion Center; (v) Human Resources Development School for the Disabled. Vocational Training Entity shall mean entity licensed by the prefectural governor as provided under Article 31 of the Human Resources Development Promotion Law). iv. Rehabilitation facilities for the physically handicapped under the Law for the Welfare of People with Physical Disabilities and other rehabilitation facilities under the Welfare Act (The Rehabilitation facilities for the physically handicapped under the Law for the Welfare of People with Physical Disabilities shall mean one of the following facilities established by the national or regional government bodies in accordance with Article 28 of the Law for the Welfare of People with Physical Disabilities: (i) Rehabilitation Facility for the Physically Handicapped, (ii) Rehabilitation Facility for the Visually Impaired, (iii) for the Hearing Impaired, (iv) for the Speech Impaired and (v) for the Internal Organs Disabilities). v. Colleges established by the national or regional government bodies (Colleges established by the national or regional government bodies shall mean those established under applicable laws and include Local Autonomy College, National Defense Academy, National Police Academy, Meteorological College, Civil Aviation College, Marine Technical College, National Fisheries University, Prefectural College of Agriculture, etc.). vi. Inter-University Research Institute (Inter-University Research Institute shall mean the Inter-University Research Institute Corporation provided in Article 2-3 of the National University Corporation Law and the Inter-University Research Institute provided under Article 2-4 of the same law). vii. Hospitals attached to the above educational entities. Version 1.0 Page 9
10 c. Any other institution that Adobe Ireland separately approves as an Educational Entity. i. Notwithstanding the forgoing, an entity shall no longer be deemed an Educational Entity under this Agreement from the date of Adobe s written notice, given in Adobe s sole discretion, that the entity is not approved as an Educational Entity. Eligibility Educational organizations that wish to enroll in EEA must be a qualified primary or secondary institution or higher education institution as defined in this guide. Educational organizations enrolling in EEA must meet the qualifying criteria below: Agree to the EEA terms and conditions and complete the online enrollment process Receive an EEA enrollment confirmation notice and EEA Agreement Number via from Adobe Meet the minimum FTE count or per-installation requirement for the type of educational organization designated during the enrollment process Specify their total FTE during enrollment (for organizations electing to be licensed on a per-fte basis) to determine the pricing level discount tier Order term licenses for EEA-eligible products through an Adobe qualified education reseller for the following: o Total FTE count or per-installation quantity required o The quantity of any optional add-on products desired (licensed on a per-installation basis) o The entire EEA term selected during enrollment Order must be placed within 30-days of acceptance of enrollment in EEA Available Products Adobe product collections available under EEA include desktop applications and are dependent on the type of educational organization enrolling in the program. Optional Adobe applications for photography, video editing, and professional video production are also available on a per-installation license basis. Any combination of optional add-on products may be ordered and licensed for the EEA term. Access to Feature Releases Access to certain feature releases and updates for applicable products is an included benefit of the EEA program and is part of the licensing fee. Applicable product feature releases and updates will be made available at Adobe s discretion via Creative Cloud Packager, vary by product and are not guaranteed during the EEA term. Page 12 Version 1
13 Work at home The standard EEA program does not include work at home rights. However, institutions enrolling in EEA on a per-fte basis may indicate during the enrollment process their interest in providing work at home capability for eligible faculty and staff, and can authorize Adobe or its third party to contact them regarding enabling this capability. Adobe or its authorized third party will contact interested institutions and separately arrange to license and enable work at home rights for use with products licensed under the EEA program for additional fees. Higher Education institutions in United States, Canada, and Japan are not eligible for work at home rights and are not available for students. How to Order Initial Order Customers must submit a single purchase order for the initial EEA order to their reseller within 30 days of receiving their EEA number. The initial purchase order must encompass the following: Meet the EEA eligibility criteria. Cover all EEA elections made during enrollment. Meet the minimum FTE requirements and discount tier for the enrolling institution type selected. Cover the total FTE defined during enrollment, as applicable, and the collection quantity ordered must be equal to or greater than the total FTE. Cover the entire one- or two-year EEA term selected in the enrollment. Specify the quantity of any per-installation licensed EEA collection selected in the enrollment, as applicable. Specify the quantity of any per-installation licensed optional add-on products required. Once the initial EEA order is placed and accepted by Adobe, the designated EEA IT administrator receives an order confirmation that includes directions for accessing serial numbers for the products that were ordered. If the single purchase order fails to meet any of the ordering eligibility requirements, the order will not process, and will be returned for correction. If the customer does not correct and resubmit the order within 30 days, Adobe sends the customer and any reseller designated during enrollment an notice indicating the initial order has not been received. Adobe may suspend and/or terminate the EEA if the initial order requirements have not been met within 45 days. Higher education institutions enrolling on a per-installation basis are not required to enter product quantity during enrollment. However, a minimum order of one per-installation license is required within 30 days of the activation of the customer s EEA. Version 1.0 Page 13
14 For higher education institutions electing to license products on a per-installation basis, the quantity purchased will be based on the institution s required number of installations and not the total FTE. The number of installations may be any quantity, but the institution is required to order a minimum of one collection and must place the order with a reseller for the exact number of installations needed. Additional Orders/Additional Products For higher education institutions with products licensed on a per-installation basis and any EEA covered educational organizations needing per-installation add-on products, additional licenses may be ordered anytime during the EEA term. Add-on products have a minimum order quantity of one. Proration EEA proration allows customers to purchase additional licenses at any time during the EEA term, and the cost will be prorated to the end of the existing EEA. Additional license coverage of the existing EEA term must include the current month in which the order is placed. Example: An existing EEA customer is in the 5 th month of their 1-year term and needs 10 Design and Web Collection (per-install) licenses. In LWS, the partner enters an order for 10 Design and Web Collection licenses. LWS then prorates the term and pricing to 8 months, ending when the EEA term expires. Coverage of the existing EEA term must include the current month in which the additional license order is placed. LWS shows 10 Design and Web Collection licenses. At the end of the EEA, customers are not entitled to continue using the licenses unless they renew their EEA. Example: An existing EEA customer is in the 16 th month of their 2-year term and needs 10 Video Collection (per-install) licenses. In LWS, the partner enters an order for 10 Video Collection licenses. LWS prorates the term to 9 months, ending when the EEA term expires. LWS shows 10 seats of Video Collection licenses. Please note that for orders entered into EDI, the partner will have to manually calculate the correct prorated number of months and the correct prorated per-install pricing and use the appropriate 1Y or 2Y EEA SKU to place the order. Adobe s systems will reject any additional license orders that do not have the correct prorated number of months to co-terminate with the customer s existing EEA end date. The per-install licenses expire at the end of the EEA agreement term and the customer has 30 days to uninstall all products included in EEA. Customers will have no more than 30 days to determine Page 14 Version 1
15 alternative options and all licenses are subject to Adobe Compliance verification 30 days after the end of the agreement. Agreement Term EEA is available in either a one- or two-year program term selected by the customer during enrollment. The EEA term begins on the day that Adobe accepts the customer s agreement enrollment, known as the effective date. If the customer selects a one-year program term, the term begins on the effective date and continues through the one-year anniversary day immediately prior to the effective date. If the customer selects a twoyear program term, the EEA term begins on the effective date and continues through the second anniversary day immediately prior to the effective date. Both the one- and two-year program terms are subject to the termination provisions described in the EEA. End of EEA Term At the end of an EEA term, the covered educational organization s eligibility to participate in EEA will automatically expire, and the organization must discontinue all use and access to all products licensed under the expired EEA. Unless Adobe offers and the customer accepts an EEA renewal option, the organization licensed is required to uninstall all software licensed under its EEA and provide a completed Letter of Destruction. Enrollment Customers may enroll in EEA online at Adobe.com by completing the online enrollment form and clicking to accept the program terms and conditions. Customers wishing to sign a paper document can print the PDF version of the online enrollment form and submit it with a signature. Upon enrolling, the customer will receive a welcome that includes the EEA Agreement Number, which must be referenced on any EEA software orders to the reseller. Customers should treat the EEA Agreement Number as confidential and not share or disclose this number to any third party except for authorized resellers for ordering purposes. License Type Term license is the licensing option offered under EEA. Enrollment and purchase through the EEA program grant the enrolling institution a right to use the license for the applicable purchased products during the term of EEA, in accordance with the terms and conditions of the EEA agreement and the applicable End User License Agreement (EULA). The term license includes access to qualified feature releases and updates, for applicable products, as part of the licensing fee for the EEA term. Reseller Information Authorized Reseller Version 1.0 Page 15
16 EEA is available worldwide through authorized Adobe education resellers. EEA enrolled institutions work directly with an Adobe authorized reseller of their choosing to place orders for the applicable EEA products. All EEA software license fees are determined solely by the reseller. Adobe does not set the pricing that a customer is charged, and Adobe cannot guarantee any specific pricing. Resellers operate as independent distributors and are not agents or affiliates of Adobe. As a result, the customer is responsible for informing any reseller of its applicable EEA Agreement Number and discount tier. Customers are free to negotiate any EEA software license fees directly with their reseller. Matters such as price, delivery, and payment terms are established by and between the customer and reseller. An Adobe authorized education reseller is qualified to offer the EEA program for education customers (in this guide the term reseller describes the entity from which the customer orders Adobe software). By choosing a reseller, the enrolling institution is authorizing Adobe to send the designated reseller information pertaining to the customer s account, enrollment, orders, and information. Changing Resellers During the EEA term, customers have the option to work with whichever reseller they choose. If customers want to change their reseller between the time they enroll in the EEA program and the deadline for their initial order, or for any subsequent orders, they must submit a Change of Reseller form to Adobe. The customer s current reseller can provide this form. Order Fulfillment Adobe s Licensing Website Adobe s Licensing Website (LWS; enables customers to access pertinent licensing information about their EEA agreement and EEA licensed products, including detailed purchase history, LWS account information, EEA product serial numbers, and agreement expiration dates. For new EEA customers, the customer s EEA designated program administrator will receive an communication containing instructions on setting up the LWS account login and password for management of the organization s Enterprise Agreement and licensed products. End User ID Number Adobe establishes an End User ID number for each EEA customer. Information about all customer orders is available on LWS using the End User ID. This number is different from the customer s EEA Agreement Number, which is valid only during the active EEA term. Customers retain the same End User ID even after an agreement expires and a new one begins. Reports Page 16 Version 1
17 Customers may run a Detailed Purchase History report that summarizes all EEA orders reported to Adobe. License Certificates Adobe provides a PDF certificate of each transaction that occurs. The certificate generates automatically and is posted to the customer s account in LWS. Customers can retrieve serial numbers for their EEA-licensed products from LWS. The certificate includes: Address Adobe End User ID Adobe order number Certificate ID Enterprise Agreement Number End user name End user purchase order (PO) Licensing program Products licensed Quantity licensed Quantity returned, transferred, or upgraded Serial numbers SKU description SKU number Stamp or other mark on certificate that indicates if the order is returned, upgraded, or transferred NOTE License certificates are for customer reference only and do not serve as valid documentation for compliance audits. Deploying Applications Electronic Software Delivery For EEA customers, Adobe provides electronic software delivery (ESD) via LWS. IT administrators go to LWS to download serial number(s), Creative Cloud Packager (CCP) software, and any applications CCP does not support. Adobe Customer Care can assist customers with any ESD download issues. Version 1.0 Page 17
18 Adobe provides the designated EEA program administrator, and any deploy-to contacts listed on an order, access to downloads via LWS. The EEA IT administrator and the deploy-to contacts may grant additional users access to LWS with rights to use ESD and transfer their administrative rights to a different contact within the organization. NOTE The number of downloads for each product is tracked on the download site and is available for customers to view on the ESD download screen. Serial Numbers Customers receive one serial number for the EEA Design and Web Collection and may receive additional serial numbers for the Video Collection and/or other add-on products, if applicable. Customers use their respective serial numbers only for validly licensed installations of a given EEA product; new serial numbers may be issued for feature releases and updates provided to certain products, if applicable. Serial numbers and their respective operating details do not change the software terms of use or the EEA term as defined in the agreement. Customers must retrieve serial numbers for their EEA licensed products from LWS. Creative Cloud Packager EEA customers must use the Adobe Creative Cloud Packager (CCP) to package and distribute software to their end users. CCP combines Creative Cloud applications and updates for volume deployment. Using CCP, IT administrators can create Windows and/or Mac OS packages (MSI or PKG files) and then deploy to client machines through any third-party deployment tool that supports the deployment of native installers (Microsoft SCCM, Apple ARD, or JAMF Casper Suite). 32-bit or 64-bit versions of the applications are available when packaging products for delivery in Windows. Deployment via Creative Cloud Packager Upon launching CCP, the admin signs in with their Adobe ID, enters their serial number, and receives a list of available desktop applications. Using CCP, the IT admin will create a deployment package that matches their licensing agreement. Please note that although Adobe may deliver or make available certain desktop applications, the customer is not entitled to use, download, or access any software products or services that are not specifically licensed under their EEA agreement. The administrator can then securely deploy these packages and any updates to the required computers using industry standard deployment tools. The end user is not required to have internet access to launch and use these applications, but the IT administrator will require internet access at the time of packaging. 19 Documentation is available online for most Adobe desktop products. Each license includes the right to print one hard copy version of the applicable electronic user documentation. Customers may order any printed documentation, if available, that they require through their resellers. Quantities must not exceed the number of licenses being ordered and/or licensed. Returns Purchases made under an EEA may only be returned for one of the following reasons: The wrong product, platform, or quantity was delivered. (This could include Adobe shipping the item requested on the channel partner s purchase order, but the purchase order does not match what the customer ordered.) The customer receives a duplicate shipment or duplicate billing (due to a duplicate purchase order from the channel partner). Adobe must approve any request for returns. The customer must make the request for a return within 30 days of the original license order. The request must state the reason and provide proof of the original order date. Partial order returns are not accepted. An Adobe Letter of Destruction provided by the authorized reseller with an original authorized signature from the customer must be received in order to issue credit. In addition, the customer will also receive a confirmation one-way Letter of Destruction with every return. EEA Policies In addition to the EEA details already described, Adobe maintains the following EEA policies to ensure that customers fully understand the agreement and software use requirements under the program. Backward Licensing Adobe typically allows customers to order a current-version license but use one version prior only. When using an earlier version, the customer must follow all guidelines of the current-version EULA. Media, documentation, and/or support for older product versions may no longer be available. Cross-Language Licensing Licenses sold in a specific language grant use rights to that language. Licenses sold with the designation of All as their language do allow customers to deploy the product in any language they choose. Exceptions to the conditions above may apply when the customer has access to feature releases as part of the product license and a new or updated version of their product is not available in the originally licensed language, or a new local language is made available. In these instances, Adobe will communicate what crosslanguage rights may apply. Version 1.0 Page 19
20 Cross-Platform Licensing Customers receive product serial numbers that support both Windows and Mac deployments as long as the product is available for both Windows and Mac. Customers can choose to use either platform as long as the total number of licenses being used does not exceed the number purchased or specifically licensed per their agreement with Adobe. Transfer of Licenses Transfer of licenses (TOL) within the educational institution defined for coverage under EEA is allowed. No TOL, outside the educational institution defined in the EEA agreement, is allowed unless there is a divestiture and approval from Adobe. Approvals for any other TOL exceptions will be made by Adobe at its sole discretion. Prior written approval from Adobe for any TOL is required in order to appropriately track entitlement. In addition, Adobe will not process TOL requests across deploy-tos on the same End User ID. End User License Agreement The access and use of the Products is governed by the applicable Adobe end user license agreement ( EULA ) or terms of use ( TOU ), which can be found at In the event of inconsistency between EEA terms and the terms of the EULA or TOU, the terms of the EEA control. Termination Termination is when the Enterprise Agreement between Adobe and a customer ends prior to the time the EEA term is scheduled to end. Upon termination, the customer shall immediately cease use of and remove the EEA licensed products as defined in the EEA agreement and the End of EEA Term section of this guide. Use of Information Adobe may use information about customers or affiliates (such as other schools within the educational organization defined for coverage under EEA) for purposes of administering EEA and for fulfilling its obligations under EEA. Such information may be used among Adobe entities worldwide and among resellers worldwide. This includes but is not limited to, the following: Adobe may share necessary program information of any customer or affiliates, including Education Enterprise Agreement Number, End User ID, and name and contact details of an EEA program administrator, with its reseller and with Adobe entities involved in program administration, wherever they may be located. Adobe will use the name and contact details of a customer, any customer-designated contacts, or the customer-designated EEA program administrator to send program-related communications to such licensing contacts. This includes, but is not limited to, notices of feature releases and updates, program changes, and notices of discontinued SKUs. Page 20 Version 1
