TxDOT INTERSTATE TRANSPORTATION OF GOODS (FREIGHT) SERVICES PUBLICATION This specification is a product of the Texas Department of Transportation (TxDOT). It is the practice of TxDOT to support other entities by making this specification available through the Institute for Public Procurement. This specification may not be sold for profit or monetary gain. If this specification is altered in any way, the header, and any and all references to TxDOT must be removed. TxDOT does not assume nor accept any liability when this specification is used in the procurement process by any other entity. 1. SCOPE: This solicitation is for services to provide less than truck load (LTL) and truck load (TL) interstate transportation of goods (freight), on an as needed basis. Freight shall be picked up at a location in the state of Texas and delivered to a location outofstate, or may require freight to be picked up at an outofstate location and delivered to a location in the state of Texas, as requested by TxDOT. TxDOT will specify the addresses for freight to be picked up and delivered to, at the time services are scheduled. This service shall encompass the National Motor Freight Classification (NMFC) freight classes 50 through 500 for freight of all kinds (FAK). NOTE: Respondents shall bid by the hundred weight (CWT) for LTL services and by the mile for TL services for the zone(s) being bid (Ref. Schedule 1 Pricing LTL and TL Freight Services). Respondents shall enter discounts or price breaks, if applicable, in the table provided for each part of Schedule 1 Pricing LTL and TL Freight Services. Respondents are not required to bid both LTL and TL services or all zones. The same unit price bid shall be for both freight picked up from a Texas location and delivered outofstate and freight picked up from an outofstate location and delivered to a location in Texas. 2. DEFINITIONS OF TERMS AND ACRONYMS 2.1. CDL Commercial Driver License 2.2. CWT Hundred weight 2.3. DPS Texas Department of Public Safety 2.4. FAK Freight of all kinds 2.5. Local time The time for the location address where freight is to be picked up or delivered 2.6. LTL Less than truckload shipments with actual weight less than 10,000 pounds 2.7. NMFC National Motor Freight Classification 2.8. TL Truck load shipments with actual weight more than 10,000 pounds 1 10

2 TXDOT APPLICABLE LAWS AND STANDARDS: The vendor shall provide the specified service requirements in accordance with all federal, state and local applicable laws, standards and regulations necessary to perform the services, including, but not limited to: 3.1. Code of Federal Regulations (CFR) Title 49, Subtitle B, Chapter III, Federal Motor Carrier Safety Administration, Department of Transportation 3.2. Texas Transportation Code, Title 7, Vehicles and Traffic 3.3. Texas Transportation Code Title 7, Subtitle E Vehicle Size and Weight. 4. RESPONDENT QUALIFICATIONS: The respondent shall: 4.1. Be a company engaged in the business of providing interstate freight services for a minimum of two years within the last three years. Recent startup businesses do not meet the requirements of this solicitation. NOTE: A startup business is defined as a new company that has no previous operational history or expertise in the relevant business and is not affiliated with a company that has that history or expertise. Two companies are affiliated if the two companies have a common parent company or if one is the parent or subsidiary of the other Be in good financial standing and current in payment of all taxes and fees such as state franchise fees. TxDOT reserves the right to request a copy of the respondent s audited or unaudited financial statement. TxDOT may request a statement from the president, owner or financial officer on company letterhead certifying that the company is in good financial standing and current in payment of all taxes and fees. When financial statements are requested, TxDOT will review the respondent's audited or unaudited financial statement in accordance with Texas Government Code, Title 10, Subtitle D, Section to evaluate the sufficiency of the respondent's financial resources and ability to provide the service required in the solicitation. TxDOT will be the sole judge in determining the sufficiency of the respondent's financial resources and ability to provide the service. Factors to be reviewed include: Balance sheets Net working capital Current asset ratio Liquidity ratio Auditor(s) notes Any notes to the financial statements 2 10

3 TXDOT REFERENCES: The respondent should submit a minimum of three references to substantiate the qualifications and experience requirements for similar services completed for a minimum of two years within the last three years. References shall illustrate respondent s ability to provide the services outlined in the specification. References shall include name, point of contact, telephone number and dates services were performed. The response may be disqualified if TxDOT is unable to verify qualification and experience requirements from the respondent s references. The response may be disqualified if TxDOT receives negative responses. TxDOT will be the sole judge of references (Ref. Respondent References form). 6. DRIVER(S) QUALIFICATIONS: The respondent shall provide a driver(s) with: NOTE: References for each driver that verify the required experience shall be included on Schedule 3 Driver(s) Qualifications and References A current CDL valid in the state of Texas A minimum of one year experience within the last five years in loading, securing, transporting and unloading freight of various sizes and weights A minimum of one year experience using specialized equipment to load, move freight within the truck and unload freight at the delivery location, such as a pallet jack, lift gate or other equipment. 7. VENDOR REQUIREMENTS: The vendor shall: 7.1. Adhere to the TxDOT Terms and Conditions identified on the solicitation Have a toll free telephone number to contact for service between the hours of 7:00 a.m. and 5:00 p.m. local time, Monday through Friday (Ref. Para. 2.5.) Provide a Customer Service Representative as the primary point of contact Provide insurance on freight for each scheduled service, as requested by TxDOT (Ref. Para. 9.9) Provide expedited services for freight to be picked up or delivered, as requested by TxDOT Provide notification of the date and time for pickup of the freight, confirm delivery date and if applicable, time of delivery Provide a method to track shipment from pickup to delivery of freight (Ref. Para. 10.) Pick up freight from the location specified on the date and time scheduled Notify TxDOT by telephone or prior to any delay in the delivery time of a scheduled pickup or delivery Ensure packaging of parcels and pallets are not broken open during loading, transporting or unloading Not deliver freight to an address or company different than the information shown on the bill of lading or freight bill. 3 10

4 7.12. Provide each driver with the equipment required to provide services. SPECIFICATION NO. TXDOT Have a driver(s) and vehicle(s) available between the hours of 8:00 a.m. to 5:00 p.m., local time, Monday through Friday to pick up and deliver freight (Ref. Para. 2.5.) Have drivers wear a clearly visible identifying badge or uniform shirt clearly marked with the company name or logo VEHICLES, TRAILERS AND EQUIPMENT: Own or lease vehicles and equipment required to perform the service as specified throughout the term of the purchase order. vehicles and equipment shall include, but not be limited to trucks with enclosed, weathertight cargo areas, pallet jacks, equipment to load and unload or move freight within the truck or trailer, load securing devices such as chains, nylon straps, booms and ratchets and any other equipment required to load, move, secure and unload freight to minimize damage to equipment or materials Provide the number and type of vehicles, trailers and equipment owned and leased that will be used to provide services (Ref. Vehicles, Trailers and Equipment form) Provide commercial vehicles with the appropriate identification markings conspicuously displayed on both sides, if applicable in accordance with Texas Transportation Code, Title 7, Subtitle F, Chapter 642 Identifying Markings on Commercial Motor Vehicles Provide the correct type and size of truck or trucktractor and companion trailer to transport the required load legally on the applicable highway systems Maintain all vehicles used during the term of the purchase order in accordance with Part 396 of the DPS A Texas Motor Carrier's Guide to Highway Safety Keep the annual safety inspection and vehicle registration current on all trucks, trucktractors and other equipment used to perform the service. Leased vehicles shall meet the same requirements Have and maintain all required insurance on vehicles and trailers. 8. DRIVER(S) REQUIREMENTS: The driver(s) shall: 8.1. Read, write and communicate in English Have the training, knowledge and experience to operate equipment required to perform the services, load, secure, transport, move and unload freight of various size and weight. 9. SERVICE REQUIREMENTS: The vendor shall: 9.1. Begin service within five business days after the post award meeting or on the agreed upon date between the designated TxDOT representative and the vendor (Ref. Para. 21.) Schedule pickup within 24 hours of TxDOT requesting service or as requested by TxDOT. 4 10

5 TXDOT Deliver shipments within a maximum of five business days or as requested by TxDOT Verify parcel and pallet counts and description of material with the shipping documents when loading and unloading freight Provide a freight ticket or bill of lading with the following information: Number of parcels and pallets loaded TxDOT work order or purchase order number, if available Number of parcels and pallets delivered Printed name and signature of person receiving delivery. NOTE: The person receiving the delivery shall be an employee of the business named on the freight ticket or bill of lading Notations of visible damage to the parcels, pallets or material or shortage of material Deliver material to the location(s) specified by TxDOT using the most direct route when shipped by TL Unload material to an inside location, at the delivery destination or as specified by TxDOT or the person receiving the freight. NOTE: Material shall not be unloaded and left in an area outside of the building unless specified by TxDOT at the time the service is scheduled or as directed by the person receiving the freight Provide proof of delivery via to TxDOT within 24 hours of delivery being completed or provide proof of delivery through an interactive web site (Ref. Para. 10.) Resolve freight claim(s) within 45 days of receipt of the claim Be responsible for lost parcels, pallets or material and replace all items lost or pay TxDOT the insured cost of the parcel(s), pallet(s) or material(s) within five business days. 10. INTERACTIVE WEBSITE: The vendor should have a secure interactive website, at no additional cost to TxDOT, that provides the following: An address data base where a minimum of 75 consignees and multiple shippers can be stored A detailed Bill of Lading with automatic pickup scheduling Time packages shall be picked up (e.g. 8:00 a.m., 2:00 p.m., etc.) The date and time for delivery Electronic tracking of shipment to show delivery status. 5 10

6 TXDOT Proof of delivery, including the time and date of delivery and the printed name and signature of the person receiving the delivery. 11. EMERGENCY SERVICES: Emergency services, as defined by TxDOT, which may be for an emergency situation internal to TxDOT, a disaster event, to include but not be limited to a natural disaster, an act of terrorism, or other catastrophic event. The vendor shall: Provide a telephone number for TxDOT to contact when services are required, prior to 7:00 a.m. or after 5:00 p.m. local time (Ref. Para. 2.5.) Provide a driver(s) and vehicle(s) to pickup and deliver freight prior to 8:00 a.m. or after 5:00 p.m. local time (Ref. Para. 2.5.) Observe wait time when a driver and vehicle has to wait at a TxDOT designated location until released by an authorized TxDOT or disaster relief representative. Under these emergency conditions, TxDOT will pay an hourly labor rate for the driver s actual accrued time while waiting to be loaded or unloaded. The payment will be in addition to the mileage or CWT rate charged by the vendor. NOTE: TxDOT will not pay any wait time incurred while performing normal freight transportation services under this purchase order. 12. VENDOR PERFORMANCE: Vendor performance will be monitored on a regular basis by TxDOT. TxDOT may consider the following performance by the vendor as unsatisfactory performance. An unsatisfactory performance determination includes, but is not limited to: One instance within one year of a driver assigned to provide service not having a current CDL (Ref. Para. 6.1.) Two instances within one year of vendor not meeting a scheduled pickup or delivery time (Ref. Paras and 9.3.) More than three damage claims or shortage reports within one year (Ref. Paras and 9.10.). NOTE: Unsatisfactory performance may result in a negative vendor performance report, or cancellation of the purchase order or both. 13. PERSONNEL CONTINUITY AND REPLACEMENT If TxDOT determines a driver is unable to perform in accordance with the service requirements or to communicate effectively, the vendor shall immediately remove that person Proposed replacement personnel shall meet minimum qualifications and have experience comparable to the person(s) being replaced. Replacement personnel shall be provided at no additional cost to TxDOT. Resume(s) and reference(s) may be requested for the proposed replacement(s). TxDOT may reject any replacement if references or past working performance is questionable or unfavorable. TxDOT will be the sole judge of the qualifications of the proposed replacement personnel. 6 10

7 TXDOT VENDOR PERSONNEL SAFETY: The vendor shall provide all required safety equipment and instruct personnel to observe all safety policies, rules and requirements at all times, including, but not limited to, safety shoes, back supports, gloves, etc. 15. SUBCONTRACTING: Subcontractors providing service under the purchase order shall meet the same service requirements and provide the same quality of service required of the vendor No subcontract under the purchase order shall relieve the primary vendor of responsibility for the services The vendor shall be the primary contact for TxDOT and subcontractor(s) The vendor shall manage all quality and performance, project management, and schedules for subcontractors. The vendor shall be held solely responsible and accountable for the completion of all work for which the vendor has subcontracted TxDOT retains the right to check subcontractor's background and make a determination to approve or reject the use of submitted subcontractor(s). Any negative responses may result in disqualification of the subcontractor TxDOT reserves the right to request the removal of vendor s subcontractor staff deemed unsatisfactory by TxDOT Subcontracting shall be at the vendor s expense During the term of the purchase order, if the vendor determines a need for a subcontractor change, TxDOT shall be notified in writing by the vendor within 30 days of any proposed change. The vendor shall be required to provide references and work history for any proposed subcontractor to TxDOT. No change will be allowed without written authorization by TxDOT SOLICITATIONS OVER $100,000: TxDOT will make an initial determination of whether subcontracting is probable. It is the respondent s determination to choose to subcontract any of the work under this purchase order with a Texas Certified Historically Underutilized Business (HUB) or other businesses If TxDOT has determined that subcontracting opportunities are probable, the class and items in which HUBs may be registered will be noted in the solicitation The respondent shall identify all proposed HUB and other subcontractors at the time of response submittal. The required forms can be found at the following website: RESPONSES THAT DO NOT INCLUDE A COMPLETED HUB SUBCONTRACTING PLAN AS INDICATED ON THE SOLICITATION SHALL BE REJECTED PURSUANT TO TEXAS GOVERNMENT CODE (B). 7 10

8 TXDOT HUB SUBCONTRACTING PLAN (HSP) PRIME CONTRACTOR PROGRESS ASSESSMENT REPORT: After award of the purchase order, the vendor shall report all HUB and nonhub subcontractor information using the HSP Prime Contractor Progress Assessment Report form. The report shall be submitted to the TxDOT contract manager monthly. The report shall be submitted monthly even during the months the vendor is not invoicing TxDOT. All payments made to subcontractors shall be reported. TxDOT may verify the amounts being reported as paid by requesting copies of cancelled checks paid to subcontractors. 16. CONFLICT OF INTEREST: The vendor, vendor s personnel, and vendor s subcontractor(s) shall affirm not to have, nor acquire any interest during the term of the purchase order that would conflict in any manner with the performance of the vendor s obligations in regards to services authorized. 17. INVOICING INSTRUCTIONS: The vendor shall provide: ORIGINAL INVOICE: A comprehensive and detailed invoice with reference to the line item on the Schedule 1 Pricing for each item charged. The original invoice shall be ed to the address shown on the purchase order to ensure timely payment and shall include the following: Complete 16digit purchase order number Vendor Employer Identification Number (EIN) Date and time of service Pickup and delivery addresses The line item from Schedule 1 Pricing for each item invoiced. NOTE: An invoice requiring correction shall be resubmitted with a new invoice date COPY OF INVOICE AND SUPPORTING DOCUMENTATION: A copy of the invoice and original documentation that validates the invoice charges shall be ed to the designated TxDOT representative to include but not be limited to: A copy of the signed freight ticket or bill of lading attached to the invoice A copy of the proof of delivery A print out from a website that provides the mileage from the pickup location to the delivery location, for the miles invoiced. Proof of mileage is required prior to payment of an invoice. The following is an example of a website that shows mileage: TxDOT RESPONSIBILITIES: TxDOT will: Provide a point of contact Have material packaged or secured on pallets and ready to be loaded Provide the pickup and delivery addresses. 8 10

9 18.4. Provide the weight, dimension and number of packages to be picked up Provide any special instructions for pickup or delivery. 19. RESPONSE SUBMISSION: SPECIFICATION NO. TXDOT The following shall be submitted with the response. Failure by the respondent to submit the documentation listed below will disqualify the respondent from further consideration Original, signed, dated, and completed Invitation for Bid (IFB) Schedule 1 Pricing Schedule 2 Respondent Qualifications and Experience (Ref. Para. 4.) Schedule 3 Driver(s) Qualifications and References (Ref. Para. 6.) HUB Subcontracting Plan (This requirement is stated on the IFB if applicable) The following should be submitted with the response. Failure by the respondent to submit the documentation listed below may disqualify the respondent from further consideration. 20. AWARD: Financial Standing: A statement from the president, owner or financial officer on company letterhead certifying that the company is in good financial standing, current in payment of all taxes and fees (Ref. Para. 4.2.) Link to vendor s interactive website, if available or submit a statement that vendor does not have an interactive website (Ref. Para. 10.) Vendor s List of Vehicles, Trailers and Equipment form (Ref. Para ) Respondent References form (Ref. Para. 5.) TxDOT reserves the right to award a single purchase order to the most responsive, responsible respondent meeting the specification. TxDOT may award to a single vendor or multiple vendors, whichever best serves the interest of TxDOT TYPES OF AWARD Single Award: One purchase order awarded to a single vendor Multiple Award: A multiple award is the award of multiple purchase orders for the same line item(s) from a single solicitation to two or more vendors to provide the same or similar goods or services Split Award: Award of separate line items on a single solicitation to different vendors resulting in two or more purchase orders. 9 10

10 TXDOT POST AWARD MEETING: Vendor(s) may be required to attend a post award meeting in Austin, TX, with TxDOT within 14 calendar days after the award of the purchase order. The purpose of the meeting is to discuss the terms and conditions of the purchase order and to provide additional information regarding the purchase order. 22. CONTRACT ADMINISTRATION: Administration of the purchase order is a joint responsibility of the TxDOT Contract Administrator and TxDOT Purchasing. TxDOT Purchasing staff will be responsible for administering the contractual business relationship with the vendor Any proposed changes to work to be performed, whether initiated by TxDOT or the vendor, must receive final written approval in the form of a Purchase Order Change Notice signed by the authorized TxDOT purchasing agent Upon issuance of purchase order, TxDOT will designate an individual who will serve as the Contract Manager and point of contact between the agency and the vendor. The Contract Manager does not have any express or implied authority to vary the terms of the purchase order, amend the purchase order in any way or waive strict performance of the terms or conditions of the purchase order. This individual s contract management and contract administration responsibilities include, but are not limited to: Monitoring the vendor s progress and performance and ensuring services conform to established specification requirements Managing the financial aspects of the contract including approval of payments Meeting with the vendor as needed to review progress, discuss problems, and consider necessary action Identifying a breach of contract by assessing the difference between contract performance and nonperformance Other areas as identified by the Comptroller of Public Accounts Contract Management Guide, latest edition
