Pre-Qualification Unless stated elsewhere in this document, vendor must register online at with all Vendor information, to be qualified. II. Prices/Notations All prices/notations must be typewritten or written in ink. No erasures permitted. Mistakes shall be crossed out, corrections made adjacent and initialed by person signing document. Each item shall be bid separately. III. Format Use the documents provided. If you decide to submit more than one bid, photocopy our documents. IV. Pricing/Terms/Tax All pricing shall be quoted both F.O.B. shipping point and F.O.B. destination excluding applicable tax. The County pays California Sales Tax and is exempt from Federal excise tax. In the event of an extension error, the unit price shall prevail. Cash terms less than 20 days should be considered net. V. Other Terms and Conditions The terms and conditions as indicated in this document and/or attached are hereby included with full force and like effect as if set forth herein. Copies of the applicable Terms and Conditions may be obtained by contacting Riverside County Purchasing at the number shown above and requesting a copy be faxed or mailed to you. VI. Period of Firm Pricing Unless stated otherwise elsewhere in this document, prices shall be firm for 45 days after the closing date. VII. Specification/Changes Wherever brand names are used, the words "or equal" shall be considered to appear and be a part of the specification. If you are quoting another make or model, cross out our nomenclature and insert yours. If no make or model is stipulated, insert yours. Attach applicable specifications and/or brochures. Variations in manufacturers, design, etc., may be acceptable, bidders are encouraged to offer them as alternatives; however, the County reserves the right to reject those alternatives as non-responsive. VIII. Recycled Material Wherever possible, the County of Riverside is looking for items made from, or containing in part, recycled material. Bidders are encouraged to bid items containing recycled material as an alternative for the items specified; however, the County reserves the right to reject those alternatives as non-responsive. IX. Method of Award The County reserves the right to reject any or all offers, to waive any discrepancy or technicality and to split or make the award in any manner determined by the County to be most advantageous to the County. The County recognizes that prices are only one of several criteria to be used in judging an offer and the County is not legally bound to accept the lowest offer. X. Return of Bid/Closing Date/Return to The bid response shall be delivered to the address above by 1:30 p.m. on the closing date listed above. Unless otherwise stated, bids may also FAX'ed to the dedicated Secure Bid FAX number listed above. Bid responses not received by County Purchasing by the closing date and time indicated above will not be accepted. The closing date and time and the R.F.Q./R.F.P. number referenced above shall appear on the outside of the sealed envelope or on the FAX cover sheet. A duly executed copy of the signature page of this bid document must accompany your response. The County will not be responsible for and will not except late bids due to busy FAX lines, incomplete transmissions or delayed mail delivery or courier services. XI. Local Preference The County of Riverside has adopted a local preference program for those bidders located within the County of Riverside. A five percent (5%) price preference may be applied to the total bid price during evaluation of the bid responses. To qualify as a local business, the business must have fixed offices within the geographical boundaries of Riverside County and must credit all sales taxes paid resulting from this RFQ/P to that Riverside County location. Submittal of the Local Preference Affidavit is required to qualify. XII. Disabled Veteran Business Enterprise Preference The County of Riverside has implemented a Disabled Veteran Owned Business preference policy. A three (3) percent preference shall be applied to the total bid price of all quotes/bids/proposals received by the County from certified disabled veterans owned businesses. If the bid is submitted by an non-disabled Veteran owned business, but lists subcontractors that are identified and qualified as Disabled Owned Business, the total bid price will be adjusted by 3% of the value of that subcontractor>s portion of the bid. XIII. Delivery Terms All product shall be quoted F.O.B. destination prepay and add freight. Vendor shall provide all information in the area provided below. 4 Quote Cover Page LIQUIDATED DAMAGES - It is agreed by the parties to the contract that time is of the essence and in the event complete delivery is not made within the time or times set forth pursuant to this specification, damage will be sustained by the County and that it is and will be impractical and extremely difficult to ascertain and determine the actual damage which the County will sustain in the event of and by reason of such delay. Therefore, it is agreed the successful bidder shall pay to the County of Riverside, as fixed and liquidated damages, and not as penalty, a dollar sum in the amount of N/A per calendar day for each and every calendar day's delay in making delivery in excess of the time or times specified. It is further agreed that in the event such damages are sustained by the County, the County shall deduct the amount thereof from any moneys due or that may become due the vendor under the contract. 5 APPENDIX A 1.0 PURPOSE/BACKGROUND RCIT maintains data that is located in a centralized datacenter as well as distributed throughout the county. RCIT is also responsible for the backup and recovery of other departments distributed throughout the county. RCIT requires an Enterprise level solution that will allow us to backup, recover, and archive data nightly in a timely manner. 2.0 SCOPE OF SERVICE The solution meeting RCIT s requirements will possess the following features: 1. The County will contact all respondents. 4.0 PERIOD OF PERFORMANCE The period of Performance shall be for five year(s), renewable in one-year increments, with the completion date of June 30, 2008, with no obligation by the County of Riverside to purchase any specified amount of services. 5.0 QUOTE SUBMITTAL All quotes shall be signed by an authorized agent and placed in a sealed envelope clearly marked Bidder Quote. The submitted quote shall be prepared in a bound notebook(s). One (1) original and one (1) additional copy, each in a 3 ring binder (or other bound format such as comb, coil, or binding strips) one (1) (Microsoft Word or PDF format on virus free CD or flash drive), shall be submitted. Faxed or ed quotes will not be accepted. ALL BIDS MUST BE SENT TO: County of Riverside 2980 Washington Street Riverside, CA Attention: Rebecca Gibson RFQ# ITARC GENERAL REQUIREMENTS Procedures for Submitting Quotes All quotes must be submitted in accordance with the standards and specifications contained within this Request for Quote (RFQ) and must certify in writing with the intent to meet the requirements specified. The cover page of a responsive bid must be signed appropriately and completed with the date, company name, and name and title of a company officer/owner authorized to sign on behalf of the company. The County reserves the right to waive, at its discretion, any irregularity, which the County deems reasonably correctable or otherwise not warranting rejection of the quote. The County shall not pay any costs incurred or associated in the preparation of this or any quote or for participation in the procurement process. Quotes must be specific unto themselves. Receipt of all addenda, if any, must be acknowledged in the quotation. Quotes submitted to any other County department will be rejected. Indicate the level of compliance with: 6

7 Conditions 6.1 The Bidder agrees to the following conditions: A. Not to change or alter the RFQ information required commitments, questions and requests in any way. B. Discovery of any material alteration to the form or intent of the RFQ shall be grounds for total disqualification of the Bidder Quote. C. The contents of the document will be utilized only to facilitate the Bidder s efficient response to the specific RFQ. 6.2 Contract Review A typical Riverside County contract will consist of the provisions of this RFQ and contingent on the County accepting the bidder s response, the bidder s response may incorporate into a Purchase Order. 6.3 Bidder s Qualifications The Bidder MUST have complied with all legal requirements to permit the Bidder to provide the proposed materials and/or equipment under the applicable state and federal laws and shall be financially and operationally capable of providing the materials and/or equipment to be considered eligible by Riverside County. 6.4 Addenda Changes or corrections may be made in the bidding documents after they have been issued for bidding and prior to execution of the agreement. If required, Riverside County Purchasing Department will issue a written addendum, describing the changes or corrections to be made. In such cases, the addenda will take precedence over that portion of the bidding documents concerned. Addenda will be issued to each bidder as soon as possible prior to the time for receipt of bids. Addenda will be posted on the County s website at: or may be ed or delivered to all who are known to have attended the Bidders Conference. Addenda will be issued as expeditiously as possible (if necessary by FAX, followed up by original documents). It is the responsibility of the Bidder to determine whether all addenda have been received Oral explanations or instructions given before the execution of the contract will not be binding. Oral answers given by Riverside County are considered tentative, as any authorized interpretation will be made in the form of a written addendum. It will be the responsibility of all respondents to contact the County prior to submitting a response to the RFQ to ascertain if any addenda have been issued, and to obtain any and all addenda, execute them, and return addenda with the response to the RFQ. 6.5 Scope of Work The successful Bidder shall furnish the service, materials and/or equipment necessary to perform and complete the work called for in the specifications, plans, or other instructions attached to or referred to in the resultant award. All materials furnished shall be new and the best of their respective kinds, unless otherwise specified. The materials and/or equipment SHALL be received within the time stated in the award, but the successful Bidder shall not be liable for delays due to causes beyond his/her reasonable control. The successful Bidder SHALL comply with Riverside County s performance schedule unless the County formally declares and approves an extended time interval 7

8 for delivery delays. The successful Bidder SHALL be held to repair or replace, at his/her expense, any parts/equipment or materials found to be defective within one (1) year (if originally proposed) from the date of service acceptance. 6.6 Manufacturer's Authorized Representative To be considered, any person, firm or corporation responding to this RFQ MUST be the manufacturer's authorized dealer with the manufacturer of the product proposed. 6.7 Corporate Mortality Should the Bidder organization experience a change of ownership during this time, Riverside County SHALL be guaranteed the same level of support and commitment from the new organization. SHOULD this support not be consistent with the current level of service provided at the time of the change in ownership, Riverside County MAY, at its choice, elect to terminate any existing or planned contracts for materials and/or equipment with the company REQUIRED FORMAT OF QUOTES Quotes must contain the following sections: A. Bidder s Quote cover page (Page 4 of this RFQ) B. Cost Quote C. References D. Evidence of Insurability/Certifications/Licenses A. Quote Cover Page This section must have the Quote Cover Page that must be signed by an authorized representative. B. Cost Quote In this section, please complete and include the Cost Quote Sheet attached as Exhibit A. Bidders may also include any other documents as information to further explain the proposed costs. Any exception must fully describe all costs to charges to County as part of this quote. Describe how costs will be controlled and properly identified to the specific tasks, while providing a high quality of services, high level of integrity and outcomes. C. References All bidder(s) must include present and past performance information with a minimum of three (3) references that are within the last 3 years and have the total contract amount of $40,000 annually. Each reference shall include contract execution dates, current contact person, company, address, and and telephone number for each reference identified. Please verify that all reference information is correct. References shall be formulated so that they clearly correlate performance with the requirements of this RFQ. D. Evidence of Insurability/Certifications/Applicable Licenses All bidder(s) shall submit evidence of all required insurance. The bidder Shall certify to the possession of any and all current required licenses or certifications. An insurance Accord cover page will suffice. Do not purchase additional insurance until this bid has been awarded. Bidder SHALL agree to maintain General Liability Insurance, Worker's Compensation, and Employer's Liability Insurance to cover all its personnel engaged in the performance of the services herein described, as well as damages arising because of the performance of such services. Bidder further agrees to require its subcontractor(s), if any, to maintain General Liability Insurance, Worker's Compensation, and 8

9 Employer's Liability Insurance. Riverside County shall reasonably determine the amount of such coverage. 8.0 COMPENSATION The COUNTY shall pay the Vendor for services performed and expenses incurred and compensation shall be paid in accordance with an invoice submitted to COUNTY by Vendor within fifteen (15) days from the last day of each calendar month, and COUNTY shall pay the acceptable invoice within thirty (30) working days from the date of receipt of the invoice. It is mutually agreed and understood that the obligation of the COUNTY is limited by and contingent upon the availability of COUNTY of Riverside funds for the reimbursement of Vendor s fees. In the event that such funds are not forthcoming for any reason, COUNTY shall immediately notify Vendor in writing. This Agreement shall be deemed terminated and have no further force and effect immediately on receipt of COUNTY S notification by Vendor. 9.0 PRICE INCREASE/DECREASE No price increases will be permitted during the first year of the agreement. All price decreases will automatically be extended to the COUNTY. The COUNTY requires bona fide proof of cost increases on contracts prior to any price adjustment. After the first year of the award, a minimum of 30-days advance notice in writing is required to secure such adjustment. No retroactive price adjustments will be considered. The COUNTY may enforce, adjust, negotiate, or cancel escalating price contracts or take any other action it deems appropriate, as it sees fit. The net dollar amount of profit will remain firm during the period of the contract. Adjustments increasing the CONTRACTOR s profit will not be allowed. Annual increases shall not exceed the Consumer Price Index- All Consumers, All Items Los Angeles-Riverside-Orange County Area, and be subjected to satisfactory performance review by the using COUNTY agency and approved for budget funding by the County Board of Supervisors REVIEW PROCESS All quotes will be given thorough review. All contacts during the review selection phase will be only through the Purchasing Department. Attempts by the Vendor to contact any other County representative may result in disqualification of the Vendor. The County reserves the right to split or make the award that is most advantageous to the County INTERPRETATION OF RFQ The CONTRACTOR must make careful examination and understand all of the requirements, specifications, and conditions stated in the RFQ. If any CONTRACTOR planning to submit a quote finds discrepancies in or omissions from the RFQ, or is in doubt as to the meaning, a written request for interpretation or correction must be given to the County. Any changes to the RFQ will be made only by written addendum. The County is not responsible for any other explanations or interpretations CANCELLATION OF PROCUREMENT PROCESS County may cancel the procurement process at any time. All quotes become the property of the County. All information submitted in the quote becomes public record as defined by the State of 9

10 California upon completion of the procurement process. If any proprietary information is contained in or attached to the quote, it must be clearly identified by the CONTRACTOR, otherwise the CONTRACTOR agrees that any and all documents provided may be released to the public after contract award EQUAL CLAUSE Wherever referenced to a specific brand name is made in these specifications, it is illustrative and to be construed as a specification which describes a component that has been tested or evaluated by the County as best meeting specific operational, design, performance, maintenance, quality and reliability standards and requirements of the County, thereby incorporating these requirements by reference within the specification. An equivalent (or equal) may be offered by the bidder, subject to testing or evaluation by the County prior to award of bid. The County shall be the sole judge of whether any proposed item will fulfill its requirements. It shall be the sole responsibility of the bidder to provide, at bidder's expense, any product information, test data and other information or documents the County may require to fully evaluate or demonstrate the acceptability of the offered substitute. Where appropriate, independent testing or evaluation (including destructive testing) may be required as a condition of acceptance at a qualified test facility at the bidders expense. 10

13 EXHIBIT B Local Business Qualification Affidavit The County of Riverside Local Business Preference may be applied to this Request for Proposal/Quotation. If you qualify for this preference, please submit this form along with your response to this RFP/Q. Definition of Local Business A local business shall mean business firms with fixed offices located within the geographical boundaries of Riverside County, authorized to perform business within the County, and in doing so, credit all sales tax from sales generated within Riverside County to the County, and who provide product or perform contracted work using employees, of whom the majority are physically located in said local offices. Local businesses shall have a Riverside County business street address. Post office box numbers, residential addresses or un-staffed sales offices shall not suffice to establish status as a local business. To qualify as a local business the location must be open and staffed during normal business hours and the business must establish proof that it has been located and doing business in Riverside County for at least (6) six months preceding its certification to the County as a local business. Additional supporting documentation that may be requested by the County to verify qualification includes: 1. A copy of their current SS2 form (State, Local & District Sales and Use Tax Return Form). This is what businesses submit to the State Board of Equalization when paying the sales tax to the State of California indicating the amount of the payment to be credited to each jurisdiction (i.e. Counties, Cities). 2. A current business license if required for the political jurisdiction the business is located in. 3. Proof of the current business address. The local business needs to be operating from a functional office that is staffed with the company s employees, during normal business hours.
