2 1.0 INTRODUCTION AND BACKGROUND The Waste Isolation Pilot Plant (WIPP) is a U.S. Department of Energy (DOE) facility, managed and operated by Nuclear Waste Partnership (NWP) LLC. The WIPP is an engineered repository, designed to permanently dispose waste contaminated with trace amounts of radioactive transuranic elements from research and production of nuclear weapons in the U.S. DOE defense program(s). WIPP is located in Southeastern New Mexico, 32 road miles east of Carlsbad. Project facilities include disposal rooms excavated in an ancient and stable salt formation 2,150 feet underground. NWP is requesting temporary administrative and technical support to assist in the recovery of the WIPP. These activities are vital to continue improvement within the WIPP Mission. 2.0 DESCRIPTION OF SERVICES 2.1 The Subcontractor shall provide services, to include temporary personnel service / contingency staffing, payroll without benefits, payroll with benefits, conversion options (temporary to permanent), and recruiting services to NWP as requested. Notwithstanding such subcontract, NWP shall not be obligated to hire temporary service personnel solely from this subcontractor. The places of performance will be NWP or DOE Facilities Recruiting Services. The Subcontractor shall provide overall management of recruiting in relation to the requirements of this effort. Recruiting includes all areas within the greater Hobbs and Carlsbad areas for the Job Categories listed in Attachment A. The Subcontractor shall provide all manpower including home office HR support and qualified professional recruiters. If the Subcontractor changes the recruiter(s), it shall provide name and credentials of proposed replacements for HR and the NWP Buyer approvals. In no case will the replacement recruiter have less experience and/or qualifications than the departing recruiter Pre-hire Vetting Services. The Subcontractor shall conduct background checks, preemployment drug screening and skills assessment (e.g., typing test, education and certification verification) of candidates. The Subcontractor will provide NWP HR results of the drug screening and assessment test and certify the accuracy of the submittals Employee Management / NWP Interface. The Subcontractor shall act as the primary point of contact with responsibility for daily supervision of the Subcontractor s employees with coordinated corporate support and reach back, when necessary. The Subcontractor shall interface with the NWP HR Department to ensure employee performance or behavior issues are resolved promptly. If the Subcontractor changes the primary point of contact (s), it shall provide name and credentials of proposed replacements for HR approval. In no case will the replacement primary point of contact have less experience and/or qualifications than the departing primary point of contact. Any change to the primary point of contact s job description or assigned duties will be approved by HR and the NWP Buyer. Page 2 of 11
3 2.1.4 Employee Payroll and Time Accounting. The Subcontractor will be solely responsible for time accounting and payroll, including withholding for all applicable taxes and benefits. Time cards shall be submitted to the cognizant NWP manager for verification of hours worked. 2.2 NWP s contract with the selected staffing agency provides financial allowance for staffing agency to offer health care coverage to their employees. 3.0 PROPOSED WORK SCHEDULE AND SPACE 3.1 Unless otherwise instructed at the task order level the work week for this subcontract will be 40 hour week utilizing a 9/80 schedule. 3.2 NWP will provide a work space and computer for temporary service subcontractor personnel. 3.3 The Subcontractor shall provide an office/workspace within 1 hour drive from Carlsbad and WIPP for its liaison personnel(s). 4.0 SITE REQUIRED TRAINING 4.1 Time expended on site includes completion of site-specific training required for access to the WIPP Site, and WIPP support facilities, as applicable. 4.2 NWP will provide training and/or escorts for supplier access to areas of the WIPP site where work is to be performed 5.0 TEMPORARY SERVICE PERSONNEL CATEGORIES 5.1 General Clerk I 5.2 General Clerk II 5.3 General Clerk lll 5.4 Technical Assistant 5.5 Secretary l 5.6 Secretary ll 5.7 Secretary lll 5.8 Accounting Clerk I 5.9 Accounting Clerk II 5.10 Accounting Clerk III 5.12 Accounting Clerk IV 5.13 Administrative Assistant (I - IV) 5.14 Engineer l 5.15 Engineer ll 5.16 Engineer lll 5.17 Subject Matter Expert I 5.18 Subject Matter Expert II 5.19 Subject Matter Expert III 5.20 Technician l 5.21 Technician ll Page 3 of 11

Subcontractors shall comply with the provisions of the Act, where applicable. 6.0 APPLICABLE DOCUMENTS The following WIPP Procedures (WP) are referenced in this SOW: WP 12-IS.01-6, Industrial Safety Program Visitor, Vendor, User, Tenant and Subcontractor Safety Controls WP 13-1, NWP Quality Assurance Program Description WP 15-RM, WIPP Records Management Program 7.0 QUALITY ASSURANCE REQUIREMENTS Work completed at the WIPP facility will be performed under the umbrella of WP 13-1, NWP Quality Assurance Program Description, and in accordance with the WIPP Work Control process and implementing procedures, as applicable. The supplier shall provide personnel qualified to perform the requested services. 8.0 OTHER SPECIAL CONSIDERATIONS 8.1 TAXES: All applicable taxes, including but not limited to sales, use, and value added arising from the supply of temporary service personnel by subcontractor to NWP shall be paid by the subcontractor. In the event that NWP pays such taxes, NWP shall be reimbursed by the subcontractor for such payment of taxes. In addition, subcontractor warrants that it will pay where applicable all required income and social security tax withholding for temporary personnel supplied to NWP and shall indemnify and hold NWP harmless from any claim or cause of action and all costs relating thereto including reasonable attorney s fees arising from Subcontractor s actual or alleged failure to pay all or part of such taxes. Note: Subcontractor will ensure all temporary personnel are employees of the subcontractor and Page 4 of 11
5 as such will receive a W-2 form at years end. 8.2 HIRING OF TEMPORARY PERSONNEL BY NWP NWP reserves the right to immediately hire as a regular NWP employee, any temporary services personnel of the subcontractor, who is temporarily placed with NWP. In addition, NWP will not be obligated to pay to such subcontractor any employment, broker or finder s fee with respect to such hiring. 8.3 CONFIDENTIAL INFORMATION It is the responsibility of the subcontractor to inform all temporary personnel that any information communicated to the temporary service personnel in the performance of any duties at any NWP facilities shall be considered to be of a highly confidential nature and to have all such personnel sign a form of Confidentiality Contract. It is agreed that no oral or written disclosure of this information can be made without prior written approval from NWP. 8.4 SPECIAL COST REIMBURSABLE CATEGORIES The reimbursement of costs regarding each line item as set forth below shall be for the actual incurred cost less any markup and/or profit, and NWP may initiate the actions listed as required Pre-Employment Physical Examinations Drug Screening (Pre-Employment and Random) Examinations Back-ground Investigations Safety Apparel, as allowable by NWP 8.5 SUBCONTRACTOR EMPLOYEE BACK OFFICE SUPPORT The Subcontractor must maintain a local office in Roswell, Artesia, Carlsbad or Hobbs, NM to provide back office support for subcontractor employees including pre-employment testing, processing and documentation, recruiting and other HR functions, as needed. This local office will be the primary facilitator of the Temporary Services Contract. Travel to the SWB, Carlsbad will be required on an as needed basis. This office will assign personnel and comply with all items in this contract as addressed in the NWP General Provisions for Fixed Priced Orders. 9.0 SAFETY AND SECURITY For work performed on site, the following requirements apply: 9.1 Safety Safety, security, health, and protection of the environment are paramount in the conduct of business at the WIPP. The subcontractor will follow established WIPP safety requirements during the course of work, and establish any additional rules and procedures necessary to conduct safe Page 5 of 11
6 operations. While on site, the subcontractor s employees will obey all posted signs such as speed limits, pedestrian crossings, dress code and hard hat and safety glasses areas The contractor is responsible for "flowing-down" pertinent safety requirements to all lowertier subcontractors, unions, and vendors. 9.2 Security All personnel granted access to WIPP and WIPP support facilities in Carlsbad will comply with all DOE and contractor security regulations and requirements The subcontractor will report all abnormal or suspicious activities to the NWP Subcontract Technical Representative (STR), or the Central Monitoring Room (CMR), if the NWP STR is not available Each subcontractor employee requesting access to WIPP controlled areas shall: I. Be 18 years of age or older; II. Be a U.S. citizen, or acquire prior approval in accordance with the DOE requirements for access to the WIPP site 1 ; III. Receive an initial security briefing before receiving a WIPP security badge; and, IV. Report to and obtain a badge from the security office located at an access control point. In order to have unescorted access to WIPP, contractor employees will have successfully completed suitability for employment check. The supplier shall conduct the suitability for employment check. Those personnel who do not pass the suitability check will be denied access to NWP-controlled, WIPP-related facilities. Details regarding personnel investigation are documented in WP 12-IS.01-6, Industrial Safety Program Visitor, Vendor, User, Tenant and Subcontractor Safety Controls. 1 The DOE requires that all non U.S. citizens receive specific CBFO approval prior to arriving at the WIPP site. At least 45 days prior notice with required information is needed by WIPP Security to process an authorization for access to the WIPP site for foreign nationals. Page 6 of 11
7 Job Descriptions Statement of Work, Attachment A General Clerk I Perform routine or repetitive office assignments, such as filing or records search in accordance with established procedures. Work under close supervision from supervisor or higher classified department personnel. Procedures will be established for routine assignments. No experience required. General Clerk II Perform a variety of routine dedicated software applications tasks and related clerical duties to prepare documentation and reports. Must demonstrate proficiency in typing 45 words per minute. High school graduate or equivalent with 1 year experience. General Clerk lll Perform a variety of routine typing assignments and clerical duties within a department, section, or group. Must demonstrate proficiency in typing 50 words per minute. High school graduate or equivalent with 3 years experience. Technical Assistant Perform a variety of routine technical assignments in accordance with established procedures to support technical projects or activities, specializing in a technical function. Academic or vocational high school graduate, or equivalent, with courses in algebra, geometry, and chemistry or physics. Secretary l Perform routine administrative assignments to support an administrative or technical department, section, or group in accordance with established procedures. High school graduate or equivalent with formal instruction in business subjects. Must demonstrate proficiency in typing 50 words per minute. Two years experience as clerk, or equivalent, or combination of experience and related post-high school education. Secretary ll Perform diverse routine administrative assignments to maintain an administrative or technical department, section, or group in accordance with established procedures. Handle sensitive and confidential records and files. High school graduate, or equivalent, with formal instruction in business subjects. Must demonstrate proficiency in typing 55 words per minute. Four years related secretarial experience or equivalent. Secretary lll Perform diverse and special administrative assignments with a functional specialty. Establish priorities and schedules, and questions, and resolve administrative problems within specialty. High school graduate, or equivalent, plus Associate degree in business or similar. Must demonstrate proficiency in typing 60 words per minute. Eight years related secretarial experience. Accounting Clerk I Perform basic accounting activities through application of basic accounting principles and concepts. High school or GED. Page 7 of 11
8 Accounting Clerk II Perform basic accounting/budgeting activities and analysis applying fundamental accounting principles and techniques. High school or GED with two years of accounts payable/receivable experience. Accounting Clerk III Develop plans and controls for financial objectives and budgetary analysis. Analyze financial performance and operating results and recommend appropriate courses of actions. High school or GED with 3-4 years of accounts payable/receivable experience. Accounting Clerk IV Perform basic accounting/budgeting activities and analysis applying fundamental accounting principles and techniques. Develop plans and controls for financial objectives and budgetary analysis. Creates final analyze financial performance and operating results and recommend appropriate courses of actions. Associates in Accounting or 5 years experience in an accounting discipline. Administrative Assistant (I - IV) Perform basic detailed portions in an administrative or specialized staff function through the application of basic principles and concepts. Possess ability to deliver oral presentations for small groups to convey information. Possesses ability to write clear, concise, and organized memos, reports, and correspondence. Requires 4 year requires Bachelor s degree in business or Liberal Arts, or equivalent, plus two years experience in functional area. Engineer l Perform a variety of engineering technical duties in a functional area such as mining, electrical, mechanical, quality assurance, or environmental. Ability to effectively communicate orally to convey technical information. Ability to write clear, concise, and organized technical memos and reports. Requires Bachelor s degree in an Engineering discipline, or equivalent, plus three to five years related practical engineering experience. Engineer ll Assume engineering responsibility for one or more systems or projects applying standard problemsolving techniques and engineering principles, concepts, theories, and techniques. Ability to make oral or written presentations to project staff and customer in a concise and rational manner to gain acceptance in an Engineering discipline, quality assurance, safety, nuclear or environmental. Advanced degree would be desirable. Requires Bachelor s degree in an Engineering discipline, or equivalent, plus five to seven years related practical engineering experience. Engineer lll Perform a wide variety of engineering and related duties applying advanced engineering principles, theories, and techniques full knowledge of engineering and specifications standards in specialty fields. Ability to make oral or written technical presentations to Project staff, customer, and the public in a concise and rational manner to gain acceptance and approval of recommended actions. Effectively handle conflict resolution. Requires Bachelor s degree in an Engineering discipline with ten to twenty years in functional discipline such as mining, electrical, mechanical, quality assurance, safety, nuclear or environmental. 9 Subject Matter Expert I Provides expertise in a technical discipline. Serves as assignment leader or key contributor on projects of limited scope and complexity. Collects, verifies and analyzes data. Operates under the direction of a program, project, or assignment leader. BA or BS degree required, or equivalent, plus three years related experience. Subject Matter Expert II Provides expertise in a technical discipline. Provides assistance with problem definition, approach methodology, analysis of findings, recommendations, and implementation for complex or extremely complex projects and assignments. BA or BS degree required, or equivalent, plus five years related experience. Subject Matter Expert III Provides expertise in a technical discipline. Provides technical direction for problem definition, approach methodology, analysis of findings, recommendations, and implementation for complex or extremely complex projects and assignments. May operate with some latitude for un-reviewed action of decision. BA or BS degree required, or equivalent, plus eight years related experience. Technician l Perform routine field and laboratory related assignments in accordance with established procedures. Academic or vocational high school graduate, or equivalent, with basic courses in mathematics and physical sciences, plus one-year related college-level courses. Two years of related experience in functional area. Technician ll Perform standard field and laboratory assignments in related field in accordance with established procedures. Associate degree in related field, plus four years experience. Assistant Project Analyst Assist in basic cost and schedule duties applying planning and control techniques in accordance with prescribed system criteria. Assist in the maintenance of budget estimates and respond to any issues or changes to these estimates. Utilize automated financial systems to perform special cost or schedule studies and scenario development. Assist in the preparation of basic data reports and review output to ensure valid information in the automated tracking systems. Requires Bachelor s degree in an Accounting or Business discipline, or equivalent, plus three to five years related practical experience. Senior Project Analyst Develop variety of raw cost and schedule data applying full knowledge of planning and control techniques in accordance with prescribed procedures and system criteria. Coordinate report preparation. Develop and publish costs and schedules. Interpret costs and schedules to prepare budgets. Develop programs for cost and schedule tracking and analysis. Develop master project plan for cost and schedules. Requires Bachelor s degree in an Accounting or Business discipline, or equivalent, plus five to ten years related practical experience. Senior Procurement Specialist Provide procurement leadership and support in a variety of standard and specialized procurement activities through application of innovative and creative techniques. Interface with technical organizations in development of pre-procurement plans to achieve timely cost effective procurement Page 9 of 11
10 actions. Negotiate, place, and administer purchase orders and modifications with suppliers for complex material and service requirement following policies and procedures. Have knowledge of price and cost analysis, extensive working knowledge of US Government policies and regulations with preference for DOE related experience. Utilize personal judgment when specific guidance is not provided. Participate in formulation and review of acquisition policies and procedures. Participate in section and department wide acquisition reviews as required. Provide post-award administration in the form of change notices and subcontractor invoice reviews and approvals. BA or BS degree required, or equivalent, plus ten years related experience. Senior Quality Assurance Specialist Conduct various quality assurance activities to assess full compliance with appropriate internal and external requirements. Independently resolve internal and external quality assurance/assessment problems or questions. Assume responsibility within assigned quality assurance areas for investigations and related activities applying specific knowledge of regulatory agency and site applied codes, standards, and other requirements. Analyze and recommend incorporation of technological advancements in techniques, principles, and theories of Quality Assurance programs. BA or BS degree required, or equivalent, plus ten years related experience. Program Specialist Assist various managers implement and manage their program functions. Represent the department in program implementation actions. Organize meetings, take and distribute technically accurate minutes. Perform administrative duties as necessary. High school or GED, with 10 plus years of secretarial/administrative duties. Engineering Tech III Provide technical support including development of spreadsheets, tables, database input, and records management under the direction of experienced technical staff. Document development, editing, research, procedure and permit modification development and waste stream profile form reviews. High school or GED with 2 years experience. Engineering Tech IV Provide technical services for waste confirmation requirements implementation activities related primarily to electronic and databases and technical support for other permitting and permit requirements implementation activities. High School or GED with 5 years experience. Senior Training Coordinator Provide emergency response training to emergency management and response agencies along or near the designated routes for the shipping of TRU waste to or from the WIPP site. Training programs for first responders, hospital personnel, and medical examiners are part of the training classes to be provided. Participate in the development of WIPPTREX emergency response exercises with the state and tribal governments. Up to three trips per month may be required. High School or GED with Two years of Emergency Response Experience. Occupational Health Assistant Perform a variety of waste characterization and radiological engineering functions under the direction of a Radiological Engineer. Duties may include application of engineering principles, concepts, and methods to assist the radiological engineers. High School Diploma with two years of radiological/osha experience. Page 10 of 11
11 Procedure Writer Analyze, design and develop administrative, technical and work process documents in support of a nuclear operating facility. These documents may include operations, alarm response, emergency operating and abnormal operating procedures. Follow the facility writer s guide with respect to site procedure specifications regarding format, order, clarity, conciseness, style and terminology, and participate in verification and validation of procedure usability in the field. May assist with various other procedures and documents requiring editing and updating as required. Bachelor s degree with 6 years experience. Quality Engineer Conduct quality assurance activities related to design reviews, licensing, procurement, in-process and final equipment acceptance, design specifications, vendor selection, procedure/specification acceptance, drawing review, quality planning, and non-conforming condition resolution. Review codes, standards, and regulations for impact on existing internal procedures and specifications. Initiate actions to issue or revise procedures to achieve conformance. Identify, develop, and implement inspection/examination techniques and related acceptance criteria for process and final inspection. Develop and implement quality assurance procedures, plans, and specifications in compliance with internal requirements. Provide interface and coordinate quality assurance activities such as audits, position plans, and licensing and safety. Technical Bachelor s degree with 10+ years experience. Page 11 of 11
