Invasive Teeth Whitening Not all teeth whitening companies ask the client to self administer their products and use invasive procedures to paint the product on to the teeth and use a laser 3 or 4 times in 1 hour or more to whiten. Below is the simple structure in which you can operate: Our BB Cool LED ADVANCED light is rentable at a fixed cost of 150 per month for a minimum 12 month period. After 12 months, this becomes a rolling monthly rental at the same cost. Since our FREE franchise launch, we ve added a large number of franchise members to our national network, all of them, after the 12 month period still rent a lamp from Signature and regularly purchase treatments. If you would like to opt out after the initial 12 months, all we need is notification in writing and we ll organise collection of the lamp. Treatments are charged at 50 to ALL franchise members. Most of our franchisees charge between 99 and 125 per treatment with some charging 150, so profit on 5 treatments based on these prices is between 245 and 500, all for just 5, 25 minute treatments, WOW! 11 TERMS AND CONDITIONS 1 The Company: Signature Ltd. A privately owned Limited Company. Company Registration No Registered Office: Belfry House, Bell Lane, Hertford, Hertfordshire. SG14 1BP. The Franchise: is the person, partnership or Company granted for trading as a Signature franchise. Terms of agreement: is a period of 12 months per month and a rolling 1 month contract at 150 per month thereafter (lamp rental). 1) The Company reserves the right at any time to make such changes in design construction, composition and materials or equipment as shall be necessary or desirable and shall be entitled so to do without prior notification to or agreement of The Franchise. 2) Not withstanding anything herein contained if The Company shall not be able to supply merchandise or products identical to those described in any literature or as seen, The Company shall have the right and sole discretion to supply such merchandise or products as The Company shall consider to be reasonably similar. 3) The Company shall at its own cost carry out any repairs or replacement occasioned by any manufacturers defect to any equipment or products provided that; (a) Notice of such defects are given to The Company in writing within 30 days. (b) The said equipment or products are returned by The Franchise to The Company if so required by The Company at The Franchise s own expense. 4) The Company shall not be liable to The Franchise for any loss of profit or other loss occasioned by such defects and The Company s obligation shall be limited to such repair of defects or replacement caused by faults in manufacture and shall not extend to any defects in the equipment or products arising by reason of accident, vandalism or misuse. 5) The Company authorises The Franchise to solicit locations within their specific area for the purpose of obtaining appointments for teeth whitening treatments. 6) After the signing of the agreement, and only then, may The Franchise solicit retail locations within his, its or their stated area(s) for the purpose of teeth whitening as supplied solely by The Company or its appointed agents or subsidiaries and no other similar product will be located or sold by The Franchise within the stated area. 7) The Franchise shall not obtain, copy or make like images of printing or products for the purpose of display or sale of Signature Teeth Whitening without prior consent from The Company. 8) The Franchise shall during the period of this agreement and any extension thereafter have the rights to use The Companies literature, logo and registered trademarks with permission from The Company. 9) Cessation of these rights take effect upon termination of this agreement and The Franchise will then immediately cease to use The Company name, literature, logo or trademarks. 10) All paperwork used in the day to day running of the business, must be supplied by The Company which will be supplied at normal commercial rates. The Franchise may display his, its or their own name, address, telephone number, facsimile number and address on such paperwork as long as The Company name and head office of The Company is also indicated. 11) The Franchise may not register for VAT, open a bank account, building society account, post office account or the like under the name of The Company or purporting to be a subsidiary of the Company. The Franchise shall open and trade such an account under his, its, their choice of name by the agreed title t/a Signature (area). 12) All equipment and products sold by The Company shall be at the price applicable at the date of order as stated by a price list produced from time to time. The Company will retain the right to alter, amend or adjust any prices without prior notification to or agreement of the Franchise. Though the Company will endeavour to remain competitive at all times. In the event of a dispute as to any price increase The Company and The Franchise agree to the decision of an independent arbitrator whose costs will be paid as directed by the arbitrator. 13) The Franchisee upon commencing trading shall: (a) At all times conduct him, its, themselves with care, consideration and courtesy towards clients, salon owners and the general public and not bring The Company or its products in to disrepute. (b) At all times wear supplied corporate company clothing when visiting clients and portray a professional manner at all times. Any person found to be bringing the The Company in to disrepute will have The Franchise licence and lamp removed without refund and will be liable for the stated monthly rental payment (d) for the balance of the 12 month agreement. (c) Not portray him, its, themselves as being Directors or Management or employees of The Company but may state to being a Franchise, agent or distributor of the same. (d) Pay the monthly rental charge (lamp) of 150 per calendar month commencing one month after the date of signing this agreement for a minimum 12 month period by standing order directly into The Companies bank account. Payment date to be agreed by The Company and The Franchisee. (e) Pay the monthly rental charge (lamp) of 150 per calendar month after the initial 12 month minimum period on a 1 month rolling contract directly into The Companies bank account on the date set by The Company and The Franchise. This can be cancelled at anytime after the first initial 12 month period by informing The Company in writing. (f) Purchase all treatments direct from Signature, any person found purchasing treatments from any other source will have The Franchise licence and lamp removed without refund and will be liable for the stated monthly rental payment (d) for the balance of the 12 month agreement. 11

12 TERMS AND CONDITIONS 2 (f) Endeavour to the best of his, its, their ability to expand The Company within the stated areas within 12 months of commencing trading. In the event The Company receives no orders from The Franchise for treatments within the first 3 months of trading, The Company reserves the right to review The Franchise. (g) Not operate individually or as a partnership or in a financial capacity any similar business that may conflict with The Company. (h) Maintain accurate records and provide The Company, with such information if requested. They will remain confidential. 14) The company will endeavour to promote their products on behalf of The Franchise and may from time to time offer The Franchise clients which have contacted head office via a promotion / website. The Franchise may approach these clients for the purpose of teeth whitening although The Company does not warrant any financial guarantees of performance of any amount on these or anyother clients obtained on behalf of the Franchise. 15) The Company shall complete the supply of the equipment and free products within 28 days of The Franchise notifying he, it or they are in a position to commence with The Franchise agreement. 16) Title to the equipment will be The Companies at all times. Products/treatments shall remain with The Company and shall not pass to the Franchise until payment in full has been received by The Company. 17) This Franchise agreement runs for a period of 12 months and then automatically continues on a monthly rolling contract thereafter. 18) The Franchise pledges not to contravene any of the Terms and Conditions as stated herein which might give rise to rescission of the agreement by The Company but only after fair warning in writing to enable The Franchise time to rectify such contravention. If contravened and not rectified within 28 days of notice The Company may rescind The Franchise agreement by notifying The Franchisee in writing to the address stated on this agreement or alternative address if given. Any merchandise or products paid for in full will remain the property of The Franchise and any future supply by The Company will be at their discretion. 19) In the event that The Franchise wishes to dispose of the business The Company must be notified of any potential new Franchise to enable the Company to pass the same rights The Franchise has enjoyed onto any potential new Franchise. No reasonable request shall be refused as long as the same Terms and Conditions relating to The Company and its products are acceptable. 20) In any event and not withstanding anything contained in this agreement The Companies liability in contract, tort (including negligence or breach of statutory duty) or otherwise arising by reason of or in connection with this agreement (except in relation death, or personal injuries caused by negligence of The Company or its employees whilst acting in the course of their employment) shall be limited in the case of any claim arising by reason of a defect in equipment or products to the contract price payable in respect of such merchandise or products. 21) This agreement is governed by and constructed in accordance with English law and each party agrees to submit to the exclusive jurisdiction of the English courts as regards any claim or matter arising under this agreement. 22) The Franchise understands and agrees that he, it or they are entering this agreement upon his, its or their own judgement and or advice sought and this agreement supersedes and invalidates all other conditions, representations and warranties relating to the subject matter hereof which may have been made by the parties or the duly authorised agents of the parties either orally or in writing prior to this date hereof and which shall become null and void from the date of this agreement is signed. 23) The Company recommends The Franchise takes out a suitable Public Liability insurance policy in the name of their Company.
