1 QANTAS AIRWAYS LIMITED AQUIRE LOYALTY SCHEME Qantas Freight Reward Scheme Terms & Conditions Effective 31 March Introduction 1.1 These Qantas Freight Reward Scheme Terms and Conditions: apply to and govern the contractual relationship between Qantas (in its trading capacity as Qantas Freight) and each Member with respect to the Reward Scheme made available by the Reward Scheme Operator as a participant in the Aquire Loyalty Program, and it is the Member s responsibility to read and understand them; are effective as at the date specified above and may be amended from time to time(and the current version are available at and operate in conjunction with the Aquire Loyalty Program Terms and Conditions and in the event of any inconsistency or conflict the Aquire Loyalty Program Terms and Conditions prevail. 1.2 Any queries regarding these Qantas Freight Reward Scheme Terms and Conditions should be directed to the Reward Scheme Operator. 2. Definitions 2.1 Unless the context otherwise requires: terms used in the Aquire Loyalty Program Terms and Conditions and the QFF Program Terms have the same meaning in these Qantas Freight Reward Scheme Terms and Conditions; and the following terms have these meanings: Eligible Product means the carriage by air, domestically and internationally of freight by or on behalf of Qantas from any airport in Australia where the air waybill number for the itinerary commences with 081. Group means a group of related bodies corporate as defined in the Corporations Act 2001 (Cth). Group Member means a Member that is part of a Group

2 QFF Program Terms means the terms and conditions of the Qantas Frequent Flyer Program issued by or on behalf of Qantas, as amended by Qantas from time to time. Qantas Freight Earn Table means the table entitled Qantas Freight Earn Table which is located at as amended by the Reward Scheme Operator from time to time. Reward Scheme means, for the purposes of these Qantas Freight Reward Scheme Terms and Conditions, the Qantas Freight Reward Scheme which is operated by the Reward Scheme Operator. Reward Scheme Operator means Qantas (in its trading capacity as Qantas Freight) or its nominated service provider. 2.2 In these Qantas Freight Reward Scheme Terms and Conditions, unless the contrary intention appears: the singular includes the plural and vice versa; and a reference to include or including means including but not limited to. 3. Application of Qantas Freight Reward Scheme Terms and Conditions and Qantas Conditions of Carriage 3.1 By using or claiming any Aquire Points under the Reward Scheme, a Member agrees to be bound by these Qantas Freight Reward Scheme Terms and Conditions in addition to the Aquire Loyalty Program Terms and Conditions. 3.2 The provision of each Eligible Product is subject to Qantas conditions of carriage from time to time. 4. Changes to Reward Scheme 4.1 Subject to clause 4.2 and the Reward Scheme Terms and Conditions, the Reward Scheme Operator may implement any changes (whether material or otherwise) to these Qantas Freight Reward Scheme Terms and Conditions and the Aquire Points offered in relation to Eligible Products, including changes to: (d) the ways in which Aquire Points are earned under the Reward Scheme; Aquire Point earning rates; the Eligible Product; and restrictions, conditions and eligibility to earn Aquire Points. 4.2 The Reward Scheme Operator will inform Members of material changes to these Terms and Conditions and where such changes will reduce the number of Aquire Points offered to Members under the Reward Scheme, when possible, give Members at least 30 days notice by updating these Qantas Freight Reward Scheme Terms and Conditions and related information on

3 5. Termination or suspension of the Reward Scheme 5.1 The Reward Scheme Operator gives no undertaking as to the continuing availability of the Reward Scheme. The Reward Scheme Operator may terminate or suspend the Reward Scheme at any time and will give at least 60 days notice to Members of such termination or suspension, except if the Aquire Loyalty Program ceases to operate, in which case the Reward Scheme will cease immediately. 5.2 If the Reward Scheme Operator terminates or suspends the Reward Scheme, subject to the Aquire Loyalty Program Terms and Conditions Members will be able to convert Aquire Points to Qantas Points during the notice period, except where: Qantas is ceasing to operate an airline business and/or has gone into liquidation, receivership or other form of administration; and/or the Reward Scheme Operator ceases to operate its business and/or has gone into liquidation, receivership or other form of administration, in which case Aquire Points may be cancelled without notice 6. Earning Aquire Points for Eligible Products 6.1 Subject to the exclusions, limitations and other conditions specified in this clause 6 and the Qantas Freight Earn Table, the Reward Scheme Operator will award Aquire Points at the rate of one(1) Aquire Point per A$1.00 spend (exclusive of GST and terminal fees) on each Eligible Product or at the rate otherwise specified from time to time in the Qantas Freight Earn Table, or in any special offer, for an Eligible Product paid for by the Member or Group for the Member s business related purposes. No Aquire Points will be earned if an Eligible Product is not provided. 6.2 Unless otherwise specified from time to time in the Qantas Freight Earn Table, a minimum spend (exclusive of GST and terminal fees) over A$1000 (one thousand) on Eligible Products by Group Members in aggregate in a calendar month must be made before Aquire Points can be earned with respect to spend over that threshold in the relevant calendar month. 6.3 To earn Aquire Points in relation to an Eligible Product, the Member must: for the first booking of an Eligible Product provide to the Reward Scheme Operator the Membership Account number by the end of the calendar month in which that Eligible Product is booked; have at the time of each lodgement a standing credit account arrangement for freight with Qantas for future invoicing and payment or must otherwise be a CASS registered agent; and comply with any other requirements or procedures advised by Reward Scheme Operator prior to the booking of the Eligible Product. 6.4 Unless otherwise determined by the Reward Scheme Operator, Members are not eligible to earn Aquire Points in the Reward Scheme if they:

4 (d) or their Group s (regardless of the number of Group Members) annual gross revenue exceeds A$ 1bn; or are neither credit account holders for freight with Qantas nor a CASS registered agent; or have a capacity or volume agreement for freight with Qantas; or are mail or postal service providers. 6.5 It is the responsibility of the Member to check its eligibility under the Reward Scheme and to check whether a carriage by air of freight is eligible to earn Aquire Points, and if so how many Aquire Points will be earned, before making a booking. 6.6 Members must provide the Reward Scheme Operator on request with documented verification of the purchase of an Eligible Product. The Reward Scheme Operator reserves the right to deny or revoke the crediting of Aquire Points at any time if the Reward Scheme Operator determines that Aquire Points were improperly obtained or erroneously credited to a Member s Membership Account. 6.7 The maximum number of Aquire Points that can be earned in relation to Eligible Products per Member per Membership Year and any applicable minimum points earn may from time to time be specified in the Qantas Freight Earn Table at If and when applicable, under the Reward Scheme, no Member or Group (regardless of the number of Group Members) will be entitled to earn more than the maximum number of Aquire Points specified in the Qantas Freight Earn Table in any Membership Year. If a Group has been credited with more than that number in any Group Member s Membership Year, Aquire Loyalty reserves the right to cancel the excess Aquire Points and distribute the remaining Aquire Points in proportion to the rate they were accumulated by each Group Member over the relevant Membership Year. 6.8 The Reward Scheme Operator may offer additional opportunities to earn Aquire Points under a special promotion from time to time, in which case the terms and conditions referred to in the promotion will apply. 7. Crediting Aquire Points 7.1 Aquire Points earned in accordance with clause 6 on Eligible Products provided in a particular month will accrue to the Membership Account after Qantas has issued the invoice relating to the Eligible Products provided, customarily on or before 10 days (each day being neither Saturdays, Sundays nor bank holidays in New South Wales, Australia) after the end of the month in which the Eligible Products are scheduled to have been provided. 7.2 The Reward Scheme Operator will endeavour to instruct Aquire Loyalty to credit the applicable number of Aquire Points to the Membership Account within 50 days after the Eligible Product is provided. The Reward Scheme Operator reserves the right to instruct Aquire Loyalty to adjust the number of Aquire Points credited to a Membership Account to take account of any subsequent adjustment agreed with a Member to the amount of spend previously invoiced to the Member. It is the responsibility of the Member to check that the correct number of Aquire Points has accumulated in the Membership Account.

5 7.3 Claims for the crediting of Aquire Points retrospectively must be made by the Member to the Reward Scheme Operator within 90 days after provision of an Eligible Product. 8. Suspension or termination of a Member or Aquire Points 8.1 The Reward Scheme Operator reserves the right to terminate a Member s participation in the Reward Scheme or withhold or cancel Aquire Points claimed under the Reward Scheme if a Member or any of the Member s representatives has attempted to claim Aquire Points under the Reward Scheme to which they were not entitled. 8.2 The Reward Scheme Operator and Aquire Loyalty will not be liable for any loss or damage whatsoever suffered by any person as a result of such withholding or cancellation and the Member is responsible for ensuring that its nominated Qantas Points Recipients are notified of this. 9. Taxation Implications The Reward Scheme Operator recommends that Members and their nominated Qantas Points Recipients consult their accountant or tax adviser to ensure that they understand possible tax implications, for example fringe benefits tax (if applicable), for which they may be liable in relation to their earning and use of Aquire Points under the Reward Scheme.
