Tarih: 04 Aralık 2014 Perşembe 13:58:39 Ekler: Ek1.Imperial ENG.doc Ek2.PLAT ENG.doc Ek3.Davet Mektubu.doc Sayın Sektör Temsilcileri, Zagreb Ticaret Müşavirliğimizden alınan bir yazıda, 28 Kasım 2014 tarihinde Zagreb Büyükelçisi Sayın Ahmet TUTA ile Hırvatistan Turizm Bakanı Sayın Darko Lorencin in bir görüşme gerçekleştirdiği, bahse konu görüşmede Sayın Lorencin tarafından 2020 yılına kadar olan dönemi kapsayan Hırvatistan Turizm Kalkınma Stratejisi çerçevesinde, ülkede otelde konaklama oranlarının, toplam konaklama içinde sadece %13 olduğu, gelecek dönemde bu oranı %18 e çıkarmayı planladıkları, özellikle 4-5 yıldızlı otel ihtiyacının karşılanmasının gerektiği hususları ifade edilmiş olup, bu kapsamda Hırvatistan da birçok turizm tesisi, devlete ait hisselerin satışı yoluyla özelleştirildiği hususunun ifade edildiği belirtilmektedir. Ayrıca, Turizm Bakanı ile yapılan görüşmede özellikle Hoteli Plat d.d Plat (EK:1), Imperial d.d. Rab (EK:2) otellerinin ön plana çıktığı, ayrıca 2014 yılı başında da devlete ait hisseleri satışa çıkarılmış olan Hoteli Plat d.d Plat, Imperial d.d. Rab otellerine ilişkin Kasım ayında bir davet yapıldığı, sözkonusu davetin (EK :3) Türk yatırımcılarının ilgisini çekebileceği belirtilmektedir. 2 COMPANY DESCRIPTION The company Imperial d.d. Rab was incorporated in 1965 with the core business of hotel operation, hospitality and tourism. Company has 470 employees (240 full time employees), disposes with the total of 7,547 accommodation units, as follows: 1,305 beds in hotels (Imperial, Carolina, Eva, Padova), 1,204 beds in tourist villages (San Marino and Suha Punta), 5,000 accommodation units in camping sites (San Marino and Padova III) REAL ESTATE ASSETS OF THE COMPANY HOTEL IMPERIAL Located in the town park called Komrčar is surrounded by hundred year old palm trees and luxurious Mediterranean vegetation. Positioned as a four star HOTEL CAROLINA Hotel is located directly by the sea, surrounded by the rich pine woods and exotic vegetation of the peninsula Kalifront, 5 km from the town Rab. Positioned as a three star hotel for summer vacation with longer preand post season periods and the capacity of 280 beds. HOTEL EVA and Hotel village SUHA PUNTA Located in the pine woods not far from the beach on peninsula called Kalifront, 5 km from the center of the old town Rab. Positioned as a two star hotel for summer vacation with 400 beds. HOTEL PADOVA Located by the sea in the bay Padova I, with a view of the old town Rab. Town center can easily be reached on foot in 15 minutes. Positioned as a three star relaxation hotel with possible utilization of wellness Tourist village SAN MARINO Tourist village San Marino consists of five hotels (Plaža, Veli mel, Lopar, Rab and Sahara) located by the sandy beach 1,5 km long known as Rajska plaža, 15 km from the town center. Positioned as three star hotel with typical summer offer - recreation, entertainment and relaxation especially for Camping site SAN MARINO The camping site San Marino is located by the 1.5 km long sandy beach known as Rajska plaža. Categorized as a three star facility (with progress to hotel for relaxation, renovated, with total capacity of 275 beds. Villas Carolina are located directly on the beach. The village consists of ten villas in different sizes, categorized as three star hotels, most with a sea view. Villas have a capacity of 38 beds. One needs to walk for 30 minutes to reach the town center. It is positioned by there is an a la carte restaurant, shop, market, and several leased bars. What needs to be mentioned is a fun park located directly by this camping site, brand new wellness and facilities for animation. the sea as a typical and quiet summer vacation zone. It regulates sales models of shares and business interests through Public Tenders. According to the Regulation, Public tenders are conducted in two rounds. The first round will determine the interest of investors in purchasing shares/business interests, while in the second round investors are invited to submit a binding bid for purchase shares/business interests. Only the investors that in the first round have expressed their interest in purchasing shares/business interests of the Company and submitted a Letter of Intent to the Restructuring and Sale Center are invited in the second round.

5 COMPANY PROFILE Joint stock company Hoteli Plat can be described as self-sufficient hotel complex located near the town Dubrovnik (only 12 km from the old town Dubrovnik and 6 km from the airport). The Company is located very close to the seafront and is surrounded with forest. The Company consists of two hotels, six villas, two pavilions and additional facilities (shopping center, restaurants, coffee bars, swimming pool, tennis courts, etc). All of the hotel facilities were built in the period between 1960 and 1972 and some of them were refurbished after the year All of the rooms in hotels have a sea view. VILLAS ANITA, BARBARA, CELIA AND DIANA These villas were renovated in 2001 in the traditional Croatian - Mediterranean style surrounded by the Mediterranean trees and vegetation with terraces, exterior porches and loggias. HOTEL AMBASADOR Hotel Ambasador was built 1972 and used as the main hotel building with the full capacity of 302 rooms and 528 beds. The Hotel was devastated during the Homeland war in Croatia and it is currently out of use. The reconstruction of the hotel would require a significant financial investment. 7 Dubrovnik-Neretva County has 5 towns and 16 municipalities. The largest and the most well known town of the County is Dubrovnik. The County has many smaller islands covered with forests, small settlements and agricultural land (olive groves and vineyards). Moving inland from the coast the terrain becomes rather mountainous. The Dubrovnik-Neretva County has a Mediterranean climate. The deadline for submission the Letters of Intent is Decemeber 17, 2014 until 3 p.m. The date for submission of a Letter of Intent is the day of receipt the Letter by the Restructuring and Sale Centre (hereinafter: RSC). Letters of Intent submitted after the previously mentioned deadline are not valid and will not be taken into consideration. A potential bidder in a Letter of Intent should provide contact information (name of contact person, address, telephone number, fax number, address). The Letter of Intent must be submitted in Croatian language i.e. the original must be translated into Croatian language by the certified court interpreter, if it is submitted by a foreign investor. After the RSC collects the Letters of Intent for purchase of shares of the above mentioned companies and the decisions on the initial price, terms and implementation process of collecting binding bids have been made, only those investors, who have submitted the Letter of Intent to RSC within the deadline, will be in writing invited to submit binding bids for the purchase of shares of the particular company.
