1 Pay Per Click Service Levels, Terms and Conditions Thank you for choosing WSI Yorkshire for your Internet Marketing. So that we start off on the right foot we are giving you some information on what you can expect from us. In this document we will detail the following areas: What have I bought? What happens next? What are the Service Level Agreements? Who do I contact? What happens if I am not happy or if I want to cancel? What have I bought? Pay per Click Advertising is used to direct traffic to websites, the advertisers pay when the ad is clicked. A Campaign will be set up for your website and optimised to ensure you are receiving the most valuable traffic which will convert into sales or enquiries for your business. Specific services agreed to are outlined in the proposal and confirmed on our invoice to you. What Happens Next? In the first month we will complete an initial set up of the campaign Keywords We will research keywords and keyword combinations that would be entered into the search engine that is related to your product or service. Adverts We will write a number adverts for each ad group targeted to your product or service (commensurate with the fee you paid and the needs of your initial campaign). Campaign Grouping Typical campaigns will have a small number of Ad groups, each ad group will contain themed keywords and a number of relevant adverts. The number of ad groups will vary and from time to time under normal management of the campaign, we may restructure these. However, if you wish to introduce more campaigns, products or services to the campaign, this will usually necessitate a new set up fee, we are more than happy to discuss this at any stage. Google Analytics and Conversion Tracking Google Analytics will be imported into your Google AdWords Account and conversion tracking will be applied to ensure we gather the correct information to optimise the campaigns. steve@wsiyorkshire.co.uk Tel Page 1 of 6

2 Ongoing Works Each month the campaigns will be monitored and adjustments made to spend, keywords and adverts, this is called campaign optimisation. Each month you will receive a monthly report updating you of the campaign progress. The work completed and reported will be commensurate with the fee that you have paid, generally this will be in proportion to the campaign spend e.g. a PPC click budget of 5,000 generally needs more management time than a budget of 150. From time to time if we think that additional work might be required e.g. a landing page to improve conversion or traction. We will always notify you and quote you if additional fees are applicable, we will only progress with extra paid work if quoted for and agreed to be yourselves. Reporting We will send you a monthly report no later than the 12 th each month of comprising: Reported average positions for keywords that we are specifically working on The budget spent on your behalf Additional activities completed (only if these were highlighted in the previous month s recommendations) Recommendations to assist the campaign, SEO or onsite conversion Ad Hoc Analysis as seems appropriate to us at the time Click Budget Google and other search engines average the display of adverts based on your budget and expected search volumes. 3 Who do I contact? You will be assigned a dedicated account manager to work on your website and report back to you on a monthly basis. You can call the office Monday to Friday between 9am and 5pm to discuss your campaign on Outside of these hours we have an answering service so that you can leave a message. You may also e mail us at or e mail marketing@wsiyorkshire.co.uk What to do if I am not happy or if I want to cancel? If you are unhappy with the service or campaign your first step should be to address the issue verbally or by e mail with your account manager, we will do our best to accommodate your concerns, it may necessitate a review meeting where we can analyse the campaign and your concerns in more detail. If you are still not satisfied, please feel free to contact our owner and Managing Director: Stephen Harvey Franklin steve@wsiyorkshire.co.uk Steve will call you to see how we can best rectify any issues. If you still wish to cancel, then simply notify us by e mail, giving at least 30 days notice, the notice will be to terminate after the next full month, usually this entails paying the current invoice that you have, we will then ensure a smooth handover, we are keen to maintain good relations and many customers do return back to us after they have paused a campaign. steve@wsi ebizsolutions.biz Tel Page 3 of 6

4 What are the Agreed Service Levels? Purpose: To provide the You with Web based per Paid per Click Advertising Maintenance (hereinafter referred to as PPC ) and other web based services, outlined in this document, on the your website/s. Your Obligations: You must appoint one internal contact person, identified at the end of this agreement, who will serve as the final decision maker and be authorised to provide timely approval, in writing, for all required sign off stages. The Contact will be available for consultation with the WSI Yorkshire project team members, as needed, during normal business hours. The Sign off Stages will be: Google Analytics Administrative Access. FTP Access: o You must provide WSI Yorkshire with full FTP access to your website. Removal of or restriction of access may relieve WSI Yorkshire of its obligation under this agreement (recommended); or o In the event that you cannot or will not provide WSI Yorkshire with Full FTP access, WSI Yorkshire will provide you with instructions how to populate your conversion tracking on your website. We may make recommendations to changes to your website, in order to improve the performance of the campaign, if you are unable to make these changes, we will quote extra you for these services. Please note that poor content on web pages will be penalised by Google and may result in your budget being less optimally used. PPC Works Completed by WSI Yorkshire: We will determine the keywords and keyword phrases people are using to identify or find your services. We will create Adverts depending on the landing page and content of your website. During the first month of the campaign we will run the campaign to allow us to gather activity data. Through out the following months we will check the campaign activity and refine the campaign where necessary. Within the first 10 working days of each month we will supply you with an Activity report, which will also include any recommendations we believe will benefit the campaign and generation of traffic to your website. From time to time or as otherwise agreed we will run a number of advert and keyword tests in order to optimise the campaign. Term and Payment: The set up fee is fully payable and upon the execution of this Service Agreement. ie in advance of the service delivery, this helps us keep our costs to you down and avoids unnecessary unpaid You will be invoiced once monthly In advance, on the 1st of each month, beginning on the first full billing cycle after execution of this agreement. Payment is due, in full, within thirty (30) days of the date of the invoice. 5 Late payments and cheques returned for insufficient funds may be subject to a ten percent (10%) interest penalty. Unless agreed otherwise we will need to register your credit card with Google or similar search engine or vehicle to pay directly for the clicks Termination: This agreement may be terminated by either party with at least 30 days notice. The contract will then cease at the end of the next full month. Notice may be given via confirmed receipt electronic mail or via facsimile. Other Charges WSI Yorkshire reserves the right to increase the management service fee from time to time, 30 days notice will be given. If you wish us to market new products and services, setting up this element of the campaign may attract an additional set up fee If your Google Click budget exceeds agreed thresholds or increases rapidly we reserve the right to review the fee that we charge for managing this campaign and we will discuss this with you. From time to time we may recommend changes to your website to improve the conversion rate, the bounce rate or the effectiveness of the campaign; we will always quote you for any additional works, and will only proceed with your approval. From time to time we may recommend changes to your campaign or recommend alternative digital marketing strategies, we will always discuss and quote for any changes in our charges, and will only proceed with your authority. Warranties and Indemnification: Your Company represents and warrants that it owns or otherwise has the right to use the provided SEO Content and Graphical Content and that the SEO Content and Graphical Content do not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person or legal responsibilities (collectively the Rights ). You agree to indemnify, defend and hold WSI Yorkshire and our affiliates and our officers, directors, owners, agents, information providers, affiliates, licensors and licensees (collectively, the "Indemnified Parties") harmless from and against any and all liabilities and costs (including reasonable legal fees) incurred by the Indemnified Parties in connection with any claims by a third party that the Content violates its Rights. WSI Yorkshire does not guarantee any volume of website traffic or any number of leads or phone calls. WSI Yorkshire works to achieve page one placement on Google.co.uk for the approved keywords and key phrases, as listed in the Final Key Word Phrase Approval. Site Release Policy: Where applicable, once the project goes live and is under your control, WSI Yorkshire is not responsible for the website, its content or its functionality. 6 Miscellaneous: Exclusive Remedy: If WSI Yorkshire breaches its obligation(s) under this Service Agreement, WSI Yorkshire will make commercially reasonable efforts to fulfil its obligations. Force Majeure: In no way shall WSI Yorkshire have any liability or be deemed to be in breach of this Agreement for any failure or delay of performance resulting from any government action, fire, flood, or other natural disaster, power failure, riot, embargo, strikes, terrorist act, network failure, changes by Google of its search algorithm or any other changes to Google s functionality, or failures or problems with Your web hosting company which adversely affect the SEO service provided under this agreement. Waiver. The waiver of any provision of this Agreement by a party shall not constitute a waiver of any other provision or waiver of the same provision at any other time. Entire Agreement: This agreement constitutes the entire agreement between us and you, and supersedes any prior written agreements and any prior or contemporaneous oral agreements between you and us.
