4 General Information Who is Republic? Republic Bancorp, Inc. (Republic) has 44 banking centers and is the parent company of Republic Bank & Trust Company and Republic Bank. Republic Bank & Trust Company has 39 banking centers in Kentucky, Indiana, Tennessee and now proudly serves Minnesota. Republic Bank has 5 banking centers in Florida and Ohio. Headquartered in Louisville, Kentucky Republic is a fullservice community bank committed to the local communities it serves. When will I officially become a Republic Bank client? You became a Republic Bank client as of September 7, Is there anything I need to do right now? No, just keep banking as usual. Your accounts will automatically be converted to Republic Bank accounts and we are working to make the transition as easy as possible. For detailed information on account changes, please read the information in this brochure along with the disclosures, agreements and notices. 7 PERSONAL CHECKING Will my checking account number change? Yes, both your bank routing number and checking account number will change. We will send your new routing number and account number in a separate mailing in early February What do I do with my checks? We will continue to honor your existing checks with your old account number through June 30, These checks will be paid, provided there are funds available. As your inventory of checks diminishes, we encourage you to bring or send your check reorder form into the bank, so we can order new checks from Harland Clarke with your new account number prior to June 30, When your new Republic Bank checks arrive, please shred your old First Commercial Bank checks and deposit slips or drop them off at the bank and we will shred them for you. What if I currently order checks from another check vendor? If you prefer to use a different check vendor, please contact us to obtain the necessary specification sheet that the check vendor will require in order to print your checks correctly. Will I need to change my direct deposit or automatic payment programs? Your existing direct deposits and automatic payments will continue to be processed until June 30, During that time, please notify the company or companies handling the direct deposit and/or automatic payment that you have a new Republic Bank routing number and account number. You should do so upon receipt of your new account number to be sure that there is no interruption in your deposit and/or payment. We will be glad to assist you in notifying those individuals should you need help. Will I need a new debit card? Yes, you will receive a new Republic Bank CheckCard debit card in the mail with instructions by February 7, If you have recurring payments being charged through your old debit card, please make sure you notify the company(ies) handling automatic payment(s) that you have a new Republic Bank CheckCard debit card number. When should I begin to use my new Republic Bank CheckCard debit card? Upon telephone activation, your Republic Bank CheckCard debit card will be ready to use on February 18, Look for detailed instructions included with your new card. Your First Commercial Bank debit card will be automatically deactivated at that time. 4

8 Personal Accounts Will my Personal Identification Number (PIN) change? It s your choice. When you activate your new Republic Bank CheckCard debit card over the phone, you will self-select your new PIN. How will Republic Bank handle non-republic ATM fees? Your account may offer a number of non-republic ATM fee reimbursements (see account information for details). Who do I call if my Republic Bank CheckCard debit card is lost or stolen? If your Republic Bank CheckCard debit card is lost or stolen, please contact our TeleBanking Center, toll-free at If you need to report a lost or stolen card outside of normal business hours, please call toll-free When will I receive my checking account statement? You will be sent a final statement from your former First Commercial Bank account on February 15, You will then be sent a statement from your new Republic Bank account for the remainder of the month on February 28, Going forward all statements will be sent at the end of the month. Who do I call if there s an error on my statement? Beginning February 16, 2013, if you notice any errors on your statement, please contact our TeleBanking Center, toll-free at Will my deposits be FDIC-insured after the conversion? Yes. All Republic Bank deposits will be insured for the same amount of FDIC insurance as your First Commercial Bank deposits.

We will send your new account number in a separate mailing in early February. What do I do with my existing money market checks and deposit slips? We will continue to honor your existing checks and deposit slips with your old account number through June 30, These checks will be paid, provided there are funds available. 11 CERTIFICATES OF DEPOSIT (CD) AND IRAS Will my CD(s) or IRA(s) account number(s) change? Yes, your account number will change. We will send your account number in a separate mailing in early February What will happen to my Individual Retirement Account? There will be no change in the terms and conditions of your IRA. Only your account number will change. We will send your account number in a separate mailing in early February

12 Personal Accounts LOANS AND MORTGAGES Will my loan account number change? No, your account number will remain the same. Will my loan rate change? No. The interest rate you pay on your loan or mortgage will be honored by Republic Bank. After those loan terms expire, you may apply for a new Republic Bank loan or mortgage. Will there be a change in how I make my loan payments? Yes. After February 15, 2013, the address where you send your loan payments will change. If you mail your payments, you will need to send them to: Republic Bank, P.O. Box , Louisville, KY You can also make a payment from your Republic Bank Checking or Savings account at our website, through internet banking. Or, you can always make a loan payment in person at your banking center. Your Republic Bank monthly statements will include a coupon for you to use when making your payment. I have my loan payment automatically deducted from my checking account. Will this service continue? You should have received a mailing in early December regarding your automatic loan payments. If you fi lled out and returned the Authorization Form that was included in the mailing your loan payments will continue to be deducted. If you have a loan with automatic payments and did NOT receive the mailing, or have not yet returned the form, please contact our Loan Servicing Department toll free at , ext How can I access my Home Equity Line? You may continue to access your Home Equity Line of Credit as you have been doing. After your loan terms expire, you may apply for a new Republic Bank Home Equity Line of Credit. Please note that your first billing statement after February 15, 2013 may show less interest, due to the shortened billing cycle. Your subsequent billing statements will return to the normal billing cycle after the first month.

20 Business Accounts BUSINESS LOANS AND COMMERCIAL REAL ESTATE LOANS Will my loan account number change? No, your account number will not change. Will my loan rate change? No. The interest rate you pay on your loan or mortgage will be honored by Republic Bank. After those loan terms expire, you may apply for a Republic Bank loan or mortgage. Will there be a change in how I make my loan payments? Yes. After February 15, 2013, the address where you send your loan payments will change. Republic Bank has partnered with First Data Merchant Services solutions to provide our business clients with strategic solutions for their credit card payment processing. If I am interested in Merchant Services, what do I need to do to get information? All you need to do is to call one of our associates and provide some basic information about your business, such as: type of business, contact information and best time to call. Then, you will be contacted by one of our Merchant Services Specialists.

21 If I am interested in staying with my current Merchant Services provider, what do I need to do? Contact your current Merchant Services provider and provide your new Republic Bank checking account number and routing number. TREASURY MANAGEMENT SERVICES Does Republic Bank offer Treasury Management Services? Republic Bank offers a variety of products and services designed to satisfy the needs of any business, such as Account Reconciliation, Remote Deposit Capture, Business Online Banking, ACH Processing, and more. All Treasury Management Services are offered to business clients only and standard fees apply. Clients currently receiving Treasury Management Services will be reviewed and may require additional approval prior to conversion. You will be hearing more about Treasury Management products and services in the near future

22 Convenience Services CHECK IMAGES Will I still receive check images with my statements? Yes, you will continue to receive check images in your monthly statements from Republic Bank and beginning February 19th, 2013, you will also be able to view your cancelled checks through Republic Bank s Online Banking at www. republicbank.com. Please note that as of February 15th, you will be unable to access statements or cancelled checks that were processed prior to that date, so we encourage you to print out any records you may need. ATM USAGE How will Republic Bank handle non-republic ATM fees? Your account may offer a number of non-republic ATM fee reimbursements (See account information for details). Will I still be able to make deposits at U.S. Bank ATMs? You may continue to make deposits at U.S. Bank ATMs until February 15, After that date deposits may only be made at Republic Bank ATMs, or Republic Bank banking centers. NIGHT DEPOSIT Will I still have access to the night deposit box? Yes. Your access to the night deposit box will not change. TELEPHONE BANKING Does Republic Bank offer 24-hour Telephone Account Information? Yes, as of February 16, 2013 you will enjoy the convenience of 24-hour account information on the Republic Bank Account Access Line which lets you check account balances, account information, and find out which checks have cleared. Call toll-free at Does Republic Bank offer Telephone Client Service? Yes, Republic Bank s TeleBanking Center can be reached by calling toll-free , Monday - Friday 6:30 AM to 7:00 PM and Saturday 8:00 AM to 4:00 PM and Sunday 11:00 AM to 3:00 PM CT.

23 PERSONAL INTERNET BANKING How do I sign up for Personal Internet Banking? For access to Internet Banking for personal accounts please visit www. republicbank.com. You will be able to log in and begin viewing your accounts on Tuesday, February 19th Does Republic Bank offer Bill Pay? Yes. You can enroll in Bill Pay when you register for Internet Banking. Simply check the box marked Click here to enroll in Bill Payment during the Internet Banking registration process. Does Republic Bank offer Mobile Banking? Yes. With Republic Bank s Mobile Banking you can access your deposit accounts anytime, anywhere by SMS text message *, your phone s mobile browser or our free iphone, Android, ipad and Kindle Fire apps (data charges may apply). Can I have electronic delivery of my account statements? Yes. Once you log in to Internet Banking click on the Internet Statements button and accept the Republic Bank Internet Statement E-Sign Disclosure. This will enroll all of your checking and savings accounts for electronic delivery. It s safe, secure and provides you with the convenience of viewing your checking and savings account statements online. At this time, electronic loan statements are not available. Will I have access to my current Internet Banking after conversion? No, once the conversion takes place, the Internet Banking service you know today will be discontinued. Also, please note the last day scheduled bill payments and automatic account transfers will be processed will be February 15, Please make arrangements to ensure any affected payments or transfers can be made by other means after this date. Who do I call if I need help or have questions about the products and services offered through Republic Bank s TeleBanking Department is available Monday through Friday 6:30 AM to 7 PM (CT), Saturday 8 AM to 4 PM (CT) and Sunday 11 AM to 3 PM (CT). 24 Convenience Services BUSINESS ONLINE BANKING How do I sign up for Business Online Banking? To sign up for business online banking, you can go to and complete the business online banking application located under the Small Business Banking tab. Does Republic Bank offer Business Bill Pay? Yes. To sign up for business internet bill pay, you must first complete a business online banking application and bill pay application at located under the Commercial Banking and Treasury Management tabs. WEBSITE How will I be able to access my account(s) online? Beginning February 19th, 2013 any new transactions will be accessible on However, if you need to view your account history or previous account statements you can continue to access through February 15, We encourage you to print or save any past statements you may need. CREDIT CARDS I don t have a bank credit card. Can I apply for one with Republic Bank? Yes, you will be able to apply for a credit card directly with us. You will be receiving more information about credit card offers through Republic Bank in the near future.

26 New Services What services does Republic Bank offer that were not available at First Commercial Bank? Republic Bank offers a full suite of personal and business banking services with a wide variety of features. Some of the personal banking services you will now have access to include home mortgage loans for purchase and refinance as well as e-statements. Business banking clients will now have access to e-statements and Treasury Management Services. Does Republic Bank offer overdraft protection? Yes. Republic Bank offers a discretionary overdraft program called Overdraft Honor and services such as a link to a savings account. What is Overdraft Honor? Overdraft Honor is Republic Bank s discretionary overdraft program. The program applies to checking accounts that meet the requirements of our Overdraft Honor rules and restrictions. If your account qualifies for this service, we will provide you with additional information by mail. At Republic Bank we strive to be totally accessible to you and accountable to our community.

30 Disclosures Account Disclosures These disclosures contain the rules which govern your deposit accounts. The interest rates and annual percentage yields stated below are accurate as of the date printed above. If you would like more current rate and yield information, please call Republic s TeleBanking Center at We reserve the right at any time to require not less than seven days notice in writing before any withdrawal from any interest bearing account. If your account is not already an MMDA, a portion of your account balance may be classified as an MMDA for regulatory purposes. The classification will not affect the terms, interest rate, or fees contained in this Disclosure. Additional Disclosure Terms A below balance fee of $7 will be imposed every statement cycle if the average daily balance for the statement cycle falls below $500. If you conduct a total of twenty (20) or more point-of-sale (POS) transactions during the statement cycle, your below balance fee will be waived for that statement cycle. The fee wavier does not include transactions conducted through an ATM. The average daily balance is calculated by adding the daily balance in the account for each day of the statement cycle and dividing that figure by the number of calendar days in the statement cycle. The first 2 Non Republic ATM Transaction Fees will be waived each statement cycle. Additionally, your account will automatically be reimbursed for the first 2 Non Republic ATM Transaction Fees assessed to you by the ATM owner. Fees will be reimbursed on next business day. If you choose to receive mailed paper statements with check images, then a $3 paper statement fee per statement cycle will be assessed to your account. ADVANTAGE CHECKING Rate Information The interest rate and annual percentage yield may change at our discretion. Rates may change at any time. NOTE: In this disclosure, Annual Percentage Yield is abbreviated as APY Interest Rate:.0500% APY:.05% Compounding and Crediting Interest will be compounded and credited to your account monthly. If you close your account before interest is credited, you will receive the interest accrued. If you choose to receive mailed paper statements with check images, then a $3 paper statement fee per statement cycle will be assessed to your account. If you choose to receive mailed paper statements with check images, then a $3 paper statement fee per statement cycle will be assessed to your account. PINNACLE CHECKING Rate Information The interest rate and annual percentage yield for your account depend upon the applicable rate tier. The interest rate and annual percentage yield for these tiers may change at our discretion. Rates may change at anytime. NOTE: In this disclosure, Annual Percentage Yield is abbreviated as APY Interest Rate APY Balances through $14, %.05% Balances $15,000 and over.1500%.15% Compounding and Crediting Interest will be compounded and credited to your account monthly. If you close your account before interest is credited, you will receive the interest accrued. 33 ACCOUNT RULES These Account Rules apply to any deposit account provided by Republic Bank & Trust Company or Republic Bank (hereafter referred to as Republic, we, us, or our ). Throughout these Account Rules the terms you, your, and yours refer to each person who opens an account with us. Payment of Checks & Withdrawals We will honor all properly payable checks drawn on your account if there are sufficient available funds in your account for their payment. We are not obligated to pay any check drawn on your account for which there are insufficient collected funds on deposit. We reserve the right and you grant us the right to charge a fee to non-customers on presentment of a check for immediate payment. You may only use checks furnished or preapproved by us. We may pay any check regardless of whether or not it contains a restrictive legend or regardless of the date written on the check or even if it is not dated. However, we reserve the right not to pay any check that is more than six months old. You agree to indemnify us from any losses resulting from improperly placed endorsements. We may charge back any returned deposit items against your account. We may require you to furnish satisfactory identification before you withdraw money from your account. You are liable for the improper use of, or your failure to control, your facsimile signature stamp. We are not obligated to verify and shall be held harmless by you for paying any dual signature checks that do not have two signatures. Stopping Payment You may request that we stop payment on an unpaid check or item, including an electronic item, such as an ACH. You must allow us a reasonable time (a minimum of one business day for a check and three business days for a scheduled electronic payment (ACH) to implement your stop payment order. You may request a stop payment by telephone, in person, via internet banking, or in writing. You must provide us with the following information, which must be complete and correct: your name, account number, date the item was issued or transaction date, the amount, the payee, and the check number, if applicable. Stop payment requests on checks are valid for six months or until we receive notice that the stop payment has been revoked. You may renew stop payments on checks for additional six-month periods prior to the expiration of the current stop payment order. If you allow a stop payment order to expire before you renew it, we may pay the check without liability to you during the period between the expiration of the stop payment and the placing of a new stop payment order. If your account is a personal (consumer) or business account, you may stop payment on a single electronic debit entry or on multiple debit entries. A stop payment order on a consumer or business account electronic debit entry will remain in effect until the earlier of (1) your withdrawal of the stop payment or (2) the return of the debit entry, or where a stop payment order is applied to more than one debit entry under a specific authorization involving a specific originator (payee), until the return of all such debit entries. If you wish to block all future payments related to a particular authorization or originator, we may ask you to confirm to us in writing that you have revoked the authorization directly with the originator. Overdrafts Pursuant to the Bank s Account Rules, you agree to pay us the amount of any overdraft and applicable fees immediately, without notice or demand from us. Each account holder for your account is jointly and severally responsible under these Rules for paying any amount due to us. Right of Set-Off At any time, we may apply funds in your account, including benefits payment deposits, to pay any debt due us except as prohibited by law. If your account is a joint account, we may apply any portion of the funds to pay the debt of any joint account holder. We will notify you promptly in writing if we take such action. Security Interest You hereby grant a security interest in your account (including without limitation any account held jointly or by the entireties) to us and to each of our affiliates as collateral for any and all indebtedness owed by you to us or any of our affiliates, however or whenever incurred or evidenced, except for indebtedness incurred by you for personal, family, or household purposes. This security interest is in addition to our right of setoff against your account. Statements Unless there has been no activity in your account, we will send you a periodic statement by mail or online if you have agreed to receive online statements. You agree to examine your statement and check images with reasonable promptness. If you discover (or reasonably should have discovered) any unauthorized signature, alteration or other irregularity, you must promptly notify us of the relevant facts. You agree that the time you have to examine your statement and check images and report to us will depend on the circumstances, but will not, in any circumstance, exceed a total of 30 calendar days from when the statement is first sent or made available to you. You agree that if you fail to notify us of any unauthorized signature, alteration or other irregularity in your account within 30 calendar days after the statement was first sent or made available to you, you cannot assert against us (1) any unauthorized signature, alteration or other irregularity if we will suffer a loss as a result of your failure to notify us within the 30-day period, or (2) any unauthorized signature, alteration or transaction by the same wrongdoer on any item paid or transaction completed after the 30-day period. You also agree that if you fail to notify us of any unauthorized signature, alteration or other irregularity within 60 30

34 Disclosures calendar days after the statement was first sent or made available to you, you cannot assert a claim against us on any items in that statement, and as between you and us the loss will be entirely yours, without regard to whether we used ordinary care. You also agree to notify us of any errors regarding electronic transactions within required regulatory timeframes as outlined in the Electronic Funds Transfer Disclosure provided to you at account opening and available at For any claim made by you alleging an unauthorized signature, alteration or other wrongful transaction on your account, you agree to make timely claim against all applicable policies of insurance and, if we request, to file a police report and cooperate fully in any investigation of or prosecution related to the alleged wrongdoing; as between you and us, your failure to do any such act will constitute your ratification of the alleged wrongdoing. Federal Reserve Requirements For certain categories of deposits, banks are required to maintain on deposit with the Federal Reserve Bank a portion of those deposits. From time to time, but no more than six (6) times per month, Republic will transfer funds from your transaction (checking) account to a non-transaction account. This is an internal procedure that has no effect on your monthly periodic statement, availability of funds, your FDIC insurance coverage, or any of the other terms disclosed herein. Modification of Terms We reserve the right to modify the terms and conditions herein, at any time, at our sole discretion, subject to any prior notice requirements as may be required by law. Termination Your account can be closed at any time for any reason by either you or the Bank. We may require your account to remain open until all outstanding items clear your account. We will close your account if you notify us that your checks have been lost or stolen. If your account is closed within twelve months of being opened, a closure fee may be assessed as outlined on your Truth-in-Savings Account Disclosure provided to you at account opening. If there is a collected balance when you close your account, we will notify you and send you a check at your last address of record. We will not notify you if there is no collected balance when you close your account. Joint Account Rules If your account is a joint account, all funds in it are owned jointly by each of the persons named on the account. At any time, any one of you may withdraw the full amount on deposit. Each joint owner appoints any other owner as his/her attorney-in-fact with the power to endorse or deposit checks or other items which may be payable to one or more joint account owners. In some instances, we may reserve the right to require individual endorsements. Survivorship rights apply to any joint account, unless the Bank and all joint account owners have entered into a written agreement to the contrary. Death of an Account Owner If you or a joint owner of your account dies, we may require certain documentation necessary to certify that death or substantiate that a particular individual has been appointed officially as the administrator/executor of the applicable estate. The survivor(s) on a joint account must notify us of the other owner s death. Fees We may charge your account for services according to our Fee Schedule in effect at the time we perform the services. A copy of our Fee Schedule was provided to you at account opening and is available at any of our banking centers or at You will be provided a copy of any fee changes at least thirty days before they take effect. Electronic Transactions If your account is authorized for electronic transactions, including telephone, fax, and internet transactions and you initiate the transaction via one of these means, we will rely on your verbal or electronic authorization to process the transaction. Credit Bureau Reports We reserve the right and you agree that we may request and review a credit bureau report at any time in connection with our ongoing review or collection of your account. Reporting of Negative Credit Information We may report information about your account to credit bureaus. Late payments, missed payments, or other defaults on your account may be reflected in your credit report. Customer Identification Program Notice In order to help the government fight the funding of terrorism, money laundering activities, and identity theft, the USA PATRIOT Act requires all financial institutions to obtain, verify, and record information that identifies each person or business that opens an account. What that means to you is that when you open an account with Republic, we will ask for your name, street address, taxpayer identification number, date of birth, and other information that will allow us to identify you.

35 We will also ask to see an unexpired, government-issued, photo ID or other similar document. If you do not have the specific documentation requested, speak to a Republic associate regarding alternate forms of identification that may be acceptable. ARBITRATION PROVISION READ THIS ARBITRATION PROVISION CAREFULLY. IT WILL GOVERN ANY AND ALL CLAIMS AND DISPUTES ARISING IN CONNECTION WITH YOUR ACCOUNT AND WILL HAVE A SUBSTANTIAL IMPACT ON THE WAY YOU OR WE WILL RESOLVE ANY SUCH CLAIMS AND DISPUTES, NOW OR IN THE FUTURE. Covered Claims: Claim means any claim, dispute or controversy between you and us (other than an Excluded Claim or Proceeding set forth in paragraph 3) that in any way arises from or relates to the Account Rules, the account, any other contracts, agreements, policies or programs between you and us relating to your account, the relationship between you and us or any product, service or disclosure provided by us to you, any ATM Card, debit card, check card or similar card, any account transaction or attempted transaction (including deposits, payments, transfers and withdrawals, whether by check, card, ACH or otherwise), overdraft protection services, any overdraft line of credit or overdraft transfer agreement, non-sufficient funds and overdraft items, and the advertising, disclosures, practices and procedures related to any of the foregoing. Claim includes disputes arising from actions or omissions prior to the time this Arbitration Provision becomes part of the Account Rules. Claim has the broadest possible meaning, and includes initial claims, counterclaims, crossclaims and third-party claims. It includes disputes based upon contract, tort, consumer rights, fraud and other intentional torts, constitution, statute, regulation, ordinance, common law and equity (including any claim for injunctive or declaratory relief). 3. The institution and/or maintenance of any such right, action or litigation shall not constitute a waiver of the right of either party to compel arbitration regarding any other dispute subject to arbitration pursuant to this Arbitration Provision. Moreover, this Arbitration Provision will not apply to any Claims that are the subject of a class action filed in court that is pending as of the effective date of this Arbitration Provision in which you are alleged to be a member of the putative class. 4. Electing Arbitration: To the extent permitted by the Federal Arbitration Act (the FAA ) and any other applicable federal law, arbitration may be elected by either party with respect to any Claim, even if that party has already initiated a lawsuit with respect to a related or different Claim. Arbitration is elected by giving a written demand for arbitration to the other party, by filing a motion to compel arbitration in court or by initiating an arbitration proceeding against the other party.
