A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. 1. PROMOTION PERIOD: Elvis Duran and the Morning Show s Free Trip Phone Tap Sweepstakes (the Sweepstakes ) begins at 6:00:01am Eastern Time ( ET ) on January 20, 2015 and ends at 9:59:59am ET on January 30, 2015 (the Promotion Period ). All entries must be received during the Promotion Period. The Radio Show s (as defined below) computer is the official time keeping device for this Sweepstakes. 2. ELIGIBILITY: Sweepstakes is open to legal residents of the forty-eight (48) contiguous United States and the District of Columbia (excluding California, Montana, New Mexico, Washington, Alaska and Hawaii) who are at least eighteen (18) years of age or older as of the date of entry. If a participant has not reached the age of majority in his/her primary state of residence as of the date of entry into the Sweepstakes (which is eighteen (18) years old in most states but is nineteen (19) years old in Alabama and Nebraska and twenty-one (21) years old in Mississippi), then the participant must obtain parental consent in order to be eligible to enter the Sweepstakes. Parental consent occurs when the parent or legal guardian of a minor participant who has not reached the age of legal majority in their residing state, grants permission for the minor participant to participate and agrees on behalf of himself/herself and the minor participant to these Official Rules. Notwithstanding the determined age requirement set forth above, it is strictly prohibited for anyone who does not meet the age requirement as of the date of entry to be allowed to participate in the Sweepstakes and no one under the age of thirteen (13) shall be permitted to enter any sweepstakes at any time, under any circumstances. Subject to all applicable federal, state, and local laws and regulations. Void in California, Montana, New Mexico, Washington, Alaska, Hawaii and where prohibited or restricted by law. Individuals who have won a prize from the Radio Show (as defined below) within one hundred eighty (180) days prior to the start date of this Sweepstakes are not eligible to participate or win. Employees of Premiere Radio Networks, Inc. (the Sponsor ) (a subsidiary owned and operated by iheartmedia + Entertainment, Inc.), Elvis Duran and the Morning Show (the Radio Show ), Universal City Development Partners, Ltd. d/b/a Universal Orlando Resort (the Prize Provider ), H & R Block, Elvis Duran Group, Elvis Duran Group, iheartmedia + Entertainment, Inc., any affiliated promotional partners, any third party prize provider(s) and or prize fulfillment service, each radio station contracted to broadcast the Radio Show, and their respective subsidiaries and affiliated companies, divisions, parent companies, officers, directors, agents and advertising agencies (collectively, the Sweepstakes Entities ), as well as members of the immediate family of any such persons, are not eligible to participate and win. The term immediate family includes spouses, siblings, parents, children, grandparents, and grandchildren, whether as in-laws, or by current or past marriage(s), remarriage(s), adoption, co-habitation or other family extension, and any other persons residing at the same household whether or not related. 3. HOW TO ENTER/PLAY: Each weekday during the Promotion Period, listen LIVE to the Radio Show on your local radio station (as noted at at 7:20am ET and 9:20am ET for the on-air cue (each, a Cue ) along with a message instructing listeners to text a code word for a chance to become a winner. Listeners have fifteen (15) minutes after the Cue to text the provided code word to the short code (the Registration Period ). There will be a total of fourteen (14) scheduled Cues, two (2) Cues per day, during the Promotion Period. If you have a text-messaging-capable cell phone from a participating carrier, you may enter by sending a text message to the short code with the correct code word before the designated deadline. Message and data rates may apply. Contact your carrier for rates applicable to your plan. Alternatively you may enter by logging onto during the designated Cue and follow the Sweepstakes links to enter the code word for that weekday and complete the online entry form for the Sweepstakes. All entries received online must be received within the same Registration Period for the designated Cue and include the correct code word. Entries must be received and recorded by the Radio Show s computer before the deadline of each Cue to be valid. Any entry received or made either by text or online after the official Registration Period will not be valid and will not be deemed eligible. Winners will be selected at random from all eligible entries collectively received during each designated Cue. A total of two (2) daily weekday winners; determined by one (1) winner per the designated Cue to play and subject to verification, shall be selected to win the prize for a total of eighteen (18) possible winners overall for the Promotion Period. Each Cue is considered a single playtime and is a separate Registration Period that will close at fifteen (15) minutes after the official time the Cue sounds. Standard text messaging and data rates may apply, as established by an individual's wireless carrier, and the Sweepstakes Entities assume no responsibility for any fees or charges incurred for and associated with any text message sent to or from the Radio Show. Text message entries must meet all requirements set forth in order to be eligible. Winners will be determined in accordance with the Sweepstakes Official Rules. The text messaging method of entry is designed to work with most of the U.S. major wireless carriers in the United States, but the Sponsor makes no guarantee that any particular wireless service provider will participate, and the mobile phone that is used must be capable of sending and receiving text messages. Participants should check their phone s features to see if they have that capability. Wireless service providers may charge participants for each text message,

2 including any error message that is sent and received in connection with the Sweepstakes, based on the applicable wireless service pricing plan. Participants should consult their wireless service provider s pricing plan for details. Standard text message rates apply. Entry by sending a text message will not improve your chance of winning. By texting to enter, the participant grants permission to the Sponsor to notify them via one (1) return text message per entry and must agree to accept all applicable charges associated therewith. Each Cue shall constitute a separate entry. Participant is responsible for all applicable fees and taxes associated with placing a text message entry. Sponsor, in its sole discretion, may add or delete a cellular carrier at any time, without notice. Proof of text messaging to the short code is not considered proof of delivery to or receipt by Sponsor of such entry to play. Decisions of the Sponsor are final. Such decisions may include, but are not limited to, whether an entry adheres to the entry criteria, the time of entry receipt by the Radio Show, the order in which text message entries are received, the eligibility of the participant, and in the event entry requires the submission of an answer or response, whether that answer or response is correct. By participating in the Sweepstakes, participants agree that the Sponsor and/or Radio Show may contact them, via phone or text message, at the telephone number from which the text message entry was received. Any and all fees arising out of the transmission of a text message shall be the sole responsibility of the participant. Message and data rates may apply per the participant s carrier. By participating in a Sweepstakes in which text message-based entry is permitted, participants acknowledge that text messages are distributed and delivered through third party providers; the Sponsor does not guarantee, and shall not be responsible for, the delivery or timeliness of any text message entry. The Sponsor will at all times consider the time that a message is logged as arriving in its system as being the time of entry, regardless of the time at which the participant attempted to send the entry and any technical problems or other complications that may have delayed its delivery. The Radio Show s clock is the official timekeeping device for this Sweepstakes. The Sponsor, through its third party text messaging administrators, will store all messages received on its system. The Sponsor is not responsible for service outages, message failures, transmission delays or any other factor affecting the availability or performance of the text messaging service. The Sponsor further reserves the right to cancel, terminate or modify the Sweepstakes if, in the sole discretion of the Sponsor, it is impossible or impractical to complete the Sweepstakes as planned for any reason, including, but not limited to, infection by computer virus, bugs, tampering, unauthorized intervention or technical failures of any sort. If Radio Show determines the designated participant is not eligible, the Radio Show may select the next randomly selected entry from the same pool of participants for that designated Cue. The Sponsor assumes no responsibility for participants not making timely phone calls to the Radio Show as a result of the delays in the Internet stream. WARNING: Online listeners to streamed broadcasts may experience a lag in transmissions due to buffering limitations. Participants should not rely on streamed broadcasts to enter in any sweepstakes. Participants may contact their local station to determine participation or visit the Radio Show s website. Sweepstakes not valid on weekends and holidays unless otherwise mentioned herein or announced on air. Limit one (1) winner per person/household for the duration of the Promotion Period. Entries will be deemed made by the authorized account holder of the or telephone phone number submitted at the time of entry and qualification. Incomplete and/or multiple entries will be disqualified. Use of any device to automate entry is prohibited. The Sponsor is not responsible for lost, late, misdirected, or incomplete entries or entries not received due to difficulty accessing the internet, service outage or delays, computer difficulties and other technological problems. Entries are subject to any applicable restrictions or eligibility requirements listed herein. 4. WINNER SELECTION AND NOTIFICATION: At the end of each Cue s Registration Period, entry will be closed and the Radio Show will determine the winner. There will be one (1) potential winner selected at random from all of the eligible entries collectively received during the designated period for each Cue for a total of two (2) possible daily winners Monday thru Friday during the Promotion Period. The Radio Show will attempt to contact any selected winner(s) by phone at the phone number provided by the participant within five (5) minutes of the preceding Cue s deadline. Only the winner(s) will be contacted personally by a Radio Show and/or Sponsor representative. No more than three (3) attempts shall be made to contact the participant over a period not to exceed five (5) minutes. Participant must answer the phone to be a designated winner AND must agree to be recorded and/or interviewed for any broadcast or commercial release connected with the Sweepstakes and prize awarded. No messages will be left on answering machines or voic systems and the potential winner(s) must answer the call and agree to the terms herein or will forfeit any rights to the prize. If a potential winner cannot be reached directly following the close of the Registration Period and/or does not consent to be recorded for broadcast purposes, the potential winner will be disqualified and an alternate potential winner will be randomly selected until a winner is determined and has met all conditions described herein. Due to time constraints, the Sponsor reserves the right to modify the notification procedures in connection with the selection of alternate winners, if any or necessary. Odds of winning a Daily Prize depend on the total number of eligible entries received during the specific Cue each day during the Promotion Period. 5. PRIZE(S): EIGHT (8) 7:20AM GRAND PRIZES and TEN (10) 9:20AM GRAND PRIZES; A four (4) day/three (3) night trip for winner and one (1) guest to Universal Orlando Resort in Orlando, Florida to attend a Jessie J concert on February 14, 2015 (the Concert ). The trip includes round trip coach airfare for winner and one (1) guest from the major airport nearest the winner's residence (as determined by the Prize Provider in its sole discretion) to the major airport nearest Orlando, FL*, three (3) nights standard hotel accommodations (single room/double occupancy) at the Loews Portofino Bay Hotel (or another on-site hotel as determined by Prize Provider in its sole discretion), non-exclusive ground transportation to and from the airport and hotel in Orlando, FL, 3-Park Unlimited Passes for admission for winner and one (1) guest for three (3) days to Universal Studios Florida, Universal s Islands of Adventure, and Wet n Wild Orlando water park, and attendance for winner and one (1) guest to one (1) Blue Man Group performance (exact date and time to be determined by Prize Provider in its sole discretion); and

3 attendance for winner and one (1) guest at the Concert on February 14, 2015 (Fair Market Value: $2,487.89). The total Approximate Retail Value of all prizes is $40, Prizes are provided by the Prize Provider. Travel must take place between February 12 and 15, 2015 or the prize will be forfeited, and travel is based on schedule and availability. Certain travel restrictions and blackout dates may apply. Each winner must be available to travel on the designated travel date. *For a winner who is a Florida resident, air transportation may be substituted with another method of transportation by Prize Provider in its sole discretion. If a winner is unavailable for travel on the designated date, the winner will be disqualified and the Sponsor reserves the right to select another winner in its sole discretion and if time permits. A minor must be accompanied by a parent or legal guardian. Minors must be accompanied at all times during trip (including, but not limited to, in-flight, hotel stay, and all prize-related events) by minor's parent or legal guardian. If a winner is the age of majority in his/her state of residence but is under twenty-one (21) years of age, he/she must be accompanied by a guest who is twenty-one (21) years of age or older in order to check in to the on-site hotel. Each winner and guest must travel out of the same airport and on the same itinerary. Final Grand Prize value may vary depending on city of departure, travel dates, and other factors. Any difference between the estimated value of the Grand Prize and the actual value will not be awarded to a winner. If a winner elects to partake in any or all portions of the Grand Prize with fewer than the allowed number of guests or no guest, components of the Grand Prize will be awarded in increments/quantities suitable for the actual number of travelers and the winner will not receive any compensation or substitute/alternate prize for same. All elements of the prize must be redeemed at the same time, and no changes will be permitted after confirmation of any redemption. Once issued, airline tickets are nontransferable and may not be reissued once travel has commenced. Open airline tickets may not be issued and stopovers are not permitted. All travel arrangements must be made through Prize Provider. FMV of Prize may vary depending upon the points of departure, ground transportation, and/or airline fare fluctuations; any difference between stated FMV and final FMV of Prize will not be awarded. Any service charges, meals, beverages, souvenirs, incidentals, gratuities, phone calls, seating upgrades, luggage fees, departure taxes or fees, inspection charges, security charges, travel insurance, and any and all other expenses not specifically mentioned herein are the sole responsibility of each winner. Each winner and guest is responsible for and must already own all necessary travel authorizations such as passports, visas, and/or government identification. Concert occurs rain or shine. Entertainment subject to change without notice. If, for any reason, the Concert is postponed or canceled, the Sweepstakes Entities shall have no further responsibility for that portion of the prize and the prize will be awarded without the Concert and/or Visit on the same itinerary. The Prize Provider reserves the right to substitute any portion of the prizes, including destination and travel dates, for an alternate prize of equal or greater value. No transfer, assignment, change of the prize, or cash substitution is permitted except at the sole discretion of the Prize Provider. If a winner cannot be contacted or is disqualified, the Sponsor reserves the right to determine an alternate winner in its sole discretion. Unclaimed prize(s) will not be awarded. Other restrictions may apply. All federal, state, and local taxes on the prize are the sole responsibility of the winner(s). ALL PRIZES ARE AWARDED "AS IS" AND WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED (INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE), AND ALL SUCH WARRANTIES ARE HEREBY DISCLAIMED. No more than the advertised number of prizes will be awarded. 6. CONDITIONS ON PARTICIPATION: If the participant is unable to verify registration information the participant will automatically be disqualified and their prize will be forfeited. The Sponsor reserves, at its sole discretion, the right to choose an alternative potential winner in the event that that a winner has been disqualified or is deemed ineligible. The Sponsor is not responsible for any change of address, mailing address, and/or telephone number of participants. Notification is deemed to have occurred immediately upon placing of a phone call or sending of an or any other form of communication Sponsor and/or Radio Show may use to contact the potential winner. The Sponsor and/or Radio Show is not obligated to leave voice mail, answering machine or other message. The Sweepstakes Entities are not responsible for and shall not be liable for late, misdirected or unsuccessful efforts to notify a potential winner or for any late, misdirected, or, if the potential winner is a minor, for late, misdirected, or unsuccessful efforts of the participant to provide signed parental or guardian consent. If the potential winner does not claim the prize within the appropriate time given upon notification or unless otherwise stated herein, the participant will automatically be disqualified and their prize will be forfeited, and no alternative prize will be substituted. Furthermore, eligible participants agree as follows: By participating, you agree (a) to be bound by these Official Rules; (b) as between you and the Sponsor, that the decisions of the Sponsor is final on all matters relating to the Sweepstakes; (c) you are not participating on behalf of any employer or third party; (d) in the event that you not comply with the Official Rules, then the eligible winner will be disqualified. The Sponsor, in its sole discretion, reserves the right to select an alternate potential winner at that time. 7. RELEASE FORM(S): The potential winner(s) and, if a potential winner is under the age of the majority in their state of residence (as noted in Section #2 above), the potential winner's parent or guardian, may (in the Sponsor s sole discretion) be required to complete and return an Affidavit of Eligibility/Liability Release (including, where permitted, a Publicity Release) (the Affidavit ) within fourteen (14) calendar days after the first (1st) delivery attempt to participant s address in order for the potential winner to be qualified for the prize. A potential winner s failure to return all required forms within this time period may result in the potential winner being disqualified and an alternate winner may be selected from all remaining eligible entries. Where applicable, the guest of a potential winner (or his/her parent or legal guardian if a guest is under the age of the majority in their state of residence (as noted in Section #2 above)) must complete a Liability Release (including, where permitted, a Publicity Release) prior to issuance of travel documents. The potential winner will be subject to a verification process, to include winner s name, address, home phone number, work/cell phone number, and social security number or taxpayer identification number.

TAMPERING AND DELIVERY DISCLAIMER: (a) The Sponsor, in its sole discretion, reserves the right to disqualify and prohibit from participating any person, who the Sponsor determines (in its sole discretion) is or is attempting to: (i) tamper with the Sponsor s website and/or any part of the Sweepstakes; (ii) attempting to undermine the legitimate operation of the Sweepstakes by cheating, deception, or other unfair playing practices, (iii) intending to annoy, abuse, threaten or harass any other participants or the Sponsor s Agents; and/or (iv) otherwise violating these Official Rules or the Terms of Use of the Sponsor s website. (b) ANY ATTEMPT TO DELIBERATELY DAMAGE THE SPONSOR S WEBSITE (OR ANY PART THEREOF) OR UNDERMINE THE OPERATION OF THIS SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD ANY SUCH ATTEMPT BE MADE, THE SPONSOR AND ITS LICENSEES (IF ANY) RESERVE THE RIGHT TO SEEK DAMAGES AND ANY OTHER AVAILABLE REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR ANY SUCH ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. If, in the Sponsor s opinion, there is any suspected or actual evidence of fraud, electronic or non-electronic tampering or unauthorized intervention with any portion of this Sweepstakes, or if fraud or technical difficulties of any sort (e.g., computer viruses, bugs) compromise the integrity of the Sweepstakes, the Sponsor reserves the right to void suspect entry and/or evaluations and/or terminate the Sweepstakes and award the prize in its sole discretion. The use of any automated launching or entry software or any other mechanical or electronic means that permits the participant to automatically enter or evaluate repeatedly is prohibited. In the event of a dispute as to the identity of a participant based on an address, the entry in question may be disqualified. For all sweepstakes, the Sponsor disclaims all liability for any delays, misdelivery, loss, or failure in the delivery of any item sent by mail, courier, express, electronic transmission, or other delivery method. The Sponsor is not responsible for mechanical, technical, electronic, communications, telephone, computer, hardware or software errors, malfunctions or failures of any kind, including: failed, incomplete, garbled or delayed transmission of online entries, traffic congestion on telephone lines, the Internet or at any website or lost or unavailable network connections which may limit an online participant's ability to participate in the Sweepstakes, and any injury or damage to participant s or any other person s computer related to or resulting from participating in or downloading any information necessary to participate in the Sweepstakes. If a sweepstakes is a call in to win sweepstakes and/or a telephone is needed to participate in the Sweepstakes, participants are restricted to the use of ordinary telephone equipment. Participants that enable the Caller ID block function will not be allowed to participate unless they enter their correct area code and telephone number if prompted, or disable the features inhibiting their participation in the Sweepstakes. Participants using equipment not set up for toll free phone exchanges (800, 888, 877, 866, etc.) may experience call connection problems. The Sponsor disclaims all liability for the inability of a participant to complete or continue a telephone call due to equipment malfunction, busy lines, inadvertent disconnections, acts beyond the Sponsor s control, or otherwise. Photocopies or mechanical reproductions of any entry forms are not permitted. By participating in a sweepstakes in which text message-based entry is permitted, participants acknowledge that text messages are distributed and delivered through third party providers; the Sponsor and Radio Show do not guarantee, and shall not be responsible for, the delivery or timeliness of any text message entry. Not all wireless carries support access to a common short code ( CSC ). The CSC being used to enter a sweepstakes may or may not be compatible with all wireless carriers, and as such, you may not be able to enter through the CSC method of entry. Participants may use the alternative entry method to ensure registration. The Radio Show will at all times consider the time that a message is logged as arriving in its system as being the time of entry, regardless of the time at which the participant attempted to send the entry and any technical problems or other complications that may have delayed its delivery. The Radio Show, through its third party text messaging administrators, will store all messages received on its system, and will send participants reply texts relating to the Sweepstakes throughout the Promotion Period and up to sixty (60) days. For help, text HELP and to stop, text STOP to the specified program short code and follow the instructions provided at the entry process. Standard text and data rates will apply. The Sponsor and Radio Show are not responsible for service outages, message failures, transmission delays, or any other factor affecting the availability or performance of the text messaging service. The Sponsor further reserves the right to cancel, terminate, or modify the sweepstakes if, in the sole discretion of the Sponsor, it is impossible or impractical to complete the sweepstakes as planned for any reason, including, but not limited to, infection by computer virus, bugs, tampering, unauthorized intervention or technical failures of any sort. The Sponsor may require, on request, proof of identity as to the rightful owner of the phone number from which the text message entry was sent. The Sponsor reserves the right, in its sole discretion, to disqualify any entry if that entry's source and sender cannot be reasonably determined. In the event of termination of the Sweepstakes by Sponsor, Sponsor reserves the right to award any prize(s) in a manner deemed fair and equitable by Sponsor. In no event will the type and quantity of prizes awarded exceed the number of prizes described in the Sweepstakes Official Rules. 9. PUBLICITY; USE OF PERSONAL INFORMATION: By participating, where allowed by law, all winner(s) grant the Sponsor exclusive permission to use their names, characters, photographs, voices, videotape, and likenesses in connection with promotion of this and other sweepstakes in any and all media now known or hereinafter invented without territorial or time limitations and waive any claims to compensation, royalty, right, or remuneration for such use. In the event that participant has agreed to any available opt-in opportunities provided from a third party, that may or may not be associated with this Sweepstakes, participant understands and acknowledges that information (including participant s personally identifiable information) provided will be collected independently by Premiere Radio Networks, Inc. (the Sponsor) and the third party providing the opt-in opportunity and individually be used by both companies subject to the terms of their respective privacy policies. Any available opt-in opportunities are not required to enter the Sweepstakes, and consent to opt-in will not improve your chances of winning. 10. RELEASES AND CONDITIONS: By participating in the Sweepstakes, each participant and winner waives any and all claims of liability against the Sponsor, its employees and agents, the Sweepstakes Entities and their respective employees and agents, for any personal injury or loss which may occur from the conduct of, or participation in, the Sweepstakes, or from the award, receipt and/or use or misuse of any prize, including any travel related thereto. As a condition of participating in the Sweepstakes, participants agree and acknowledge that in order to receive a prize, participants must sign an Affidavit provided by the Sponsor and agree to the terms herein, including but not limited to, the prize conditions in this paragraph. The prize(s) are subject to certain terms and conditions as specified herein. Winner(s) and, where applicable, winner s guest(s) must comply with all rules and regulations. Failure to do so may result in forfeiture of prize in its entirety. The prize elements will be awarded as described herein (subject to legal restrictions, etc). By accepting the prize, winner(s) must agree to the prize conditions on participation and must sign an Affidavit to be eligible to receive a prize and hereby agrees that: (i) that all decisions of the Sponsor, any judges, and Sweepstakes Entities with respect to the Sweepstakes are final and binding; (ii) to release the Sponsor, Radio Show, and Sweepstakes Entities and their respective parent companies and affiliates, officers, directors, employees, agents, and licensees from any and all claims in connection with the Sweepstakes and the award or use of the prize(s); (iii) to allow the Sponsor to and Sweepstakes Entities to use their names, voices, photographs, likenesses, biographical material, in any advertising or broadcasting material relating to this Sweepstakes, without additional financial or other compensation; and (iv) where allowed by law, sign a Publicity Release confirming such consent prior to acceptance of the prize. The Sweepstakes Entities are not responsible or liable to any participant or winner or any person claiming through such participant or winner for failure to supply the prize or any part thereof, by reason of any acts of God, any action, regulation, order or request by any governmental or quasi-governmental entity (whether or not the action, regulations, order or request proves to be invalid), equipment failure, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, volcanic eruption, war (declared or undeclared), fire, flood, epidemic, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal) labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond the Sweepstakes Entities sole control. All taxes, related fees, other costs and expenses related to prize acceptance and use not specified herein as being provided are the sole responsibility of winner(s). Sponsor and Sweepstakes Entities do not make, and are not responsible in any manner for, any warranties, representations, or guarantees, express or implied, in fact or law, relating to any prizes, regarding the use, value or enjoyment of the prize, including, without limitation, its quality, mechanical condition, or fitness for a particular purpose. The Sponsor will have no further obligation to winner(s). 11. TAXES: Any valuation of the prize stated above is based on available information provided to the Sponsor, and value of any prize awarded to a winner will be reported for tax purposes as required by law. Winner(s) are solely responsible for reporting and paying any and all applicable taxes related to the prize and paying any expenses associated with any prize(s) which are not specifically provided for in the Official Rules. Winner(s) must provide the Sponsor with valid identification and a valid taxpayer identification number or social security number before any prize will be awarded. Any person winning over $ in prizes from the Sponsor will receive an IRS form 1099 at the end of the calendar year and a copy of such form will be filed with the IRS. 12. CONDUCT AND DECISIONS: By participating in the Sweepstakes, participants agree to be bound by the decisions of Sponsor personnel. Persons who violate any rule, gain unfair advantage in participating in the Sweepstakes, or obtain winner status using fraudulent means will be disqualified. Unsportsmanlike, disruptive, annoying, harassing or threatening behavior is prohibited. The Sponsor will interpret these rules and resolve any disputes, conflicting claims or ambiguities concerning the rules or the Sweepstakes and the Sponsor s decisions concerning such disputes shall be final. If the conduct or outcome of the Sweepstakes is affected by human error, any mechanical malfunctions or failures of any kind, intentional interference or any event beyond the control of the Sponsor, the Sponsor reserves the right to terminate this Sweepstakes, or make such other decisions regarding the outcome as the Sponsor deems appropriate. If, for any reason, more bona fide winners come forward seeking to claim a prize, the winner may be selected in a random drawing from among all persons making purportedly valid claims for the prize. Inclusion in such drawing shall be each participant's sole and exclusive remedy under such circumstances. No more than the advertised number of prizes will be awarded. All decisions will be made by the Sponsor and are final. Any reference in these Official Rules or as part of the Sweepstakes to the Sponsor s and/or Radio Show s "discretion" and/or any

6 exercise of discretion by Radio Show or the Sponsor shall mean in Sponsor s and/or Radio Show s "sole and unfettered discretion." Any attempt by a participant or any other individual to deliberately circumvent, disrupt, damage or undermine the legitimate operation of this Sweepstakes is a violation of criminal and civil laws. Should such an attempt be made, the Sponsor reserves the right to seek civil and/or criminal prosecution and/or damages from any such person to the fullest extent permitted by law. The Sponsor further reserves the right to: (i) terminate or declare any Sweepstakes null and void and rescind any prize, if in its sole judgment, the rules or the integrity of the Sweepstakes have been violated or compromised in any way, intentionally or unintentionally by any person whether or not a participant in the Sweepstakes; (ii) cancel, terminate or modify the sweepstakes if, in the sole discretion of the Sponsor, it is impossible or impractical to complete the Sweepstakes as planned for any reason, including, but not limited to, infection by computer virus, bugs, tampering, unauthorized intervention or technical failures of any sort; (iii) alter or amend these Official Rules at any time; and (iv) stop or conclude the Sweepstakes at any time without prior notice. Material changes to the Official Rules will be broadcast on-air, when practical. 13. MISCELLANEOUS: Void outside the United States, and wherever prohibited or restricted by law. Sponsor reserves the right to determine eligibility should special circumstances arise, all decisions are considered final and binding. These rules are designed to be fair and equal to all participants. Odds of winning depend upon the number of eligible entries received during the Promotion Period. Any winner must submit proof of eligibility and sign the Sponsor s Affidavit to claim the prize. The Sponsor may substitute prizes, amend the rules, or discontinue the Sweepstakes at any time as announced on the Radio Show. The Sponsor disclaims any responsibility to notify participants of any aspect related to the conduct of the Sweepstakes. The Sponsor is not responsible for any typographical error in the printing of these Official Rules, administration of the Sweepstakes, or in the announcement of the Sweepstakes prizes. All entries become the property of the Sponsor and will not be returned. As a condition of participating in the Sweepstakes, participants agree (and agree to confirm in writing): (a) under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (b) all causes of action arising out of or connected with this Sweepstakes, or any prize awarded, shall be resolved individually, without resort to any form of class action; (c) any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, excluding attorneys fees and court costs; and (d) claims for bodily injury, personal injury, or property damage arising out of the redemption, use or misuse of the Prize or any portion thereof must be submitted to the jurisdiction and venue of the federal and state courts of the State of Florida, and construed and enforced in accordance with the laws of the State of Florida, without reference to the choice of law provisions thereof. Participation in the Sweepstakes constitutes participant s full and unconditional agreement to, and acceptance of these Official Rules. Winning a prize is contingent upon participant s fulfillment of all requirements set forth herein. 14. JURISDICTION: By entering, participants agree that all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, participant s rights and obligations, or the rights and obligations of the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of State of Texas without giving effect to any choice of law or conflict of law rules. By entering, participants consent to the jurisdiction and venue of the federal, state, and local courts located in Bexar County, Texas. 16.
