Dear Mr. Dye: Midwest Right of Way Services, Inc. is pleased to provide this proposal for right of way services for the above referenced project. We provide the following information for your consideration: CONSULTANT AND KEY PERSONNEL Consultant - Key Personnel - Midwest Right of Way Services, Inc A Street Omaha, Nebraska (402) (402) FAX Mr. Jack Borgmeyer - Project Manager PROJECT UNDERSTANDING This project involves the acquisition of up to four commercial properties, one four-plex residential property, and seven single family residences for construction of a new high school located northeast of the intersection of 60th and L Streets in the City of Omaha. The Omaha Public School District will acquire the Faith Christian Fellowship of Omaha, Inc. properties. In addition to the acquisition of the real estate, relocation assistance will be provided to the owner and tenant occupants. Relocation assistance will be necessary for the eight business owners / business tenants, nine residential tenants, and six residential owner-occupants. PROJECT MANAGEMENT This task will involve coordination of all project elements so that work is initiated as it should be, appropriate progress is made, and schedules are met. Coordination and scheduling of the acquisition and relocation assistance will be the responsibility of the project manager.

2 Page 2 TITLE SEARCH Title insurance commitments will be ordered for the properties to be acquired in order to determine fee ownership and any liens and encumbrances which will affect the title. The school district will provide the title commitments for this project and supply Midwest with a copy of the reports. APPRAISALS This task involves preparation of appraisal reports which will provide values for the property to be acquired. The appraisal reports will be contracted by Omaha Public Schools and copies will be furnished to Midwest Right of Way Services for use in our tract files. ACQUISITION The first step in the acquisition process is to review the title work and appraisals so that the necessary purchase documents can be prepared. After the documents have been prepared and reviewed, an offer will be made to the property owner in writing. We will attempt to meet with each property owner at least three times, if necessary. During our visits, we will verify ownership information and ask for tenant information on the property. Each visit will be documented on a call report and kept in the parcel file. If necessary, recommendations for a negotiated settlement will be made to Omaha Public Schools. When an agreement is reached, we will obtain the necessary signatures of all interested parties on the conveyance documents. Our goal will be to acquire the necessary right of way through amicable negotiations. If condemnation is required, we will work with the district s attorney to file the necessary documents and be available to assist them in trial preparation or court testimony. RELOCATION ASSISTANCE SERVICES Midwest Right of Way s relocation agents will provide relocation assistance and advisory services in accordance with the Uniform Relocation Assistance and Real Property Acquisition Policies Act of 1970, as amended, and the Nebraska Relocation Assistance Act. They will meet with school district representatives to discuss the scope of work before beginning any activities relating to relocation assistance. Midwest will follow the general procedures, provide services, create and maintain records, and submit reports and status reports as required by Omaha Public School s procedures. The tasks involved with relocation activities include initial interviews with displacees, preparation of studies, presentation of offers, inspecting replacement properties, attending closings, monitoring moves, processing and reviewing claims, and providing advisory assistance. Midwest s relocation agents will be Maria Rodriguez, Gene Gilmore or Stacey Kroeger.

3 Page 3 TEAM MEMBERS Jack Borgmeyer, SR/WA, R/w-RAC, is President of Midwest Right of Way Services, Inc. Borgmeyer is qualified to complete all aspects of the right of way process. His experience includes right of way title searches, land and easement acquisition, relocation, condemnation testimony, and project management. Borgmeyer has over 30 years of experience relating to real estate and right of way in Nebraska, Iowa and Kansas. Gene Gilmore, R/W-RAC, Relocation Agent, will provide relocation and advisory assistance as needed. Gilmore has over 35 years experience handling all types of relocation cases in Nebraska, Iowa and Kansas. His experience includes several large, complicated relocations such as two foundries, several salvage yards, and two lumber yards. Stacey Kroeger, R/W-RAC, has worked for Midwest Right of Way Services since February, She was the contract and document specialist assisting with relocation and acquisition file management and organization. Since September, 2004, she has performed acquisition negotiations and relocation assistance for several state and local projects in Iowa, Nebraska and Kansas, and is currently working on an Iowa DOT ADA Ramp Project. Denny Bliss, Right of Way Agent, has worked for Midwest Right of Way Services since July of He has performed acquisition negotiations for airport, roadway, and drainage projects. His experience also includes preparation and review of legal descriptions, review of land title reports, as well as the ability to read, interpret and draw engineering plans. He is also an experienced CADD technician. Dave Minino, Right of Way Agent, has worked for Midwest Right of Way Services since March of He has performed title searches and acquisition negotiations for roadway, drainage and utility projects and brings over eight years of real estate experience to our team. Maria Rodriguez, Right of Way Agent, brings over six years of relocation assistance and acquisition experience to Midwest s team. She has worked on various types of projects including airport, roadway, John E. Borgmeyer, Right of Way Agent, joined the company in June of He has degrees from McNally Smith College in St. Paul, MN and the University of Nebraska at Omaha, and has experience with land acquisition for roadway, utility and drainage projects in Nebraska. Rita Unruh provides office support and document preparation for Midwest Right of Way s acquisition and relocation agents. She has over 10 years of experience providing administrative support.

4 Page 4 PAYMENT FOR SERVICES Midwest Right of Way Services proposes the right of way services detailed above for the following hourly fees: Hourly Salary Rates Project Manager $95.00 Right of Way Agent/Relocation Agent $85.00 Mileage at Standard IRS Rate $0.575 per mile The maximum fees for each task will be as follows: Task Maximum Fee Project Management 70 $95 per hour $6, Acquisition Negotiations 12 $2, each $24, Relocation Assistance 23 $7,500 each $172, Total Maximum Fee $203, The maximum fee for the project, which includes right of way project management, acquisition negotiations and relocation assistance, is $203, Hourly fees will be billed at our standard hourly rate plus expenses. If additional work or meetings are requested beyond the scope indicated in this proposal, we will contact you to discuss revising the contract amount before the additional work is started. Invoices will be sent on an approximate monthly basis for services rendered. PROJECT STATUS REPORTS Project status reports will be submitted to Omaha Public Schools as needed. Each report will detail the status of the acquisitions and relocation cases and any remarks which may need to be addressed.

5 Page 5 COMPLETION DATE Midwest s relocation agents will complete the relocation interviews and studies and present the offers and vacating notices in a timely manner in accordance with the district s schedule. If condemnation is necessary or if comparable housing is not available, the presentation of the relocation offer may be delayed. Midwest Right of Way Services will work with the Omaha Public Schools to complete all right of way related activities in the shortest possible time. If the above described items are satisfactory to you, please sign and date the original and duplicate original of this letter in the space provided. Keep one executed copy of this letter for your files and return the duplicated copy to us for our files. Receipt of this letter contract will be considered our formal notice to proceed with the work.
