When additional requirements other than those indicated in paragraph 6 have been confirmed, such requirements are attached and form an integral part of this Agreement. The Operator may not utilise these rates to sell the hotel (web/brochure) as "Hotel Only". Packaging of these rates with another product (min. flights) is mandatory. The above rate(s) may only be used for bookings pertinent to your published programme which is freely available to the general public and in which THE HOTEL is featured. A copy of the programme should be forwarded to THE HOTEL as soon as this is available. Whilst THE COMPANY will supply to THE OPERATOR such information as THE OPERATOR requires, it shall be the responsibility of THE OPERATOR to ensure that the brochure and other publicity materials are correct in their descriptions of THE HOTEL and its facilities at the time of the Agreement and to indemnify THE COMPANY against claims arising therefrom. 8. The conditions overleaf shall form part of this Agreement. 9. A copy of this agreement should be signed and returned, as confirmation of your acceptance of the terms and conditions outlined herein, on or before the following date, or all arrangements will become invalid. 10. The hotel reserves the right to issue Stop Sales and/or reduce the allocation at its own discretion. The Hotel undertakes to hold at the disposal of the Tour Operator the rooms detailed in this agreement for the period stated and at the prices shown. Prices are quoted per room per night inclusive of VAT, net of commission in Euro currency. 2. The Tour Operator accepts the on request Basis and undertakes to promote and advertise them for the accommodation of clients throughout the period of the contract. 3. The Tour Operator undertakes, when working his costing, to use the prices stipulated in this agreement and shall promote and advertise the hotel at competitive prices. 4. The tour operator has to provide a voucher to the guest, which has to be presented upon check in. If a voucher is not available a rooming list or booking form shall replace the guest voucher. In this case the hotel is to inform the local agent that such rooming list / booking form is replacing the voucher. 5. When accommodation is cancelled within seven (7) days of the booked arrival date, the Hotel shall be entitled to claim payment of cancellation fees of three (3) days services ordered. In cases of no shows the Hotel shall be entitled to claim full compensation for services ordered but in any event will not be less than three (3) days of services ordered. Any reservation required after allocation has been released or filled has to be specifically requested by the Tour Operator unless sell and report facilities have been extended. No additions or alterations after the release date can be made without approval by the Hotel. In the event that the Hotel will not accept to replace a booking, which has been, cancelled after the release date (as aforesaid) the Hotel shall forfeit the right to claim cancellation fees in respect of the booking. 6. The Tour operator shall provide a true and proper status report of sales with reference to each and every programmed date of arrival in respect of the allocation granted if requested so to do. The Hotel will reserve the right to increase or decrease the allocation on the basis of sales report 7. Payment for the accommodation will be made by the Tour Operator on behalf of the client after the departure of the clients and on receipt of the Hotel s account. Payment is to be effected by not later than the last day of every month for all invoices covering clients departure during the previous month. Payments made directly by the Tour Operator overseas are to be in the form of swift transfers, bank draft or banker s cheque payable in local Currency to: Account Name: The Xara Palace Hotel Account Number: Sort Code: Swift Code: MMEBMTMT IBAN-Number: MT94MMEB Payments in foreign currency will not be accepted by the Hotel. If payments are made by a local agent on behalf of his principals, these are to be made payable to..the XARA PALACE, RELAIS AND CHATEAUX.. The hotel reserves the right to charge interest in accordance to LN 233 of 2005 of the Laws of. 9. The Tour Operator guarantees the payment of the client s account. In the event of the Tour Operator failing to make payment in accordance with the terms of Clause Eight (8), the Hotel shall be under no obligation to accommodate future clients and shall be entitled to serve notice informing the Tour Operator that it is (a) suspending the contract until payment iseffected or (b) rescinding it; this without being responsible for any damages which the Tour Operator or any other person may suffer and without prejudice to any other right competent to the Hotel at law.

No claims for refunds or reductions shall be considered by the Hotel unless such claims are based upon complaints which are lodged with the Hotel manager or his deputy during the client s stay in the Hotel, either directly or through the local representative of the Tour Operator concerned. Under no circumstances will the hotel be liable for compensation unless the Hotel admits liability in writing in respect of any claim for any breach of this agreement alleged to have been committed by the Hotel. 11. In the event of any other breach of any other Clause of this agreement by the Tour Operator or the Hotel, the parties shall be entitled to refer the matter to the Council of the Hotel and Restaurant Association and this without any prejudice whatsoever to all their other rights at law. 12. It is not a condition of this agreement that the Hotel contributes towards the cost of the production of the Tour Operator s brochures. (Alternatively, where the hotel is charged a brochure contribution, this is to be in the form of a tax invoice and is to be accompanied by a copy of the brochure in question.) 13. In the event that the Hotel finds itself unable to honour a booking by providing the accommodation within the Hotel, it shall at the Hotel s expense, provide alternative accommodation and other services in another Hotel of the same or superior category to the satisfaction of the Tour Operator s local representative and in such case, the Hotel shall be deemed to have fulfilled its obligations arising from this agreement and shall be exonerated from any liability for breach of contract.

5 Misral Il-Kunsill Mdina MDN1050 Terms & Conditions 14. This allocation agreement is subject to Stop Sales should the need arise according to the Hotel's discretion. 15. In the event that this agreement is being signed by a local agent/representative on behalf of his principals, the local agent/representative shall be deemed to be jointly and severally responsible and liable together with his principal for the execution of all obligations under the agreement. No declaration on the local agent s/representative s voucher or any other document to the effect that the local agent/representative is not responsible as stated above shall affect the contents of this clause. The local agent/representative shall only be relieved from his obligations towards the Hotel arising from this clause if he obtains a declaration from the Hotel signed by its General Manager expressly stating that the Hotel is waiving its rights against the local agent/representative arising from Clause The Hotel reserves the right to increase the following rates if any increases are imposed by action of the Government or any Government Agency which ipso facto will have effect on all, or any, section or category of Hotels after the date of this agreement. 17. The Tour Operator shall, before the final printing, submit his intended advertising material (including photographs) to the Hotel for its approval. Should the Tour Operator fail to submit the advertising material as aforesaid, the Hotel will not be responsible for any inaccuracies therein printed. 18. The Hotel shall ensure that at all times during the duration of this agreement its structure and contents and the services offered and the goods supplied by it comply fully with the laws of the land and any codes of recommended practice (including those promulgated by trade associations of which the hotel is a member) 19. This contract reflecting the terms and conditions as stated above shall be deemed accepted only if it is signed and returned to the Hotel at the registered address of the Company within four (4) weeks from the date on the contract. In the event that the Tour Operator fails to return a signed copy of this agreement to the Hotel within four (4) weeks from the date entered on page one, the Hotel shall be under no obligation if the Hotel deems fit to rescind contract. 20. This agreement shall be governed and construed in accordance with the Laws of. Further more, the Courts of shall have sole and exclusive jurisdiction to determine any dispute, which may arise between the Hotel and the Tour Operator. 21. It is a condition of this agreement that the quoted rates will not be featured bare on any website be that of the contracting partner or third parties. It is imperative that these Tour Operator rates form part of a Holiday Package which as a minimum should consist of 3 elements, i.e. Hotel accommodation, air transportation and one land arrangement. Failure by the Operator to adhere to these provisions may result in the Rates being withdrawn. 22. These rates are NOT to be displayed on ANY website unless approved by Xara Palace Hotel Co. Ltd. and supported with the signed agreement and written approval for online distribution. It is imperative that these Tour Operator Rates form part of a Holiday Package which as a minimum should consist of three elements, i.e. hotel accommodation, air transportation and one land arrangement. Failure by the Tour Operator to adhere to these provisions may result in the Rates being withdrawn.
