1 Senior Management Jochen Tilk President and Chief Executive Officer Jochen Tilk is President and Chief Executive Officer of PotashCorp. He joined the company in 2014 in his current capacity, and serves as the Chairman of Canpotex Ltd. He is also a director of both The Fertilizer Institute and the International Fertilizer Association, and is a member of the Canadian Council of Chief Executives and the C. D. Howe Institute. Mr. Tilk came to PotashCorp after a 30-year career in the mining industry, most recently serving as President and CEO of Inmet Mining Corp., a Canadian metals company with operations and projects in numerous countries around the world, between 2009 and During his 24 years at Inmet, Mr. Tilk helped grow that company s market capitalization through asset optimization, organic growth and strategic acquisitions. He led a multi-billion dollar capital expenditure program including new mine developments in Spain and Central America and helped establish a portfolio of assets that was recognized as a leader in quality and cost. Mr. Tilk is a mining engineer and holds a Master's degree in engineering from the University of Aachen in Germany. He is a passionate runner and a strong community supporter. In 2013, he served as the Honorary Chair of the Princess Margaret Cancer Foundation's Ride to Conquer Cancer.

2 Wayne Brownlee Executive Vice President and Chief Financial Officer Wayne Brownlee was appointed Executive Vice President, Treasurer and Chief Financial Officer in Prior to that he served PotashCorp seven years as Senior Vice President, Treasurer and Chief Financial Officer. He has also held the positions of Senior Vice President, Expansion and Development; Vice President, Expansion and Development; and Director, Business Development. In 1989 he coordinated the privatization of PotashCorp, which transformed it from a provincial Crown corporation to a publicly traded company. As head of expansion and development efforts in the 1990s, he was instrumental in the acquisition of more than US$4 billion in assets. Prior to joining PotashCorp, Mr. Brownlee served in the Saskatchewan Department of Finance, including three years as Associate Deputy Minister of the Treasury Board Division. He earned a bachelor s degree in Science and a master s degree in Business Administration from the University of Saskatchewan. Mr. Brownlee is a member of the Dean s Advisory Council of the Edwards School of Business at the University of Saskatchewan. He is also a director of the Saskatoon Community Foundation and the Saskatoon Public Schools Foundation and is Co-Chair of the Wanuskewin Heritage Park fundraising campaign.

3 Stephen Dowdle President, PCS Sales Stephen Dowdle was appointed President, PCS Sales in 2010, after 11 years with the Fertilizer Sales division, most recently as Senior Vice President. In addition to frontline experience with international and domestic customers, he has broad knowledge in agronomy and soil microbiology. He joined PotashCorp in 1999 as Vice President, International Fertilizer Sales, and one year later was promoted to Vice President, Fertilizer Sales. In 2006, he was named Senior Vice President, Fertilizer Sales, with responsibility for all domestic and international fertilizer transactions. He is on the board of Canpotex Limited, Sinofert Holdings Ltd. (Sinofert) and the International Plant Nutrition Institute. Mr. Dowdle gained extensive international experience during 10 years as Vice President and Managing Director for Canpotex (Singapore) Pte. Ltd., and four years as Director, China Programs, for the Potash & Phosphate Institute. He has a PhD in Agronomy and Soil Science from the University of Hawaii, and a BA in Anthropology from Brown University.

4 Mark Fracchia President, PCS Potash Mark Fracchia was appointed President, PCS Potash in He was previously Vice President, Safety, Health and Environment, with responsibility for PotashCorp's safety and environmental performance, for three years. Mr. Fracchia has worked in a variety of capacities at the company's potash operations, rising to the position of General Manager at Rocanville ( ), Lanigan ( ) and New Brunswick ( ). He began his career with Kalium Canada Ltd. He joined Potash Company of America at its Patience Lake mine in 1984, and was involved in its conversion to solution mining in He was Technical Superintendent when the company was purchased by PotashCorp in 1993, and was promoted to General Superintendent in Mr. Fracchia has a degree in chemical engineering from the University of Saskatchewan. He is a member of the Association of Professional Engineers and Geoscientists in Saskatchewan and also a member of the Canadian Institute for Mining.

5 Raef Sully President, PCS Nitrogen and PCS Phosphate Raef Sully was appointed President, PCS Nitrogen and PCS Phosphate, in He had most recently served as President, PCS Nitrogen, a post he d held since He was previously Vice President, Project Management and Capital, with responsibility for managing PotashCorp s capital program and large projects, after originally joining PotashCorp in 2012 to oversee the company s potash expansion program. Mr. Sully began his career at Hyder Consulting PLC (formerly Acer Wargon Chapman) in Sydney, Australia. As an Associate Director, he was involved for almost five years in engineering design and construction management of tall buildings and large infrastructure projects. From 2001 to 2012, he worked at Bain & Company and was a Principal in their mining and resources practice. Mr. Sully has a Bachelor of Engineering (Honors) in civil engineering and a PhD in structural engineering from the University of Sydney.

6 Joseph Podwika Senior Vice President, General Counsel and Secretary As Senior Vice President, General Counsel and Secretary, Joseph Podwika is responsible for delivery of legal services to PotashCorp and for the corporate compliance program as well as oversight of corporate governance processes in his role as corporate secretary. He was appointed to this position in He joined PotashCorp in 1997 as litigation and general business counsel at its Memphis office and later became senior counsel to the phosphate business in Northbrook, where he also assumed responsibility for all US legal affairs. He was named Vice President, General Counsel and Secretary in Before joining PotashCorp, Mr. Podwika worked in the legal department of International Paper Company in Memphis and was in private practice with Jaeckle, Fleischmann & Mugel of Buffalo, New York. He earned an English degree with highest honors at State University of New York at Buffalo and a Juris Doctorate from Northwestern University School of Law. He is a member of the American and Canadian bar associations, the Association of Corporate Counsel and the US and Canadian societies of corporate secretaries and governance professionals.

7 Darryl Stann Senior Vice President, Finance and Chief Risk Officer Darryl Stann was appointed Senior Vice President, Finance and Chief Risk Officer in Mr. Stann joined PotashCorp in 2003 and most recently held the positions of Vice President, Procurement; Vice President, Industrial Sales; Vice President, Marketing; and Senior Director, Corporate Reporting and Business Development. Before joining PotashCorp, he spent most of his career at Deloitte (a leading global professional services firm) in Canada and Australia, providing financial advisory, consulting and assurance services to large multinational companies. He has a Bachelor of Commerce degree with great distinction from the Edwards School of Business at the University of Saskatchewan. Mr. Stann also holds the designations of Chartered Professional Accountant (CPA, CA) in Canada and Certified Public Accountant in the US. Mr. Stann is a member of the board of directors of the Canadian Chamber of Commerce and sits on its Finance and Audit Committee.

8 Kevin Graham Senior Vice President, Strategy and Corporate Development Kevin Graham was appointed Senior Vice President, Strategy and Corporate Development in He is responsible for strategy; corporate and capital planning activities; business development and market intelligence. Mr. Graham has more than 13 years experience in the metals and mining industry. He began his career at Hatch where he worked on a number of operational and capital projects within the industry before moving to McKinsey & Company to work with clients focused on strategic and value creation opportunities. Before joining PotashCorp, Mr. Graham was Chief Strategy and Technical Officer with Vale Base Metals. In this position, his responsibilities included strategic and business planning, business development, brownfield exploration, operational excellence, and health, safety and sustainability. He obtained a Bachelor of Engineering (Metallurgical) from McGill University and holds a Doctorate of Philosophy (Materials Science and Engineering) from McMaster University. Mr. Graham is currently working toward his Masters in Business Administration from the International Institute for Management Development (IMD) in Lausanne, Switzerland.

9 Brent Poohkay Senior Vice President, Information Technology Brent Poohkay was appointed Senior Vice President, Information Technology in He is responsible for PotashCorp's IT services, including the development and execution of IT strategy that supports operational excellence across the organization. Prior to joining PotashCorp, Mr. Poohkay held a range of senior management and executive roles in academia and the private sector. Most recently, he was with Enbridge Inc. for more than 10 years as Vice President & Chief Information Officer and Chief Privacy Officer, overseeing transformation of the company s IT services to an integrated one-team model. Mr. Poohkay holds a Master s Degree in Education as well as a Master s Degree in Business Administration from the University of Alberta. He has been active in the community as Chair of the Board of Directors for TELUS Spark, the new science centre in Calgary, Canada. He also captained the Enbridge team in the Ride to Conquer Cancer and was involved in the United Way.

10 Denita Stann Senior Vice President, Investor and Public Relations As Senior Vice President, Investor and Public Relations, Denita Stann is responsible for external communications and engagement with many of PotashCorp s key stakeholders. She leads an integrated team focused on proactive communications and relationship-building with investors, media, governments and communities. Ms. Stann joined PotashCorp in 2006 and assumed responsibility for leading the Investor Relations team. She was appointed Vice President, Investor and Public Relations in 2011 and became Senior Vice President in Before joining PotashCorp, she spent most of her career in the mining industry. As a member of the senior management team at Agrium s Saskatchewan potash operations, Ms. Stann oversaw the finance, information technology, purchasing and materials management departments. In previous jobs, she had been Manager, Finance with Areva Resources Canada (the uranium arm of Areva, a global nuclear and renewable energy company), and had served mining clients of PricewaterhouseCoopers (formerly Coopers & Lybrand) in Sydney, Australia. She has a Bachelor of Commerce degree from the University of Saskatchewan, and has earned her Canadian designation as a Chartered Accountant and her US designation as a Certified Public Accountant.

11 Lee Knafelc Senior Vice President, Human Resources and Administration Lee Knafelc was appointed Senior Vice President, Human Resources and Administration in 2016, with responsibility for the company s global human resources. He was most recently Vice President, Human Resources and Administration, a position he had held since Mr. Knafelc also oversees diversity and inclusion, corporate benefits and insurance, human resources finance and information systems, facilities management, travel and meeting services. He joined PotashCorp in 1998 as Human Resources Superintendent at Lanigan Division, and moved to head office in 2004 as Director, Industrial Relations and People Development. In 2007, he was named Senior Director, Human Resources. Mr. Knafelc began his human resource management career at Federated Co-operatives Limited in Saskatoon in In 1995, he became Human Resources Manager, Western Canada for CSP Foods and in 1997, Director of Human Resources. He studied General Arts for one year at l Université Canadienne en France at Villefranche-sur-Mer, France before obtaining a Bachelor of Education degree with great distinction at the University of Saskatchewan in He has taken credit courses in labor relations and law, compensation, employee relations and staffing. He is a Certified Human Resource Professional and a member of the Saskatchewan Association of Human Resource Professionals, serving on its Board of Directors. Mr. Knafelc is a director of the Saskatchewan Mining Association.
