ANNUAL DIRECTORS' REPORT For the year ending December 31, 2013 Orga11isatio11al structure EUROPEAN SICA V ALLIANCE (E.S.A.) is a multiple sub-funds investment company ("Sicav") incorporated under the Luxembourg law of December 20, 2002 on Collective Investment Undertakings and under the law of August 10, on Commercial Companies, as amended. E.S.A. is subject to part II of the Luxembourg law of December 17, 2010 on Collective Investment Undertakings and obtained a visa from the Commission de Surveillance du Secteur Financier ("CSSF") in Luxembourg. The latest prospectus as per the end of the year under review is dated April Sub-funds 111itlti11 E.S.A. during 2013 GLOBAL FUTUR ES FUND - started trading in March 2006 and is an open-ended sub-fund with four share classes: Category A nominated in CHF, Category B nominated in EUR, Category C nominated in USO and Category D nominated in USD (only for institutional investors). All the share classes have weekly liquidity and are operating for an unlimited period. The sub-fund is a sing le-adviser sub-fund and is still managed by W inton Capital Management Limited. RPM EVOLVING CTA Fund - a multi-adviser fund trading a diversified global portfolio of exchange traded derivative instruments. Ten Categories of Shares are available in RPM EVOLVING CTA Fund: Category A Shares: USD Shares, Category A-I Shares: USD Shares, Category B Shares: JPY Shares, Category B-I Shares: JPY Shares, Category C Shares: USO Shares, Category D Shares: JPY Shares, Category E Shares: SEK Shares, Category F Shares: EUR Shares, Category G Shares: C HF Shares and Category H Shares, GBP shares. Category A-I Shares has been trading s ince September 2010, Category C Shares since April 2006 until February 2013, Category D Shares since July 2009 until February 2013, Category E Shares since June 2013, Category F shares since June and Category G Shares since December The sub-fund had the following managers as per December 31, 2013: Bleecker Street Capital LLC, PGR Capital LLP, Revolution Capital Management LLC, Prescient Ridge Management LLC (new), Paskewitz Asset Management LLC (new), KeyQuant SAS (new) and IMC Asset Management B.V. (new). Harmonic Capital Partners LLP, Estlander & Partners Ltd, Aspect Capital Limited, Transtrend B.V., W inton Capital Management Ltd, GLC Ltd., Quantitative Investment Management LLC and Emil van Essen LLC were closed down during GALAXY - a multi-adviser fund trading a diversified g lobal portfolio of exchange traded derivative instruments. GALAXY has five share classes: Category A shares are nominated in EUR, Category B shares are nominated in CHF, Category C shares are nominated in EUR, Category D shares are nominated in USO and Category E shares are nominated in SEK. Category A Shares has been trading since September 2002, Category B Shares since August 2005, Category C Shares since August 2005, Category D Shares since May 2009 and the fund had the fo llowing managers as per December 3 1, 2013: Transtrend B.V., Winton Capital Management Ltd. and Quantitative Investment Management LLC. No managers were closed down during Recovery of the frozen assets in E.S.A. - Insulate A sub-fund approved by the CSSF in June 2006 to isolate and liquidate the assets of E.S.A. held with Refco Capital Markets, Ltd. ("RCM") which has been frozen due to the on-going bankruptcy proceedings in Refco. E.S.A. - Insulate is closed to subscription. A liquidation repo11 has been drawn by the Board of Directors on March 10, 2009 and an amount of 5,980, USD corresponding to USD per share has been distributed to the shareholders in April A second distribution for an amount equal to 1,823, USO corresponding to USO per share was available for distribution and a second repo11 on such distribution has been drawn by the Board of Directors on August I 0, 20 I 0. The amount was paid out to the shareholders on August 25, 20 I 0. As additional amounts have been received from the Refco liquidator, a third distribution for an amount equal to 1,302, USD corresponding to USD per share has been done in June The Board of Directors have decided not to proceed with the final liquidation of the Sub-Fund until the Refco bankruptcy proceedings in the US are closed or there is otherwise official confirmation that no further distribution will be made fro m the Refco bankruptcy estate. REPORT OF THE REVISEUR D ENTREPRISES AGREE To the Shareholders of EUROPEAN SICAV ALLIANCE (E.S.A.) 5, Allée Scheffer L-2520 Luxembourg We have audited the accompanying financial statements of EUROPEAN SICAV ALLIANCE (E.S.A.) (the SICAV ) and each of its sub-funds, which comprise the statement of net assets, the statement of open positions on financial futures contracts as at December 31, 2013 and the statement of operations and changes in net assets for the year then ended and a summary of significant accounting policies and other explanatory information. Board of Directors of the SICAV responsibility for the financial statements The Board of Directors of the SICAV is responsible for the preparation and fair presentation of these financial statements in accordance with Luxembourg legal and regulatory requirements relating to the preparation of the financial statements, and for such internal control as the Board of Directors of the SICAV determines is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error. Responsibility of the Réviseur d Entreprises agréé Our responsibility is to express an opinion on these financial statements based on our audit. We conducted our audit in accordance with International Standards on Auditing as adopted for Luxembourg by the Commission de Surveillance du Secteur Financier. Those standards require that we comply with ethical requirements and plan and perform the audit to obtain reasonable assurance about whether the financial statements are free from material misstatement. An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in the financial statements. The procedures selected depend on the judgement of the Réviseur d Entreprises agréé, including the assessment of the risks of material misstatement of the financial statements, whether due to fraud or error. In making those risk assessments, the Réviseur d Entreprises agréé considers internal control relevant to the entity s preparation and fair presentation of the financial statements in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the entity s internal control. An audit also includes evaluating the appropriateness of accounting policies used and the reasonableness of accounting estimates made by the Board of Directors of the SICAV, as well as evaluating the overall presentation of the financial statements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our audit opinion. Page 5

Other matter Supplementary information included in the annual report has been reviewed in the context of our mandate but has not been subject to specific audit procedures carried out in accordance with the standards described above.
