1 1 ADDITIONAL CONSULTANTS FOR THE PUBLIC PRIVATE PARTNERSHIP CENTER AND THE DEPARTMENT OF FINANCE 1. Expansion of the PPP Center s consultant pool is proposed to strengthen PPP Center s capacity in thematic issues to better respond to the increased demand of the linedepartments and LGUs. The pool of 12 consultants at the PPP Center will be augmented with core and non -core consultants: 1 a. Core consultants are those who can apply their knowledge and expertise across many sectors or provide support to the operations of the PPP Center regardless of the projects. These consultants will in total require 14 personmonths of international and 105 person-months of national consultant inputs. The details on each position are below: i. Project Finance Expert (international consultant; 6 person-months;. 1. Broad tasks: using international expertise and best-practice review and develop project structuring options, financial packaging, capital market soundings, conduct viability gap financing analysis for big, critical or complex PPP projects requiring international expertise, advise on insurance, credit enhancement, guarantee products available in the market, review financial models of PPP projects. a. Education: post-graduate degree in business administration, economics, finance, or other PPP-relevant field from a reputable university. b. Work experience: At least 15 years of international experience in providing PPP transaction advisory services/development of large infrastructure projects on PPP basis including extensive experience in project structuring, risk management, project agreements, tendering arrangements, etc. Successful preparation7 of at least 10 PPP projects. Work experience in the Asian region will be a merit. ii. Project Finance Specialist (national consultant; 9 person-months;. 1 On a project-by-project basis, the PPP Center and the government agencies will establish a task team (staffs and consultants of the PPP Center and the government agencies) accountable for PPP project preparation and/or monitoring. For this purpose, the PPP Center and the government agencies will enter in memorandum of understanding defining the roles and responsibilities of each party to ensure efficiency and effectiveness of TA support. For budgeting purposes, the number of person-months of the consultants reflects the total anticipated inputs till 31 July However, the contracts with the consultants will be concluded only for the part of the total person-months required till 31 July The exact number of the person-months for the contract till 31 July 2013, not exceeding 30% of the total number of person-months, will be defined in consultation with the PPP Center prior to advertising on ADB CSRN web-site. The decision to continue with consultancy support beyond that date will be made on the basis of (i) the results of the joint ADB-AusAID-CIDA Mid-Term Review scheduled to take place between the fourth quarter of 2012 and the first quarter of 2013, and (ii) assessment of the consultants performance by the PPP Center, NEDA and ADB.

Broad tasks: support/work with the international project finance expert to review and develop project structuring options, financial packaging, capital market soundings, conduct viability gap financing analysis for PPP projects facilitated by the PPP Center either with PDMF or without PDMF funding, advise on insurance, credit enhancement, guarantee products available in the domestic market, review/contribute to financial models of PPP projects. a. Education: post-graduate university degree in business administration, economics, finance, or other PPP-relevant field. b. Work experience: At least 5 years of in-country experience in financial modeling/structuring of projects on PPP, and successful award of PPP projects of at least 3 projects. Should possess knowledge of Philippine taxation system, tax exemptions and tax incentives, financial accounting systems, and the domestic insurance/guarantee market and its products. iii. LGU Specialist (national consultant; 10 person-months;. 1. Broad tasks: advise on LGU institutional and regulatory issues; LGU budgeting and access to finance schemes; advise on DILG and DBM LGU-related processes and systems; assist LGUs in PPP project processing and improvement of their PPP set-up and regulations. a. Education: post-graduate university degree in public administration, economics, finance, or other relevant field. professional experience with LGUs and/or in the Philippines government related to public finance, public administration, local governments, PPPs or intergovernmental fiscal relations. successful award of PPP projects of at least 3 projects. Knowledge of LGU taxation system, tax exemptions and tax incentives, financial accounting systems, and LGU-related domestic insurance/guarantee market and its products will be a merit. The consultant should be able and willing to travel within the Philippines. iv. Project Management Specialist (national consultant; 8 person-months;. 1. Broad tasks: analyze PPP Center s internal processes and procedures and develop the PPP Center s Operations Manual, monitor and inform on all PPP Center involved PPP projects throughout the project cycle, especially during project preparation and till financial close; advise agencies on institutional issues of
3 3 project processing and provide advice on project documentation and packaging, including on the project results framework. a. Education: post-graduate university degree in public administration, economics, finance, or other relevant field. professional experience with managing public investment project and/or PPP project programming, processing and implementation. Work experience in the government agencies in charge of public investment programming, preparation, approval, and implementation would be a merit. Work experience with PPP projects will be an additional merit. v. Risk Management Expert (international consultant; 8 person-months; 1. Broad tasks: using his/her international expertise (i) help identify risks and/or review risk allocation in the proposed PPP projects, (iii) recommend optimal risk allocation and develop appropriate risk profile for proposed PPP projects to ensure attractiveness of the project to the private sector and financiers; and (iii) ensure that PPP projects are prepared for bidding in such a way that all risk components are adequately identified, quantified and allocated in a manner consistent with prescribed methodologies. a. Education: post-graduate university degree in business administration, economics, finance, or other relevant field. professional experience in dealing with risk analysis and risk management pertaining to PPP projects, and knowledge of the lenders perspective in managing risks in PPP projects. Work experience in the government agencies in charge of PPP project programming, preparation, approval, and implementation would be a merit. Work experience in banking sector related to PPP projects will be an additional merit. vi. Risk Management Expert (national consultant; 10 person-months; 1. Broad tasks: work with and support the risk management international consultant in (i) helping identify risks and/or review risk allocation in the proposed PPP projects, (iii) recommending optimal risk allocation and develop appropriate risk profile for proposed PPP projects to ensure attractiveness of the project to the private sector and financiers; and (iii) ensuring that PPP projects are prepared for bidding in such a way that all risk components are adequately identified, quantified and allocated in a manner consistent with prescribed methodologies.

Work experience: at least 10 years of in-country professional experience in dealing with risk analysis and risk management pertaining to PPP projects, and knowledge of the lenders perspective in managing risks in PPP projects. Work experience in the government agencies in charge of PPP project programming, preparation, approval, and implementation would be a merit. Work experience in the banking sector related to PPP projects will be an additional merit. vii. Network Specialist (national consultant; 6 person-months; 1. Broad tasks: support the PPP Center s IT staff in improving and maintaining the network infrastructure of PPP Center, with possible link to the networks of NEDA, DOF, and linedepartments. a. Education: preferably post-graduate university degree in computer science or other relevant field. professional experience in developing and/or managing IT networks in organizations, web-based application systems design, development, and administration, database management systems and security, network and web applications security, design and development of integrated information management systems, various web technology tools and frameworks, search engine optimization, conduct of system users training, and systems documentation. viii. Database Management Specialist (national consultant; 8 person-months; 1. Broad tasks: support the PPP Center s IT and knowledge management staff in improving, maintaining and updating the PPP Center PPP project database. a. Education: preferably post-graduate university degree in computer science or other relevant field. professional experience in developing and/or managing databases in organizations, including ensuring their security. Experiences with the following areas will be a merit: web-based application systems design, development, and administration, web applications security, design and development of integrated information management systems, various web technology tools and
5 5 frameworks, search engine optimization, conduct of system users training, and systems documentation. ix. Public Finance Specialist (national consultant; 6 person-months; 1. Broad tasks: support to PPP Center in (i) budget systems/procedures and fiscal rules applied by DOF and DBM during PPP project preparation and implementation, (ii) ODA and government guarantees regulatory and institutional aspects, (iii) public investment programming processes of NEDA and ICC. a. Education: post-graduate university degree in public administration, economics, finance, or other relevant field. professional experience in the public finance, including with public investment project and/or PPP project programming, processing and implementation, and processing/supervising budgeting process at the government agencies. Work experience in the government agencies in charge of public finance planning, expenditure, audit, investment programming, preparation, approval, and implementation of public investment projects would be a merit. Work experience with PPP projects will be an additional merit. x. PPP Experts (4 national consultants; 12 person-months each; 1. Broad tasks: support/coordinate the project-specific task teams of the PPP Center and NGAs/LGUs in respect with (i) PPP pipe-line development; (ii) PPP methodology and approaches; (iii) formulation, appraisal, and approval requirements for PPP projects (including relevant PPP contractual agreements, due diligence processes, financial analysis, value for money assessment, public sector comparator, etc.); (iv) tendering arrangements, legal and contractual agreements, risk management and contingent liability issues; (v) infrastructure financing, particularly on options to attract private capital for commercially viable infrastructure projects; (vi) project-related policy and regulatory issues, including government processes and requirements for PPP project processing. a. Education: post-graduate university degree in business administration, economics, finance, or other PPP-relevant field. b. Work experience: At least 5 years of in-country experience in project structuring, risk management, project agreements, tendering arrangements, etc. Successful award of PPP projects of at least 3 projects. Should
6 6 possess knowledge of Philippine taxation system, tax exemptions and tax incentives, financial accounting systems, and the domestic financial sector and its requirements and products. Should also possess country specific knowledge of the sector, regulatory issues involved and the special privileges and incentives announced by the Government for successful implementation of the PPP projects, concessional financing options available for PPP projects from the public sector, etc. b. Non-core consultants are those who will be recruited on need basis and will be project-related. Among the non-core there are consultancy positions which can be already identified given the pipe-line of projects for 2012, on which the PPP Center has already pro-actively started initial discussions with the government agencies. The other group of non-core consultants cannot be identified at this moment, but resources will be provided to be able to respond to the needs of a specific project once these emerge. The core and non-core consultants will in total require 6 person-months of international and 36 personmonths of national consultant inputs. The details on the indentified non-core consultants for 2012 are: i. Urban Planning Specialist (national consultant; 2 person-months; 1. Broad tasks: advise on (i) alignment of the PPP project with the development plan and investment program of the urban area, (ii) determine best use of land and other resources, (iii) ensure complementability of the PPP project with public facilities for area and commercial development, and (iv) positive community impact of PPP projects. 2. Qualifications: a. Education: post-graduate university degree in urban planning, public administration, economics, finance, or other relevant field. professional experience in urban planning and development with the national and/or local government agencies, GOCCs, private sector, or academe. Experience in managing public investment projects and/or PPP project programming, processing and implementation, as well work experience in the government agencies in charge of urban planning and policy development, public investment programming, preparation, approval, and implementation of public investment projects would be a merit. Work experience with PPP projects will be an additional merit. ii. Rail Transport Specialist (national consultant; 4 person-months;

Broad tasks: advise on development of plans for surface rail transportation projects under PPP arrangements, establish/document engineering standards for rail projects, develop traffic engineering methods. 2. Qualifications: a. Education: post-graduate university degree in urban planning, civil engineering, public administration, economics, finance, or other relevant field. professional experience in rail transport infrastructure planning and development with the national and/or local government agencies, GOCCs, private sector, development partners, or academe. Experience in managing public investment and/or PPP project programming, processing and implementation, as well work experience in the government agencies in charge of rail transport, programming, preparation, approval, and implementation of public investment projects would be a merit. Work experience with PPP projects in the rail sector will be an additional merit. iii. Agriculture Sector Specialist (national consultant; 2 person-months; 1. Broad tasks: advise work of agriculture PPP task teams on (i) agricultural production and irrigation systems, (ii) agricultural logistics and linkages, (iii) agricultural in/output markets and land issues, (iv) government support mechanisms/schemes/institutions to the agricultural sector. 2. Qualifications: a. Education: post-graduate university degree in rural development, agriculture science, civil engineering, public administration, or other relevant field. professional experience in the agricultural sector and agriculture infrastructure planning and development with the national and/or local government agencies, GOCCs, private sector, academe, or development partners. Experience in managing public investment and/or PPP project programming, processing and implementation, as well work experience in the government agencies in charge of agriculture development, programming, preparation, approval, and implementation of public investment projects would be a merit. Work experience with agriculture PPP projects will be an additional merit. iv. Public Health Specialist (national consultant; 2 person-months;

Broad tasks: advise work of health PPP task teams on (i) health sector institutional aspects and practices (including devolution of health services provision to the LGUs), (ii) health sector technical standards, (iii) public and private health insurance mechanisms, (iv) government support mechanisms/schemes/institutions to the health sector. 2. Qualifications: a. Education: post-graduate university degree in public health, medicine science, public administration, or other relevant field. professional experience in the health sector planning, finance and development with the national and/or local government agencies, GOCCs, private sector, academe, or development partners. Experience in managing public investment and/or PPP project programming, processing and implementation, as well work experience in the government agencies in charge of health sector development and financing, health insurance, as well as programming, preparation, approval, and implementation of public investment projects would be a merit. Work experience with health PPP projects will be an additional merit. v. Renewable Energy Specialist (national consultant; 2 person-months; 1. Broad tasks: advise work of energy PPP task teams on: (i) quality and conceptual issues of renewable energy project proposals submitted to PPP Center for assistance, (ii) on TORs of consultants and bidding documents from the renewable energy perspective, (iii) the government legal and institutional set-up related to renewable energy PPP projects, (iv) government and other domestically and internationally financial support mechanisms for renewable projects, (v) technical standards related to renewable energy technology and equipment. 2. Qualifications: a. Education: post-graduate university degree in civil engineering, business administration, finance or other relevant field. professional experience in the energy sector planning, finance and development with the national and/or local government agencies, GOCCs, private sector, academe, or development partners. Proven experience with the renewable energy projects and/or knowledge products. Experience in managing public investment and/or PPP project programming, processing and implementation, as well work experience in the government agencies in
9 9 charge of energy sector development and financing, as well as programming, preparation, approval, and implementation of public investment projects would be a merit. Work experience with energy PPP projects will be an additional merit. vi. Non-core consultants beyond person-months of international consultants, intermittent; person-months of national consultants, intermittent c. It is proposed to increase the person-months of the 2 international and 12 national consultants, who are already with the PPP Center (8 national consultants) or will be hired by mid January 2012 (4 national consultants), to allow for a more intensive work during the time of their engagement with the PPP Center. 2 The national consultants will be also provided with budgets for travel to project sites: e.g., the resettlement expert and the civil engineer need to physically visit project sites to conduct on-the-spot assessments critical for their advice to the PPP Center and for the PDMF Board s decisions. The total number of additional international and national consultant inputs is 30 and 108, respectively. i. International consultants: 1. Technical Advisor: a. After July 2013 it is assumed that, given the strengthened capacity of the PPP Center, the need for support will be decreasing by annually. The decision to continue with consultancy support beyond the consultants contract end date will be made on the basis of (i) the results of the joint ADB-AusAID-CIDA Mid-Term Review scheduled for April 2013 and (ii) assessment of the consultants performance by the PPP Center, NEDA and ADB.

It is proposed to sustainably strengthen the staffing of PPP Center through recruitment of 8 national consultants for the PDMF, Project Development and Capacity Building and Knowledge Management Services, on civil service remuneration rates, who will be gradually absorbed by PPP Center as regular staff over the period of the TA: 2 will be absorbed in 2014, 3 in 2015, and the remaining 3 in These consultants and selected PPP Center staff will be provided with the necessary training to better manage the Services respective responsibilities. The total number of national consultant inputs required for this purpose is 260 person-months. The details on each consultant are presented below. i. Project Finance Specialist (2 national consultants; 20 person-months each; full-time) 1. Broad tasks: review and develop project structuring options, financial packaging, capital market soundings, and conduct viability gap financing analysis for PPP projects being facilitated by the PPP Center either with or without PDMF support. The consultants will also advise on insurance, credit enhancement, and guarantee products available in the market. a. Education: graduate university degree in business administration, economics, finance, or other relevant field. Master degree in these areas will be a merit. b. Work experience: At least 4 years of experience in public administration, public finance, public investment programming, processing and implementation, and processing/supervising budgeting process at the government agencies. Work experience in the government agencies in charge of public finance planning, expenditure, audit, investment programming, preparation, approval, and implementation of public investment projects would be a merit. ii. Institutional Capacity Building Specialist (1 national consultants; 30 person-months each; full-time) 1. Broad tasks: among others, support the PPP Center s Capacity Building and Knowledge Management Service in the development and conduct of capacity building interventions on PPP project development for national implementing agencies and local government units. a. Education: graduate university degree in organizational studies, public administration, economics, social science, or other relevant field. Master degree in these areas will be a merit.

Work experience: At least 4 years of experience He/she should have experience in capacity building development for national and local governments in the areas of investment programming and planning, project development and other related areas. He/she must have sufficient experience in dealing with national agencies and/or local government units as well as oversight agencies and regulatory agencies (e.g. NROs, DILG Regional Offices, etc) and their respective internal processes and requirements. iii. Senior Project Coordination Specialist (1 national consultant; 32 personmonths; full-time) 1. Broad tasks: lead the support to the director of the PPP Center s Project Development and Monitoring Facility (PDMF) Service in several sectors to be determined by the PPP Center. In that capacity, he/she will take the leading role in processing of PDMF applications from Implementing Agencies, from receipt and review, Board approval and post-board approval processing. Specifically, the consultant will review scopes of work and project concept notes; prepare staff evaluation reports for Board consideration; prepare detailed Terms of Reference for recruitment of international and local firms for consulting services for the PDMF; organize meetings with Implementing Agency representatives both at early stages of project processing and pre- Board meetings; participate in Board discussions and offering clarifications, project analysis and project data; Participate in deliberations of the Project Study Committee (PSC) and Special Bids and Awards Committee (SBAC) in the selection of consulting services; draft project related resolutions and technical assistance agreements; and participate in contract negotiations with prospective consulting firm bidders. Subject to compliance with pertinent Civil Service requirements the consultant will be absorbed by the PPP Center as division chief of the PDFM Service. a. Education: at least a Bachelor s degree in economics, public administration, business administration, or civil engineering, or a related field. A masters degree and career service professional, second level eligibility is a merit. b. Work experience: At least 4 years of relevant experience. Professional experience with (i) coordinating/leading public investment project and/or PPP project programming, processing and implementation, (ii) managing/coordinating procurement in the government agencies, and (iii) coordinating/leading work of inter/intra-agency teams. Work experience in the government agencies in charge of public investment programming, preparation, approval, and
13 13 implementation would be a merit. Work experience with PPP projects will be an additional merit. iv. Senior Project Management Specialist (1 national consultant; 32 personmonths; full-time) 1. Broad tasks: the consultant will lead the support to the work of two division chiefs and several project staff related to project development, project review and evaluation, presentation of projects to the PDMF Board and provide assistance in the post- Board approval activities of PDMF projects, including interface with the Project Study Committee and the SBAC. He/she will provide strategic policy advice on the environment for PPPs to the Director of the PDMF Service and will be the point person at the PDMF for activities related to the BOT Law amendment, and close and productive interaction with the Capacity Building consultants hired under the TA. He/she will also be responsible for direct dayto-day contact with the Implementing Agencies on the status and requirements of PDMF projects. Subject to compliance with pertinent Civil Service requirements the consultant will be absorbed by the PPP Center as assistant director of the PDFM Service. a. Education: at least a Bachelor s degree in economics, public administration, business administration, or civil engineering, or a related field. A masters degree and career service professional, second level eligibility is a merit. b. Work experience: At least 5 years of relevant experience and three years of relevant supervisory experience.. Professional experience with (i) leading public investment project and/or PPP project programming, processing and implementation, (ii) managing/supervising procurement in the government agencies (public procurement law and/or procurement following the BOT Law), and (iii) leading/supervising work of inter/intra-agency teams. Work experience in the government agencies in charge of public investment programming, preparation, approval, and implementation would be a merit. Work experience with PPP projects will be an additional merit. v. Knowledge Management Specialist (1 national consultants; 42 personmonths each; full-time) 1. Broad tasks: among others, support the PPP Center s Capacity Building and Knowledge Management Service in institutionalizing knowledge management processes that captures the generation and sharing of PPP knowledge and information within the PPP Center, among its public and private clients and online.
14 14 a. Education: Bachelor degree in communications, public administration or related field. A master degree in these areas will be a merit. b. Work experience: at least one year experience in actual knowledge management work (with online applications). He/she must possess excellent writing and information processing skills and experience in the public sector as well as adeptness with online and web applications on knowledge management. Work experience in the government agencies on knowledge management projects/initiatives will be a merit. vi. Project Specialist (2 national consultants; 42 person-months each; fulltime) 1. Broad tasks: support/coordinate the PPP Center s Project Development Service in PPP pipeline development for PDMF and non-pdmf projects through pro-active consultations with linedepartments, GOCCs, LGUs, NEDA, DOF, DBM, DILG. They will also support government agencies with PPP project planning and monitoring of PPP project processing and implementation. a. Education: bachelor graduate university degree in public/business administration, economics, finance, or other relevant field. b. Work experience: At least 4 years of in-country professional experience with public/private sector projects. Work experience in the government agencies in charge of public investment programming, preparation, approval, and project implementation would be a merit. Work experience with PPP projects will be an additional merit. 2. It is proposed to support DOF in (i) developing guidelines on risk allocation and contingent liabilities and policies and mechanisms on government financing of its share in PPPs, and (ii) sustainably strengthening the staffing of DOF s DRMO through recruitment of 6 national consultants, on civil service remuneration rates, who will be gradually absorbed by DOF as regular staff (2 per year) over the period of the TA. To support with (i), it is proposed to extend contracts of the international and national consultants on risk management. The total number of the additional international and national consultant input is 3 and 120 person-months, respectively. i. Consultants already in place 1. National consultants to be recruited for DRMO Broad tasks: As part of DRMO, (i) collect data and contribute to identification of risks and/or review risk allocation in the pipe-line and on-going PPP projects, (ii) work on optimal risk allocation and develop appropriate risk profile for PPP projects, (iii) contribute to ensuring that PPP projects are prepared for bidding in such a way that all risk components are adequately identified, quantified and allocated in a manner consistent with prescribed methodologies, (iv) contribute to ensuring that the government contingent liabilities and risk mitigation measures (such as, e.g., guarantees) arising from every PPP project are adequately assessed and funding mechanisms and options are identified, (v) conduct other tasks pertaining to DOF/DRMO s oversight of and advice on PPP projects throughout the project cycle.
